the amount of water that an audit determines may be provided by that Member's Independent <br />Supply. Members are not required to share shortages resulting from the loss or all or part of <br />Independent Supply, although Cascade may make Interruptible Supply available to a Member <br />that loses Independent Supply at prices that are consistent with the price of Interruptible <br />Supply being made available to others at that time. Cascade may at any time and at its cost <br />and expense carry out audits of a Member's Independent Supply. <br />A Member requesting an additional Full Supply Commitment due to loss of <br />Independent Supply shall make that request by Resolution of the requesting Member's <br />legislative authority. When and as determined by the Board, the Member shall pay an amount <br />equal to the RCFCs allocable to the number of CERUs that can be served by the replacement <br />supply provided or to be provided by Cascade. Cascade shall then include the supply in its <br />Water Supply Plan, and provide the supply when it becomes available, but in any event within <br />fifteen (15) years. If, within fifteen (15) years the supply is not available, Cascade's <br />commitment becomes a Full Supply Commitment and any shortage with respect to that supply <br />must be shared by all the Members in accordance with the Shortage Management Plan, except <br />as otherwise provided in Section 7.3. <br />Section 5.2.3 Additional Rules for Source Exchange. The Board may, at its <br />sole discretion, authorize a Cascade Source Exchange Program Agreement with a Member or <br />Non Member. The terms and conditions of a Cascade Source Exchange Program Agreement <br />shall be developed from a source exchange proposal submitted to the Board. The agreement <br />shall identify: (a) the water right (instantaneous and annual) to be augmented or replaced; (b) <br />the Water Supply Assets to be utilized; (c) mechanisms and arrangements for delivery of <br />Cascade Interlocal Contract _19- <br />Amended and Restated <br />October 26, 2011 <br />
