Section 7.9 Payment Procedures; Default; Step -Up Provisions. <br />Section 7.9.1 Invoice and Payment. <br />(a) Cascade shall provide each Member with periodic invoices showing the <br />Member Charges payable by that Member for the billing period and the due date. Invoices <br />shall be provided monthly or on other such periodic schedule as determined by the Board, but <br />no more frequently than monthly nor less frequently than once every six months. The Board <br />will determine a due date for all invoices. <br />(b) Payment of any and all invoices shall be due and payable on or before the due <br />date, and shall be made by wire transfer or such other means as are agreed to by Cascade and <br />the Member. If a treasurer, trustee, fiscal agent or escrow agent is appointed in connection <br />with the issuance of Bonds, Cascade may require, and specify on the invoice, that certain <br />amounts be provided directly to that person or entity, and the Member shall pay those <br />amounts in the manner and to the person so specified. <br />(c) If full payment of any invoice is not received on or before the due date, such <br />payment shall be considered past due and a late payment charge shall accrue for each day that <br />the invoice remains unpaid. The late payment charge shall equal the product of the unpaid <br />amount and an interest rate established by the Board. Late payment charges shall continue to <br />accumulate until the unpaid amount of the invoice and all late payment charges are paid in <br />full. Further, if an invoice or any portion thereof remains unpaid for more than sixty (60) <br />days after the due date, Cascade may pursue any legally available remedy at law or equity for <br />the unpaid amount, including without limitation, specific performance and collection of the <br />late payment charge. Cascade's right to enforce payments in this regard may be assigned to a <br />Cascade Interlocal Contract -34- <br />Amended and Restated <br />October 26, 2011 <br />
