sixty (60) days after the date of the notice and provided further that any such <br />sale or other transfer is affected in accordance with Offered Terms as <br />presented to the other Participating Agencies. If the allocated fibers <br />described in the notice are not transferred to the proposed transferee within <br />such period, a new notice shall be required and the other Participating <br />Agencies, either individually or collectively, shall again be offered the Right <br />of First Refusal before any allocated fibers held by the may be sold or <br />otherwise transferred. <br />(f) Any entity purchasing the right to use fibers installed under a Fiber <br />Optic Project Agreement must agree to all the terms and conditions of this <br />Agreement, including the General Terms and Conditions, Exhibits and <br />Addenda as specified in this document and shall notify the Facility Owner(s) <br />of any such purchase. <br />Participating Agencies may grant the right to use their fiber allocation to any <br />other party provided the sale or lease is approved by a majority of the other <br />Participating Agencies. Such approval shall not be reasonably withheld. <br />J. FUTURE USE OF FIBER OPTIC CABLE ALREADY OWNED BY <br />INDIVIDUAL PUBLIC AGENCIES <br />Nothing in this document precludes Participating Agencies from entering <br />into separate agreements with other Participating Agencies to utilize fiber <br />optic cable other than the Fiber Optic Cable installed pursuant to a Fiber <br />Optic Project Agreement. <br />K. TAXES <br />L. PAYMENTS <br />Terms and Conditions for Sharing of Fiber Optic Installation Projects <br />The Participating Agencies shall pay, before delinquency, all applicable <br />taxes, levies, and assessments arising from their joint installations and <br />undertakings under a Fiber Optic Project Agreement <br />Participating Agencies shall pay all amounts owed to the Lead Agency <br />within forty -five (45) days of receipt of the billing. If a Participating Agency <br />cannot or does not make payment for charges owed or if there is a dispute as <br />to amounts owed such dispute shall be resolved through the process <br />identified in this Agreement. <br />If the Participating Agency fails to make payment as required, then its <br />11 <br />
