immunity under Washington's Industrial Insurance Act, Chapter 51 RCW, as <br />respects the other party only, and only to the extent necessary to provide the <br />indemnified party with a full and complete indemnity of claims made by the <br />indemnitor's employees. The parties acknowledge that these provisions were <br />specifically negotiated and agreed upon by them. <br />10. Dispute Resolution. Whenever any dispute arises between the Parties or between <br />the Contracting Parties under this Agreement which is not resolved by routine <br />meetings or communications, the disputing parties agree to seek resolution of such <br />dispute in good faith by meeting, as soon as feasible. The meeting shall include the <br />Chief Executive Officer (or his/her designee) of each party involved in the dispute <br />and the Manager of the Regional Animal Services Program. If the parties do not <br />come to an agreement on the dispute, any party may pursue mediation through a <br />process to be mutually agreed to in good faith between the parties within 30 days, <br />which may include binding or nonbinding decisions or recommendations. The <br />mediator(s) shall be individuals skilled in the legal and business aspects of the <br />subject matter of this Agreement. The parties to the dispute shall share equally the <br />costs of mediation and assume their own costs. <br />11. Joint City County Committee and Collaborative Initiatives. A committee <br />composed of 3 county representatives (appointed by the County) and one <br />representative from each City that has signed a like Agreement and chooses to <br />appoint a representative shall meet not less than twice each year. Committee <br />members may not be elected officials. The Committee shall review service issues <br />and make recommendations regarding efficiencies and improvements to services <br />and shall review and make recommendations regarding the conduct and findings <br />of the collaborative initiatives identified below. Subcommittees to focus on <br />individual initiatives may be formed, each of which shall include membership from <br />both county and city members of the Joint City County Committee. <br />Recommendations of the Joint City County Committee are non binding. The <br />collaborative initiatives to be explored shall include: <br />a. Proposals to update animal services codes, including fees and penalties, as a <br />means to increase revenues and incentives for residents to license, retain, and <br />care for pets. <br />b. Exploring the practicability of engaging a private for profit licensing system <br />operator. <br />c. Pursuing linkages between County and private non profit shelter and rescue <br />operations to maximize opportunities for pet adoption, reduction in <br />homeless pet population, and other efficiencies. <br />Document Dated 5 -28 -10 <br />9 <br />
