Attachment 1 Contract # 2006NM005 <br />Regional Disaster Plan for Public and Private Organizations in King County, Washington <br />OMNIBUS LEGAL AND FINANCIAL AGREEMENT <br />for Organizations Participating in the Regional Disaster Plan <br />for Public and Private Organizations in King County <br />This OMNIBUS AGREEEMENT is made and entered into by certain public and <br />private organizations to enable them to provide Emergency Assistance to each other <br />during times of emergency or disaster. <br />WHEREAS, the Subscribing Organizations have expressed a mutual interest <br />in the establishment of an Omnibus Agreement to facilitate and encourage <br />Emergency Assistance among participants; and <br />WHEREAS, in the event of an emergency a Subscribing Organization who <br />has executed this Omnibus Agreement may need Emergency Assistance in the form <br />of supplemental personnel, equipment, materials or other support; and <br />WHEREAS, each Subscribing Organization may own and maintain <br />equipment, stocks materials and employs trained personnel for a variety of services <br />and is willing, under certain conditions, to lend its supplies, equipment and services <br />to other Subscribing Organizations in the event of an emergency; and <br />WHEREAS, the proximity of the Subscribing Organizations to each other <br />enables them to provide Emergency Assistance to each other in disaster situations. <br />NOW THEREFORE, in consideration of the mutual covenants and <br />agreements hereinafter set forth, the undersigned Subscribing Organization agrees <br />as follows: <br />Article I - APPLICABILITY. <br />This Omnibus Agreement is available for execution to all Subscribing Organizations, <br />in and bordering geographic King County. Execution of this Omnibus Agreement by <br />a Subscribing Organization will occur when a Subscribing Organization signs an <br />identical version of this Omnibus Agreement. <br />Article II - DEFINITIONS. <br />A. `Assistance Costs' means any direct material costs, equipment rental fees, <br />fuel, and the labor costs that are incurred by the Lender in providing any <br />asset, service, or assistance requested.
