Section 1. Definitions. As used in this ordinance, the following words and terms <br />shall have the following meanings, unless the context or use indicates another or <br />different meaning or intent. Unless the context indicates otherwise, words importing the <br />singular number shall include the plural number and vice versa. <br />Beneficial Owner means any person that has or shares the power, directly or <br />indirectly, to make investment decisions concerning ownership of any Bonds (including <br />persons holding Bonds through nominees, depositories or other intermediaries). <br />Bond Counsel means Pacifica Law Group LLP or an attorney at law or a firm of <br />attorneys, selected by the City, of nationally recognized standing in matters pertaining <br />to the tax exempt nature of interest on bonds issued by states and their political <br />subdivisions. <br />Bond Purchase Contract means the contract, if any, for the purchase of any <br />Bonds sold by negotiated sale to the Underwriter, executed pursuant to Section 12. <br />Bond Register means the registration books showing the name, address and tax <br />identification number of each Registered Owner of the Bonds, maintained pursuant to <br />Section 149(a) of the Code. <br />Bond Registrar means, initially, the fiscal agent of the State, for the purposes of <br />registering and authenticating the Bonds, maintaining the Bond Register, effecting <br />transfer of ownership of the Bonds and paying interest on and principal of the Bonds. <br />Bonds mean the City's Limited Tax General Obligation Bonds, 2017, or other such <br />series designation as approved by the Designated Representative, authorized to be <br />issued pursuant to the terms of this ordinance. <br />Certificate of Award means the certificate, if any, for the purchase of any Bonds <br />sold by competitive sale awarding the Bonds to the initial purchaser as set forth in <br />Section 12 of this ordinance. <br />City means the City of Tukwila, a municipal corporation duly organized and existing <br />under the laws of the State. <br />City Clerk means the duly appointed and acting City Clerk of the City or the <br />successor to the duties of that office. <br />City Administrator means the duly appointed and acting City Administrator, <br />including anyone acting in such capacity for the position, or the successor to the duties <br />of that office. <br />Closing means the date of delivery of the Bonds to the Underwriter. <br />W: Word Processing\Ordinances\LTGO Bonds-Street improvements 5-31-17 <br />PM:bjs Page 2 of 16 <br />12 <br />
