(b) Commercial General Liability insurance, written on an occurrence basis with limits no less <br />than $3,000,000 per occurrence and $5,000,000 aggregate for personal injury, bodily injury <br />and property damage. Coverage shall include but not be limited to: blanket contractual; <br />premises; operations; independent contractors; stop gap liability; personal injury; products <br />and completed operations; broad form property damage; explosion, collapse and <br />underground (XCU); and employer's liability. Commercial General Liability insurance <br />shall be written on Insurance Services Office (ISO) occurrence form CG 00 01 and shall <br />cover products liability. The City shall be named as an additional insured under Grantee's <br />Commercial General Liability insurance policy using ISO Additional Insured -State or <br />Political Subdivisions -Permits CG 20 12 or a substitute endorsement providing equivalent <br />coverage; <br />(c) Workers' Compensation coverage as required by the Industrial Insurance laws of the State <br />of Washington. No deductible is presently required for this insurance; and <br />(d) Umbrella liability policy with limits not less than $1,000,000 per occurrence and <br />$5,000,000 in the aggregate. <br />13.2 Maintenance of insurance shall not be construed to limit the liability of either party to the coverage <br />provided by such insurance, or otherwise limit a party's recourse to any remedy available at law or <br />equity. Further, a party's maintenance of insurance policies required by this agreement shall not <br />be construed to excuse unfaithful performance by that party. <br />13.3 If the Zayo maintains higher insurance limits than the minimums shown above, the City shall be <br />insured for the full available limits of Commercial General and Excess or Umbrella liability <br />maintained by the Zayo, irrespective of whether such limits maintained by Zayo are greater than <br />those required by this contract or whether any certificate of insurance furnished to the City <br />evidences limits of liability lower than those maintained by Zayo. <br />13.4 Zayo shall provide the City and all Additional Insureds for this work with written notice of any <br />policy cancellation within two business days of their receipt of such notice. <br />13.5 Failure on the part of the Zayo to maintain the insurance as required shall constitute a material <br />breach of contract, upon which the City may, after giving five business days notice to Zayo to <br />correct the breach, immediately terminate the contract or, at its discretion, procure or renew such <br />insurance and pay any and all premiums in connection therewith, with any sums so expended to be <br />repaid to the City on demand, or at the sole discretion of the City, offset against funds due Zayo <br />from the Public Entity. <br />14. Force Majeure. <br />Neither party shall be liable to the other or deemed in breach or default for any failure or delay in <br />performance under this Agreement during the time and to the extent its performance is prevented <br />by reasons of Force Majeure. For the purposes of this Agreement, Force Majeure means an <br />occurrence that is beyond the reasonable control of and without fault or negligence of the party <br />claiming force majeure and which, by exercise of due diligence of such party, could not have been <br />prevented or overcome. Force Majeure shall include natural disasters, including fire, flood, <br />earthquake, windstorm, avalanche, mudslide, and other similar events; acts of war or civil unrest <br />when an emergency has been declared by appropriate governmental officials; acts of civil or <br />military authority; freight embargoes; epidemics; quarantine restrictions; labor strikes; boycotts; <br />terrorist acts; riots; insurrections; explosions; and nuclear accidents. A party claiming suspension <br />or termination of its obligations due to force majeure shall give the other party prompt written <br />notice, but no more than fourteen (14) working days after the event, of the impediment and its effect <br />Page 9 of 14 <br />74 <br />
