W,$ <br />City of Tukwila <br />6200 Southcenter Boulevard, Tukwila WA 98188 <br />Agreement Number: <br />h. Notice of Cancellation. The Lessee shall provide the City with written notice of any policy <br />cancellation, within two (2) business days of receiving such notice. <br />i. Failure to Maintain Insurance. Failure on the part of the Lessee to maintain the required <br />insurance shall constitute a material breach of this Lease upon which the City may, after <br />giving five (5) business days notice to the Lessee to correct the breach, terminate this Lease <br />or, at its discretion, procure or renew such insurance and pay and all premiums in <br />connection therewith, with any sums so expended to be repaid to the City on demand. <br />J. <br />City Full Availability of Lessee Limits. If the Lessee maintains higher insurance limits than <br />the minimums shown above, the City shall be insured for the full available limits of <br />Commercial General and Excess or Umbrella liability maintained by the Lessee, irrespective <br />of whether such limits maintained by the Lessee are greater than those required by this <br />Lease or whether any certificate of insurance furnished to the City evidence limits of liability <br />lower than those maintained by the Lessee. <br />15. Indemnification and Hold Harmless. Lessee shall defend, indemnify, and hold harmless the <br />City, its officers, officials, employees and volunteers from and against any and all claims, <br />suits, actions, or liabilities for injury or death of any person, or for loss or damage to property, <br />which arises out of Lessee's use of Premises, orfrom the conduct of Lessee's business, orfrom <br />any activity, work or thing done, permitted, or suffered by Lessee in or about the Premises, <br />except only such injury or damage as shall have been occasioned by the sole negligence of <br />the City. It is further specifically and expressly understood that the indemnification provided <br />herein constitutes the Lessee's waiver of immunity under Industrial Insurance, Title 51 RCW, <br />solely for the purposes of this indemnification. This waiver has been mutually negotiated and <br />agreed to by the Lessee and City. The provisions of this section shall survive the expiration or <br />termination of this Lease. <br />16. Assignment and Subletting. Lessee shall not assign this Lease or sublet any portion of the <br />Premises. Any sublease or assignment made in violation of this provision shall be void. <br />17. Default. Failure by Lessee to observe or perform any of the covenants, conditions or <br />provisions of this Lease, where such failure shall continue for a period of ten (10) days after <br />written notice from the City to cure the default, shall constitute a default and breach of this <br />Lease. Lessee shall notify the City promptly of any default not by its nature necessarily known <br />to the City. <br />18. Access. After reasonable notice from the City (except in the cases of emergency where no <br />notice is required) the Lessee shall permit the City and its agents, employees and contractors <br />to enter the Premises at all reasonable times to make repairs, alterations, improvements or <br />Sound Cities Association 2021-2022 Lease Agreement Page 6 of 9 <br />8 <br />
