b. Contingent Extension. If one or more Contracting Cities provides written <br />notice to the County of its intent to opt out of a second term, the Agreement <br />shall continue for a second five-year term, until December 31, 2027, if: <br />(i) the cost to any remaining party is not estimated to increase by more <br />than ten percent, based on the Estimated Animal Services Cost <br />Allocation to the City (the cost allocation before revenue and credit <br />off -sets) as noted in the Estimated Payment Calculation that includes <br />the non -renewing party, compared to the Estimated Animal Services <br />Cost Allocation to the City in the Estimated Payment Calculation that <br />excludes the non -renewing City; and <br />(ii) no later than March 1, 2022, the remaining Parties agree in writing <br />upon terms that substantially carry forward the cost and service levels <br />in the initial term. If the Parties do not reach agreement on such <br />revised terms by March 1, 2022, the automatic extension is not <br />effective, and this Agreement shall terminate at the end of the initial <br />term. <br />c. Date References. For purposes of construing date specific rights and <br />responsibilities of the Parties upon extension of this Agreement for a second <br />term, references in this Agreement to an initial term date shall mean a date <br />that is five years later. This subsection is not intended to authorize more <br />than one five-year extension period. <br />d. Termination. Any Contracting Party may, without cause and in its sole <br />discretion, determine not to renew this Agreement for a second term by <br />providing written notice of its decision to the other parties no later June 30, <br />2021. The Agreement may not be terminated for convenience during either <br />the first or second term. Notice from contracting cities is to be provided in <br />writing to the County, who will subsequently inform the other city partners, <br />in writing, within 14 days of the County receiving the written notification. <br />5. Latecomers. The County may sign an agreement with additional cities for provision <br />of animal services prior to the termination or expiration of this Agreement, but only <br />if the later agreement will not cause either a decrease in the level of services <br />provided to the Cities by the County or an increase in the costs payable by the <br />Cities to the County under this Agreement. Cities that are party to such <br />agreements are referred to herein as "Latecomer Cities." <br />Document Dated 6-28-17 5 <br />
