5. ASSET TRANSFERS. <br />5.1. Real Property. The City owns and shall retain title to Fire Stations 51 through 54, and <br />related improvements, as legally described in Exhibit G (Real Property). During the <br />term of this Agreement, the City shall lease to the RFA the real property and <br />improvements identified in Exhibit G (Real Property) for $ 1.00 per year pursuant the <br />terms of separate written leases, which shall contain, at a minimum, terms consistent <br />with this Paragraph and Section 5.2. <br />S.Z. Maintenance and Improvement of Real Property. <br />(a) Routine Maintenance. Routine maintenance includes all regular maintenance that <br />does not meet the threshold of Major Repairs and Maintenance set forth in Section <br />5.2.b. The RFA shall be solely responsible for the routine maintenance associated <br />with the Real Property identified in Exhibit G (Real Property). <br />(b) Major Repairs and Maintenance. Major Repairs and Maintenance shall be <br />defined as repairs or maintenance items that cost more than one thousand dollars <br />($1,000). The City and the RFA shall share equally in the cost of major repairs and <br />maintenance, provided the RFA's contribution shall be capped at ten thousand <br />dollars ($10,000) for any individual repair or maintenance. <br />(c) Utilities. The RFA shall be responsible for payment of all utilities serving the Real <br />Property in Exhibit G (Real Property). <br />(d) Capital Improvements. Capital Improvements for the purpose of this Agreement <br />shall be defined as repairs, maintenance, or improvements to the Real Property in <br />excess of ten -thousand -dollar ($10,000). The City shall remain solely responsible <br />for all Capital Improvement costs beyond the RFA's maximum contribution under <br />Section 5.2(b). to the Real Property in Exhibit G (Real Property). <br />(e) Disposition of Real Property in the Event of Termination. In the event this <br />Agreement is terminated pursuant to Section 2, except as otherwise addressed in <br />the Annexation Plan, the Lease Agreements for the Real Property shall be <br />terminated effective on the date the RFA is no longer responsible for providing <br />services to the City, and the City shall assume full responsibility for the Real <br />Property in Exhibit G (Real Property), <br />5.3. Personal Property. The City shall transfer ownership of all City personal property <br />identified in Exhibits H (Gear) & (Fleet) to the RFA for the entire terra of this <br />Agreement, collectively "Personal Property." <br />(a) Title. The City shall transfer title to the RFA all titled Personal Property in Exhibits <br />H (Gear) & L (Fleet). <br />(b) Service and Maintenance Records. The City shall provide the RFA with all <br />applicable service and maintenance records, shop manuals, and other documents <br />related to the Personal Property in Exhibits H (Gear) & L (Fleet). <br />{KES2682066.DOCX;1/13175.000001f } 8 <br />
