Dear. Mr. Stokeness:
I am enclosing the Boundary Adjustment Application forms together
with supporting documentation for the boundary line adjustment to
the above- referenced parcels. You will recall that one of the
purposes for this boundary line adjustment is to take the "cleaver
handle" off of the 6000 Southcenter Boulevard parcel and add it
to the 6100 Southcenter Boulevard parcel. In addition, this
boundary line adjustment sets up the easements for ingress and
egress appurtenant to the 6000 parcel.
As part of this boundary line adjustment, it also would appear
to be appropriate that we request the county assessor to take the
three separate tax lots now comprising the HMH property and join
them as a single tax parcel under the description of Parcel B.

Dear Mr. Stokeness:
I am enclosing the Boundary Adjustment Application forms together
with supporting documentation for the boundary line adjustment to
the above - referenced parcels. You will recall that one of the
purposes for this boundary line adjustment is to take the "cleaver
handle" off of the 6000 Southcenter Boulevard parcel and add it
to the 6100 Southcenter Boulevard parcel. In addition, this
boundary line adjustment sets up the easements for ingress and
egress appurtenant to the 6000 parcel.
As part of this boundary line adjustment, it also would appear
to be appropriate that we request the county assessor to take the
three separate tax lots now comprising the HMH property and join
them as a single tax parcel under the description of Parcel B.

may from time to time be deemed necessary or desirable to service
the dominate estate, as described below within the following strips

The parties agree that upon request by either party, easements
describing strips of land extending 5.00 feet southerly and 5.00
feet northerly from each utility and appurtenances thereto as
actually installed may be substituted for the general descriptions
of easement location and the general descriptions set forth above
shall be so modified to include only the areas within these specific
easement strips.
4. Rights Reserved: HMH reserves the right to use each of
the easement parcels described in common with SMS for the benefit of
the servient estate described below, provided that this reserved
right shall not be exercised so as to unreasonably interfere with
the right to necessary and convenient ingress and egress consistent
with the lawful uses as may be established from time to time on the
dominate estate. It is presently contemplated that the easement
described in Paragraph 1 above shall be utilized primarily for
ingress to and the easement described in Paragraph 2 above for

egress from the dominate estate. The parties agree to cooperate in
establishing and enforcing traffic flow regulations and signing as
may be deemed mutually reasonable and desirable from time to time
which shall not be deemed to be an unreasonable interference with
any rights created or reserved herein.
5. Construction and Maintenance Covenants: The parties agree
to each pay an equitable share of all construction and maintenance
costs for all roadway or utility improvements within the easement
areas which benefit both the dominate and servient estates. Each of
the parties agree to pay the entire cost of any roadway or utility
improvements which benefit only their own respective property. The
parties agree to cooperate whenever feasible to share the use of any
utility improvements and specifically agree to grant reciprocal
rights of use thereof based on an equitable contribution toward
costs of installation, use and repair.
6. Identification of Dominate and Servient Estates: All
warranties, grants and covenants of HMH contained in this agreement
shall be deemed both personal covenants of its undisclosed principal
and covenants running with the servient estate more fully described
as follows:

That portion of Tracts 12 and 15 and vacated 62nd Avenue
South, Interurban Addition to Seattle, according to plat
thereof recorded in Volume 10 of Plats, page 55, records
of King County, Washington, lying northerly of the

on that certain Washington State Highway Commission
right -of -way drawing SR 5 (PSH NO. 1), SOUTH 178th ST.
TO SOUTH 126th ST., sheet 6 of 21 sheets, bearing date
of approval January 30, 1962; and lying southerly and
westerly of the southerly and westerly margin of the
62nd Avenue South Connection as delineated on said
sheet 6 and conveyed to the State of Washington by•deed
recorded under Auditor's File No. 5534286, and more
fully described as follows:
Beginning at the northeast corner of said Tract 12,

SMS shall inure to the benefit of and shall be deemed appurtenant

All covenants of SMS shall be deemed both personal covenants
and covenants running with the dominant estate as described above
and shall be deemed appurtenant to the servient estate as described
above.
7. Enforcement; No Merger: Any party to this agreement,
including the heirs, successors and assigns of any party, may
enforce the terms of this agreement against any other party, his
heirs, successors and assigns. This agreement and any rights and
obligations created hereby shall survive any merger of the fee
title to all or any portion of the dominant estate or servient
estate, unless a clear and specific intent to merge, supersede and
revoke the provisions of this agreement is shown by proper deed of
record. In the event that it should be determined that the rights
under this agreement shall have merged as a matter of law despite
the absence of such a deed evidencing a specific intent to merge,
the successors in title to the servient estate shall nevertheless
be deemed impressed as a trustee to re- convey these easements for
the benefit of the dominant estate upon any subsequent segregation
of the dominant and servient estate. In the event of any suit or
arbitration involving this agreement or the enforcement hereof,
the prevailing party shall be entitled to recover reasonable
expenses for attorneys' fees and costs.

SIDEWALK EASEMENT
WHEREAS, H.M.H. LOGGING, an Oregon general partnership, as
nominee for an undisclosed principal, herein referred to as
"Grantor" owns certain property adjacent to and southerly and
westerly of 62nd Avenue South in the City of Tukwila, King County,
Washington, which property is commonly known as 6100 Southcenter
Boulevard; and
WHEREAS, the City of Tukwila (hereinafter referred to as
"City ") has requested an easement for construction, maintenance

purpose of constructing a meandering pedestrian sidewalk of not
more than six (6) feet in width together with necessary and inci-

(2) Construction: The grantor shall assume no cost or
obligation to construct, alter, or maintain the sidewalk or related
improvements, and the same may be designed, constructed and main-
tained by the City at its sole cost and expense; provided, however,
nothing contained herein shall obligate the City to construct any
improvements within the easement, and provided further, grantor
shall not be relieved of any obligation to contribute indirectly
to the cost of any improvements installed within the easement by
the City through or as a result of assessments through a local
improvement district (LID) or Utility Local Improvement District
(ULID) or through general tax assessments.
(3) Reserved Uses: Grantor reserves the right to use the
easement area for curb cuts, access driveways, utilities, land-
scaping and any other lawful uses so long as the grantor does not
cause damage to or obstructions on the sidewalk improvements.
Grantor covenants and agrees to promptly repair and restore any
damage it causes to the sidewalk and related improvements and to
promptly clear any obstructions it causes therefrom, and upon
default by grantor, the City may repair and restore the damage and
remove any obstructions and backcharge grantor therefor, including
reasonable costs of collection; provided, however, except as so
provided grantor assumes no responsibility for the city's use of
the easement nor for the design, construction or maintenance of
the city's sidewalk and related improvements.
(4) Duration: The duration of this easement shall be perpet-
ual unless duly vacated by action of the City.
(5) Damage By City: In the event that entry by the City
shall damage landscaping or other improvements lawfully maintained
within the easement, the City shall fully and promptly restore,
repair or replace the same without cost to grantor or reimburse
grantor for (a) the reasonable cost of effecting restoration,
repair or replacement or (b) the diminution in value to grantor's
property if restoration, repair, or replacement is not reasonably
feasible or practicable.

Subject, however, to the following terms, conditions and

(1) Permitted Uses: This easement is granted solely for the
purpose of constructing, repairing and maintaining private vehicular
roadway improvements and parking improvements together with neces-
sary and incidental traffic control devices, storm water collection
and runoff basins and drains, cuts, fills, slopes and retaining
improvements. No improvements shall be undertaken in the easement
area unless the same shall have first been specifically approved
in advance by the City and all necessary permits and other govern-
mental approvals obtained and nothing herein contained shall be
deemed to waive or excuse strict compliance with all pertinent
ordinances, regulations and laws applicable to constuction of
private roadway and parking improvements.
(2) Approval Of Plans: Prior to commencing construction
within the easement area, grantee shall obtain approval of detailed
plans and specifications of all improvements contemplated within
the easement area. It is specifically acknowledged that parking
to be provided on the easement property, when completed in accor-
dance with all applicable laws and regulations, shall be counted
to satisfy parking requirements in connection with development on
Parcel B described in paragaph 9.
(3) Duration: The duration of this easement shall be perpetual
unless sooner terminated or abandoned as herein provided.
(4) Reserved Rights: The City specifically reserves the
right to enter upon the easement property, to construct, recon-
struct or re- locate its utilities as may be located thereon and to
otherwise utilize the property for such other municipal purposes
as may be deemed desirable from time to time; provided, however,
in the event that any such activity by the City shall damage or
unduly restrict the use by grantee of the roadway or parking
improvements on the easement, the City shall promptly repair and
restore any damage or provide suitable alternate improvements
without cost to grantee.
(5) Maintenance: Grantee shall complete and maintain all
improvements constructed within the easement in a safe, clean and
unobstructed manner and in compliance with all applicable laws and
governmental regulation, all without cost to the City.
(6) Indemnity: In accepting this easement, grantee covenants
and agrees to indemnify and to hold the City fully harmless from
any occurance, loss or damage caused by or arising as a result of
grantee's construction, maintenance or use of the easement.
Grantee agrees to promptly stabilize and restore any slides,
failures or siltation from the easement property unless caused by
actions of the City pursuant to its reserved powers in paragraph 4.
(7) Insurance: Grantee covenants and agrees to carry and
maintain at its sole cost and expense, public liability and property
damage insurance with personal injury liability insurance limits
of not less than $500,000 per person /per occurrence insuring
against any and all liability of grantee or the City with respect
to the easement property or arising out of the construction,
maintenance, use and /or occupancy thereof, and property damage
liability insurance with limits of not less than $200,000 per
accident or occurrence. All such bodily injury liability insurance
and property damage liability insurance shall specifically assure
the performance by grantees of the indemnity agreement contained
in paragraph 6 hereof. Grantee's obligation to carry the insurance
provided for herein may be brought within the coverage of a so-
called blanket policy or policies of insurance carried and main-
tained by grantee; provided, however, that the City shall be named
as an additional insured thereunder as its interest may appear.
Grantee agrees to file a true and accurate original copy of said
policy and renewals thereof with the City Clerk.
(8) No Representations: City makes no representations or
warranty as to the condition of the soil, stability of the easement
property, etc. and grantee has not relied upon any such representa-
tions. If it should prove practically impossible to complete the
improvements in accordance with the plans and specifications as
set out in paragraph 2, whether due to the weather, soils con-
ditions or other geological conditions encountered on the easement
property, this easement shall not be terminated but grantee may
submit new plans and specifications so as to resolve the problems,
or, at its option, may restore part or all of the easement to its
former condition and abandon such portions of the easement.

(10) Taxes and Liens: In the event that any real property

and all improvements thereon free and clear of any and all liens
or claims of lien and to provide the City lien waivers or other
satisfactory evidence of compliance with this paragraph.
11. Termination and Abandonment: In the event any material
breach of any obligation imposed on grantee by its acceptance of
this easement remains uncured for more than ninety (90) days
following written notice of breach to grantee and to any other
party claiming under or through grantee who has requested notice
in writing, the City may at its option (a) act to cure the breach
and file a lien against grantee's property (Parcel B) for the
reasonable expenses incurred therefor, or (b) declare the easement
terminated and all rights of grantee hereunder forfeited and
abandoned.

6100 Southcenter Boulevard
WHEREAS, the City of Tukwila, a municipal corporation, herein
referred to as "City" received by deed from the State of Washington
certain excess right -of -way property lying northerly of Southcenter
Boulevard (formerly Renton -Three Tree Point Road or Secondary
State Highway No. 1 -L) and westerly of relocated 62nd Avenue
South; and
WHEREAS, the City desires to retain ownership of the excess
right -of -way property as a means of controlling commercial access
to Southcenter Boulevard and as a means of establishing and pre-
serving a greenbelt area along Southcenter Boulevard for the
permanent use and benefit of the City; and
WHEREAS, the City has no funding presently available to
develop or maintain greenbelt landscaping on the excess right -of-
way property; and
WHEREAS, H.M.H. Logging, an Oregon general partnership, as
nominee for an undisclosed principal, herein referred to as "Develop-
ers," as owners and developers of certain property contiguous to a
portion of the excess right -of -way property are willing to design,
construct and install certain landscape improvements on a portion
of the excess right -of -way property and to deed and dedicate those
improvements to the City and to thereafter maintain and preserve
them for the benefit of the City; now, therefore,
It is mutually agreed as follows:
1. City grants to Developers a limited right of entry upon
that portion of the excess right -of -way property more fully des-
cribed as follows:

2. City expressly reserves the right of entry upon the
slope property and the right to devote so much of the slope property
as it deems necessary or desirable to any public use, including
highway or related uses; provided, in the eve__t the City causes
the landscape improvements to be altered or damaged by the actions
of the City, the City shall have the option to repair the improve-
ments at the expense of the City or to relieve Developers of any
further obligation with respect to the altered or damaged areas.
3. Developers agree to promptly and diligently undertake to
complete the landscape improvements on the slope property in
accordance with generally accepted horticultural practices and
with the schedule and plans and specifications to be prepared by
Developers at their sole expense and approved by the Public Works
Director or his authorized representative and when so approved to
be incorporated herein by this reference. The City shall accept a
transfer and conveyance of title to all improvements from Developers
when completed. The Developers may submit, at their own expense,
an appraisal reflecting the fair value of the improvements so
transferred and, if requested, the City shall provide Developers
with reasonable written verification of the value of said improve-
ments. Developers agree to keep the slope property and all
improvements thereon free and clear of any and all liens or claims
of lien and to provide the City lien waivers or other satisfactory
evidence of compliance with this paragraph.
4. Developers agree to maintain the landscape improvements
in accordance with generally accepted horticultural practices, and
to donate, without cost to the City, all their labor and costs in
doing so for a term of ten years. This agreement shall be auto-
matically extended for a like term of ten years unless this agree-
ment is earlier terminated by mutual agreement of both parties,
and subject to thirty days' notice prior to termination.
5. All obligations of Developers shall be deemed covenants
running with and binding upon the land of Developers which is more
fully described as follows:

6. This agreement shall be effective upon issuance of a
building permit for construction on the property described in
Paragraph 5 above and the mutual approval of schedule, plans, and
specifications described in Paragraph 3 above; provided, Developers'
obligations shall be suspended during any period of delay in
issuance of any necessary construction permits or approvals relating
to work on the slope property or the property described in Para-
graph 5 above. The initial landscape improvements shall be completed
in accordance with approved plans and specifications before a
final occupancy permit will be issued.
7. Developers agree to indemnify and to hold the City fully
harmless from any occurrence, loss or damage caused by or arising
as a result of Developers' landscape construction, maintenance or
occupancy of the slope property. Developers agree to promptly
stabilize and restore any slides, failures or siltation from the
slope property unless caused by actions of the City pursuant to
its reserved powers in Paragraph 2.
8. Developers agree to carry and maintain at their sole
cost and expense, public liability and property damage insurance
with personal injury liability insurance limits of not less than
$500,000 per person /per occurrence insuring against any and all
liability of the Developers or the City with respect to the slope
property and landscaping thereon arising out of the construction,
maintenance, use and /or occupancy thereof, and property damage
liability insurance with a limit of not less than $200,000 per
accident or occurrence. All such bodily injury liability insurance
and property damage liability insurance shall specifically assure
the performance by Developers of the indemnity agreement contained
in Paragraph 7 hereof. Developers' obligation to carry the insur-
ance provided for herein may be brought within the coverage of a
so- called blanket policy or policies of insurance carried and
maintained by Developers; provided, however, that the City shall
be named as an additional assured thereunder as its interest may
appear. Developers agree to file a true and accurate original
copy of said policy and renewals thereof with the City Clerk.
9. City makes no representations or warranty as to the
condition of the soil, stability of the slope property, etc. and
Developers have not relied upon any such representation. If,
however, it should prove to be practicably impossible to complete
the improvements in accordance with the schedule, plans and specifi-
cations as set out in Paragraph 3, due to the weather, soils
conditions or other geological conditions encountered on the slope
property, this agreement shall not be terminated but the parties
shall re- negotiate, within 60 days, new schedules, plans and
specifications which are not unreasonably more expensive to complete
or maintain and such substitute plans shall be adhered to by
Developers. During the period of re- negotiation, before the new
schedule, plans and specifications are approved, Developers'•
obligation to maintain, stabilize, preserve, protect and restore
the slope property shall continue and if no new agreement can be
reached or if it is not feasible to complete the project in any
form due to adverse weather, soils condition or other geological
conditions encountered, then Developers' further obligations
hereunder may be relieved and discharged, but only after Developers
have stabilized, preserved, protected and restored the slope
property to its former natural contours, grades, ground cover and
condition.
