Memorandum of Understanding
between
The City of Tukwila
and
Forterra
This Memorandum of Understanding between the City of Tukwila ( "City") and Forterra is developed to
ensure full completion of the Washington State Heritage Capital Project Fund ( "HCPF ") grants as it
pertains to Duwamish Hill Preserve.
WHEREAS, each agency has been awarded a grant for the design and construction of Phase II of
Duwamish Hill Preserve as follows:
• City of Tukwila - $515,000.00 appropriation in the 2013 -2015 State Capital Budget. Minus a 3%
HCPF admin fee of $15,450.00 .00, the amount available for reimbursement is $499,550.00.
Without further legislative action (a re- appropriation), this grant expires June 30, 2015. The City
will request a re- appropriation extending the grant contract through June 30, 2017.
• Forterra - $155,000.00 appropriation in the 2011 -2013 State Capital Budget. Minus a 3% HCPF
admin fee of $4,650.00, the amount available for reimbursement is $150,350.00. This grant
expires June 30, 2015.
WHEREAS, the Washington State Historical Society, the agency who administers the Washington State
Heritage Capital Projects Funds has requested each agency execute their grant in tandem.
NOW THEREFORE, the City of Tukwila and Forterra agree to the following terms:
1. Each agency will enter into separate contracts with the Washington State Historical Society.
2. Each agency agrees to execute their individual contracts in tandem to ensure full completion of
each grant.
3. Reimbursement requests will occur simultaneously for project expenditures, where appropriate,
so requests can be processed seamlessly by the Washington State Historical Society.
4. Each agency will work together to develop a project timeline to ensure full completion of the two
separate grants.
5. Each agency will meet together on a regular basis to ensure coordination of each grant is
occurring in tandem.
GENERAL PROVISIONS
1. The City agrees to assign a staff member to be responsible for coordination of the City's HCPF
contract. Such staff person shall be responsible for all coordination of items related to contract
execution. Such staff person shall work with Forterra to ensure contracts are executed in tandem.
2. Forterra agrees to assign a staff member to be responsible for coordination of Forterra's HCPF
contract. Such staff person shall be responsible for all coordination of items related to contract
execution. Such staff person shall work with the City to ensure contracts are executed in tandem.
3. This MOU may be amended by written mutual consent of all parties.

4. This MOU shall remain in effect until HCPF grant contracts have been fully executed, it is
expected that the grant contracts will be fully executed by December 31, 2015.
