The use of the software provided with this agreement (the "SOFTWARE") constitutes your acceptance of these terms. If you do not agree to the terms of this agreement, do not install and/or use this software. The use of this software is conditioned upon the user's compliance with the terms of this agreement. License grant. Sintel grants you a license to use one copy of the version of this SOFTWARE on any single SharePoint Tenant or Environment for as many licenses as you purchase. "You" means a company, an entity or an individual. "Use" means storing, loading, installing, executing or displaying the SOFTWARE. You may not modify the SOFTWARE or disable any licensing or control features of the SOFTWARE except as an intended part of the SOFTWARE's programming features. This license is not transferable to any other company, entity or individual. You may not publish any registration information (serial numbers, registration keys, etc.) or pass it to any other company, entity or individual. Ownership. The SOF I WARE is owned and copyrighted by Sintel. Your license confers no title or ownership of the SOFTWARE and should not be construed as a sale of any rights for the SOFTWARE. Copyright. The SOF I WARE is protected by the Irish copyright law and international treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE will remain the exclusive property of Sintel and you will not acquire any rights to the SOFTWARE except as expressly set forth in this license. License and distribution. The SOFTWARE can be obtained from Sintel directly upon request or downloaded from AppSource. Reverse engineering. You affirm that you will not attempt to reverse compile, modify, translate, or disassemble the SOFTWARE in whole or in part. Unauthorized use. You may not use, copy, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the SOFTWARE except as provided in this agreement. Any such unauthorized use shall result in immediate and automatic termination of this license. No other warranties. Sintel does not warrant that the SOF I WARE is error -free. Sintel does not warrant that the DOCUMENTATION is error -free and complete. Sintel disclaims all other warranties with respect to the SOF I WARE, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and noninfringement of third party rights. Some jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, or the exclusion or limitation of incidental or consequential damages, so the above given limitations or exclusions may not apply to you. In the event of invalidity of any provision of this license, the parties agree that such invalidity shall not affect the validity of the remaining portions of this license. No liability for consequential damages. In no event shall Sintel or its suppliers be liable to you for any consequential, special, incidental or indirect damages of any kind arising out of the delivery, performance or use of the SOF I WARE, even if Sintel has been advised of the possibility of such damages. In no event will Sintel liability for any claim, whether in contract, tort or any other theory of liability, exceed the license fee paid by you, if any. Entire agreement. This is the entire agreement between you and Sintel which supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license. Reserved rights. Please read these Terms and Conditions carefully before using the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. You must be of an age of majority in your state or province of residence. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Service. Purchase cri tl The Service is billed as a one-time purchase ("Purchase") or on a subscription basis ("Subscription(s)"). For a Purchase, you will be billed once in advance. On a Subscription basis, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Sintel cancels it. You may cancel your Subscription renewal by contacting the Sintel customer support team. A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Sintel with accurate and complete billing information including full name, address, state, country, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorise Sintel to charge all Subscription fees incurred through your account to any such payment instruments. Should automatic billing fail to occur for any reason, Sintel will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. Fee changes Sintel, in its sole discretion and at any time, may modify the Purchasing and Subscription fees. Any Subscription fee change will become effective at the end of the then -current Billing Cycle. Sintel will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount. Refunds Except when required by law, paid Purchasing and Subscription fees are non-refundable. Termination We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. Limitation Of Liability In no event shall Sintel, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Sintel until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected. At any time and without notice, Sintel reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer. Accounts When you create an account with us, you must provide us information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms, which may result in immediate termination ofyour account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your pmssvvord, whether your password is with our Service or a third -party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account. Intellectual Property The Service and its original content, features and functionality are and will remain the exclusive property of Sintel and its licensors. The Service is protected by copyright, trademark, and other laws of both Germany and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of Sintel. Changes We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
