Marginal Way, Tukwila, Washington (the "Property-), does hereby dedicate, convey, setover, assign and transfer unto THE CITY OF TIT VILA, a Washington municipal corporation (referred to herein as the "Grantee"), all of its right, title, and interest in and to all of the personal property constituting a new sidewalk, utility connections and signalization improvements at the north and south entrances to the Property (collectively, the "Improvements") constructed by Grantor and located within the Bast Marginal Way right -of --way in the City of Tukwila, all as further depicted on Exhibit A attached hereto , to have and to hold the same for the said Grantee, its successors and assigns forever. Grantor hereby represents and warrants to Grantee that (a) it is the absolute owner of the Improvements, (b) the Improvements are free and clear of all liens, charges and encumbrances, and (b) Grantor has full right, power and authority to convey the Improvements and to make this Bill of Sale. The Improvements are hereby conveyed in consideration of the agreement of Grantee, for itself, its successors and assigns, to accept ownership of the Improvements and to maintain the same as provided for in the applicable City ordinances. Handwritten signatures to this Bill of Sale transmitted by electronic transmission (for example, through the use of a Portable Document Format or "PDF" file) shall be valid and effective to bind the parties so signing. The parties hereto agree that the use of electronic signatures for the execution of this Bill of Sale shall be legal and binding and shall have the same full farce and effect as if originally signed.
