This Restrictive Covenant is made this 15th day of December, 2025, by City of Tukwila, a Washington municipal
corporation, ("Grantor/Owner") and Starfire Sports, a Washington non-profit ("Grantor/Operator), and is part of the
consideration for the financial assistance ("Grant") provided to Starfire Sports by the Washington State Department of
Commerce ("Department"), for a portion of the real property herein described (the "Property"):

This Covenant will be filed and recorded in the official public land records of King County, Washington, and shall
constitute a restriction upon the use of the Property and is construed as running with the land, which shall pass to and be
binding upon the Owner, Operator and any successors, assigns, heirs, grantees, or lessees of the Property, commencing
upon the date in which the facility becomes useable to the public for the intended purposes of the funding and ending ten
(10) years from said date.
NOW, THEREFORE, it is hereby covenanted, as follows:
Starfire Sports, as the operator, their successors and/or assigns for the period as stated above shall provide, on a portion
of the herein described real property, a multi-purpose facility providing benefit to the public as intended through the
funding. Should Starfire no longer provide operations of the facility, the City of Tukwila ensures that the facility will
remain operational as intended.
The Owner shall require that all operators, tenants, or lessees comply with all State and local codes, licensing
requirements, and other requirements regarding the condition of the structure and the operation of the project in the
jurisdiction in which the facility is located. The Operator will keep any records and make any reports relating to
compliance with this covenant that the Owner or Department may reasonably require.

DEFAULT: Violation of this Covenant shall be constituted should the facility not be used for the intended purposes of
the funding. The• Department (or its successor agency) may, after thirty (30) days' notice and opportunity to cure the
violation, which cure may be effected by the Owner or the Operator, institute and prosecute any proceeding at law or
equity to abate, default the loan, prevent, or enjoin any such violation or to compel specific performance by the Owner
or the Operator of its obligations hereunder; provided that, the Grantor shall not be required by any provision herein to
evict a residential tenant. No delay in enforcing the provisions hereof as to any breach or violation shall impair, damage,
or waive the right of any party entitled to enforce the provisions hereof or to obtain relief against or recover for the
continuation or repetition of such breach or violations or any similar breach or violation hereof at any later time.
Under no circumstances, including without limitation any breach or default by the Operator of the Grant agreement its
terms and conditions or the Operator's obligations under this Covenant shall the Department have any right of recourse
against the Owner's real property upon which the facility is built in any efforts to gain performance, compliance, or
payment from the Operator for any reason. Should the Operator not comply with the terms of this Covenant the Owner
agrees to adhere to this agreement in the absence of the Operator and shall be subject to default remedies as above stated
herein if violation occurs,
The Department agrees to execute a Release of Restrictive Covenant at the conclusion of the ten-year period and will not
unreasonably withhold appropriate signatures on such a release.
