MEMORANDUM OF AGREEMENT among
CITY OF TUKWILA
and
LOW INCOME HOUSING INSTITUTE (LIHI)
for a
TINY HOME VILLAGE AND TEMPORARY SHELTER
at
CHURCH BY THE SIDE OF THE ROAD
This Memorandum of Agreement for a Tiny Home Village and temporary shelter ("MOA")
is made and entered into and effective this _26th day of March_, 2026, by and between the City of
Tukwila, Washington, a Washington municipal corporation and optional code city ("City"), Low
Income Housing Institute, a 5016 non-profit organization ("LIHI"), and Church by the Side of
the Road ("CBSR"), collectively known as the "Parties."
Recitals
A. LIHI is a 5016 non-profit organization. LIHI develops, owns, and operates housing for
the benefit of low-income, homeless and formerly homeless people in King County and
administers a range of supportive service programs to assist those it serves.
B. On or about August 2025, the City awarded LIHI a grant to set up 30 tiny homes, 3 staff
office trailers, and hygiene trailer with the desire to host a temporary shelter for unhoused
people within the limits of the City of Tukwila in the future.
C. In December 2025 LIHI donated an additional 10 tiny homes, and the City provided
additional funds for construction of the added homes;
D. On or about September 2025, the City formally awarded a grant agreement with LIHI to
establish and develop a temporary shelter for unhoused people comprised of the 40 tiny
homes (the "Tiny Home Village") on property owned by CBSR located at 3455 S 148th
St, Tukwila, WA 98168, and further identified as King County Assessor's Parcel No.
0041000122 ("Property").
E. On or about March 2026, the City entered into an agreement with LIHI to transfer
ownership of assets to LIHI that the City has previously purchased for the Tiny Home
Village.
F. CBSR entered into a lease agreement with LIHI on 10/13/2025 to host the Tiny Home
Village for unhoused people at the Property. CBSR is the "host religious organization," as
defined in RCW 35A.21.360(6).
G. In accordance with RCW 35A.21.360, the City, LIHI, and CBSR (each a "Party" and
collectively "Parties") each desire to execute a Memorandum of Agreement to memorialize

the various agreements among them related to the operation and management of the Tiny
Home Village and temporary shelter, to protect the health and safety of both the residents
on the CBSR site and that of the public.
NOW, THEREFORE, in consideration of mutual benefits accruing, the receipt and
sufficiency of which are hereby acknowledged, including without limitation regulatory approval
and the public interest, the Parties hereby agree as follows:
Terms
Section 1. Pulpose. The purpose of this MOA is to effectuate the requirements of
applicable state law, including without limitation RCW 35A.21.360, and to protect the health and
safety of both the residents of the Tiny Home Village as well as that of the public. LIHI will
establish, operate, and manage a Tiny Home Village at CBSR that enables each resident to receive
supportive services and transition to permanent housing.
Section 2. Operational Requirements. Without prejudice to any other applicable legal
requirement and/or permit condition, LIHI shall comply with the following operational
requirements in relation to hosting homeless residents at CBSR:
2.1 Site Location. LIHI shall establish, staff, and manage the Tiny Home Village at
3455 S 148th St, Tukwila, WA 98168 (Church by the Side of the Road property) in
Tukwila, Washington.
2.2 Structures of the Site. LIHI shall follow the approved site design and layout (see
Exhibit B). Any significant changes to the site must be approved by the City prior
to commencement of any change or modification, and must follow the City of
Tukwila Municipal Code ("TMC"), including TMC Section 18.50.235. The Tiny
Home Village at CBSR may consist of:
40 tiny homes for a maximum of 120 persons. Each tiny home shall be a
maximum of 120 square feet and equipped with the following:
o Electrical power, heat, and a fire extinguisher.
o Lockable doors and windows, with LIHI possessing keys.
o Furniture (bed).
• 3 staff offices
• A minimum of 1 hygiene trailer, consisting of-
* 3 showers
0 3 toilets
• Laundry facility
• Cooking/eating area, equipped with a sink, potable water, and refrigerator
• Secure fencing around the perimeter of the Tiny Home Village with at
least one (1) emergency access.

2.3 Site Changes. Changes to the site, including site location and the site structure,
must be approved by the City prior to commencement of any changes. LIHI cannot
relocate the Tiny Home Village and its structures (houses, office and hygiene
trailers) outside of the City of Tukwila, or from the Property to another location,
without City approval or until a minimum of five years is reached, whichever is
reached first. In the event that LIHI intends to remove or relocate the Tiny Home
Village upon expiration of the Term of this MOA or City approval, LIHI shall
provide written notice to both the City and CBSR at least 60 -days prior to removal
or relocation.
2.4 Access to Social Services. LIHI shall operate and manage the Tiny Home
Village in a manner that promotes the health, safety, and well-being of persons
temporarily residing onsite. Residents shall have access to supportive services,
including case management, site security, and housing navigation onsite, with the
goal to stabilize, address barriers to housing, and transition to permanent housing
within a reasonable time period.
2.5 Persons Referred and Residing at the Tiny Home Village. LIHI shall serve
people experiencing homelessness at the Tiny Home Village with the goal of
transitioning to permanent housing. All prospective residents shall be checked for
sex offender status and convictions prior to registering as a village participant.
Anyone with a history of these offenses will not be allowed to occupy the Property.
It is encouraged that village participants be actively engaged in services, addressing
barriers to housing, and working to transition to permanent housing to continue
participation in the program.
The referrals will be guided by CBSR, and LIHI shall make good faith efforts to
refer unhoused individuals to the CBSR Tiny Home Village in the following order
of precedent (1) Individuals referred by CBSR (2) Individuals referred by the City
(3) Individuals within the City of Tukwila.
2.6. Code of Conduct. LIHI shall establish a code of conduct that outlines standards,
program expectations, and site rules ("Code of Conduct"). LIHI shall coordinate
with CBSR staff and make good faith efforts to incorporate site rules feedback from
CBSR staff, as "host organization" and property owner. Each resident must sign
and agree to follow the Code of Conduct. Code of Conduct attached to this MOA
as Exhibit A
(a) LIHI shall provide to the City and CBSR a 24-hour phone line and
contact information to use if emergency or security -related issues
arise.
(b) LIHI shall establish and follow program termination and exit
procedures for participants that do not follow the Code of Conduct or
Good Neighbor Agreements. Program grievance procedures shall also

be established for village participants to address complaints or unfair
treatment. If law enforcement is required, the City shall coordinate
with LIHI staff for assistance.
(c) Shall the City or CBSR staff be notified of participants that do not
follow local laws, good neighbor policies, or pose a threat to the safety
and well-being of village residents and the public, LIHI shall respond
in a timely manner, identify a resolution plan, and communicate the
plan to the City and/or CBSR staff.
2.7 Good Neighbor Agreement. A Good Neighbor Agreement shall be established
and all village participants will be required to follow this agreement. The purpose
is to establish a set of rules that promote safety and well-being for village
participants and the public. Each village participant shall sign and agree to follow
the Good Neighbor Agreement. At minimum and in compliance with TMC
18.50.270, the following items shall be included in the Good Neighbor Agreement:
(a) Quiet Hours. Site quiet hours are from 1 Opm to Sam. These hours will
be enforced by site staff and posted onsite for village participants.
(h) Smoking Areas. Site will have one identified smoking area that is
located in a communal area, not near anyone's tiny home.
(c) Security Procedures. All security procedures will be outlined in the
site rules and posted at multiple, visible locations onsite.
(d) Litter. Garbage receptacles will be located throughout the site and
large receptacles for garbage and recycling will be located near the
entrance of the site for easy access and removal.
(e) Adequacy of landscaping and screening. Site perimeter will be
completely fenced. Privacy screening or mesh will be installed to
offer privacy to participants at the site.
2.8 Parking. A parking plan must be established and approved by the City, showing
the facility has adequate parking to meet the expected demand from residents, staff,
service providers, and visitors. Residents may not park off-site, and all vehicles
must be operational and registered with LIHI Tiny Home program. LIHI shall
monitor for abandoned and inoperable vehicles. If inoperable vehicles are found,
LIHI staff will work to rectify with participants. If unable to find a resolution, LIHI

will remove inoperable or abandoned vehicles in a timely manner. Parking plan
attached to this MOA as Exhibit C.
2.9 Health and Safety Assistance. LIHI shall establish a coordination plan with the
City of Tukwila Police Department and the Puget Sound Regional Fire Authority
Fire Department, including protocols for response to the facility and to facility
residents throughout the City. A maximum number of responses threshold for law
enforcement services is established by calls for services in TMC Sections 5.60.040
through 5.60.060. If calls for law enforcement services exceed the agreed upon 10
calls per every 6 months threshold, the facility operator will work with the City to
reduce calls below the threshold.
2.10 Reporting. Provide quarterly reports to the City's Human Services Program
Coordinator about how facilities are meeting performance metrics such as
placement of residents into permanent housing or behavioral health treatment
programs.
2.11 Nondiscrimination. LIHI shall operate and manage the site in a
nondiscriminatory manner consistent with RCW 35A.21.360(9). Without
limitation of the foregoing, and except as otherwise provided by law, LIHI may
not refuse to host any Resident or prospective Resident because of age, sex, marital
status, sexual orientation, race, creed, color, national origin, honorably discharged
veteran or military status, or the presence of any sensory, mental, or physical
disability or the use of a trained dog guide or service animal by a person with a
disability, as these terms are defined in RCW 49.60.040.
Section 3. Time Limitation and Maximum Number of Residents. LIHI agrees and
covenants that the City may allow the Tiny Home Village to be for a minimum of a one-year term
that is renewable according to the terms of Section 5 this MOA. LIHI further agrees that the
maximum number of Residents (all ages) within the Tiny Home Village shall not exceed 120
people (3 persons/unit) with 40 tiny homes maximum onsite. The provisions of this Section 3
shall be specifically enforceable by the City. The provisions of this Section 3 shall survive the
expiration or termination of this MOA.
Section 4. Regulatorypliance. At all times relevant to this MOA, LIHI shall comply
fully with all applicable federal, state and local regulatory requirements, including, but not limited
to, RCW 35A.21.360, TMC 18.50.235, and TMC 18.50.270.
Section 5. Term.
(a) Initial Term. This MOA shall be effective as of the date first written above and shall
continue in full force and effect for a period of five (5) years (the "Initial Term"), unless
sooner terminated in accordance with the terms of this MOA.

(b) Automatic Renewal. Upon the expiration of the Initial Term, this MOA shall automatically
renew for successive one (1) year periods (each, a "Renewal Term" and, together with the
Initial Term, the "Term"), unless either party provides the other party with written notice
of non -renewal at least sixty (60) days prior to the expiration of the Initial Term or the then -
current Renewal Term, as applicable.
(c) Agreed Renewal for Different Duration. Notwithstanding Sections 5(a) -(b), upon the
expiration of the Initial Term or any Renewal Term, the parties may agree in writing to
renew this MOA for a period other than one (1) year, on such terms and conditions as the
parties may mutually agree in writing at that time. Any such agreed renewal shall constitute
a "Renewal Term" for purposes of this MOA.
Section 6. Health and Safety. LIHI shall take all necessary and appropriate precautions
for the safety of the residents, the public, employees, contractors and agents at all times relevant
to this MOA, and shall comply with all applicable provisions of federal, state and local regulations,
ordinances and codes regarding public health and safety.
Section 7. Re u�ry Authority Preserved; Temporary Right of Entry Granted. Nothing
in this MOA shall be construed as waiving, abridging, or otherwise limiting the City's regulatory
authority, police power and/or legislative discretion, which are hereby expressly reserved in full.
Without prejudice to the foregoing, nothing in this MOA shall be construed as entitling LIHI to
receive any permit, license, or other regulatory approval, or as waiving or excusing LIHI's
compliance with any applicable regulatory process. LIHI hereby grants to the City, its employees
and officials, and to the employees and officials of any and all other agencies with regulatory
jurisdiction, including without limitation the building official, public health officials, and the fire
marshal, a nonexclusive temporary right of entry to access and enter upon the Property to
periodically conduct inspections at reasonable times, consistent with applicable constitutional and
statutory standards, to ensure that the Tiny Home Village is installed, maintained, and operated in
a manner consistent with all applicable regulatory standards. Whenever reasonably practical and
except in the event of an emergency, the City shall provide no less than 24 -hours advance notice
of any inspection, and such notice may be conveyed telephonically, by electronic mail and/or by
U.S. Mail to the person listed in Section 8 below.
Section 8. Notices. Written notices to either party under this MOA shall be effective
immediately upon hand -delivery or electronic mail, or if sent via U.S. Mail, then three (3) days
after postmark to the following addresses:

Section 9. No Employment Relationship or A-eeM. Nothing in this MOA shall be
construed as creating an agency relationship between the City and LIHI, or as creating an
employment relationship between the City or any employee or agent of LIHI.
Section 10. Governing Law; Venue. This MOA shall be governed by the laws of the State
of Washington. The exclusive venue for any litigation occurring under this MOA shall be the
Superior Court for King County Washington. The substantially prevailing Party in any such
litigation shall be entitled to an award of its reasonable attorneys' fees.
Section 1 l . Enforcement; No Third -Party Beneficiaries. This MOA is entered into for the
exclusive benefit of the signatory Parties and may only be enforced by such Parties. Nothing herein
shall be construed as vesting or otherwise creating any enforceable right, privilege, claim, or cause
of action in or for any third parties.
Section 12. Integration; Binding ffect. Except as expressly provided herein, this MOA
represents the entire agreement between the parties with respect to the subject matter hereof; no
oral agreements or statements shall be binding. This MOA shall be irrevocable and binding upon
the Parties during its term.
Section 13. No Recording. This MOA shall not be recorded.
Section 14. Signatory Warranty. Each of the signatories below represents and warrants
that they have full authority to execute this MOA on behalf of the Party for whom they are
purporting to sign, respectively.

CASE MANAGEMENT

not be peri-nitted'to stay on the premises and must be reimovied iimmediateHy.
2. All anirnals Must be on a leash at all times when outside ofthe assigned shelter unit of Wrhiu�le
beingwalked.r Owners are fully responsible for picking Lip and properly disposing of their, pet's;
waste. Proof of up-to-date vacconations rrust be prowdied within 3,0 days of enrollment to
maintain coi-npKance with prc:gram policies. Failure to do so inary result rn the removal of the pet
from t�he property. Please refer to the Pet Polhcy for additional requirements.
3. Feeding stray anii-rals, is strictly prohibited. Doing so will be considered harboring an
UnaLithorized pet.
,4. No loiteiing, trespassing, or disturbing neighbors. Participants must respect the property and
surroundmg community.
5. Only one personal vehicle per participant may be parked at or near the shelter or wfthin the
surroundmg neighborhood. Unauthorized or abandoned vehicles mll be subject to tovoing at the
own,er's expense. AdditrcnaHy,, no motorized vehicles (such as, i-nopeds, eBikes, scoorterm, or ATVs)
are allowed Inside the shelter property. Please refer to the Parking Policy for further details.
6. Prograinn partialparits arenot alllbwed to receive mail at the shelter location. Participants must
