Payment shall be made on a Net thirty (30) days basis following receipt of a properly submitted invoice.. Renewal Prieing, Adjustment. Upon each annual renewal term, Granicus may propose an ,adjustment to the subscription fees.. Any such adjustment shall be subject to mutual written agreement of the parties and shall not exceed five percent (5%) of the fees in effect during the immediately preceding term, unless otherwise agreed to in writing by both parties... Section 04 Duration of Agreement: Term; Termination. a) Agreement Term. This Agreement begins on the Effective Crate and remains in effect for the period set out in the Order ("Initial Tem?"). Thereafter, this Agreement will continue in effect until all Orders or SOWS have expired or been terminated. b) Order Term.. Each Orderwill be effective on the date set out therein and will remain in effect during the Initial Term identified in such Order. Each Order may be renewed for twelve (12.) month terms (each, a "Renewal Term")by executing a written order. The Initial Term and all Renewal Terms are collectively, the "Term"'. c) SOW Term,. Each SOW will begin on the effective date of the SOW and will remain in effect until the Services are completed, this Agreement is terminated, or the termination date set out in the BOW (the "Termination Gate"), whichever is later.. If no specific Termination Date is designated in the SOW,. Tient may terminate the SOW upon thirty (g) days written notice to Granicus. d) Termination for Default.. When the End riser is an instrumentality of the U.S., recourse against the Unked States for any alleged breach of this Agreement must be brought as a dispute under the contract Disputes Clause (Contract Disputes Act).. Except for disputes arising from City's failure to pay undisputed amounts when due, during any dispute under the Disputes Clause, Granicus shall proceed diligently with performance of this Agreement, pending final resolution of any request for relief, claim, appeal, or action arising under the Agreement, and comply with any decision of the Contracting Officer. Notwithstanding the foregoing, if City fails to pay any undisputed amounts within thirty (30) days after receipt of written notice of nonpayment„ Granicus may, upon additional written notice, suspend performance and/or terminate this, Agreement or any affected Order or SOW until such amounts are paid in full. e) Effect of Termination. Upon expiration or termination of an Order or SOW for any reason: (i) Client's right to access and use the Products will immediately cease (except for perpetual licenses granted under an Order, which will continue to be governed by this Agreement for the duration of the license); (ii) Client will promptly remit ,any fees due to Granicus under all Orders and SOWS; (iii) Granicus will promptly cease performance of any Services; (,iv) the parties will return or destroy any Confidential Information of the other party in its possession, and certify upon request to the other party of compliance with the foregoing,; (v) Within sixty days following expiration or termination, the CA ReviewedMay 2020 Pae 1 of 3 DDcusign Envelope 10: E9E315BE-36D8-46901-982E-26EF50403865 CIN of Tukwila, 0 6200 Southoenter Boulevard, Tukwila WA 98188 11 make the then most recent version of the City's Data available to the City through the user interface, including the ability to download the database format. At the City's request, the Contractor shall also deliver the Citys Data in an alternative format specified by the City. Such delivery will be subject to scoping and pricing based on the Contractor's current hourly rates, and the City must have paid all undisputed fees then outstanding and all amounts that become payable as a result of the expiration or termination.
