CITY OF TUKWILATUKWILA HISTORICAL SOCIETY
Transfer Agreement
This Agreement is entered into by and between the City of Tukwila, Washington, a non -
charter optional municipal code city ("City") and the Tukwila Historical Society, a non-profit
501(c)(3) organization.
WHEREAS, the City is a municipal corporation of the State of Washington, authorized to
carry out governmental functions for the benefit of the public; and
WHEREAS, the City compiled four boxes containing historical documents related to the City
of Tukwila Government. Folder tabs indicate records include: Public Works Dept 1970-1972 /
Charles O. Baker, Tukwila Mayor / Group 75 Weber Addressing Machine / Attorney (Hodge) / annual

WHEREAS, the City has determined that the transfer of the historical documents described
herein serves the fundamental governmental purposes of preserving the cultural, civic, and historical
heritage of the City, for the education and benefit of present and future generations of Tukwila
residents; and
WHEREAS, the Tukwila Historical Society is a duly organized non-profit entity dedicated to
the preservation of local history and the education of the public regarding that history, and its receipt
and stewardship of the historical documents described herein directly advances those governmental
purposes; and
WHEREAS, the City has determined that the transfer of the historical documents described
herein to the Tukwila Historical Society provides adequate public benefit commensurate with the
value of the property transferred.
NOW, THEREFORE, in consideration of the foregoing governmental purposes and the
mutual obligations set forth herein, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
Agreement
1. Transfer of Property. The City of Tukwila (the "City") hereby transfers and conveys
to the Tukwila Historical Society absolute title to, and ownership of, the property described in
Paragraph 2 (the "Property"), in furtherance of the governmental purposes set forth in the Recitals
above.
2. Description of Property Four boxes containing historical documents related to the
City of Tukwila 4 boxes of records from the City of Tukwila Government. Folder tabs indicate

3. Ownership. The City affirms that it is the lawful owner of the Property and that the
Property is free and clear of all liens, claims, and encumbrances. Full legal title, including all rights
of ownership, is hereby transferred to the Tukwila Historical Society.
4. Approved Purpose. The Property transferred pursuant to this Agreement is conveyed
to the Tukwila Historical Society solely for the purpose of historical preservation, display, research
access, and public education relating to the history of the City and its community (the "Approved
Purpose"). This transfer is made in furtherance of the City's fundamental governmental interest in
historical preservation and public education.
5. No Appraisal. The City acknowledges that the Tukwila Historical Society has not
provided an appraisal of the Property and that any tax or accounting consequences resulting from
this transfer are the sole responsibility of the City.
6. Governing Law. This Transfer Agreement shall be governed by and construed in
accordance with the laws of the State of Washington.
