1. The purpose of this Agreement is to establish the basis upon which BELFOR will provide to Client any
RED ALERT® emergency services, restoration services or reconstruction services.
2. Upon execution of (1) this RED ALERT® Service Agreement and (2) a RED ALERT® Work
Authorization, Client is deemed an Emergency Client and authorizes BELFOR to respond to a loss for
the Client in accordance with the terms of this Service Agreement.
3. Client intends to waive all standard procurement procedures in order to accommodate the emergency
nature of the Services and to mitigate any further loss.

2. Definitions
Bask Plan: Should any toss occur, insured cr

BELFOR reserves the right to prioritize
response to Clients within the same class at
its sole discretion. After receiving an initial
response from BELFOR, er if Client declines,
or fails, to notify BELFOR that such Client
requires an immediate response for a property

respcnse to other Clients.
3, BELFOR Obligations
BELFOR shall use best efforts to respond as
immediately as possible from the time they are
contacted by Client.
4. Client Obligations
Upon the occurrence of a loss, immediately
nctify BELFOR of any Property, in need of a
response by using the 214-1-iour Hottire,
Shortly after contacting BELFCR, Client shell
expeditiously set up its accounting system.

information, in order to facilitate payment to
BELFOR for services under this Agreement.
6. Payments Invoicing
All charges on invoices presented by BELFOR
are based upon the "BELFOR Rate and
Material Schedule" (attached as Exhibit eA"; or
by other Agreements signed between
SELFOR and the Client, and will be paid no
later than 30 days from the receipt of invoice
by the Client unless Client disputes any
amount charged in writing and the dispute is
grounded in good faith and Client's
reasonable judgment. In the event of any
such dispute, Client shall pay the undisputed
earlier in accordance with the foregoing and
the parties shall seek to resolve the disputed
amount as soon as reasonably practicable.
Notwithstanding the foregoing, BELFOR's
payment will not be affected by disputes
between the Client and its ineurer
dependent upon the insurer's payment or
approval of BELFOR's invoices or charges.
The Client assigns to BELFOR its right, title
and irterest in any and all insurance proceeds
to the extent required to cover payment for
week performed. Ncheilestandleg the

Notwithstanding the fora:going, BELFOR is

7. Insurance
BELFOR shall, during the performance of
this Agreement, maintain the appropriate.

8. Assignment
Neither the Client nor 8ELFOR may a5siGn

prohibited assignment is void. Nothing

9. Warranty

warranty excludes remedy for damage er defect

improper operation or normal wear and tear and
normal usage. All warranties are contingent upon full
and final payment to SELFOR.
10. Force Majeure
BELFOR cannot be hold liable for not meeting its
obligations under this Agreement or lAtork
Authorization due to circumstances that prevent
BELFOR from performing under this agreement.
Those circumstances include but are not limited to:
acts of war, local quarantine or evacuation order, acts
cf God, continuing severe weather, order by court or
governmental authority or other circumstances
beyond BELFOR's centre!. Under such
circumstances, BELFOR will promptly notify you as a
RED ALERT® Client on a priority basis when such
conditions make it impossible or impractical to
respond.
11. Survival
The provisions of this Agreement, which by their
nature survive termination of teis Agreement or final
completion thereof, inciuding, without limitation, all
warranties. Indemnities and payment obligations shall
remain in full force and effect after fetal completion cr
any termination of this Agreernent.
12. Entire Agreement
This Agreement, its Exhibits, and the RED ALERT®
Work Authorization are the final, full and complete
agreement between the Client ard BELFOR with
respect to the subject matter hereof. All prior and
contemporaneous agreements, rapresentaticns, and
understandings of the parties are superseded. No
supplement, modification or ameedment of this
Agreement seal be birding unless executed ir writing
by all ttif the parae.s.

Section 6. Indemnification is deleted in its entirety and replaced with the following:
6. Indemnification
BELFOR shall defend, indemnify and hold the Client, its officers, officials, employees and
volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney
fees, arising out of or in connection with the performance of this Agreement, except for injuries
and damages caused by the sole negligence of the Client.
Should a court of competent jurisdiction determine that this Agreement is subject to RCW
4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of BELFOR and the
Client, its officers, officials, employees, and volunteers, BELFOR's liability hereunder shall be
only to the extent of BELFOR's negligence. It is further specifically and expressly understood
that the indemnification provided herein constitutes BELFOR's waiver of immunity under
Industrial Insurance. Title 51 RCW, solely for the purposes of this indemnification. This waiver
has been mutually negotiated by the parties. The provisions of this section shall survive the
expiration or termination of this Agreement.
Section 7. Insurance is deleted in its entirety and replaced with the following:
7. Insurance
BELFOR shall procure and maintain for the duration of the Agreement, insurance against claims
for injuries to persons or damage to property which may arise from or in connection with the
performance of the work hereunder by BELFOR, their agents, representatives, employees or
subcontractors.
No Limitation. BELFOR's maintenance of insurance as required by the agreement shall not be
construed to limit the liability of BELFOR to the coverage provided by such insurance, or
otherwise limit the Client's recourse to any remedy available at law or in equity.
A. Minimum Scope of Insurance
BELFOR shall obtain insurance of the types described below:
1. Automobile Liability insurance covering all owned, non owned, hired and
leased vehicles. Coverage shall be written on Insurance Services Office (ISO)
form CA 00 01 or a substitute form providing equivalent liability coverage.
If necessary, the policy shall be endorsed to provide contractual liability
coverage.

2. Commercial General Liability insurance shall be written on ISO occurrence
form CG 00 01 and shall cover liability arising from premises, operations,
independent contractors, products completed operations, stop gap liability,
personal injury and advertising injury, and liability assumed under an insured
contract. The Commercial General Liability insurance shall be endorsed to
provide the Aggregate Per Project Endorsement ISO form CG 25 03 11 85.
There shall be no endorsement or modification of the Commercial General
liability insurance for liability arising from explosion, collapse or underground
property damage. The Client shall be named as an insured under BELFOR's
Commercial General Liability insurance policy with respect to the work
performed for the Client using ISO Additional Insured endorsement CG 20 10 10
01 and Additional Insured Completed Operations endorsement CG 20 37 10 01 or
substitute endorsements providing equivalent coverage.
3. Workers' Compensation coverage as required by the Industrial Insurance laws
of the State of Washington.
B. Minimum Amounts of Insurance
BELFOR shall maintain the following insurance limits:
I. Automobile Liability insurance with a minimum combined single limit for
bodily injury and property damage of $1,000,000 per accident.

2. Commercial General Liability insurance shall be written with limits no less
than $1,000,000 each occurrence, $2,000,000 general aggregate and a
$2,000,000 products completed operations aggregate limit.
C. Other Insurance Provisions
The insurance policies are to contain, or be endorsed to contain, the following provisions for
Automobile Liability and Commercial General Liability insurance:
1. BELFOR's insurance coverage shall be primary insurance as respect the
Client. Any Insurance, self insurance, or insurance pool coverage maintained
by the Client shall be excess of the BELFOR's insurance and shall not
contribute with it.
2. BELFOR's insurance shall be endorsed to state that coverage shall not be
cancelled by either party, except after thirty (30) days prior written notice by
certified mail, return receipt requested, has been given to the Client.
D. Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best rating of not less than A:VII.
E. Verification of Coverage
BELFOR shall furnish the CLIENT with original certificates and a copy of the amendatory
endorsements, including but not necessarily limited to the additional insured endorsement,
evidencing the insurance requirements of BELFOR before commencement of the work.
BELFOR shall ensure that each subcontractor of every tier obtain adequate insurance coverage
and limits. Upon request of the Client, BELFOR shall provide evidence of such insurance.

Scheduled Equipment Rental rates.

iV, Vendors, Unscheduled {Materials and Unscheduled Equipment

Unscheduled Equipment. and Subcanfractore Vandora (including DUCTZ HVAC and BELFOR Enviromentai Services) who are not
fulfilling a scheduled Labor Classification.

1). Contractor's 10% overhead will be added to the total of all relmbursables.
2). Per diem rates are 53a per person per day and will be charged for all BELFOR petsonnel and all subcontracted personnel engaged by
BELFOR
Per Diem reimbursement is subject to certain limiWions regarding deductibility gavemed by Ute intomal Revenue Service, Cede of
1989, Section 274(n)(1). Please consult your tax advisor on the appropriate treatment of thew costs on your protect as it fs our policy
that any deductibllty (imitation for iccome tax purposes is the responsibility of the customer.
3). BELFOR shall be mimhursed for !rave( expenses (airfare, hotels, rental cars) tar personnel at documented costs plus markup (see
Item 1).

Freeze drying charges will range from S4D to S75 per cubic root based an the volume oidccirmeets to be dried. the type of document (bound or

General Conditions
BELFOR
in the event that Client and BELFOR do not enter into a contract as described above, BELFOR shall invoice Client fcr all work
