WHEREAS, the City of Tukwila and Water District 25 recognize the need for the City
to provide for the orderly and continued maintenance of the District, including emergency
repairs and pipeline location services; and
WHEREAS, the City agrees to undertake such services pending completion of the
formal takeover of the District now contemplated by the City and agreed to by the District; and
WHEREAS, the completion of this multi jurisdictional agreement requires that an
interlocal agreement be adopted between the affected jurisdictions pursuant to Chapter 39.34,
RCW,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, DO HEREBY RESOLVE AS FOLLOWS.
Section 1 The above recitals are found to be true and correct in all material respects and
the referenced interlocal agreement is based on such recitals.
Section 2. The Mayor of the City of Tukwila is hereby authorized to execute an
appropriate mterlocal agreement in substantially, if not identically, the same form as the attached
agreement in order to effect its stated purpose.
Section 3 If any section, sentence, clause, or phrase of this resolution is found to be
invalid or unconstitutional by a court of competent jurisdiction, such invalidity or
unconstitutionality shall not affect the validity or constitutionality of any other section, sentence,
clause or phrase of this resolution.

INTERLOCAL AGREEMENT WITH WATER DISTRICT 25
FOR THE PURPOSE OF CONTINUED MAINTENANCE OF
WATER DISTRICT 25 PENDING FORMAL TAKEOVER

THIS AGREEMENT made this day of (Li 1 ,y,
between Water District No. Z5, King County, and the City of TuKwiia,
WHEREAS, Water District No. 25 and the City of Tukwila are corporations
organized under the laws of the State of Washington; and
WHEREAS, the State Department of Social and Health Services recommends
Water Service Agreements between adjacent water utilities; and
WHEREAS, the comprehensive planning of the service area of Water District
No. 25 anticipates such needs; and
NOW THEREFORE it is hereby agreed as follow:
I. SCOPE OF SERVICE
The City of Tukwila will provide the following
service to Water District No. 25.
Upon declaration that an emergency exists by Water
District No. 25, the City of Tukwila will provide
water to Water District No. 25. The District will
notify Tukwila within 24 hours of establishing the
service.
Location of connection (P.R.V. Vault) will be:
South 116th Street 44th Avenue South
(Approximately).
Size and type of pressure reducing valve will be:

P.R.V. Number or identification: N/A
P.R.V. will be owned by: Water District No. 25
P.R.V. will be maintained by: Water District No.
25
P.R.V. will be paid for by: Water District No. 25
(Based on May 12, 1988 letter See Attachment
After completion and acceptance of the intertie,
the City of Tukwila will identify the costs for
design and construction of this P.R.V. and invoice
(separate from water usage charges) Water District
No. 25 per the payment schedule identified in th
May 12, 1988 letter (Attachment "A

The transfer of water service of Water District
No. 25 from the Seattle Water Department tap /meter
to the City of Tukwila intertie shall be effective
August 1, 1988.
Charges for water will be based upon:
A. Water District No. 25 shall furnish the
City with the "purchase of water"
records (by month) from all sources for
the years 1986 and 1987.
B. Water District No. 25 shall furnish the
City with the "old water" schedule as
used by the Seattle Water Department
to determine the "new water
C. Water District No. 25 shall furnish for
the years 1986 and 1987 the district
customer billings for volume of metered
water consumed (by month or billing
cycle).
The City of Tukwila will bill Water District No.
25 monthly for the volume of water purchased.
This will be calculated as follows:
1. Based on the volume of water for 1986
and 1987 identified in "2 -C" above,
divided by 24, Water District No. 25
will be billed and pay the City of
Tukwila for water consumed monthly, a
prorated 1 /24th of the 1986/1987 actual
water consumption.
2. Thereafter, .commencing in 1989, current
estimated billings will be based on
1 /12th of the prior years comsumption
history (i.e. 1988).
3. Every six (6) months, ending in the
months of June and December (first
report due December 31, 1988), Water
District No. 25 will submit to the
City of Tukwila a copy of complete meter
readings and summarized total metered
consumption for Water District No. 25
for the prior six (6) month consumption
period.
4. The City of Tukwila will bill Water
District No. 25 on the Seattle Water

5. An annual "new water" adjustment billing
to Water District No. 25 will be
provided by the City of Tukwila for
Water District No. 25 consumption in the
previous year for all new water"
consumed by Water District No. 25 under
the conditions of the Seattle Water
Department Purveyor's Agreement, based
on the "old water" volume allowance for
Water District No. 25 through the
Tukwila intertie, and based on the most
current Seattle Water Department "new
water" rate schedule.
6. Per the City of Seattle Ordinance No.
107801, a demand charge shall be levied
against Water District No. 25 based on
the total volume through the Seattle Tap
under wich Water District No. 25 draws
its water via Tukwila. The City of
Tukwila will calculate this prorated
demand charge annually and bill Water
District No. 25 1 /12th of the annual
calculation, monthly.
7. All other charges by the Seattle Water
Department will be the responsibility of
Water District No. 25.
III. INDEMNIFICATION
Water District No. 25 agrees to indemnify and hold
harmless the City of Tukwila from any claim
arising from this agreement. Furthermore, it is
understood and agreed that the City of Tukwila
makes no warranties or assurances as to water
availability, pressure or volume at any given
time. It is understood that if the City of
Tukwila's water service to the interconnection
point is temporarily interrupted for repair or
emergency, the City is not obligated to provide an
alternative source of supply. The City of Tukwila
does, however, warrant that it will not, except
for reasons such as the foregoing, interrupt the
water supply to the interconnection.
IV. OTHER CONDITIONS
Water District No. 25 shall provide the City
with the current customer lists.
Water District No. 25 shall furnish currently a
monthly report of all maintenance and repairs
made.

BY:
V. Water District No. 25 shall petition the Seattle
Water Department for an appropriate ammendment to
the Purveyor Agreement which would transfer the
District's water allocations to the City.
VI. Terms
This Agreement, except for the water rate, shall
extend for ten (10) years from the date thereof,
and shall continue indefinitely thereafter unless
terminated by either party upon six (6) months
written notice.

Re: Agreement to Provide Water Service
and Authorization for Engineering
As we agreed at our meeting of September 26,
1988, I have enclosed the copy of the AGREEMENT TO
PROVIDE WATER SERVICE which has been signed by the
Commissioners of King County Water District #25. It
is my understanding that you will present this
agreement to the Utilities Committee at their meeting
on October 3, 1988; and that you will recommend to the
Committee that the agreement be adopted by the City
Council.
I have also enclosed a copy of Resolution #28
signed by the Commissioners which authorizes Tukwila to
act as an agent for Water District 25 and to enter into
an agreement with Horton Dennis Associates, Inc.,
regarding the engineering of an intertie with
Burlington Northern Railroad. Tukwila is also
authorized to demand and recieve a deposit from BN for
said services and to invoice BN directly for any
additional monies due.

RESOLUTION #28
By resolution of the Board of Commissioners of
King County Water District #25, it is hereby resolved
that the City of Tukwila is authorized to act as an
agent for Water District 25 and to enter into
agreements, as necessary, to complete the Water
District 25 /Tukwila /Burlington Northern Railroad
intertie.
The City of Tukwila is also authorized to
demand and recieve advance funds on deposit from
Burlington Northern RR for the design and construction
of the intertie and to invoice BN directly for any
additional monies due.
Water District 25 reserves the right to approve
the final design and contract for construction prior to
the start of construction.

TO: The Seattle Water Department
Regarding: Old Water Rates for Water District #25
The City of Tukwila is now serving water to all of Water District #25 area that was
served by the 112th and East Marginal Way meter.
All old water credits from that meter should be transferred to the City of Tukwila.
When the area of Water District #25 (known as the quarry) west of the river is
transferred "proposed 1990" to Water District #125
they will receive old water credits from the City of Tukwila based on a proportioning of:
Quarry area used 670254 annually
Balance used 3268236 annually
3938490 cubic feet used annually
Water District #125 and the City of Tukwila have other areas that they will be exchanging under
the "Skyway critical water plan" so to simplify the transfers they may choose to exchange these
credits for other credits at that time. I have discussed this with Mr. Frank Pierce of Water
District #125 and he is in agreement.
