That portion of Contract No. 10-124 between the City of Tukwila and PLANTSCAPES is
hereby amended as follows:
Section 4. Terms of Maintenance As reement:
This Maintenance Agreement shall terminate 12/31/2023, at which time a new agreement
can be entered into upon mutual agreement of both parties.
Either party may, subject to lease provisions herein, terminate the maintenance provisions
on this agreement on 30 days written notice to the other.
Monthly Maintenance costs for the period 1/1/2023 through 12/31/2023 for City Hall, 6300
Building and the Tukwila Community Center is $341.05 plus Washington State Sales Tax.
All other provisions of the contract shall remain in full force and effect.

CONTRACT TERMS AND CONDITIONS FOR INTERIOR SERVICE
SERVICE LOCATION: City of Tukwila City Hall, 6200 Southcenter Blvd., Tukwila, WA 98188

1. PLANT INVENTORY:
You own your plants and they are installed at:
Tukwila City Hall, 6200 Southcenter Boulevard (Attachment A)
The 6300 Building, 6300 Southcenter Boulevard (Attachment B)
The Tukwila Community Center, 12424 42 Avenue South (Attachment C)
2. SERVICES PROVIDED: Regular maintenance service to include as needed: watering,
fertilizing, pruning, spraying, and dusting.
3. GUARANTEE:
(a) Plantscapes Installation. We will replace, with the same or similar plants, at no cost to you,
all plants we install and maintain (whether purchased or leased) if severely damaged due to
circumstances under Plantscapes' direct control. Guarantee does not apply if insect or disease
problems are caused by untreated personal plants in the surrounding areas.
Under (a) above, this guarantee does not apply to losses due to unusual changes in
environmental conditions, inability to enter the premises, theft, or damage caused by
you or your employees, customers, visitors, or guests; including but not limited to
moving of plants, watering by someone other than Plantscapes personnel, reduction of
lighting levels below those which existed at the time of the contract approval or use of
liquids that introduce toxic chemicals or toxic gases into the soil of the plant. It is
understood that interior plants have a specific life cycle once installed in your account.
This life cycle is highly dependent on the atmospheric conditions in which the plants
are placed. With this in mind, Plantscapes will fully guarantee your new plants for the
initial five years after installation. After five years, plants will only be guaranteed on a
limited basis. Determination of any guarantee will be at the sole discretion of
Plantscapes, Inc.
4. TERMS OF MAINTENANCE AGREEMENT: This Maintenance Agreement shall terminate on
12/31/2012, at which time a new agreement can be entered into upon mutual agreement of
both parties.
Either party may, subject to lease provisions herein, terminate the maintenance provisions of
this Agreement on 30 days written notice to the other.
Monthly Maintenance costs 1/1/2011 through 12/31/2012:
City Hall location $150.00, plus Washington State Sales Tax
6300 location $75.00, plus Washington State Sales Tax
Tukwila Community Center $85.00, plus Washington State Sales Tax
5. TERMS OF MAINTENANCE AGREEMENT: Plantscapes reserves the right to bill for the
remaining term of agreement should the City of Tukwila cancel service before the end of the
minimum term.

6. BILLING:

(a) Plantscapes will bill in advance on the 1 day of each month. Payment will be expected within 30
days. There will be a one percent per month service charge on all accounts 30 days or more past due.
Plantscapes will bill for all 3 locations on the same invoice to be sent to the City Clerk's Office.
(b) Plantscapes will bill for all pots and additional supplies when repotting is needed.
All extra jobs that you request of us not defined above will be billed at our current rate.
(c) There will be an initial charge for installation and delivery of plants.
7. GENERAL:
(a) You hereby grant Plantscapes, Inc. a security interest in the plants and containers listed on the
attachment. We will have the right to enter your service location, after 10 days written notice to the
City Clerk, and take possession and remove all plants and containers to secure payment of
maintenance or lease payments past due by more than 90 days.
(b) If any action is required to be brought to enforce any of the provisions of this Agreement, the
prevailing party shall be entitled to reasonable attorneys' fees and costs.
(c) Clients under contract will be given preferential pricing on new plant material when upgrading
existing plants installed and maintained by Plantscapes, Inc.
8. CLIENT RESPONSIBILITIES:
(a) Access to Service Areas and Water. Client agrees to make whatever provisions are necessary
to ensure easy access to all areas to be serviced on the day(s) and hours of service. Client agrees to
provide access to unsoftened hot and cold water during the day(s) and hours of service.
(b) Light Temperature. Client agrees to ensure that window coverings are not left closed during

daylight hours and that the thermostat is not allowed to exceed 80 F or drop below 50 F at any time.
(c) Actions by Others. Client agrees to inform all employees and janitorial service personnel that
they are not to water or otherwise care for or move any of the plants on the attached Service Area
Schedule.
(d) Reporting Plant Problems. Client agrees to immediately notify Contractor of any plant or plant
related problems at the time they first occur or are observed by the Client.
9. ADDITIONAL PROVISIONS:
For the term of this agreement, Plantscapes, Inc. will provide regular maintenance service to include
as needed: watering, fertilizing, pruning, spraying, and dusting no less than once every other week.
For each visit, Plantscapes, Inc. staff will check -in at the City Clerk's Office for the 6200/6300
Buildings and at the front office at the Community Center, prior to beginning plant care and
maintenance and sign -in, and then sign -out after care and maintenance is complete for that day.
