(hereinafter referred to as "Costco ") and the City of Tukwila, (hereinafter referred to as "the City "). WHEREAS, Costco has plans to expand its building and operations located at 1160 Saxon Drive in Tukwila, and WHEREAS, the expansion will cause traffic impacts off -site which are in need of mitigation, and WHEREAS, the Public Works Department of the City has determined that a traffic signal should be installed at the intersection of Saxon Drive and Andover Park East in the City of Tukwila in order to mitigate the traffic impacts, and WHEREAS, Costco has agreed to pay the costs of construction of such signal as a means of mitigating the impacts and as a condition of building permit issuance, now, therefore, IN CONSIDERATION OF the mutual benefits and conditions hereinafter contained, the parties hereto agree as follows: 1. Costco agrees to pay all costs of designing and constructing a traffic signal to City standards at the intersection of Saxon Drive and Andover Park East in the City of Tukwila, including the installation of poles, control box wiring and other equipment necessary to make a complete signal, and together with possible relocation of access to the property located on the west side of Andover Park East at Saxon Drive if necessary for installation of the signal. Such costs shall include, but not be limited to, all engineering costs associated with the design, construction and inspection of the signal and all actual construction costs. 2. The design of the traffic signal shall be at the sole discretion of the City. The City shall be solely responsible for the selection of any consultant or consultants necessary to design and inspect the signal construction and for the selection of a contractor or contractors to actually construct the signal. Costco's sole obligation in connection with the signal shall be the payment of costs associated therewith. Costco shall in no way be responsible or liable for any defective design or construction in connection with the signal. 3. Upon completion of the signal and acceptance of the same by the City the City shall provide Costco with a final billing as to the costs of the project. Upon payment of such costs, Costco's obligations with respect to the signal shall cease. All further maintenance and operation costs of the signal shall be borne by the City. 4. Costco agrees to promptly pay all costs of the design and construction of the signal. In order to assure that payment will be made, Costco has set up a joint bank account at Seattle First National Bank which requires the signature of both a Costco representative and Byron G. Sneva, City Director of Public Works, in order to withdraw funds. Costco agrees to deposit, within five (5) days of the execution of this Agreement, the sum of seventy - five thousand dollars ($75,000) into such account. From time to time as progress payments become necessary with respect to the design and construction of the signal, Costco and the City will execute the necessary checks or warrants on the account to facilitate payment. Costco agrees to execute all checks and warrants upon receiving assurance from the City that the costs have actually been incurred and the work satisfactorily performed in the opinion of the City. It is understood and agreed between the parties that the $75,000 represents only an estimate of the actual costs involved in designing and constructing the traffic signal and that Costco has agreed to pay all costs of such design and construction. In the event that the actual costs turn out to be greater than the estimate, Costco shall, within fourteen (14) days of notification by the City, deposit into the joint account the difference between the amount remaining therein at the time of notification and the amount estimated by the City to be necessary to complete the signal project. In the event that the $75,000 exceeds the actual costs of designing and constructing the signal, the City agrees to execute whatever documents are necessary to return to Costco the difference between the estimates and the actual costs incurred upon completion and acceptance of the signal by the City. 6. Failure of either party to insist on the strict performance of any of the terms, agreements, and conditions herein contained, or any of them, shall not constitute or be construed as a waiver or relinquishment of that party's right thereafter to strictly enforce any such term, agreement or condition, but the same shall continue in full force and effect. 7. In the event that either party shall commence litigation to enforce any provision of this agreement or to cure any breach thereof, the prevailing party in such litigation shall be entitled to recover its costs, including reasonable attorneys fees. 8. This agreement contains the entire understanding between the parties hereto, and no other agreements, oral or otherwise, regarding the subject matter of this agreement shall be deemed to exist or to bind any of the parties hereto or to have any other force or effect.
