WHEREAS, AstoundBroadband,LLC("Astound")isatelecommunications companythat,amongotherthings,providesvoiceanddataservicestocustomers, includingthoseinthePugetSoundregion;and WHEREAS, Astound'sdesiredroutethroughtheCityofTukwila,hereinafter referredtoas"City,"requirestheuseofcertainportionsofCityrights-of-wayforthe installation,operation,andmaintenanceofatelecommunicationssystem;and WHEREAS, theCityCouncilhasdeterminedthattheuseofportionsoftheCity's rights-of-wayforinstallationofatelecommunicationssystemisappropriatefromthe standpointofthebenefitstobederivedbylocalbusinessesandtheregionasaresultof suchservices;and WHEREAS, theCityCouncilalsorecognizesthattheuseofpublicrights-of-way mustberestrictedtoallowfortheconstructionofamenitiesnecessarytoservethe futureneedsofthecitizensofTukwilaandthatthecoordination,planning,and managementoftheCity'srights-of-wayisnecessarytoensurethattheburdenofcosts fortheoperationsofnon-municipalinterestsarenotbornebythecitizenry;and WHEREAS, theRevisedCodeofWashington(RCW)authorizestheCitytogrant andregulatenon-exclusivefranchisesfortheuseofpublicstreets,rights-of-way,and otherpublicpropertyfortransmissionofcommunications; W:WordProcessing\\OrdinanceslAstoundfranchiseagreement7-15-14 Page1of11 FI:bjs NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFTUKWILA, WASHINGTON,HEREBYORDAINSASFOllOWS: Section1.Non-exclusiveFranchiseGranted. A.TheCityherebygrantstoAstound,subjecttotheconditionsprescribedinthis ordinance("FranchiseAgreement"),thefranchiserightsandauthoritytoconstruct, replace,repair,monitor,maintain,useandoperatetheequipmentandfacilities necessaryforatelecommunicationsfacilitywithintheCity-ownedrights-of-way generallydescribedinExhibitAattachedhereto,andhereinafterreferredtoasthe "FranchiseArea." B.Theforegoingfranchiserightsandauthority("Franchise")shallnotbedeemed tobeexclusivetoAstoundandshallinnowayprohibitorlimittheCity'sabilitytogrant otherfranchises,permits,orrightsalong,over,orundertheareastowhichthis FranchisehasbeengrantedtoAstound;provided,thatsuchotherfranchisesdonot unreasonablyinterferewithAstound'sexerciseoffranchiserightsgrantedhereinas determinedbytheCity.ThisFranchiseshallinnowayinterferewithexistingutilitiesor inanywaylimit,prohibit,orpreventtheCityfromusingtheFranchiseAreaoraffectthe City'sjurisdictionoversuchareainanyway. C.ThisFranchiseAgreementmerelyauthorizesAstoundtooccupyandusethe FranchiseArea.Nothingcontainedhereinshallbeconstruedtograntorconveyany right,title,orinterestintheFranchiseAreatoAstound. Section2.Authority.TheDirectorofPublicWorksorhisorherdesigneeis herebygrantedtheauthoritytoadministerandenforcethetermsandprovisionsofthis FranchiseAgreementandmaydevelopsuchlawful,uniform,non-discriminatory,and reasonablerules,policies,andproceduresasheorshedeemsnecessarytocarryout theprovisionscontainedherein. Section3.FranchiseTerm.Thefranchiserightsgrantedhereinshallremainin fullforceandeffectforaperiodoffiveyearsfromtheeffectivedateofthisordinance. However,thisFranchiseAgreementshallnottakeeffectandAstoundshallhaveno rightsunderthisFranchiseAgreementunlessawrittenacceptancewiththeCityis receivedpursuanttoSection4ofthisagreement.IfAstoundrequestsaFranchise renewalpriortotheexpirationdate,theCitymay,attheCity'ssolediscretion,extend thetermofthisFranchiseAgreementforuptooneyearbeyondtheexpirationdateto allowprocessingofrenewal.IftheCityelectstoextendthetermofthisFranchise Agreement,writtennoticeoftheextensionshallbeprovidedtoAstoundpriortothe Franchiseexpirationdate. W:WordProcessing\\OrdinanceslAstoundfranchiseagreement7-15-14 Page2of11 FI:bjs Section4.AcceptanceofTermsandConditions.Thefullacceptanceofthis FranchiseAgreementandallthetermsandconditionsshallbefiledwiththeCityClerk within30daysoftheeffectivedateofthisordinanceintheformattachedheretoas ExhibitB.FailureonthepartofAstoundtofilesaidconsentwithin30daysofthe effectivedateofthisordinanceshallvoidandnullifyanyandallrightsgrantedunderthis FranchiseAgreement. Section5.ConstructionProvisionsandStandards.Thefollowingprovisions shallbeconsideredmandatoryandfailuretoabidebyanyconditionsdescribedherein shallbedeemedasnon-compliancewiththetermsofthisFranchiseAgreementand mayresultinsomeorallofthepenaltiesspecifiedinSection6. 1.PermitRequired.Noconstruction,maintenance,orrepairs(exceptfor emergencyrepairs)shallbeundertakenintheFranchiseAreawithoutfirstobtaining appropriatepermitsfromtheCityofTukwila,DepartmentofPublicWorks.Incaseofan emergency,Astoundshall,within24hoursoftheemergency,obtainapermitfromthe CityofTukwila'sDepartmentofPublicWorks. 2.Coordination.AllcapitalconstructionprojectsperformedbyAstound withintheFranchiseAreashallbeinspectedbyaCityinspector.Allworkand inspectionshallbecoordinatedwiththePublicWorksEngineeringDivisiontoensure consistencywithCityinfrastructure,futureCapitalImprovementProjects,alldeveloper improvements,andpertinentcodesandordinances. 3.ConstructionStandards.Anyconstruction,installation,maintenance, andrestorationactivitiesperformedbyorforAstoundwithintheFranchiseAreashallbe constructedandlocatedsoastoproducetheleastamountofinterferencewiththefree passageofpedestrianandvehiculartraffic.Allconstruction,installation,maintenance, andrestorationactivitiesshallbeconductedsuchthattheyconformtotheCity's developmentguidelinesandstandardsandcomplywithTitle11oftheTukwila MunicipalCode. 4.UndergroundInstallationRequired.Alltelecommunicationscablesand junctionboxesorothervaultedsystemcomponentsshallbeinstalledunderground unlessotherwiseexemptedfromthisrequirement,inwriting,bytheDirectorofPublic Works. 5.Relocation. a.WhenevertheCitycausesapublicimprovementtobeconstructed withintheFranchiseArea,andsuchpublicimprovementrequirestherelocationof Astound'sfacilities,theCityshallprovideAstoundwithwrittennoticerequestingsuch relocationalongwithplansforthepublicimprovementthataresufficientlycompleteto allowfortheinitialevaluation,coordinationandthedevelopmentofarelocationplan. TheCityandAstoundshallmeetatatimeandlocationdeterminedbytheCityto discusstheprojectrequirementsincludingcriticaltimelines,schedules,construction w: WordProcessing\\Ordinances\\Astoundfranchiseagreement7-15-14 311 Pageof FI:bjs standards,utilityconflicts,as-builtrequirements,andotherpertinentrelocationplan details. b.Toensuretimelyexecutionofrelocationrequirements,Astoundshall, uponwrittenrequestfromtheCity,provideatAstound'sexpense,basemaps,current as-builtinformation,detailedrelocationplan(includingdetailedscheduleofrelocation activities,identificationofcriticalpath,identificationoffacilities,andrelocation procedures),andotherdesign,technicaloroperationalrequirementswithinthe timeframespecifiedbytheCity. c.Astoundmay,afterreceiptofwrittennoticerequestingarelocationof itsfacilities,submittotheCitywrittenalternativestosuchrelocationwithinareasonable timespecifiedbytheCity.Suchalternativesshallincludetheuseandoperationof temporaryfacilitiesinadjacentrights-of-way.TheCityshallevaluatesuchalternatives andadviseAstoundinwritingifoneormoreofthealternativesaresuitableto accommodatethework,whichwouldotherwisenecessitaterelocationofthefacilities.If requestedbytheCity,AstoundshallsubmitadditionalinformationtoassisttheCityin makingsuchevaluation.TheCityshallgiveeachalternativeproposedbyAstoundfull andfairconsideration.IntheeventtheCityultimatelydeterminesthatthereisnoother reasonablealternative,Astoundshallrelocateitsfacilitiesasotherwisespecifiedin Section5,subparagraph5. d.UponfinalapprovaloftherelocationplanbytheCity,Astoundshall,at itsownexpense,unlessotherwiseprohibitedbystatute,andatthetimeframespecified bytheCity,temporarilyorpermanentlyremove,relocate,placeunderground,changeor alterthepositionofanyfacilitiesorstructureswithintheright-of-waywhenevertheCity hasdeterminedthatsuchremoval,relocation,undergrounding,changeoralterationis reasonablynecessaryfortheconstruction,repair,maintenance,installation,public safety,oroperationofanypublicimprovementinorupontherights-of-way. e.Ifduringtheconstruction,repair,ormaintenanceoftheCity'spublic improvementprojectanunexpectedconflictoccursfromAstound'sfacilities,Astound shall,uponnotificationfromtheCity,respondwithin24hourstoresolvetheconflict. RemovalorAbandonment. 6.UponremovalfromserviceofAstound's facilitiesorequipmentthatarelocatedwithintheFranchiseArea,Astoundshallcomply withallapplicablestandardsandrequirementsprescribedbytheCityofTukwilaPublic WorksDepartmentfortheremovalorabandonmentofsaidstructuresandfacilities.No facilityconstructedorownedbyAstoundmaybeabandonedwithouttheexpresswritten consentoftheCity. Bond. 7.Beforeundertakinganyofthework,installation,improvements, construction,repair,relocation,ormaintenanceauthorizedbythisFranchise Agreement,Astoundshall,upontherequestoftheCity,furnishabondexecutedby AstoundandacorporatesuretyauthorizedtooperateasuretybusinessintheStateof Washington,insuchsumasmaybesetandapprovedbytheCityassufficientto W:WordProcessing\\Ordinances\\Astoundfranchiseagreement7-15-14 Page4of11 FI:bjs ensureperformanceofAstound'sobligationsunderthisFranchiseAgreement,provided, however,thatsuchsumshallnotexceed150%ofthecostofthetelecommunications systemtobeinstalledbyAstoundintheCityrights-of-way.AtAstound'ssoleoption, Astoundmayprovidealternatesecurityintheformofanassignmentoffundsoraletter ofcredit,inthesameamountasthebond.Allformsofsecurityshallbeintheform reasonablyacceptabletotheCity.ThebondshallbeconditionedsothatAstoundshall observeallthecovenants,terms,andconditionsandshallfaithfullyperformallofthe obligationsofthisFranchiseAgreement,andtorepairorreplaceanydefectiveAstound workormaterialsdiscoveredintheCity'sroads,streets,orproperty. 8."One-Call"LocationandLiability.Astoundshallsubscribetoand maintainmembershipintheregional"One-Call"utilitylocationserviceandshall promptlylocateallofitslinesuponrequest.TheCityshallnotbeliableforany damagestoAstound'ssystemcomponentsorforinterruptionsinservicetoAstound customerswhichareadirectresultofworkperformedforanyCityprojectforwhich Astoundhasfailedtoproperlylocateitslinesandfacilitieswithintheprescribedtime limitsandguidelinesestablishedbyOne-Call.TheCityshallalsonotbeliableforany damagestotheAstoundsystemcomponentsorforinterruptionsinservicetoAstound customersresultingfromworkperformedunderapermitissuedbytheCity. 9.As-BuiltPlansRequired.Astoundshallmaintainaccurateengineering plansanddetailsofallinstallationswithintheCitylimitsandshallprovidesuch informationinbothpaperformandelectronicformusingthemostcurrentAutoCAD versionpriortoclose-outofanypermitissuedbytheCityandanyworkundertakenby AstoundpursuanttothisFranchiseAgreement.TheCityshalldeterminethe acceptabilityofanyas-builtsubmittalsprovidedunderthissection. 10.RecoveryofCosts.Astoundshallbesubjecttoallpermitfeesassociated withactivitiesundertakenthroughtheauthoritygrantedinthisFranchiseAgreementor underordinancesoftheCity.WheretheCityincursreasonablecostsandexpensesfor revieworinspectionofactivitiesundertakenthroughtheauthoritygrantedinthis FranchiseAgreementoranyordinancesrelatingtothesubjectforwhichpermitfees havenotbeenestablished,Astoundshallpaysuchreasonablecostsandexpenses directlytotheCity. 11.Vacation.If,atanytime,theCityshallvacateanyCityroad,right-of-way orotherCitypropertywhichissubjecttorightsgrantedbythisFranchiseAgreement andsaidvacationshallbeforthepurposeofacquiringthefeeorotherpropertyinterest insaidroad,right-of-wayorotherCitypropertyfortheuseoftheCity,ineitherits proprietaryorgovernmentalcapacity,thentheCitymay,atitsoptionandbygiving30 dayswrittennoticetoAstound,terminatethisFranchiseAgreementwithreferenceto suchCityroad,right-of-wayorotherCitypropertysovacated,andtheCityshallnotbe liableforanydamagesorlosstoAstoundbyreasonofsuchterminationotherthan thoseprovidedforinRCW35.99. A.FranchiseViolations.ThefailurebyAstoundtofullycomplywithanyofthe provisionsofthisFranchiseAgreementmayresultinawrittennoticefromtheCity whichdescribestheviolationsoftheFranchiseAgreementandrequestsremedialaction within30daysofreceiptofsuchnotice.IfAstoundhasnotattainedfullcomplianceat theendofthe30-dayperiodfollowingreceiptoftheviolationnotification,theCitymay declareanimmediateterminationofallfranchiserightsandprivileges,providedthatfull compliancewasreasonablypossiblewithinthat30-dayperiod. B.EmergencyActions. 1.IfanyofAstound'sactionsunderthisFranchiseAgreement,oranyfailure byAstoundtoacttocorrectasituationcausedbyAstound,isdeemedbytheCityto createathreattolifeorproperty,financialharm,orcauseadelayoftheconstruction, repairormaintenanceofthepublicimprovement,theCitymayorderAstoundto immediatelycorrectsaidthreat,financialharm,ordelayor,attheCity'sdiscretion,the Citymayundertakemeasurestocorrectsaidthreat,financialharmordelayitself; providedthat,whenpossible,theCityshallnotifyAstoundandgiveAstoundan opportunitytocorrectwithinareasonablespecifiedtime,saidthreat,financialharmor delaybeforeundertakingsuchcorrectivemeasures.Astoundshallbeliableforall reasonablecosts,expenses,anddamagesattributedtothecorrectionofsuchan emergencysituationasundertakenbytheCitytotheextentthatsuchsituationwas causedbyAstoundandshallfurtherbeliableforallreasonablecosts,expenses,and damagesresultingtotheCityfromsuchsituationandanyreimbursementofsuchcosts totheCityshallbemadewithin30daysofwrittennoticeofthecompletionofsuch actionordeterminationofdamagesbytheCity.ThefailurebyAstoundtotake appropriateactiontocorrectasituationcausedbyAstoundandidentifiedbytheCityas athreattopublicorprivatesafetyorproperty,financialharm,ordelayofthe construction,repairormaintenanceofthepublicimprovementshallbeconsidereda violationofthetermsofthisFranchiseAgreement. 2.If,duringconstructionormaintenanceofAstound'sfacilities,anydamage occurstoanundergroundfacilityandthedamageresultsinthereleaseofnaturalgasor otherhazardoussubstanceorpotentiallyendangerslife,health,orproperty,Astoundor itscontractorshallimmediatelycall911orotherlocalemergencyresponsenumber. C.OtherRemedies.NothingcontainedinthisFranchiseAgreementshalllimit theCity'savailableremediesintheeventofAstound'sfailuretocomplywiththe provisionsofthisFranchiseAgreement,toincludebutnotlimitedto,theCity'srighttoa lawsuitforspecificperformanceand/ordamages. D.RemovalofSystem.IntheeventthatthisFranchiseAgreementisterminated asaresultofviolationsofthetermsofthisFranchiseAgreement,Astoundshall,atits soleexpense,promptlyremoveallsystemcomponentsandfacilities,providedthatthe City,atitssoleoption,mayallowAstoundtoabandonitsfacilitiesinplace. A.Astoundshallmaintainliabilityinsurancewrittenonaperoccurrencebasis duringthefulltermofthisFranchiseAgreementforpersonalinjuriesandproperty damages.Thepolicyshallcontaincoverageintheamountsandconditionsstipulatedin Title11oftheTukwilaMunicipalCode. B.SuchinsuranceshallspecificallynameasadditionalinsuredtheCity,its officers,andemployees,shallapplyasprimaryinsurance,shallstipulatethatno insuranceaffectedbytheCitywillbecalledontocontributetoalosscovered thereunder,andshallfurtherprovidethatthepolicyshallnotbemodifiedorcanceled duringthelifeofthepermitorFranchiseAgreementwithoutgiving30dayswritten noticetotheCity.Noticeshallbebycertifiedmail,returnreceiptrequestedtotheCity. C.IftheCitydeterminesthatcircumstanceswarrantanincreaseininsurance coverageandliabilitylimitstoadequatelycovertherisksoftheCity,theCitymay requireadditionalinsurancetobeacquired.TheCityshallprovidewrittennoticeshould theCityexerciseitsrighttorequireadditionalinsurance. Section8.OtherPermitsandApprovals.NothinginthisAgreementshallrelieve Astoundfromanyobligationtoobtainapprovalsornecessarypermitsfromapplicable federal,state,andCityauthoritiesforallactivitiesintheFranchiseArea. Section9.TransferofOwnership. A.Therights,privileges,benefits,title,orinterestprovidedbythisFranchise Agreementshallnotbesold,transferred,assigned,orotherwiseencumbered,without thepriorwrittenconsentoftheCity,withsuchconsentnottobeunreasonablywithheld ordelayed.Nosuchconsentshallberequired,however,foratransferintrust,byother hypothecation,orbyassignmentofanyrights,title,orinterestinAstound's telecommunicationssysteminordertosecureindebtedness.Approvalshallnotbe requiredformortgagingpurposesprovidedthatthecollateralpledgedforanymortgage shallnotincludetheassetsofthisfranchise.Approvalshallnotberequiredforany transferfromAstoundtoanotherpersonorentitycontrolling,controlledby,orunder commoncontrolwithAstound.Astoundmaylicensefiberstootheruserswithoutthe consentoftheCityprovidedthatAstoundremainssolelyresponsibleforthetermsand conditionsoutlinedinthisFranchiseAgreement. B.InanytransferofthisFranchisewhichrequirestheapprovaloftheCity, Astoundshallshowthattherecipientofsuchtransferhasthetechnicalability,financial capability,andanyotherlegalorgeneralqualificationsasreasonablydeterminedbythe Citytobenecessarytoensurethattheobligationsandtermsrequiredunderthis FranchiseAgreementcanbemettothefullsatisfactionoftheCity.Thequalificationsof anytransfereeshallbedeterminedbyhearingbeforetheCityCouncilandtheapproval tosuchtransfershallbegrantedbyresolutionoftheCityCouncil.Anyactualand W:WordProcessing\\Ordinances\\Astoundfranchiseagreement7-15-14 Page7of11 FI:bjs reasonableadministrativecostsassociatedwithatransferofthisFranchisethat requirestheapprovaloftheCityshallbereimbursedtotheCitywithin30daysofsuch transfer. Section10.Administrative/Franchise Fees. A.PursuanttotheRevisedCodeofWashington(RCW),theCityisprecludedfrom imposingfranchisefeesforany"telephonebusiness"asdefinedinRCW82.16.010or "serviceprovider"asdefinedinRCW35.99.010,exceptthatfeesmaybecollectedfor administrativeexpensesrelatedtosuchfranchise.Astounddoesherebywarrantthat itsoperationsasauthorizedunderthisFranchiseAgreementarethoseofatelephone businessasdefinedinRCW82.16.010oraserviceproviderasdefinedinRCW 35.99.010. B.Astoundshallbesubjecttoa$5,000administrativefeeforreimbursementof costsassociatedwiththepreparation,processing,andapprovalofthisFranchise Agreement.Thesecostsshallincludebutnotbelimitedtowages,benefits,overhead expenses,equipment,andsuppliesassociatedwithsuchtasksasplanreview,site visits,meetings,negotiations,andotherfunctionscriticaltopropermanagementand oversightoftheCity'sright-of-way.Administrativefeesexcludenormalpermitfeesas stipulatedinTitle11oftheTukwilaMunicipalCode.Paymentoftheone-time administrativefeeisdue30daysafterfranchiseapproval. C.TheCityreservestherighttoexerciseauthorityithasormayacquireinthe futuretochargeafranchisefeeasauthorizedbylaw. D.IntheeventAstoundsubmitsarequestforworkbeyondthescopeofthis FranchiseAgreement,orsubmitsacomplexprojectthatrequiressignificant comprehensiveplanrevieworinspection,AstoundshallreimbursetheCityfor amendmentsandexpensesassociatedwiththeproject.Astoundshallpaysuchcosts within30daysofreceiptofabillfromtheCity. E.FailurebyAstoundtomakefullpaymentofbillswithinthetimespecifiedshall beconsideredsufficientgroundsfortheterminationofallrightsandprivilegesexisting underthisordinanceutilizingtheproceduresspecifiedinSection6ofthisordinance. Section11.Notices. Section13.Severability.Ifanysection,sentence,clauseorphraseofthis ordinanceisheldtobeinvalidorunconstitutionalbyacourtofcompetentjurisdiction, eitherpartymaydeemtheentireordinancetobeaffectedandtherebynullified. Section14.ReservationofRights.Thepartiesagreethatthisagreementis intendedtosatisfytherequirementsofallapplicablelaws,administrativeguidelines, rules,orders,andordinances.Accordingly,anyprovisionofthisagreementoranylocal ordinancethatmayconflictwithorviolatethelawshallbeinvalidandunenforceable, whetheroccurringbeforeoraftertheexecutionofthisagreement,itbeingtheintention ofthepartiestopreservetheirrespectiverightsandremediesunderthelaw,andthat theexecutionofthisagreementdoesnotconstituteawaiverofanyrightsorobligations byeitherpartyunderthelaw.
