Per my meeting with Bruce Hurst, Attorney for State Farm, Granville
Horn, Pac Tec Engineering and Judith Bigelow, Attorney for Horizon
Hotels (Homewood Suites Development) a review of the
Recreational /River Bank /Dike Trail Easement for State Farm, granted
to the City of Tukwila, was provided per the attached Exhibit A. It
has clarified the approximate 20' wide swath of land just north of
State Farm's property and within State Farm property was granted to
the City late last year. Currently this Recreational /River Bank /Dike
Trail Easement is being processed through the County. When that
document is recorded I will request Jane Cantu, City Clerk, to send a
copy to the participants in this meeting.
To clarify the dedication under the BLA for Dunne provides a strip of
land ultimately to the City via State Farm and Horizon Hotels which
provides a strip of land from the riverside edge of the existing
Tract A (Tract A represents the City 20' right -of -way dedicated
under original.short plat and identified on the attached Exhibit A).
The thread of the Green River is further defined as "the center of
the main channel of the stream" on the 4/19/91 land surveyor's
proposed boundary line adjustment map (Exhibit A). The thread of the
river is a line which may be subject to fluctuation and its location
is not absolutely determined through this boundary line survey map,
however appropriately defined for the purposes of the BLA process.
Therefore recommended is the BLA proceed and be approved.

RECREATIONAIJRIVER BANK/DIKE TRAIL EASEMENT
THIS AGREEMENT is entered into between State Farm Mutual Automobile Insurance
Company (hereinafter referred to as "the Grantor "), and the CITY OF TUKWILA, a
Washington optional municipal code city (hereinafter referred to as "the Grantee ").
WHEREAS, Grantor owns or has an interest in certain re�l .ar, o �rty (herein-
after referred to as "the Property ") located adjacent to Duwamisll i'.iver in the City of
Tukwila, Washington more particularly described on Exhibit A attached hereto and
incorporated herein by this reference as if set forth in full; and
WHEREAS, Grantee is in the process of developing a public recreational trail
along the entire length of the Duwamish /Green River within Grantee's corporate
limits; and
WHEREAS, the City of Tukwila and other agencies require access to the river
bank for maintenance, monitoring, construction of future possible dike /levee
and /or river bank stabilization improvements, and
WHEREAS, Grantor has agreed to grant an easement to Grantee to develop the
Property as an outdoor recreational trail for public use and Grantee has agreed to
utilize the Property for such use according to certain terms and conditions;
NOW, THEREFORE, in consideration of the mutual benefits and conditions
hereinafter contained, Grantor hereby conveys and grants to Grantee, its successors
and assigns, a perpetual, nonexclusive easement across, along, in and upon, the
Property described on Exhibit A attached hereto and incorporated herein by this
reference as if set forth in full, subject to the following terms and conditions, by
which Grantee agrees to be bound:
1. Use of the Property. Grantee's use of the Property shall be for the purpose
of landscaping, developing and maintaining the Property for public recreational trail
purposes and of installing, maintaining and providing for public use of recreational
facilities thereon. The use of the recreation trail will be restricted to pedestrian,
equestrian and bicycle use. Camping, campfires, the use of firearms and any other
activities that would be inconsistent with the safe use of the Property by the public
will be prohibited. In addition to the restrictions on use provided herein, Grantee
shall have the power to promulgate and enforce such other rules and regulations
for use of the trail by the public as it may deem fit and proper to promote safe and
equitable use.
Access to and also maintenance, monitoring, construction of riverbank stabil-
ization and /or new dike /levee systems by the City or other public agencies, will be
carried out on this easement.
2. Construction and Maintenance. The design of the public recreation trail
shall be in the sole discretion of the Grantee. Grantee agrees to make reasonable
attempts in designing the public recreational trail to accommodate any plans for
development by Grantor on property adjacent to the trail. All design, engineering
and construction costs incurred in completing the gravel base for the future asphalt
trail shall be at the sole cost and expense of the Grantor. Grantee shall be responsible
for all maintenance and maintenance costs incurred with respect to the trail. The
construction and maintenance of trail systems and associated landscaping shall be in
accordance with the most current riverbank stabilization studies conducted for this
property.

3. Timing of Construction. Both parties understand and agree that the time
a which the Grantee will develop the recreational trail is unknown at present

t. construct the trail. Grantor and Grantee agree that Grantor may, with the prior
w itten consent of the Grantee, make temporary improvements to the Property
p. nding construction of the trail. Grantee shall have sole discretion in determining
w ether or not to approve any improvements in the Property which would inter -
fe e with or be inconsistent with Grantee's use of the property for a recreational
tr: il. In the event that improvements are made on the Property with Grantee's con -
s =nt, Grantee shall bear the cost of removal of such improvements at the time of
tr 1 construction.
Grantee shall not be responsible, however, for paying the cost of relocating
o reinstalling such improvements, or for paying the costs of installing such
i provements incurred by the Grantor, or for paying the cost of replacing said
i provements. Grantee's approval of landscaping or other development by the
G antor in the easement area shall not constitute a waiver of Grantee's rights under
t 's easement to construct and maintain the recreational trail, nor shall any delay in
construction of such trail constitute an abandonment or release of the right to
d velop such trail by the Grantee.
Nothing in this agreement shall be interpreted to imply the City waives its

2. Upon receipt of a bona fide offer for all or part
of the Property, Grantor shall, within five (5) business
days of receipt of said offer, communicate in writing to
Grantee the terms of said offer.
3. Grantee shall have the right to purchase the
Property, or that portion of it which is the subject of said
offer, on the same terms and conditions of said offer or, at
Grantee's sole option, on the same terms and conditions but
for a price equivalent to the then fair market value of the
Property, or of that portion of it which is the subject of
said offer.
4. If Grantor and Grantee are unable to agree upon
the fair market value, either or both may elect within ten
(10) business days of Grantee's receipt of Grantor's written
notice to hire an independent M.A.I. appraiser to determine
such value.
5. If both hire an appraiser, each of whom assigns a
different fair market value, and Grantor and Grantee do not
agree that the fair market value for purposes of this Right
of First Refusal shall be the average of the values assigned
by the two appraisers, then said two appraisers shall select
a third independent M.A.I. appraiser who shall determine
said fair market value.
6. Grantee shall have ten (10) business days after
fair market value is determined to exercise this Right of
First Refusal by notifying Grantor of its decision and, if
applicable, of its election of either the price of said bona
fide offer or of said fair market value.
7. If Grantee does so exercise said right, Grantor
shall enter into a binding agreement to convey the Property,
or that portion which is the subject of said offer, to
Grantee, by Statutory Warranty Deed, free and clear of all
liens and encumbrances except easements of record and statu-
tory restrictions. Grantor and Grantee shall execute any
necessary documents to close said transaction.
8. In the event Grantee does not exercise said right,
LC1 the right terminates as to only that portion of the Property
tr, covered by said offer if sold pursuant to it. The right
N granted herein continues as to the rest of the Property.

9. If the Grantor thereafter does not accept the bona
fide offer or if its terms are modified or altered in any

FOR GOOD AND VALUABLE CONSIDERATION, receipt whereof is hereby
acknowledged, Grantor, HELEN NELSEN, hereby conveys and warrants to
Grantee, the CITY OF TUKWILA, Washington, its successors and assigns,
a perpetual, nonexclusive easement under, over, through and across
the property described below as Parcels A, B,C and D for a storm
drainage system consisting of a drain pipe and associated
improvements reasonably and necessarily related to construction and
maintenance of such pipe.
This easement may also be used for the construction and maintenance
of a sewer line and a water line if it is determined by the Grantee
that the location of this easement is preferred and practical for
this additional development, whether now or later.

Grantee shall provide hookup to Grantor's existing drain line, which
is approximately midway between the Burlington Northern and Union
Pacific rights -of -way, in this easement area. Grantee's work in the
ditch area shall not impede Grantor's current drainage to the ditch.
Also, Grantee shall permit Grantor the right to connect to the
drainage ditch at various existing points, or as required, to drain
Grantor's property, all subject to Grantee's permit requirements.
After construction, Grantee shall restore the ground surface as
nearly as possible to the condition in which it was at the
commencement of the work.
Grantee shall have the right at all times to enter the premises
described above for the purpose of inspecting, maintaining,
improving, repairing, constructing, reconstructing, locating and
relocating the storm drain lines, drainage ditch and associated
improvements, and, temporarily during construction, to the adjacent
ten feet of Grantor's property for construction access. Construction
shall occur so as to minimize impact to traffic on Longacres Way.
Nothing in this Agreement shall prevent Grantor and the same or
another Grantee from utilizing this same easement for construction
and maintenance of water and sewer lines, if determined practical,
whenever required now or in the future.
N The cost of any inspection, maintenance, improvement, repair,
construction, reconstruction, location and relocation of any public

lines and improvements shall be borne by Grantee. Grantor named may

U7 personally pave, or permit to be paved, Grantor's adjoining property
for parking lot and /or building use and hook up to the system for
runoff caused by such paving, with additional hook -up costs to be
borne by Grantor.
Grantor acknowledges that Grantee does not waive any rights with
respect to conditions that may be imposed for other and subsequent
development.
Because Grantor's property for many years has unavoidably and
reluctantly accepted drainage from neighboring properties without
provision of participation through L.I.D. or U.L.I.D., if and when
such an L.I.D. or U.L.I.D. for drainage is developed, Grantee agrees
and guarantees that Grantor shall be entitled to be credited with the
fair market value of this easement at that time as an offset against
amounts otherwise assessable against Grantor's property.

RECREATIONAL/RIVER BANK/DIKE TRAIL EASEMENT
THIS AGREEMENT is entered into between State Farm Mutual Automobile Insurance
Comnanv (hereinafter referred to as "the Grantor "), and the CITY OF TUKWILA, a
Washington optional municipal code city (hereinafter referred to as "the Grantee ").
WHEREAS, Grantor owns or has an interest in certain re lar,spyrty (herein-
after referred to as "the Property ") located adjacent to DuwamisWRive` the City of
Tukwila, Washington more particularly described on Exhibit A attached hereto and
incorporated herein by this reference as if set forth in full; and
WHEREAS, Grantee is in the process of developing a public recreational trail
along the entire length of the Duwamish /Green River within Grantee's corporate
limits; and
WHEREAS, the City of Tukwila and other agencies require access to the river
bank for maintenance, monitoring, construction of future possible dike /levee
and /or river bank stabilization improvements, and
WHEREAS, Grantor has agreed to grant an easement to Grantee to develop the
Property as an outdoor recreational trail for public use and Grantee has agreed to
utilize the Property for such use according to certain terms and conditions;
CC NOW, THEREFORE, in consideration of the mutual benefits and conditions
hereinafter contained, Grantor hereby conveys and grants to Grantee, its successors
and assigns, a perpetual, nonexclusive easement across, along, in and upon, the
CM1 Property described on Exhibit A attached hereto and incorporated herein by this
O reference as if set forth in full, subject to the following terms and conditions, by
which Grantee agrees to be bound:
1. Use of the Property. Grantee's use of the Property shall be for the purpose
of landscaping, developing and maintaining the Property for public recreational trail
purposes and of installing, maintaining and providing for public use of recreational
facilities thereon. The use of the recreation trail will be restricted to pedestrian,
equestrian and bicycle use. Camping, campfires, the use of firearms and any other
activities that would be inconsistent with the safe use of the Property by the public
will be prohibited. In addition to the restrictions on use provided herein, Grantee
shall have the power to promulgate and enforce such other rules and regulations
for use of the trail by the public as it may deem fit and proper to promote safe and
equitable use.
Access to and also maintenance, monitoring, construction of riverbank stabil-
ization and /or new dike /levee systems by the City or other public agencies, will be
carried out on this easement.
2. Construction and Maintenance. The design of the public recreation trail
shall be in the sole discretion of the Grantee. Grantee agrees to make reasonable
attempts in designing the public recreational trail to accommodate any plans for
development by Grantor on property adjacent to the trail. All design, engineering
and construction costs incurred in completing the gravel base for the future asphalt
trail shall be at the sole cost and expense of the Grantor. Grantee shall be responsible
for all maintenance and maintenance costs incurred with respect to the trail. The
construction and maintenance of trail systems and associated landscaping shall be in
accordance with the most current riverbank stabilization studies conducted for this
property.

3. Timing of Construction. Both parties understand and agree that the time
at which the Grantee will develop the recreational trail is unknown at present
because of the necessity to acquire additional right -of -way and the funding necessary
to construct the trail. Grantor and Grantee agree that Grantor may, with the prior
written consent of the Grantee, make temporary improvements to the Property
pending construction of the trail. Grantee shall have sole discretion in determining
whether or not to approve any improvements in the Property which would inter-
fere with or be inconsistent with Grantee's use of the property for a recreational
trail. In the event that improvements are made on the Property with Grantee's con-
sent, Grantee shall bear the cost of removal of such improvements at the time of
trail construction.
Grantee shall not be responsible, however, for paying the cost of relocating
or reinstalling such improvements, or for paying the costs of installing such
improvements incurred by the Grantor, or for paying the cost of replacing said
improvements. Grantee's approval of landscaping or other development by the
Grantor in the easement area shall not constitute a waiver of Grantee's rights under
this easement to construct and maintain the recreational trail, nor shall any delay in
construction of such trail constitute an abandonment or release of the right to
develop such trail by the Grantee.
Nothing in this agreement shall be interpreted to imply the City waives its
right to further obligate the development /owner to future dike /levee or river bank
improvements.
4. Indemnity. Grantee shall indemnify, defend and hold harmless the
Grantor from and against any and all claims, losses or liability, or any portion
thereof, arising from injury or death to persons or damage to property occasioned by
a negligent act, omission or failure of the Grantee, its officers, agents and employees,
in constructing and maintaining the recreational trail.
5. Successors. This Agreement shall be recorded with the King County Audi-
tor and shall constitute an easement and servitude running with the land, inuring
to the benefit of the parties hereto, their heirs, executors, administrators, successors
and assigns.
