1. DESIGNATION. The undersigned principal, HELEN B.
NELSEN, a single woman, residing and domiciled in the State of
Washington, hereby designates JAMES R. NELSEN, my nephew, to
serve as my attorney -in -fact in the manner herein described.
2. EFFECTIVENESS. This Power of Attorney shall become
effective upon signing by the principal, and it shall not be
affected by the disability or incompetency of the principal.
3. TERMINATION. Notwithstanding any uncertainty as to
whether the principal is alive or dead, this Power of Attorney
shall continue in effect, to the extent permitted by law, until
revoked or terminated. The principal, while competent, may
revoke this Power of Attorney by written notice to the
attorney -in -fact and by recording the instrument of revocation at
the office of the auditor or recorder of the county.where the
original Power of Attorney has been recorded, if recorded. This
Power of Attorney shall be terminated as to the principal, upon
receipt of written notice, or actual knowledge by the
attorney -in -fact, of the death of the principal, and further may
be terminated by the guardian of the estate of the principal
following court approval of such termination.
4. ACCOUNTING. The attorney -in -fact shall be required to
account to any subsequently appointed personal representative of
the principal.
5. RELIANCE. The designated and acting attorney -in -fact
and all persons dealing with the attorney -in -fact shall be
entitled to rely upon this Power of Attorney so long as neither
the attorney -in -fact nor any person with whom the
attorney -in -fact was dealing at the time of any act taken
pursuant to this Power of Attorney, has received actual knowledge
or written notice of revocation or termination of the Power of
Attorney, by death or otherwise. Any action so taken, unless
otherwise invalid or unenforceable, shall be binding on the
principal, heirs, devisees, legatees, guardians and personal
representatives of the principal.
6. INDEMNITY. The estate of the principal shall hold
harmless and indemnify the attorney -in -fact from all liabilities
or acts done in good faith and not in fraud of the principal.
7. APPLICABLE LAWS. The laws of the State of Washington
shall govern this Power of Attorney.
8. GUARDIAN. If it should become necessary to have a
guardian of my person and /or estate appointed, I nominate my
nephew, JAMES R. NELSEN.
9. POWERS. The attorney-in-fact, as fiduciary, shall have
all powers of absolute ownership of all assets and liabilities of
the principal of every kind and character, whether located within
or without the State of Washington and shall have all the powers
the principal would have if alive and competent, including but
not limited to the power to convey or encumber any real property
owned by the principal, and the powers granted over my assets and
liabilities as those granted to trustees over trust properties by

the Washington Trust Act of 1959 and any amendments thereto, both
of which are incorporated herein by this, reference, plus the
following powers:
A. Safety Deposit Box. The attorney -in -fact shall
have power and authority to enter and either add or
remove contents from any safety deposit box which I have.
B. Disclaimer. My attorney -in -fact shall have the
power to disclaim property on my behalf.
C. Insurance Policies. My attorney -in -fact shall
have power to change the beneficiary designations and /or
ownership on all insurance policies which I possess or
have an interest in.
D. Health Care Decision. My attorney -in -fact shall
have power to make health care decisions on my behalf.
This gives my attorney -in -fact the power to consent
to giving, withholding or stopping any health care
treatment, service, or diagnostic procedure. My
attorney -in -fact also has the authority to talk with
health care personnel, get information, and sign forms
necessary to carry out those decisions.
10. COMPENSATION. The attorney -in -fact shall be reimbursed
for all costs and expenses reasonably incurred, and shall receive
at least annually, without court approval, such reasonable
compensation for services performed as attorney -in -fact as is
customarily charged by the trust departments of banks in the
community for like services performed as attorney -in -fact and /or
guardian of the estate.
GIVING AND GRANTING unto my said attorney full power and
authority to do and perform all and every act and thing
whatsoever requisite and necessary to be done in and about the
premises as fully to all intents and purposes as I might or could
do if personally present; hereby ratifying and confirming all
that my said attorney -in -fact shall lawfully do or cause to be
done, by virtue of these presents.
