The Short Subdivision Committee meeting was called to order by Kjell Stoknes at 3:00 p.m. with the following members present: Kjell Stoknes, Hubert Crawley, Terry Monaghan. The first item of business was the McCann #294 Project located on the westerly end of the north access road lying just south of the Upland's Plat. Present representing the applicants were Jack Link of Tri -land Corporation and George Breisel of the McCann Construction Company. Mr. Link showed a new Binding Site Improvement Plan indicating the present location of the north access road. This was as required by the Short Subdi- vision Committee at their last meeting. After additional discussion, the Short Subdivision Committee approved the Binding Site Improvement Plan as requested. The applicant was informed of the procedural requirements to pursue prior to the City being able to issue a building permit. The next item under discussion was a Short Subdivision application submitted by Morris Piha for the Southcenter Investors. This is a request for a division of land commonly known as the VanWoerden Property lying east of Baker Boulevard and Christensen Road and west of and adjacent to the Green River. The proposal is to divide the property into four pieces for office development. The major items involved in this request are as follows: 6230 Southcentcr Boulevard n Tukwila, Washington 99188 a (206) 242 -2177 1. Divide the land into four pieces. 2. The City to accept a dedication of land along the river for purposes of a pedestrian and bicycle trail and park use. Final acceptance of this dedication would need to be by the City Council. 3. Allowing access to the property along a portion of Christensen Road presently used as a pedestrian /bicycle trail. This would have to be a decision by the City Council. 4. Vacation of a portion of Christensen Road lying south of Baker Boulevard. This would have to be a separate application made to the Tukwila City Council and final decision regarding vacation made by them. Discussion then evolved around the necessity for storm drainage to be retained on site and not added to the City's system on Christensen Road due to the pre- sent problems in that area, the necessity to bond for any public improvements proposed in any City rights -of -way, the method of accomplishing a dedication Short Subdivision Comm cee Minutes to the City in conjunction with the short plat, and the necessity for a title search on any property that is proposed to be dedicated. After further discussion, this item was tabled until June 20, 1978 at 3:00 p.m. in the Andover Park East Fire Station. The applicant is to come back and submit to the Short. Subdivision Committee information on the following items: 1. A proposed method to handle storm drainage without impacting the Christensen Road's system and further compounding the drainage problem in that area. 2. A proposed method to guarantee installation of all necessary improvements in the public rights -of -way, for example, a bond. Kjell Stoknes was to investigate through Larry Hard the appropriate method to . accomplish the dedication of a trail area and park along the river through the City Attorney. Chairman Fred Satterstrom convened the meeting at 2:30 P.M. Members also in attendance were Terry Monaghan, Public Works Director, and Hubert Crawley, Fire Chief. B.S.I.P. (BSH Investment Co.) (This item was continued from the 23 May 1978 meeting.) Herb Bittman, Dave Uhrich, and Ernie Patty represented the applicant. Mr. Patty submitted the utility and access easement granted from Associated Grocers to Sammamish Commercial Co. which extended from Southcenter Parkway to within 140' of the Unit "K" parcel. Discussion ensued regarding the definition of rail crossings within the property. Fire Chief stated that if Unit "K" was sprinkled, he had no critical concern about access to the structure. Moved by Mr. Crawley, seconded by Mr. Monaghan approve the B.S.I.P. as submitted with the condition that Unit "K" be fully sprinkled upon construction. Motion passed. B.S.I.P. (McCann Project #294 - Boeing) George Breule and Bill Rademaker were in attendance representing the applicant. Mr. Rademaker briefly explained the proposed B.S.I.P. Discussion ensued regarding the private easement road and cul -de -sac, and the problems of the turn -back to the City of Tukwila without a full cul -de -sac. Moved by Mr. Monaghan, seconded by Mr. Crawley to instruct the applicant to come back at a later date with a revised drawing showing alternative configuration of street and cul -de -sac. They reflect the suggested revisions made by the Planning Division on previous applications. Certificates #2 and #3 appear to be in order and I recommend signing them. The purchase price for the Sale Parcel to be paid by Purchaser to Seller shall be Eight Hundred Twenty Thousand Three Hundred Eleven Dollars and Fifteen Cents ($820,311.15), to be paid as follows: (a) Fifty Thousand Dollars ($50,000.00) cash upon execution of this agreement by Purchaser [the earnest money deposit in the amount of Fifty Thousand Dollars ($50,000.00) hereto- fore paid by Purchaser to Seller in connection with this transaction shall be credited to the payment required by this subparagraph (a)]; (b) Thirty -Seven Thousand One Hundred Fifty - Nine Dollars and Seventy Cents ($37,159.70) cash within ten (10) days after approval by City of Tukwila, King County, Washington (hereafter "City ") of a "Boundary Line Adjustment" appertaining to Parcel 1 mentioned above; and (c) The balance of said purchase price in the sum of Seven Hundred Thirty -Three Thousand One Hundred Fifty -One Dollars and Forty -Five Cents ($733,151.45) cash within ten (10) days after the approval by City of the plat of Upland's Tukwila Industrial Park as hereinafter in this agreement provided. • UIC LAW DEPARTMENT - DOCUMENT NO. C.D. 237 -9 Page 2 Said payments shall be paid at the office of the Assistant Treasurer of Seller, Suite 1200, One First National Center, Omaha, Nebraska 68102. Purchaser shall, upon the execution and delivery of this agreement, pay to Seller all fees required to be paid under the laws of the State of Washington for regis- tration of this agreement, and shall also reimburse Seller for all amounts expended for taxes which may be levied under the laws of the State of Washington against Seller on account of the indebtedness of Purchaser to Seller hereunder. This paragraph in no way will make Purchaser responsible for any of Seller's income taxes or capital gains taxes resulting from the sale of the Sale Parcel. Section 3. Pre and Post Sale Conditions. This agreement is made and executed by the parties hereto subject to the following: (a) Seller, in the event it has not hereto- fore done so, shall within ten (10) days following the execution of this agreement by the parties hereto file with City the proposed plat of Upland's Tukwila Industrial Park (Exhibit C) and, upon approval thereof by City, file said plat in the records of King County, Washington. In the event City shall fail to approve on or before September 30, 1977 a "Boundary Line Adjustment" appertaining to Parcel 1 mentioned above, then this agreement shall be null and void and without any force and effect as to Parcel 1. In the event City shall fail to approve Upland's Tukwila Industrial Park plat on or before September 30, 1977, then this agreement shall be null . and void and without any force and effect as to Parcels 2, 3, 4, 5, 6 and 7 mentioned above, and the payment made pursuant to Section 2(a) hereof shall be refunded by Seller to Purchaser. (b) Within one (1) year after the date of this agreement Purchaser, at its sole cost and expense, shall construct or cause to be constructed a thirty -foot (30') wide cul -de- sac extending from Andover Park West on the east to Lot 8 of proposed Upland's Tukwila Industrial Park on the west, upon, over and across Parcel 1 of the Sale Parcel (Midland Drive on Exhibit B) and such additional lands, to be acquired by Purchaser at Purchaser's sole cost and expense, immediately adjacent to and south of Parcel 1, as may be C JIC LAW DEPARTMENT DOCUMENT NO. C.D. 237 -9 Page 3 \:: necessary for the construction thereof. The construction of that cul -de -sac shall include, wihout limiting the same, all sub - grading, paving, curbs and gutters. That cul -de -sac shall be constructed by Purchaser in com- pliance with all ordinances, statutes and regulations of City and any sovereign body politic applicable thereto. Upon completion thereof, Purchaser shall convey and dedicate to City said cul -de -sac and right of way required therefor. Said cul -de -sac shall be assigned a name satisfactory to both Purchaser and City. (c) Within one (1) year after the date of this agreement Seller, at its sole cost and expense, shall construct or cause to be con- structed a forty -foot (40') wide cul -de -sac extending from Andover Park West on the east to Lot 5 of proposed Upland's Tukwila Industrial Park on the west, upon, over and across Upland Drive. The construction of that cul -de -sac shall include, without limit- ing the same, all sub - grading, paving, curbs and gutters. That cul -de -sac shall be con- structed by Seller in compliance with all ordinances, statutes and regulations of City and any sovereign body politic applicable thereto. Upon completion thereof, Seller shall convey and dedicate to City said cul -de- sac and right of way required therefor. Said • cul -de -sac shall be assigned a name satis- factory to both Seller and City. (d) In addition to the construction of the cul -de -sac by Seller as aforesaid, Seller agrees that within one (1) year after the date of this agreement Seller, at its sole cost and expense, shall construct or cause to be con- structed within the right of way to be granted to City for that cul -de -sac, a water main, sanitary sewer, storm drain and street light- ing, in compliance with all ordinances, statutes and regulations of City and any sovereign body politic applicable thereto. ., JIC LAW DEPARTMENT DOCUMENT NO. C.D. 237 -9 Page 4 The conditions set forth in this Section 3 shall survive and continue in full force and effect after the date of conveyance by Seller to Purchaser of the Sale Parcel as herein provided. Section 4. Delivery of Deeds;' Title Insurance; Condemnation. When Purchaser shall have paid to Seller the sums stated and in the manner set forth in paragraph (a) and (b) of this Section 4, and provided Purchaser shall not other- wise be in default hereunder, Seller will execute and de- liver to Purchaser Warranty Deeds conveying the Sale Parcel to Purchaser free from encumbrances, except as hereinbefore specified and except taxes and assessments to be paid by Purchaser as provided in Section 6 hereof, and except all liens, encumbrances, clouds upon, impairments of and defects in the title created or permitted to be created by Purchaser, Purchaser's heirs or assigns, after the date of this agree- ment and any and all restrictions and limitations imposed by public authority, including, but not limited to, building restrictions, zone restrictions and set back lines, if any; said conveyances to be subject also to the aforesaid ex- ceptions and reservations and conditions specified herein, and will also, at the same time deliver to Purchaser an owner's guaranty policy in the amount of the purchase price, issued by a reputable title insurance company guaranteeing title to the Sale Parcel in Seller. (a) Within ten (10) days after the approval by City of the "Boundary Line Adjustment" appertaining to Parcel 1, and payment by Purchaser to Seller of the sum of Thirty -Seven Thousand One Hundred Fifty -Nine Dollars and Seventy Cents ($37,159.70) cash as provided in Section 2(b) hereof, Seller will execute and deliver to Purchaser a warranty deed to Parcel 1 of the Sale Parcel. (b) Within ten (10) days after the approval by City of the plat of Upland's Tukwila Industrial Park, and payment by Purchaser to Seller of the sum of Seven Hundred Eighty - Three Thousand One Hundred Fifty -One Dollars and Forty -Five Cents ($783,151.45) cash [the sum of the payments required to be made by Purchaser to Seller under Sections 2(a) and 2(c) hereof], Seller will execute and de- liver to Purchaser a warranty deed to the remaining portion of the Sale Parcel. The appropriation and taking by any public author- ity of all or any part of the Sale Parcel, or of all or any part of the improvements thereon, shall not release Purchaser from the obligations of this agreement, but in such event the entire unpaid balance of said purchase price shall forthwith become due and payable from Purchaser • UIC LAW DEPARTMENT - DOCUMENT NO. Any amount re- ceived by Seller for said property in condemnation pro- ceedings shall be applied by Seller upon the unpaid balance of said purchase price. Seller shall not be obligated to convey to Purchaser the property so appropriated and taken. Section 5. Title to Property; Possession and Use; Liens. Purchaser and Seller agree that Purchaser shall not have possession of the Sale Parcel, or any portion thereof, until Purchaser shall have made all payments re- quired to be made by Purchaser with respect thereto and until Seller shall have executed and delivered deeds as herein provided with respect thereto; it being the in- tention of the parties that title to the Sale Parcel and any and all improvements now or hereafter located thereon shall be and remain vested in Seller until payment in full is made with respect thereto and deeds therefor have been executed and delivered by Seller to Purchaser. In the event at any time during the term of this agreement Seller hereafter grants authority to Purchaser to go upon the Sale Parcel or any portion thereof, Pur- chaser covenants and agrees to pay in full for all mater- ials joined or affixed to the Sale Parcel and to pay in full all persons who perform labor upon said premises, and not to permit or suffer any mechanic's or materialman's lien of any kind or nature to be enforced against the Sale Parcel for any work done or materials furnished thereon at the instance or request or on behalf of Purchaser; and Pur- chaser agrees to indemnify and hold harmless Seller against and from any and all liens, claims, demands, costs and ex- penses of whatsoever nature in any way connected with or growing out of such work done, labor performed or materials furnished. Section 6. Payment of Taxes; Indemnification. Purchaser agrees to pay, during the life of this agreement, to the proper collecting officers before the same shall become delinquent all taxes and all assessments, general and special, and all unpaid installments of assessments levied upon or assessed against the Sale Parcel (and all improvements thereon) which may become due and pay- able subsequent to the date of possession as hereinabove provided, but Seller may, at any and all times, pay the same and discharge the lien thereof, in which event Pur- chaser shall promptly reimburse Seller for such payments made by it, together with interest at the rate of ten per- cent (10 %) per annum from the date of payment by Seller. Purchaser, in addition to any and all other con- siderations and indemnities contained in this agreement, shall protect., indemnify and hold harmless Seller and its property against and from any expense or liability directly arising from (a) any act or omission Purchaser's agents or emp (b) breach by Purchaser terms, provisions, condit ants in this agreement co provided to be kept, obse performed by Purchaser; (c) the use by or with mission or consent of Pur Parcel for any purpose fo agreement; and (d) injury to or death ever or loss, damage or d property whatsoever direc caused by or in any manne f persons whomso- struction of ly or indirectly resulting from any dangerous or defective condition in, upon or about the Sale Parcel, irrespective of whether the same be k own or unknown, concealed or disclosed, whether the same existed this agreement takes eff later time. Said insur- ance shall be carried in an amount equal to the full insurable value of said improvements, and the premiums for said insurance shall be paid by Purchaser. Purchaser shall furnish to Seller a duplicate of the policy or policies evidencing the insurance obtained. Section 8. Time of Essence; Default; Attorneys' Fees; Waiver of Breach. It is understood and agreed that time is of the essence of this agreement and in the event Purchaser shall in any respect fail to make the payments when and as in this agreement provided, or to keep, observe and perform at the time and in the manner provided in this agreement each and all of the terms, provisions, conditions and covenants in this agreement contained to be done, kept, observed and performed by Purchaser and if Purchaser shall not, within a period of thirty (30) da after written notice from Seller to Purchaser specifying the default, commence to remedy it and thereafter diligently proceed to remedy it, then and in either of such events Seller may, without exclusion of, and without prejudice to, any other remedies available to Seller in the premises, im- mediately or at any time thereafter, (1) enter upon the Sale Parcel or any part thereof in the name of the whole and retake possession of the land to be sold hereunder and buildings and other improvements thereon and exclude therefrom Purchaser and those claiming by, through or under Purchaser (re- moving their property and property in their custody, forcibly if necessary) and terminate this agreement, in which event all interest of Purchaser in the Sale Parcel shall forth- with terminate and all payments which shall have been made theretofore under this agree- ment shall be deemed and held to be the property of Seller as liquidated damages for nonperformance of this agreement by Pur- chaser; or (2) declare the whole of said purchase price and any and all sums added thereto pursuant to this agreement immediately due, owing and payable, and (a) reclaim possession of said property and sell all or any part thereof at public or private sale, with or without notice, pay all expense thereby incurred and apply the net proceeds upon the balance unpaid of said purchase price and any other amounts due from or payable by Purchaser, and Purchaser agrees to pay any balance then remaining unpaid after the applica- tion of the proceeds of said sale as aforesaid; or (b) treat Seller's reservation of title to the Sale Parcel as a lien thereon as security for the payment of the balance of said purchase price, and foreclose such lien by suit in the usual manner, and if there is any deficiency due Seller after the application of the pro- ceeds of such foreclosure sale to the amounts decreed to be due Seller, then Pur- chaser agrees to pay such balance and agrees that such decree of foreclosure shall so provide; or (c) recover by an action or actions at law against Purchaser, the unpaid portion of said purchase price and any and all other sums due or owing under and by virtue of this agree- ment, and the prosecution of any such action or any and all successive or separate actions or the recovery of judgment in any or all of said actions shall not operate as a waiver, release or transfer by Seller of title to said property; or (d) have and exercise a right of action or of suit against Purchaser for the specific performance of this agreement and /or for the unpaid portion of said pur- chase price and any and all other sums due or owing under and by virtue of this CUIC LAW DEPARTMEN T DOCUMENT NO. C.D. 237 -9 Page 9 agreement, and may retake possession of said real property as security therefor; or (3) have, exercise and enjoy any other remedy or right which law or equity affords in the premises. In the event Seller shall commence any suit, action or other proceeding of any character to enforce this agreement or any part thereof, or to collect any monies be- coming due under this agreement, Purchaser agrees to and will pay such additional sum as the court may adjudge to be reasonable as attorneys' fees for the bringing of such suit, action or proceeding. Waiver by Seller of a breach of covenant in any particular instance shall not be deemed or construed to be a waiver of any subsequent breach. • Section 9. Notices. Notices under this agreement to be given by either party to the other shall be properly given or made if in writing and delivered or mailed, first class, postage prepaid, to Seller at Suite 1200, One First National Center, Omaha, Nebraska 68102, or to Purchaser at Suite 1120, 1141 Fourth Avenue Building, Seattle, Washington 98901, or at such other address as a party shall previously designate in writing. ,Section 10. Assignment. Purchaser shall not transfer or assign this agreement, or any interest therein, without the consent in writing of Seller, and it is agreed that any such transfer or assignment, whether voluntary, by operation of law or otherwise, without such consent in writing, shall be absolutely void and shall, at the option of Seller, terminate this agreement. UIC LAW DEPARTMENT R- DOCUMENT NO. C.D. 237 -9 Page 10 Section 11. Law Governing. This agreement shall be governed in all respects by the laws of the State of Washington. Section 12 . No Brokers. The negotiations relative to this agreement and the transactions contemplated hereby have been carried on by the parties without the intervention of any person which would give rise to any valid claim against either of the parties hereto for brokerage commissions or other like payment. Each party hereto shall indemnify and hold harmless the other party against and from any and all claims for brokerage commission or other like payment arising out of the transactions contemplated by this agreement and occasioned by the actions of such indemnify- ing party. Section 13. Successors and Assigns. Subject to the provisions of Section 10 hereof, this agreement shall be binding upon and inure to the benefit of the parties hereto, their heirs, executors, administrators, successors and assigns'. Section 14. Amendment; Headings of Sections. This agreement contains the entire agreement between the parties hereto with respect to the trans- actions contemplated in this agreement and may not be modified or amended except by a written instrument exe- cuted by each of the parties hereto. The headings of the Sections of this agreement have been inserted for convenience of reference only and shall not affect any construction or interpretation of this agreement.
