VAN WOERDEN SHORT SUBDIVISION After considerable discussion on the above - referenced item,'a motion was made by Terry Monaghan to improve the short subdivision subject to the submitted site plan and improvement or bonding of public improvements'prior to filing of the short subdivision per the Subdivision Code. It was further understood that all the requirements of the Short Subdivision Ordinance were to be complied with. Discussion also occurred related to need for application of grading permits prior to bringing any fill on the property and compliance with King County Hydraulic easement requirements in the 30 feet adjacent to the top of bank. Specifically, that 14 feet of level area on the dike needed to be available for access by King County Hydraulics. vehicles. Further that they were to be involved in any reviews for grading permits on the property. It was understood by all present that any dedications to the City of Tukwila would have to be formally accepted by the Tukwila City Council before being final and that any vacation of public rights -of -way would have to be addressed through the City Council and formally vacated by the City Council prior to any vacations being final. Specifically, the subdivision, as it effects dedication and vacation of lands, is only good subject to approval by the Tukwila City Council. FROM: Kjell Stoknes SUBJECT: Variance related to Short Plat During the evening of July 17, 1978. the. City Council at a regular meeting approved the dedication of the land and path strip for dedication to the City of Tukwila. In my discussions with the applicant, it is their intent not to record the Short Subdivision until just prior to the City Council acting on the street vacation and variance application for setbacks on the north portion of the property. The Shoreline Permit was not advertised after receipt. Consequently, both the variance application and shoreline permit were advertised together on July 12, and 19. Pursuant to recent discussion we had, it is apparent that all gifts be accepted by the City Council. The attached proposed ordinance should accomplish this if the City Council is desirous of the land coming into the ownership of the City of Tukwila. It is my recommendation that the City accept this dedication in that it does implement one (1) element of the Tukwila Parks and Recreation Program. (Reference Map on page 42, item 9.) A rivers edge trail on the east and park land on the west is hereby accepted by the City of Tukwila as City park property pursuant to the attached map and legal descriptions. (SEE, Exhibit "A" and Exhibit "B" attached.) Section 2. This land dedication is a desirable element of the Tukwila Park and Open Space system and is a significant asset to the public. Section 3. The dedication of this land to the City of Tukwila is consis- tent with the goals and policies of the Shoreline Master Program in that it does provide maximum access of the public to, the Green River. This approved short subdivision contains a 20 -foot river trail dedication and a portion of property on the north end for park purposes. It does implement the adopted Park Plan for the City of Tukwila and appears to be consistent with the City's goals. It is my understanding that any acceptance of land on the part of the City of Tukwila has to be approved by the Tukwila City Council. Therefore, I propose that this item be on the Tukwila City Council agenda on July 10, 1978, showing the attached short subdivision and the land area proposed to be dedicated to the City of Tukwila. The Short Subdivision Committee meeting was called to order by Kjell Stoknes at 3:00 p.m. with the following members present: Kjell Stoknes, Hubert Crawley, Terry Monaghan. The first item of business was the McCann #294 Project located on the westerly end of the north access road lying just south of the Upland's Plat. Present representing the applicants were Jack Link of Tri -land Corporation and George Breisel of the McCann Construction Company. Mr. Link showed a new Binding Site Improvement Plan indicating the present location of the north access road. This was as required by the Short Subdi- vision Committee at their last meeting. After additional discussion, the Short Subdivision Committee approved the Binding Site Improvement Plan as requested. The applicant was informed of the procedural requirements to pursue prior to the City being able to issue a building permit. The next item under discussion was a Short Subdivision application submitted by Morris Piha for the Southcenter Investors. This is a request for a division of land commonly known as the VanWoerden Property lying east of Baker Boulevard and Christensen Road and west of and adjacent to the Green River. The proposal is to divide the property into four pieces for office development. The major items involved in this request are as follows: 1. Divide the land into four pieces. 2. The City to accept a dedication of land along the river for purposes of a pedestrian and bicycle trail and park use. Final acceptance of this dedication would need to be by the City Council. 3. Allowing access to the property along a portion of Christensen Road presently used as a pedestrian /bicycle trail. This would have to be a decision by the City Council. 4. Vacation of a portion of Christensen Road lying south of Baker Boulevard. This would have to be a separate application made to the Tukwila City Council and final decision regarding vacation made by them. A standard "Devel- oper's Agreement" was then ex- ecuted and the improvements con- structed. The following.'year, Council adopted resolution No. 703 accepting the improvements as complete and consistent with the terms: of the development agreement. The developer's title company agent has asked that the devel- opers agreement be removed as a title encumbrance, since the terms thereof have been satis- fied. Staff has no objection to removing the agreement from the title record, since the one- year post - construction mainte-. nance bond has expired. Plans.shell specifically include a sidewalk on the eastern portion of the proposed roadway section to be constructed to City specifications. 5. No construction stall be commenced before the Public Works Director of the City of Tukwila or his designee (herein called 'DIRECTOR ") has notified Developer in writing that the plans and specifications have been approved. • 6. The Director shall perform all inspection of the Development and no Development facilities shall be covered prior to inspection. If any work shall be covered prior to inspection, it must, if required by the Director, be uncovered for examination at the Developer's cost. Developer agrees to comply with all City's reasonable inspection requirements. Developer shall maintain at the construction area at all times during construction a representative to whom the Director's notices may be given during construction. Upon completion of construction and upon the cer- tification from the Director that the Development meets the minimum standards of the City, Developer shall convey to City all permanent facilities of the Development fret and clear of any and all lions and other encumbrances together with necessary easements for general utility construction and maintenanco. S. Developer shall notify City of the date the work and construction described in this Agreement shall commence. Said notice shall be given not less than seven (7) days before said commencement date. After the work is commenced, it shall be promptly carried to completion in a workmanlike manner, provided that Developer's obligation to complete the Development shall be extended in the event of circumstances beyond Developer's control, including but not limited to fire, flood, snow, freezing, rainfall, unusual weather con- ditions, acts of God, labor disputes including strikes and lockouts, acts of war, riots, government priorities and availability of materials. S. Developer may prepare and call for bids for con- struction described herein or negotiate a construction agreement for said construction; however, no construction agreement shall be executed prior to approval of such agreement by the Director for the purpose of maintaining City construction and material standards and inspection rights. 10. Developer will procure all necessary State, County and local licenses, bonds and permits for construc- tion and will meet all applicable Federal, State and local laws. 11. Testing all systems within the Development shall be performed as required by the Director in accordance with City requirements to detemine that such systems con- form to the plans and specifications. 12. In the event that defects due to faulty labor, workmanship or materials appear in the Development within one (1) year from date of completion, Developer shall, at his sole expense, correct the same to the satisfaction of City. 13. Developer hereby agrees to indemnify and hold City harmless from any and all claims which may be asserted against City as a result of the construction of maintenance of the work described in this Agreement prior to acceptance by City. Developer shall maintain in full force and effect during construction liability insurance in such form and amounts satisfactory to City. • -3- • .%.�� 14. City and Developer agree that in carrying out the terms of this Agreement, Developer shall be acting as an independent contractor and in no respect shall be deemed an agent of City: 15. When notified by the Dirctor to make any changes or corrections to conform to the plans and specifications, Developer shall promptly make said changes or corrections at Developer's sole expense. CITY OF TUKW1 WASHINGTON RESOLUTION NO.. 7 A RESOLUTION OF THE CITY OF TUKWILA, WASHINGTON, ACCEPTING A QUIT CLAIM DEED AND BILL OF SALE FOR ROADWAY IMPROVEMENTS AND UTILITIES ALONG CHRISTENSEN ROAD. WHEREAS, Southcenter Investors, a joint venture, pursuant to the requirements of Short Plat No. 78 -16 -55 (Recording No. 79- 060 - 50098) has completed construction of a cul -de -sac street and installation of utilities along the right -of -way known as Christensen Road, and WHEREAS, the Developer further wishes to dedicate said improve- ments to the City, along with property for the cul -de -sac, a City Park, and River Trail, and WHEREAS, inspection indicates that the street improvements and utilities have been completed in accordance with the plans and specifications approved by the Public Works Department, and WHEREAS, Dick Reeves, P.E., Wilsey & Ham, Inc., in a letter dated July 20, 1979, has recommended that this project be accepted by the City of Tukwila. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA, WASHINGTON, DO RESOLVE AS FOLLOWS: The, Tukwila City Council hereby accepts the dedication of the street improvements along Christensen Road, along with that portion of land necessary to build a cul -de -sac and property for a City Park site and River Trail System. And further accepts the Bill of Sale for all water lines, sanitary sewer lines and street improvements located within the'street right -of -way. Roadway and utilities are located as described in Exhibits A, B, and C of the Quit Claim Deed and Exhibit A of the Bill of Sale. All Exhibits are attached hereto. Termination of Contract. This Contract may be terminated by either party upon thirty (30) days' written notice, given by certified mail, return receipt requested, addressed to the other party . at its usual place of business. In the event this Contract is terminated by the Consultant, City will be entitled to reim- bursement of reasonable costs occasioned by such termination. If termination is without cause, City shall have the right to damages arising out of said termination. In the event City terminates this Contract, the City will pay Consultant for work performed, up to the time of such termination, an amount equal to Contractor's salary with benefits and related overhead costs plus direct out -of- pocket expenses incurred in the direct interest of the work multiplied by a factor of 1.10. If any work covered by this Contract shall be suspended or abandoned by City before Consultant has completed its work, the Consultant shall be paid for services performed, up to the time of such termination or suspension, an amount equal to Con- sultant's salary with benefits and related overhead costs plus direct out -of- pocket expenses incurred in the direct interest * a the work multiplied by a factor of 1.10. 8. Equal Employment Opportunities. Additional Instruments. Upon written request, each of the parties hereto shall execute and deliver, or cause to be exe- cuted and delivered, such additional instruments and documents which may be necessary and proper to carry out the terms of this Contract. 11. Construction of Contract. The terms and provisions of this Contract shall not be construed to alter, waive or affect any lien or stop notice rights which the Consultant may have for the performance of services under this Contract. 12. Provisions of Contract. In the event any provision of this Contract shall be held to be invalid and unenforceable, the other provisons of this Contract shall ,be valid and binding upon the parties hereto. 13. Litigation. In the event that litigation is instituted under the terms and conditions of this Contract, the prevailing party shall be entitled to its costs and reasonable attorney's fees. 14. Liability of Consultant. Consultant is protected by Work- men's Compensation Insurance and /or employer's liability- insurance and by public liability insurance for bodily injury in the amount of $100,000.00 - $300,000.00, and property damage with a limit of $100,000.00 and will furnish certificates thereof on request. Con- sultant agrees to indemnify and save and hold harmless City from and against loss, damage, injury or liability arising directly from negligent acts or omissions of the Consultant's employees, agents, subcontractors and subcontractor's employees and agents. Mr. David Oak, applicant, stated at the southeast corner of the Canyon Estates project is a small, rectangular parcel of .38 acres upon which he would like to develop a 3 story 14 unit condominium. The site is currently zoned RMH, permitting a density of 40 units per acre. The Comprehensive Plan calls for medium density development limit of a maximum density of 16 units per acre. The waiver is necessary because of the conflict which exists between permitted building intensity levels of the site's current zoning classification and Comprehensive Pla use designation. Mr. Oak said he intended to provide a recreation area; one half would be open and the other half would be covered. Councilman Bohrer said he noted there are two pieces of property and the waiver request is for the one. Mr. Oak said that was correct, they have'plans to build a similar appearing 4 unit project on the south. It is consistent with both the existing zoning and the Comprehensive Plan. The waiver pertains to the northerly 14 unit project. Councilman Bohrer asked if most of Canyon Estate is zoned RMH? Mr. Oak said it is in R -4 density and their project is about R -4 and on the same scale. Some of the units will be one bedroom and some two bedroom Council President Van Dusen noted that staff recommendation was that the waiver be approved with stipulations that: maximum residential density shall not exceed 24.9 units per acre and height, yard and bulk standards contained in Chapter 18.16 of the T.M.C. govern the design and construction of the project. MOTION WITHDRAWN BY COUNCILMEN HARRIS AND PHELPS. Jacob Macias, Grants Coordinator, said we are on our third extension for committing the $20,810 in Interurban Avenue Corridor funds. The expiration of this project is June 30, 1981 and the funds must be committed by then. We have four alternatives: (1) Commit the funds to improve Interurban Avenue; (2) Do nothing; (3) Reallocate funds to an existing project; (4) Reallocate funds to a new project or projects. If the funds are committed toward improving Interurban Avenue, we need to identify the items on which the money is to be spent and take action. If nothing is done the project will expire, but we would still have the money available and it would have to be used on other projects acceptable to King County Block Grant administrators. The simplest alternative is to reallocate funds to an existing block grant project. The only block grant project that funds could be diverted to is the community center. The final alternative is to reallocate the money to a new project. The project(s) would have to be submitted to the King County Joint Policy Committee for approval. There could be considerable amount of time involved in this alternative. Councilman Bohrer said this matter was discussed at the Community Affairs Committee meeting and it was determined the funds should remain allocated to the Interurban Avenue Corridor project. He said he would like to proceed and get action initiated on this. Hubert Crawley, Fire Chief, said he had been notified that the King . County Emergency Medical Services will terminate the Defibrillation Program effective March 1981. He said the defibrillator has been carried in the aid cars throughout King County for the last three years. It has been recognized that prompt attention by EMT personnel with the defibrillator has increased the survival rate of coronaries several times. The defibrillator has been utilized within the City of Tukwila at least 150 times during the last eight months. The cost of the unit, if purchased during March, will be approximately $5,500. This will be a reconditioned unit. Firefighters will have to have upgrade training periodically to maintain skill levels. This will take an estimated 30 hours overtime each year. The cost of supplies is estimated at $100 per year. Funds for the purchase will have to be provided from other sources than the Fire Department budget. It is suggested these funds be provided from the.Contingency Fund in the amount of $5,500. If we wait to purchase at a later date the cost will be $9,500 and the service level will be lost during the interim. Councilman Phelps asked how many firefighters are trained to use this equipment. Chief Crawley said 8 firefighters are trained by King County. Chief Crawley said the units are presently owned by Physio Control who makes and owns them. They are on loan to Tukwila by King County. DEFINITION OF TERMS The following terms when used in this policy mean: (a) "insured ": the insured named in Schedule A, and, subject to any rights or defenses the Company may have had against the named in- sured, those who succeed to the interest of such insured by operation of law as distinguished from purchase including, but not limited to, heirs, distributees, devisees, survivors, personal representa- tives, next of kin, or corporate or fiduciary successors. (b) "insured claimant ": an insured claiming loss or damage hereunder. (c) "knowledge ": actual knowledge, not constructive knowledge or notice which may be imputed to an insured by reason of any public records. (d) "land ": the land described, speci- fically or by reference in Schedule C, and improve- ments affixed thereto which by law constitute real property; provided, however, the term "land" does not include any property beyond the lines of the area specifically described or referred to in Schedule C, nor any right, title, interest, estate or easement in abutting streets, roads, avenues, alleys, lanes, ways or waterways, but nothing herein shall modi- fy or limit the extent to which a right of access to and from the land is insured by this policy. (e) "mortgage ": mortgage, deed of trust, trust deed, or other security instrument. (f) "public records ": those records which by law impart constructive notice of matters relating to said land. 2. CONTINUATION OF INSURANCE AFTER CONVEYANCE OF TITLE The coverage of this policy shall continue in force as of Date of Policy in favor of an insured so long as such insured retains an estate or interest in the land, or holds an indebtedness secured by a pur- chase money mortgage given by a purchaser from such insured, or so long as such insured shall have liability by reason of covenants of warranty made by such insured in any transfer or conveyance of such estate or interest; provided, however, this policy shall not continue in force in favor of any purchaser from such insured of either said estate or interest or the indebtedness secured by a purchase money mortgage given to such insured. 3. DEFENSE AND PROSECUTION OF AC- TIONS — NOTICE OF CLAIM TO BE GIVEN BY AN INSURED CLAIMANT (a) The Company, at its own cost and with- out undue delay, shall provide for the defense of an CONDITIONS AND STIPULATIONS insured in all litigation consisting of actions or Proceedings commenced against such insured, or a defense interposed against an insured in an action to enforce a contract for a sale of the estate or interest in said land, to the extent that such liti- gation is founded upon an alleged defect, lien, encumbrance, or other matter insured against by this policy. (b) The insured shall notify the Company promptly in writing (i) in case any action or pro- ceeding is begun or defense is interposed as set forth in (a) above, (ii) in case knowledge shall come to an insured hereunder of any claim of title or interest which is adverse to the title to the estate or interest, as insured, and which might cause loss or damage for which the Company may be liable by virtue of this policy, or (iii) if title to the estate or interest, as insured, is rejected as un- marketable. If such prompt notice shall not be given to the Company, then as to such insured all liability of the Company shall cease and terminate in regard to the matter or matters for which such prompt notice is required; provided, however, that failure to notify shall in no case prejudice the rights of any such insured under this policy unless the Company shall be prejudiced by such failure and then only to the extent of such prejudice. (c) The Company shall have the right at its own cost to institute and without undue delay prosecute any action or proceeding or to do any other act which in its opinion may be necessary or desirable to establish the title to the estate or in- terest as insured, and the Company may take any appropriate action under the terms of this policy, whether or not it shall be liable thereunder, and shall not thereby concede liability or waive any provision of this policy. (d) Whenever the Company shall have brought any action or interposed a defense as re- quired or permitted by the provisions of this policy, the Company may pursue any such litigation to final determination by a court of competent juris- diction and expressly reserves the right, in its sole discretion, to appeal from any adverse judgment or order. (e) In all cases where this policy permits or requires the Company to prosecute or provide for the defense of any action or proceeding, the in- sured hereunder shall secure to the Company the right to so prosecute or provide defense in such ac- tion or proceeding, and all appeals therein, and per- mit the Company to use, at its option, the name of such insured for such purpose. Whenever requested by the Company, such insured shall give the Company all reasonable aid in any such action or proceeding, in effecting settlement, securing evi- dence, obtaining witnesses, or prosecuting or de- fending such action or proceeding, and the Company shall reimburse such insured for any expense so incurred. 4. . NOTICE OF LOSS — LIMITATION OF ACTION In addition 'to the notices required under paragraph 3(b) of theseConditions and Stipulations, a statement in writing of any loss or damage for which it is claimed the Company. is liable under this policy shall be furnished to the Company within 90 days after such loss or damage shall have been determined and no right of action shall accrue to an insured claimant until 30 days after such statement shall have been furnished, Failure to furnish such statement of loss or damage shall terminate any liability of the Company under this policy as to such loss or damage. 5. OPTIONS TO PAY OR OTHERWISE SET- TLE CLAIMS The Company shall have the option to pay or otherwise settle for or in the name of an insured claimant any claim insured against or to terminate all liability and obligations of the Company here- under by paying or tendering payment of the amount of insurance under this policy together with any costs, attorneys' fees and expenses in- curred up to the time of such payment or tender of payment, by the insured claimant and authorized by the Company. 6. DETERMINATION AND PAYMENT OF LOSS (a) The liability of the Company under this policy shall in no case exceed the least of: (i) the actual loss of the insurec claimant; or (ii) the amount of insurance stated it Schedule A. (b) The Company will pay, in addition to any loss insured against by this policy, all costs im posed upon an insured in litigation carried on by the Company for such insured, and all costs, attorneys' fees and expenses in litigation carried on by such insured with the written authorization of the Company. (c) When liability has been definitely fixec in accordance with the conditions of this policy, the loss or damage shall be payable within 30 day! thereafter. (Continued on inside back cover) 7. LIMITATION OF LIABILITY No claim shall arise or be maintainable under this policy la) if the Company, after having received notice of an alleged defect, lien or encumbrance in- sured against hereunder, by litigation or otherwise, removes such defect, lien or encumbrance or es- tablishes the title, as insured, within a reasonable time after receipt of such notice; (b) in the event of litigation until there has been a final determina- tion by a court of competent jurisdiction, and dis- position of all appeals therefrom, adverse to the title, as insured, as provided in paragraph 3 hereof; or (c) for liability voluntarily assumed by an in- sured in settling any claim or suit without prior written consent of the Company. 8. REDUCTION OF LIABILITY All payments under this policy, except pay- ments made for costs, attorneys' fees and ex- penses, shall reduce the amount of the insurance pro tanto. No payment shall be made without producing this policy for endorsement of such payment unless the policy be lost or destroyed, in which case proof of such loss or destruction shall be furnished to the satisfaction of the Company. 9. LIABILITY NONCUMULATIVE I t is expressly understood that the amount of insurance under this policy shall be reduced by any amount the Company may pay under any policy insuring either (a) a mortgage shown or referred to in Schedule B hereof which is a lien on the estate or interest covered by this policy, or (b) a mortgage hereafter executed by an insured which is a charge or lien on the estate or interest described or re- ferred to in Schedule A, and the amount so paid shall be deemed a payment under this policy. The Company shall have the option to apply to the pay- ment of any such mortgages any amount that otherwise would be payable hereunder to the in- sured owner of the estate or interest covered by this policy and the amount so paid shall be deemed a payment under this policy to said insured owner. CONDITIONS AND STIPULATIONS (Continued from inside front cover) 10. APPORTIONMENT If the land described in Schedule C con- sists of two or more parcels which are not used as a single site, and a loss is established affecting one or more of said parcels but not all, the loss shall be computed and settled on a pro rata basis as if the amount of insurance under this policy was di- vided pro rata as to the value on Date of Policy of each separate parcel to the whole, exclusive of any improvements made subsequent to Date of Policy, unless a liability or value has otherwise been agreed upon as to each such parcel by the Company and the insured at the time of the issuance of this policy and shown by an express statement herein or by an endorsement attached hereto. 11. SUBROGATION UPON PAYMENT OR SETTLEMENT Whenever the Company shall have settled a claim under this policy, all right of subrogation shall vest in the Company unaffected by any act of the insured claimant. The Company shall be subro- gated to and be entitled to all rights and remedies which such insured claimant would have had against any person or property in respect to such claim had this policy not been issued, and if requested by the Company, such insured claimant shall transfer to the Company all rights and remedies against any person or property necessary in order to perfect such right of subrogation and shall permit the Company to use the name of such insured claimant in any transaction or litigation involving such rights or remedies. If the payment does not cover the loss of such insured claimant, the Company shall be subrogated to such rights and remedies in the pro- portion which said payment bears to the amount of said loss. I f loss should result from any act of such insured claimant, such act shall not void this policy, but the Company, in that event, shall be required to pay only that part of any losses insured against hereunder which shall exceed the amount, if any, lost to the Company by reason of the impairment of the right of subrogation. • 12. LIABILITY LIMITED TO THIS POLICY This instrument together with all endorse- ments and other instruments, if any, attached hereto by the Company is the entire policy and contract between the insured and the Company. Any claim of loss or damage, whether or not based on negligence, and which arises out of the status of the title to the estate or interest covered hereby or any action asserting such claim, shall be restricted to the provisions and conditions and stipulations of this policy. No amendment of or endorsement to this policy can be made except by writing endorsed hereon or attached hereto signed by either the Presi- dent, a Vice President, the Secretary, an Assistant Secretary, or validating officer or authorized signa- tory of the Company. 13. WHEREAS, the City's adopted Park and Open Space Plan, as adopted by Ordinance #964, shows this piece of property as desirable park property for the City of Tukwila.
