MEMORANDUM OF LEASE

THIS MEMORANDUM OF LEASE is made and entered into this A 'day of
, 1982, by and between HERMAN SCHOENBACHLER and
RUTH SCHOENBACHLER, husband and wife, and ROBERT W. SCHOENBACHLER, a married
man, as his separate property (hereinafter called "Lessor "), and JACK A.
BENAROYA COMPANY, a Washington corporation (hereinafter called "Lessee "),
as follows:
1. Term and Premises. Lessor leases to Lessee and Lessee leases from
Lessor that certain real property located in Tukwila, Washington, legally
described as follows:
Those portions of the southwest quarter of the northeast
quarter and southeast quarter of the northwest quarter, all
in Section 35, Township 23 North, Range 4 East, W.M., in
King County, Washington, more particularly described as
follows:

along the north line of said subdivision, 449.30 feet;

of South 180th Street and the true point of beginning;

feet; thence S 58Q20 W, 74.23 feet to the easterly
margin of 57th Avenue South (Southcenter Parkway); thence
N 08 °43'18" E along said easterly margin, 316.06 feet;
thence N 14 °46'53" E along said easterly margin, 63.77
feet; thence on said easterly margin along a curve to the
right having a radius of 50 feet through a central angle
of 76 °18'21 ", an arc distance of 66.59 feet; thence
S 88 ° 54'46" E along the southerly margin of said South
180th Street, 485.16 feet to the true point of beginning
(hereinafter called "the Premises "), for a term of one (1) year commencing
June 1, 1982, together with options in favor of Lessee to extend the term
for two (2) successive periods of one (1) year each commencing at the
expiration of the initial term, as more fully described in a Lease dated
April 28, 1982. Under the provisions of such Lease, Lessee may use the
Premises for a parking lot.
2. Right of First Refusal. Pursuant to Article 15 of such Lease,
Lessor grants to Lessee a right of first refusal with respect to bona fide
offers from third parties with respect to purchase or lease of the Premises
under the terms and conditions therein specified.

3. Purpose. This Memorandum of Lease is prepared for purposes of
recordation only, and in no way modifies the provisions of the Lease.
IN WITNESS WHEREOF, the parties have executed this Memorandum of Lease
on the date first above written.
