This DECLARATION OF UTILITIES EASEMENT AGREEMENT (this Q
"Declaration ") is made effective as of , 1999, by MBK NORTHWEST, a 1 z

C. Declarant wishes to establish certain reciprocal non - exclusive u. ~o',
easements for the purposes of providing Utility Systems (as that term is defined ui Z
below), to each of the three (3) Parcels. c)

D. As used herein, the term "Parcel" shall mean any numbered lot Z
or parcel shown on a recorded subdivision map or recorded parcel map of all or any
portion of the Property. To the extent applicable, the term "Parcel" shall also
include easement rights appurtenant to any Parcel to the extent such easements are
located adjacent to such Parcel.
NOW THEREFORE, Declarant hereby declares as follows:
Declarant does hereby establish a nonexclusive easement under,
through and across the Property for the purposes of providing water drainage
and /or stormwater retention systems or structures, water, gas and sewer mains,
water sprinkler system lines, cable, telephone or electrical conduits or systems, and
other public utilities and service easements (collectively, the "Utility Systems ");
provided that Declarant reserves the exclusive right to install, construct, erect,
locate, relocate, repair, maintain and control such Utility Systems on any portion of
the Property from time to time owned by Declarant. All such Utility Systems
existing as of the date hereof are hereby approved and each owner of any Parcel
( "Owner ") agrees to reasonably approve any such Utility Systems reasonably
required for another Parcel provided that any such additional Utility Systems shall
be installed and maintained below the ground level or surface of each Parcel in
compliance with all applicable Governmental Regulations, and in such a manner so
as not to interfere with any building from time to time located on, �r surface use of,
the Property. The exercise of the above rights and easements shall not unreasonably
interfere with the occupancy of any Owner or such Owner's tenant(s) within the
Property. Declarant shall not be responsible for any reasonable interruption of
utility service or damage or inconvenience arising from such work relating to the
exercise of such rights and easements; provided that Declarant shall exercise
Declarant's reasonable efforts during the performance of such work to not
unreasonably interfere with the business operation of any Owner or such Owner's
tenant(s).
In making use of the easement, each Owner (the "Owner ") shall
indemnify Declarant and each other Owner against any and all loss and liability
which may result from any negligent act or omission of the Owner in the exercise of
its rights hereunder and hold Declarant and each other Owner harmless against
claims including costs and attorneys' fees arising from the Owners' use of such area.
The easements set forth herein shall run with the land and shall be
binding upon, and inure to the benefit of, the successors and assigns of Declarant.

CIVIL ENGINEERING, LAND PLANNING, SURVEYING, ENVIRONMENTAL SERVICES
November 23, 1999
In accordance with your October 25, 1999, comments, and the additional comments provided by the City of
Tukwila Public Works Department, we have revised the final short plat drawings. Previously, on
September 21, 1999, both the revised preliminary short plat drawings and the final short plat drawings were
submitted. At this time, enclosed is one set of the final short plat drawings for your review.
The following comments are in response to the items raised by the City of Tukwila, and are numbered
according to the items in your October 25, 1999, letter, and according to our November 18, 1999,
conversation:
1. The redlines made by the Public Works Department to the existing and proposed legal descriptions
have been revised as necessary. In addition, the revised legal descriptions match the proposed
legal descriptions for the intended reciprocal easements.
2. Since we will be recording the existing, signed owner' s declaration sheet as a separate document
with King County, the full owner's declaration has been removed from the short plat drawings.
The recording number will be added to the first sheet of drawings upon the day of recording. The
larger drawing sheets will remain numbered 1 and 2 of 2 since they will be recorded as a separate
document.
3. The signature blank for the City Treasurer has been removed.
Thank you for your prompt review and attention to the revised drawings. Once the drawings have been signed
by the appropriate Tukwila staff, please contact me at this office, so that we may record these documents with
King County. If you have any questions or concerns, or require further information, please contact me at this
office.

Dear Mr. Chalfant:
Here are the City's comments on the revision submittal from 9/21/99. It is unclear why you have
separated the required information between two sets of drawings. Our goal is to arrive at one set of
record of survey format drawings that can be recorded with King County and contain all the
necessary information to formalize the Short Plat.
Please resubmit one set of drawings that addresses the following comments:
1. Please review the Public Works redlines to the existing and proposed legal descriptions and
correct as necessary. Please ensure that the new revised legal descriptions match the proposed
legal descriptions for proposed reciprocal easements.
2. If you wish to use the previously submitted owner's declaration on the 8 Y2 x 11 sheet (per
Larissa King) please number the larger sheets 2 and 3 of 3 and remove the owner's declaration
from those sheets. Otherwise have Mason Frank sign the declaration on the record of survey
format sheet.
3. The signature blank for the City Treasurer will not be required as no property is being dedicated
by this short plat.

In accordance with your comments dated August 6, 1999, and the additional comments from the Public Works
Department dated August 26, 1999, we have revised the drawings for the Act III Theater Short Plat, as
follows:
1. A 2 -foot adjustment to the location of the proposed property line in relation to the Shane Company
building, to satisfy the 10 -foot setback requirement.
2. The addition of the Short Subdivision Committee approval blank.
3. The addition of quarter lines referenced in the legal descriptions.
4. The addition of the True Point of Beginning.
5. The addition of the centerline for Southcenter Parkway, as well as right -of -way dimensions from
the centerline.
6. The addition of beginning and ending points of curve.
7. The addition of all bearings and distances for all existing and proposed lines.
8. Revised legal descriptions for proposed Lots A and B.
Please note that we have also updated the preliminary short plat based on a new survey of the project site
prepared by our Survey Department earlier this month.

Based upon this review, it is recommended that the "redlined" Short Plat Plans, enclosed,
be returned for correction. The following comments are provided:
General Comments
1. The plan needs to show the Quarter Lines because they are referenced in the
Legal descriptions.
Should the proposed boundary line adjustments be made, the setbacks for the
individual buildings need to be verified for code compliance. Specifically, the
setback for the Shane Company's east boundary is only 8 feet.

Your application for a short plat located at the northeast corner of 180t and Southcenter Parkway
has been found to be complete on August 6th for the purposes of meeting state mandated time
requirements. This determination of complete application does not preclude the ability of the City
to require that you submit additional plans ' or information, if in our estimation such information is
necessary to ensure the project meets the substantive requirements of the City or to complete the
review process.
Upon preliminary review of your application the City has the following comments:
1. Building Department: The proposed location of the new property line in relation to the east
wall of the Shane Company does not appear to allow for the required setback or fire protection
of walls required by the Building Code. A code analysis prepared by a licensed architect should
be required prior to any approval of this proposed lot line.
2. Planning Department: The proposed lot line does not allow for the Zoning Code required 10
foot side yard setback to the Shane Company building.
3. Planning Department: I am enclosing a redlined copy of your short plat documents. Please
make the corrections, including adding the Owner's Declaration and Short Subdivision
Committee approval blank to the documents. This will reduce the number of separate pieces of
paper to be recorded.

Dear Ms. Lumb:
On behalf of Trammell Crow Company, Barghausen Consulting Engineers, Inc., is submitting a Preliminary
Short Plat Application for the above - referenced site. On May 20, 1999, we attended a pre - application meeting
(City of Tukwila Pre - Application No. PRE99 -025) with City of Tukwila staff, and then completed the
necessary documents in order to formally submit a Preliminary Short Plat Application to the City.
As discussed in the above - referenced pre - application meeting, the purpose of the proposed short plat is to
accommodate the terms of a lease agreement between MBK Northwest and Act III Theaters. The project
proposal does not include any improvements or further expansion of the development site. Therefore, the
proposed short plat will not result in any additional impacts or development beyond what was previously
approved through the permitted activities associated with the re- imaging of the Parkway Supercenter.
All existing driveways and parking facilities will continue to be shared between the tenants on the proposed
lots, as well as other tenants within the approved Parkway Supercenter development. The enclosed signed and
recorded Reciprocal Easement for Access and Parking Facilities demonstrates that these facilities will continue
to be managed in a manner consistent with the approved Parkway Supercenter development.
As requested in the pre - application meeting, we have provided as- builts for the existing utilities on the project
site. Maintenance of the existing utilities will continue to be the responsibility of the owners of the Parkway
Supercenter. However, in the event that one of the proposed parcels is sold, an easement agreement for the
continued use and maintenance of the existing utilities has been prepared and is enclosed for your review.
We have prepared a parking analysis of the proposed lots and determined that each lot will be able to provide
the required number of parking stalls pursuant to City of Tukwila Zoning Code Section 18.56. In compliance
with the aforementioned code, there are 488 existing parking stalls (481 required) located within proposed
Lot B (Act III Theater) and 144 existing parking stalls (80 required) located within proposed Lot A (Newport
Bay restaurant and The Shayne Company).
