As you are no longer dedicating a public through street or providing a pedestrian path on an easement with the current two lot proposal the City will not provide street or pedestrian path paving. There are three basic steps in the short plat approval process: 1. Preliminary Approval Your application was reviewed by the Tukwila Short Subdivision Committee and approved with conditions. The conditions imposed are to ensure the short plat is consistent with the City's policies and regulations. PRELIMINARY APPROVAL CONDITIONS Utilities a. Drainage design for Lots 1 and 2 and the road shall meet City of Tukwila Surface Water Management Ordinance Requirements. The following elements will be required: • Detention system (surface or subsurface) for lots 1, 2 and the road, located west of the road and just prior to discharge into the existing ditch draining to North Gilliam Creek, and • Reconfigure existing ditch to accept and convey developed flows at appropriate elevations and provide inflow structure at first City catch basin in South 150th Street to the west. Pursuant to the Tukwila "underground ordinance ", all utilities shall be placed underground. This includes both electric service lines to Lots 1 and 2 and lines along 150th Street. You may apply for a waiver to the undergrounding ordinance with an obligation for future undergrounding. The waiver may be granted if you demonstrate that you meet the hardship criteria in the ordinance. c. Extension of sewer and water service to the lots shall be approved by Public Works prior to obtaining permits from the appropriate utility companies. Private 8 inch sewer and water mains shall be installed in the street easement up to Lot 2. As -built plans shall be provided to the Public Works Department. d. Proportionate Fair Share agreements shall be signed for any parts of the storm drainage system built to private rather than public standards. Another Proportionate Fair Share agreement will be required for frontal improvements for the future 43rd Avenue South. Access e. A 25 foot access and utility easement across the entire length of the east side of Lots 1 and 2 shall be shown on the plat. Included in the easement will be a provision to dedicate the land to the City as right -of way in the future with the value of dedicated land to be credited against any LID. You will be responsible for installing a private access road to the southern boundary of Lot 2 to Public Works and Fire Department standards (12 feet of asphalt pavement with two 4 foot shoulders capable of supporting a fire apparatus). Public Works standard RS -1 is provided for reference. The access road will slope to the west at a 2% grade. Its thickness will consist of 2" of asphalt on 4" of 5/8 minus crushed rock or as required by engineer's designs. f. The utility pole at the southern property line must be moved out of the 25 foot roadway. Fire Protection g. Prior to development of Lots 1 or 2, the following will be required: If there is no fire hydrant within 250 feet of all building sites, then the developer shall either install a fire hydrant capable of a 1000 gallon per minute flow OR the future houses will be required to provide interior sprinklers, to be approved by the Fire Department. The Thayer hydrant will not be considered to be available because the proposal will not provide vehicular access between the hydrant and the future houses. The ownership issues between you and Mrs. Simkus must be resolved and a notorized property owner declaration containing only the signatures of the legal owner(s) of record must be submitted. The current situation where Mrs. Simkus is participating in the short plat in order to provide land for the road will likely limit her ability to short plat for 5 years from the date the current short plat is recorded. z it 6 � JU 0 o; co _w: w= J �. The house on Lot 1 shall be placed with sufficient setbacks to meet front and second front w o yard requirements in the LDR zone in the event of future dedication of the road. The house on Lot 2 shall be placed to meet the LDR front yard setback from the west edge of the road g easement. N Dei j. Submit a survey map as described in the application checklist which is consistent with all of z F' the conditions of approval. The surveyor's original signature must be on the face of the plat. z 0. ww k. Submit a legal description of the new lots with the surveyor's original signature. c=.E N` 0 — o Submit a legal description of the access /utility easement and a maintenance agreement for w w u_O z, 0 N: o common utilities. m. Remove the garage that intrudes into the road easement as shown on the survey drawing. n. Install all required site improvements, including those proposed in the short plat application and those identified above as a conditions of approval. You will need to obtain all required permits prior to beginning any construction. For water and sewer permits, contact the individual provider District. For other City of Tukwila utilities and road standards, contact Joanna Spencer of Public Works at 433 -0173. Expiration o. The final approved short plat must be filed with the King County Department of Records by February 1, 1998, six months from the date of this preliminary approval or the application will expire. The City may grant one six month extension if requested in writing prior to the expiration date. 2. Final Approval The next step is to comply with the conditions of approval, obtain the necessary permits and install the required site improvements. Installation of the site improvements may be L96 -0009 Page 4 delayed up to six months beyond final approval when a financial guarantee is provided to ensure installation. Next, submit the necessary short plat documents (survey, plat map, and other required paper work). After the documents have been found to be in order, and the all of the requirements of the short plat have been met, the Chairman of the Short Subdivision Committee signs your short plat which constitutes a grant of final approval. 3. Recording The signature of the Chairman of the Short Subdivision Committee certifies that your short plat application is ready for recording. It is your responsibility to pay the recording fees and submit your approved original short plat to the King County Department of Records (296- 1570). After recording, the County returns the recorded original to the City of Tukwila within 4 -6 weeks, at which time your short plat is considered complete. You can shorten this processing time by hand - delivering a copy of the recorded short plat to me. In many circumstances, building permits on the short platted property may not be issued until the original recorded short plat is returned to the Department of Community Development. It might be wise to be a little more specific with Mr. Caldwell regarding his need to install a hydrant or provide residential sprinkler protection. Your letter should state the Thayer hydrant will not be considered for the purposes of developing his property because we do not have vehicular access between properties; if you do not provide this detail, I think we can anticipate more problems down the road. BACKGROUND: The Short Plat Committee provided the preliminary approval for Short Plat L96 -0009 (see attached April 21 and April 30, 1997, letters). The applicant accepted the conditions of the Short Plat Committee (see • attached Dean Caldwell May 1, 1997, letter). This short plat includes conditions which obligate the City to provide public road pavement and also construct a 5 -foot wide public pedestriap path. Therefore, as stated in the April 21, 1997, preliminary approval letter, this short plat approval is subject to acceptance by the City's Transportation Committee. ANALYSIS: To provide access for three lots, the developer has agreed to donate a 25 -foot wide R/W along with a 5 -' foot pedestrian corridor easement (see attached map). Also, the developer has agreed to provide a 10- inch thick all- weather gravel surface for a 25 -foot wide public roadway and construct the associated public drains. Through acceptance of this short plat, the City agrees to pave the 25 -foot wide public road and build a public ped path. It is our intent to introduce this pavement/ped path project into the City's 1998 Street Overlay Program. This new north/south street improvement project will break up the S 148th /S 150th superblock, and improve internal vehicular and pedestrian circulation in the neighborhood. This project will include paving a through street connecting S 148th to S 150th, using 25 feet of R/W dedicated in a prior short plat. The cost estimate is $10,000 to $15,000. RECOMMENDATION: Submit to Transportation Committee for review with recommendation to accept conditions of. Short Plat L96 -0009. Annual Construction Services Contract Once again Entranco has been chosen as the contractor most able to perform construction services for the City. This is the tenth year they z have won this contract, so they know pretty much how the City works and how projects should be done. Staff said they've done a good job. Joan said based on the rating they did very well, but no one else has been able to score as well on ratings partly based on their having worked on the job so long. She said the City will need to be able to prove they score better than others. Pam questioned which criteria on the ratings favored someone who had done the job. Once this contract is awarded, each job will be negotiated for price. Recommend Entranco to the consent agenda of a Regular Meeting. 1. Minkler Close out Although the contractor finished this road project in fall, 1994, the trees a subcontractor planted died pretty quickly, so he was required to replant once or twice. The trees currently in appear to be o.k., and must live a year from the time the project is accepted. Recommend acceptance of the project on consent agenda of a Regular Meeting. 2. 42nd Ave. S., Phase The City is doing plans for Phase II. They found that their improvement would not meet the improvement being done by Fosterview, and that by extending their project past six homes they could meet the improvement. They have not yet gone out to bid, but thought they could afford the addition. Pam asked about doing it as an add -on, and Ross H explained that would entail an additional vault and much more money. Ross added that if the bids are high, staff could cut other places in the budget. Pam wanted to meet the Fosterview sidewalk. Joan asked if there would be a cross walk to the other side of the street. Staff said no, because the other sidewalk doesn't go anywhere since the bank is so steep. Committee approval so far. 4. Short Plat at S. 150th The public standard is for any 4 lot short plat development project to build a road to public standards if their homes are over 200' from a road. In this instance, that occurred. However, there are mitigating circumstances that have led staff to negotiate a compromise for something less than that. One problem is that another three lot development across the road from this Caldwell plat did not contribute to a road based on some issues at the time of his development. This then put more pressure than normal on Caldwell's three homes. Staff has been struggling with balancing the City's need for infrastructure to support new development, with enough flexibility not to . rrnw ,rcwn�'�is�'�M',?CX.�4,.vw'N w..eF.,,n.�•.. • 1 bankrupt small developers like Caldwell. If this were a larger development they could afford to recoup the cost in the houses, but not with these three homes. This would be a first time, new deal for the City, allowing a short plat developer not to fulfill all the requirements he should. z 1 z 6 The committee spent some time considering the implications. They realized that the City really v o' needed a through street in this place, to break up a super block between S. 148th and S. 150th. BACKGROUND: The Short Plat Committee provided the preliminary approval for Short Plat L96 -0009 (see attached April 21 and April 30, 1997, letters). The applicant accepted the conditions of the Short Plat Committee (see attached Dean Caldwell May 1, 1997, letter). This short plat includes conditions which obligate the City to provide public road pavement and also construct a 5 -foot wide public pedestrian path. Therefore, as stated in the April 21, 1997, preliminary approval letter, this short plat approval is subject to acceptance by the City's Transportation Committee. ANALYSIS: To provide access for three lots, the developer has agreed to donate a 25 -foot wide R/W along with a 5- foot pedestrian corridor easement (see attached map). Also, the developer has agreed to provide a 10- inch thick all- weather gravel surface for a 25 -foot wide public roadway and construct the associated public drains. Through acceptance of this short plat, the City agrees to pave the 25 -foot wide public road and build a public ped path. It is our intent to introduce this pavement/ped path project into the City's 1998 Street Overlay Program. This new north/south street improvement project will break up the S 148th /S 150th superblock, and improve internal vehicular and pedestrian circulation in the neighborhood. This project will include paving a through street connecting S 148th to S 150th, using 25 feet of R/W dedicated in a prior short plat. The cost estimate is $10,000 to $15,000. After meeting with you and Phil Fraser it appeared a compromise was reached, however, after reviewing your road design I was put back into the same predicament that I started with. I thought that all I had to do for the road improvement was to spread on 4 inches of gravel. Your road design calls for 16 inches of gravel, storm drainage with catch basins. After calls to suppliers and putting a list together 1 find I am in worse shape than when I started. According to my figures that road will cost me $20,000, plus another $8,000 if paved. . I was willing to donate the land to the city, estimated value $35,000. We talked of compromise, I give the City of Tukwila the land, I make road improvements to the City in the amount of $20,000. As I see it I give up $35,000 worth of land spend $20,000 on a road that has little or no value to the community. What does Dean Caldwell receive? Answer: Nothing. I give up the land, 1 spend my money on a road with little or no impact, I take all the risks. That is not a compromise. Attached is a drawing that I will be submitting to the surveyor. Whether or not you will approve lot C for development is immaterial. If I can't develop it, I will just keep it in my inventory and will it to my kids. There are three basic steps in the short plat approval process: 1. Preliminary Approval This letter constitutes your preliminary approval. The application was reviewed by the Tukwila Short Subdivision Committee and approved with conditions. A 25 foot access road shall be dedicated to the City of Tukwila as shown on the survey drawing submitted to the Department of Community Development on April 12, 1996. In addition a 5 foot easement for a pedestrian path along the west edge of the road shall be dedicated to the City. This road must be paved and both the road and ped path are to be built to Public Works and Fire Department standards. e. The utility pole at the southern property line must be moved out of the roadway. Fire Protection f. Prior to development of Lots A, B or C, the following will be required: If there is no fire hydrant within 250 feet of all building sites, then the developer shall either install a fire hydrant capable of a 1000 gallon per minute flow OR the future houses will be required to provide interior sprinklers, to be approved by the Fire Department. The sprinkler requirement must be stated on the face of the recorded plat, and must be met prior to issuance of any building permits for Lot A, Lot B, or Lot C. General g. The ownership issues between you and Mrs. Simkus must be resolved and a notorized property owner declaration containing only the signatures of the legal owner(s) of record must be submitted. h. Submit a survey reap as described in the application checklist which is consistent with all of the conditions of approval. The surveyor's original signature must be on the face of the plat. i. Submit a legal description of the new lots with the surveyor's original signature. J. Submit a legal description of the access /utility easement and a maintenance agreement for common utilities and the access road. k. Install all required site improvements, including those proposed in the short plat application and those identified above as a conditions of approval. The shortplats are located on on the west side of the future 43 Ave S between S 148 St and S 150 St. The attached conceptual plan was developed in response to your request to identify street and utility improvements that would be needed for the shortplats. The conceptual sketch shows the existing lots on 43 Ave' S: 1. Thayer shortplat and dedicated 25 foot of right -of -way on the northeast, 2. Simkus lot on the south east, 3. 4320 S 150 St proposed for shortplat A on the southwest, 4. shortplat B on the northwest. The steps needed to accomplish the two shortplats that you have proposed are: I. Boundary Line Adjustment 1 shown on the conceptual sketch relocating the north property line of the proposed shortplat A. II. Boundary Line Adjustment 2 relocates the west property line of the Simkus parcel 25 feet to the east in order to dedicate 25 feet of right -of -way aligned with Thayer shortplat right -of -way. III. Shortplat A (southwest lot) would have four lots of at least 6,500 square feet after the BLA approval. A conceptual lot layout is shown on the attached sketch. IV. Shortplat B (northwest lot) would have four lots of at least 6,500 square feet with the northern lot having 77 foot frontage on 43 Ave S as you described. You can see from the sketch that there's more than enough area for the lots after subtracting the 77 foot northern lot and 5 feet of right -of -way; the five foot sidewalk easement does not get subtracted from the lot sizes. We have identified additional information that needs to be submitted before we can approve the plat. Your short plat proposal is seen as one of four short plats along a common right -of -way that connects S. 148th Street and S. 150th Street. The other lots that will depend on the road for access are those in the Thayer short plat and probable plats on the Simkus property and the property directly north of your lots. Through conversations with agents for yourself and the adjacent property to the east I understand that you wish to dedicate a 25 foot access road to the City for a public street. In order to accept the dedication the City will require a 30 foot right -of -way connecting to the Thayer dedication. The 30 foot width will provide for two way vehicular traffic, pedestrian traffic, and utilities on an interim basis until the other two short plats are developed. The additional five feet will have to be on the east side of the road you have shown. At the Thayer short plat the road will jog and an additional 5 feet will have to be provided on the west side of the Thayer dedication. This misalignment of the right -of- way will require a triangular sidewalk and utility easement starting from the northeast corner of Lot A with 10 foot legs along the north and east property lines. For the dedication to be accepted by the City the road will need to be built to the following standards. The paved surface must be 20 feet wide with a maximum grade of 15 percent. The utility pole in the path of the roadway at the southern edge of the property will need to be moved or the alignment of the road changed. The proposed location of driveways should also be indicated on the plan. Before the plat can be finalized a fire hydrant with a 1,000 gallon per minute flow will have to be installed within 250 feet (by line of vehicular travel) of all proposed building sites. Any claim, which arises out of the transaction vesting in the Insured the estate or Interest Insured by this policy, by reason of the operation of federal bankruptcy, state insolvency, or similar creditors' rights laws, that is based on: (a) the transaction creating the estate or interest Insured by this policy being deemed a fraudulent conveyance or fraudulent transfer; or (b) the transaction creating the estate or interest insured by this policy being deemed a preferential transfer except where the preferential transfer results from the failure: (I) to timely record the Instrument of transfer; or (ii) of such recordation to Impart notice to a purchaser for value or a judgement or lien creditor. CONDITIONS AND STIPULATIONS may take any appropriate action under the terms of this policy, whether or not it shall be liable hereunder, and shall not thereby concede liability or waive any provision of this policy. If the Company shall exercise its rights under this paragraph, it shall do so diligently. (c) Whenever the Company shall have brought an action or Interposed a defense as required or permitted by the provisions of this policy, the Company may pursue any litigation to final determination by a court of competent jurisdiction and expressly reserves the right, in its sole discretion, to appeal from any adverse judgment or order. (d) in all cases where this policy permits or requires the Company to prosecute or provide for the defense of any action or proceeding, the insured shall secure to the Company the right to so prosecute or provide defense in the action or proceeding, and all appeals therein, and permit the Company to use, at its option, the name of the Insured for this purpose. Whenever requested by the Company, the insured, at the Company's expense, shall give the Company all reasonable aid (I) in any action or proceeding, securing evidence, obtaining witnesses, prosecuting or defending the action or proceeding, or effecting settlement, and (11) in any other lawful act which in the opinion of the Company may be necessary or desirable to establish the title to the estate or interest as insured. If the Company is prejudiced by the failure of the insured to furnish the required cooperation, the Company's obligations to the insured under the policy shall terminate, including any liability or obligation to defend, prosecute, or continue any litigation, with regard to the matter or matters requiring such cooperation. 1. DEFINITION OF TERMS. The following terms when used in this policy mean: (a) "insured ": the Insured named in Schedule A, and, subject to any rights or defenses the Company would have had against the named insured, those who succeed to the interest of the named insured by operation of law as distinguished from purchase including, but not limited to, heirs, distributees, devices, survivors, personal representatives, next of kin, or corporate or fiduciary successors. (b) "insured claimant ": an insured claiming loss or damage. (c) "knowledge" or "known ": actual knowledge, not constructive knowledge or notice which may be imputed to an insured by reason of the public records as defined In this policy or any other records which impart constructive notice of matters affecting the land. (d) "land ": the land described or referred to in Schedule A, and Improvements affixed thereto which by law constitute real property. The term "land" does not include any property beyond the lines of the area described or referred to in Schedule A, nor any right, title, interest, estate or easement in abutting streets, roads, avenues, alleys, lanes, ways or waterways, but nothing herein shall modify or limit the extent to which a right of access to and from the land is insured by this policy. (e) "mortgage ": mortgage, deed of trust, trust deed, or other security Instrument. (f) "public records ": records established under state statutes at Date of Policy for the purpose of imparting constructive notice of matters relating to real property to purchasers for value and without knowledge. With respect to Section 1(a) (iv) of the Exclusions From Coverage, "public records" shall also include environmental protection liens filed in the records of the clerk of the United States district court for the district in which the land is located. (g) "unmarketability of the title ": an alleged or apparent matter affecting the title to the land, not excluded or excepted from coverage, which would entitle a purchaser of the estate or interest described in Schedule A to be released from the obligation to purchase by virtue of a contractual condition requiring the delivery of marketable title. 2. CONTINUATION OF INSURANCE AFTER CONVEYANCE OF TITLE. The coverage of this policy shall continue in force as of Date of Policy in favor of an insured only so long as the insured retains an estate or interest in the land, or holds an Indebtedness secured by a purchase money mortgage given by a purchaser form the Insured, or only so long as the insured shall have liability by reason of covenants of warranty made by the Insured in any transfer of conveyance of the estate or interest. This policy shall not continue in force in favor of any purchaser from the insured of either (i) and estate or interest in the land, or (ii) an indebtedness secured by a purchase money mortgage given to the insured. 3. NOTICE OF CLAIM TO BE GIVEN BY INSURED CLAIMANT. The insured shall notify the Company promptly in writing (I) in case of any litigation as set forth in Section 4(a) below, (ii) in case knowledge shall come to an insured hereunder of any claim of title or interest which is adverse to the title to the estate or interest, as insured, and which might cause loss or damage for which the Company may liable by virtue of this policy, or (iii) if title to the estate or interest, as insured, is rejected as unmarketable. If prompt notice shall not be given to the Company, then as to the insured all liability of the Company shall terminate with regard to the matter or matters for which prompt notice is required; provided, however, that failure to notify the Company shall in no case prejudice the rights of any insured under this policy unless the Company shall be prejudiced by the failure and then only to the extent of the prejudice. 4. DEFENSE AND PROSECUTION OF ACTIONS: DUTY OF INSURED CLAIMANT TO COOPERATE. (a) Upon written request by the insured and subject to the options contained in Section 6 of these Conditions and Stipulations, the Company, at its own cost and without unreasonable delay, shall provide for the defense of an insured in litigation in which any third party asserts a claim adverse to the title or interest as Insured, but only as to those stated causes of action alleging a defect, lien or encumbrance or other matter insured against by this policy. The Company shall have the right to select counsel of its choice (subject to the right of the insured to object for reasonable cause) to represent the insured as to those stated causes of action and shall not be liable for and will not pay the fees of any other counsel. The Company will not pay any fees, costs or expenses incurred by the insured in the defense of those causes of action which allege matters not insured against by this policy. (b) The Company shall have the right, at its own cost, to institute and prosecute any action or proceeding or to do any other act which in its opinion may be necessary or desirable to establish the title to the estate or interest, as insured. The Company 5. PROOF OF LOSS OR DAMAGE. In addition to and after the notices required under Section 3 of these Conditions and Stipulations have been provided the Company, a proof of loss or damage signed and sworn to by the insured claimant shall be furnished to the Company within 90 days after the insured claimant shall ascertain the facts giving rise to the loss or damage. The proof of loss or damage shall describe the defect in, or lien or encumbrance on the title, or other matter insured against by this policy which constitutes the basis of loss or damage and shall state, to the extent possible, the basis of calculating the amount of the loss or damage. If the Company is prejudiced by the failure of the Insured claimant to provide the required proof of loss or damage, the Company's obligations to the insured under the policy shall terminate, including any liability or obligation to defend, prosecute, or continue any litigation, with regard to the matter or matters requiring such proof of loss or damage. In addition, the insured claimant may reasonably be required to submit to examination under oath by any authorized representative of the Company and shall produce for examination, inspection and copying, at such reasonable times and places as may be designated by any authorized representative of the Company, all records, books, ledgers, checks, correspondence and memoranda, whether bearing a date before or after Date of Policy, which reasonably pertain to the loss or damage. Further, if requested by any authorized representative of the Company, the insured claimant shall grant its permission, in writing, for any authorized representative of the Company to examine, inspect and copy all records, books, ledgers, checks, correspondence and memoranda in the custody or control of a third party, which reasonably pertain to the loss or damage. All information designated as confidential by the insured claimant provided to the Company pursuant to this Section shall not be disclosed to others unless, in the reasonable judgment of the Company, it is necessary in the administration of the claim. Failure of the Insured claimant to submit for examination under oath, produce other reasonably requested information or grant permission to secure reasonably necessary information from third parties as required in this paragraph shall terminate any liability of the Company under this policy as to that claim. 6. OPTIONS TO PAY OR OTHERWISE SETTLE CLAIMS: TERMINATION OF LIABILITY. In case of a claim under this policy, the Company shall have the following additional options: (a) To Pay or Tender Payment of the Amount of Insurance. To pay or tender payment of the amount of insurance under this policy together with any cost, attorneys' fees and expenses incurred by the Insured claimant, which were authorized by the Company, up to the time of payment or tender of payment and which the Company is obligated to pay. Upon the exercise by the Company of this option, all liability and obligations to the insured under this policy, other than to make the payment required, shall terminate, Including any liability or obligation to defend, prosecute, or continue any litigation, and the policy shall be surrendered to the Company for cancellation. (b) To Pay or Otherwise Settle With Parties Other than the Insured or With the Insured Claimant. Upon the exercise by the Company of either of the options provided for in paragraphs b(i) or (11), the Company's obligations to the insured under this policy for the claimed loss or damage, other than the payments required to be made, shall terminate, including any liability or obligation to defend, prosecute or continue any litigation. 7. DETERMINATION, EXTENT OF LIABILITY AND COINSURANCE. This policy is a contract of indemnity against actual monetary loss or damage sustained or incurred by the insured claimant who has suffered loss or damage by reason of matters insured against by this policy and only to the extent herein described. (a) The liability of the Company under this policy shall not exceed the least of: (i) the Amount of Insurance stated in Schedule A; or, (11) the difference between the value of the insured estate or interest as Insured and the value of the insured estate or interest subject to the defect lien or encumbrance insured against by this policy. (b) In the event the Amount of Insurance stated in Schedule A at the Date of Policy is less than 80 percent of the value of the insured estate or interest or if subsequent to the Date of Policy an improvement 1s erected on the land which Increases the value of the insured estate or interest by at least 20 percent over the Amount of Insurance stated Schedule A, then this Policy is subject to the following: (I) where no subsequent improvement has been made, as to any partial loss, the Company shall only pay the loss pro rata in the proportion that the amount of insurance at Date of Policy bears to the total value of the insured estate or interest at Date of Policy; or (11) where a subsequent Improvement has been made, as to any partial loss, the Company shall only pay the loss pro rata in the proportion that 120 percent of the Amount of Insurance stated in Schedule A bears to the sum of the Amount of Insurance stated in Schedule A and the amount expended for the Improvement. The provisions of this paragraph shall not apply to costs, attorneys' fees and expenses for which the Company is liable under this policy, and shall only apply to that portion of any loss which exceeds, in the aggregate, 10 percent of the Amount of Insurance stated in Schedule A. (c) The Company will pay only those costs, attorneys' fees and expenses Incurred in accordance with Section 4 of these Conditions and Stipulations. 8. APPORTIONMENT. If the land described in Schedule A consists of two or more parcels which are not used as a single site, and a loss is established affecting one or more of the parcels but not all, the loss shall be computed and settled on a pro rata basis as If the amount of insurance under this policy was divided pro rata as to the value on Date of Policy of each separate parcel to the whole, exclusive of any improvements made subsequent to Date of Policy, unless a liability or value has otherwise been agreed upon as to each parcel by the Company and the insured at the time of the issuance of this policy and shown by an express statement or by an endorsement attached to this policy. 9. LIMITATION OF LIABILITY. (a) If the Company establishes the title, or removes the alleged defect, lien or encumbrance, or cures the lack of a right of access to or from the land, or cures the claim of unmarketability of title, all as insured, in a reasonably diligent manner by any method, including litigation and the completion of any appeals therefrom, it shall have fully performed its obligations with respect to that matter and shall not be liable for any loss or damage caused thereby. (b) In the event of any litigation, including litigation by the Company or with the Company's consent, the Company shall have no liability for loss or damage until there has been a final determination by a court of competent jurisdiction, and disposition of all appeals therefrom, adverse to the title as insured. (c) The Company shall not be liable for loss or damage to any insured for liability voluntarily assumed by the insured in settling any claim or suit without the prior written consent of the Company. 10. REDUCTION OF INSURANCE: REDUCTION OR TERMINATION OF LIABILITY. All payments under this policy, except payments made for costs, attorneys' fees and expenses, shall reduce the amount of the insurance pro tanto. 11. LIABILITY NONCUMULATIVE. It is expressly understood that the amount of insurance under this policy shall be reduced by any amount the Company may pay under any policy insuring a mortgage to which exception is taken in Schedule B or to which the insured has agreed, assumed, or taken subject, or which is hereafter executed by an insured and which is a charge or lien on the estate or interest described or referred to in Schedule A, and the amount so paid shall be deemed a payment under this policy to the insured owner. 12. PAYMENT OF LOSS. (a) No payment shall be made without producing this policy for endorsement of the payment unless the policy has been lost or destroyed, in which case proof of loss or destruction shall be furnished to the satisfaction of the Company. (b) When liability and the extent of loss or damage has been definitely fixed in accordance with these Conditions and Stipulations, the loss or damage shall be payable within 30 days thereafter. 13. SUBROGATION UPON PAYMENT OR SETTLEMENT. (a) The Company's Right of Subrogation. Whenever the Company shall have settled and paid a claim under this policy, all right of subrogation shall vest in the Company unaffected by any act of the Insured claimant. The Company shall be subrogated to and be entitled to all rights and remedies which the insured claimant would have had against any person or property in respect to the claim had this policy not been issued. If requested by the Company, the insured claimant shall transfer to the Company all rights and remedies against any person or property necessary in order to perfect this right of subrogation. The insured claimant shall permit the Company to sue, compromise or settle in the name of the insured claimant and to use the name of the insured claimant in any transaction or litigation involving these rights or remedies. If a payment on account of a claim does not fully cover the loss of the insured claimant, the Company shall be subrogated to these rights and remedies of the proportion which the Company's payment bears to the whole amount of the loss. If loss should result from any act of the insured claimant, as stated above, that act shall not void this policy, but the Company, In that event, shall be required to pay only that part of any losses insured against by this policy which shall exceed the amount, if any, lost to the Company by reason of the impairment by the insured claimant of the Company's right of subrogation. (b) The Company's Rights Against Non - insured Obligors. The Company's right of subrogation against non - insured obligors shall exist and shall include, without limitation, the rights of the insured to indemnities, guaranties, other policies of insurance or bonds, notwithstanding any terms or conditions contained in those instruments which provide for subrogation rights by reason of this policy. 14. ARBITRATION. Unless prohibited by applicable law, either the Company or the insured may demand arbitration pursuant to the Title Insurance Arbitration Rules of the American Arbitration Association. Arbitrable matters may include, but are not limited to, any controversy or claim between the Company and the Insured arising out of or relating to this policy, any service of the Company in connection with its issuance or the breach of a policy provision or other obligation. All arbitrable matters when the Amount of Insurance is $1,000,000 or less shall be arbitrated at the option of either the Company or the insured. All arbitrable matters when the Amount of Insurance is in excess of $1,000,000 shall be arbitrated only when agreed to by both the Company and the insured, Arbitration pursuant to this policy and under the Rules in effect on the date the demand for arbitration is made or, at the option of the insured, the Rules in effect at Date of Policy shall be binding upon the parties. The award may include attorneys' fees only if the laws of the state in which the land is located permit a court to award attorneys' fees to a prevailing party. Judgment upon the award rendered by the Arbitrator(s) may be entered in any court having jurisdiction thereof. The law of the situs of the land shall apply to an arbitration under the Title Insurance Arbitration Rules. A copy of the Rules may be obtained from the Company upon request. 15. LIABILITY LIMITED TO THIS POLICY: POLICY ENTIRE CONTRACT. (a) This policy together with all endorsements, if any, attached hereto by the Company is the entire policy and contract between the Insured and the Company. In interpreting any provision of this policy, this policy shall be construed as a whole. I am submitting my comments and recommendations for the wet areas that exist on these project sites. Both sites have some wetland area determined by the presence of hydric soil conditions, wetland vegetation, and significant saturation or standing water. I assessed these areas in late March and April of this year. These projects will need to submit a SEPA checklist because of wetland area presence. Northwest Development: The proposed single - family project has a wetland seep area on the southwest portion of the site. The area has been graded and filled in the past. A cut slope has seepage which influences a small area. The wetland area has only herbaceous plants and is about 500 square feet in size. The wetland is exempt from the Sensitive Area Ordinance. I would recommend that some subsurface drainage be required to intercept the seepage that is occurring along the west property line. Also, most of the lot has old fill material on it and may not be suitable for the new foundation. Caldwell Short Plat: Most of the observed.wetland depression is off -site but the owner informed me the property line crosses it. The area is also influenced by shallow groundwater movement through a low area. The area is a mowed, grassy spot that is not significant for protection. The total area was measured to be about 600 square feet and is also exempt from SAO regulation.
