RECITALS A. Grantor is the owner of the real property located in the City of Tukwila, County, Washington, legally described on Exhibit A attached ( "Property"), and which con of Lots A -D, as shown on Exhibit B attached (each a "Lot "). g ists B. Grantor desires to subject the Property to the easements set forth below, w 1.ch are for the benefit of each of the Lots, and each Lot shall be held, transferred, sold, cone, ed, leased, 'subleased and occupied subject to the easements set forth below, which shall be bin ' ' 1 g on the owners of each Lot, and their respective successors and assigns ( "Owners "), an ' the occupants of each Lot, whether pursuant to a lease or otherwise, and their respective succe sors and.assigns ( "Occupants "), and may be enforced against such Owners and Occupants jointl and severally. DECLARATION 1. Easements. 1.1 Utility Lines and Facilities. A. "Utility Lines" shall mean those facilities and systems fo the transmission of utility services, including but not limited to water drainage systems or struc res, water mains, sewers, water sprinlder system lines, telephones, electrical conduits or systems, gas mains, other public or private utilities and drainage and storage of surface water. B. Grantor hereby grants and declares nonexclusive and perp easements under, through and across the Property ( "Utility Easement Areas ") for the install operation, maintenance, repair and replacement of Utility Lines. The location of the Easement Areas shall be subject to the prior written approval of the Grantor, which app shall not be unreasonably withheld. The Utility Easement Area shall be no wider than five (5) feet from the outside of the pipe and /or structure. All such Utility Lines shall be installed and maintained below the ground level or surface of such easements except for (i) ground mounted electrical transformers and such other facilities as are required to be above ground by the utility providing such service, and (ii) temporary utility service required during the construction, maintenance, repair, replacement, alteration or expansion of any buildings or improvements. The installation, operation, maintenance, repair and replacement of such Utility Lines shall not unreasonably interfere with the use of the improved portions of the Property, or with the normal operation of any business therein. Any Owner or Occupant installing Utility Lines pursuant to the provisions of this Paragraph C shall pay all costs and expenses with respect thereto, shall cause all work in connection therewith (including general clean-up and proper surface and/or subsurface restoration) to be completed as quickly as possible and in a manner so as to minimize interference with the use of the common area and shall provide as -built plans for all such facilities to any other Owner within thirty (30) days after the date of completion of construction of same. Such as -built plans shall include legal descriptions of the Utility Easement Area and an instrument, approved in advance by Grantor, shall be recorded in the land records of King County and shall fix the location of the Utility Easement Area. D. The Owner or Occupant installing such Utility Lines shall maintain, repair and replace the same at its sole cost and expense. E. At any time and from time to time the Grantor shall have the right to relocate any Utility Lines installed pursuant to the foregoing grant of easement which is then located on the land of Grantor, provided. that any such relocation (i) shall be performed only after sixty (60) days notice of the Grantor's intention to undertake the relocation shall havebeen given to the grantee served by the Utility Lines, (ii) shall not unreasonably interfere with or diminish utility service to the grantee's land served by the Utility Lines, (iii) shall not reduce or unreasonably impair the usefulness or function of the Utility Lines, (iv) shall be performed . without cost or expense to the grantee, (v) shall be completed using materials and design standards which equal or exceed those originally used, (vi) shall have been approved by the service provider and any appropriate governmental agencies having jurisdiction thereof, (vii) shall provide for the original and relocated area to be restored to the original specifications, and r•l (viii) shall not interfere with the conduct or operation of the business of any Occupant of the grantee's Lot. Grantor shall provide as -built plans for all such relocated utility lines and facilities to the grantee served by such Utility Lines within thirty (30) days after the date of completion of such relocation. Such as -built plans shall include legal descriptions of the Utility Easement Area and an instrument, approved in advance by Grantor, shall be recorded in the land records of King County and shall fix the location of the Utility Easement Area. 1.2 Ingress and Egress Easement. A. Grantor hereby grants and declares a perpetual non - exclusive easement for ingress and egress by vehicular and pedestrian traffic upon, over and across those areas developed on the Property for driveways, drive aisles, or parking areas, now or in the future (hereinafter "Common Areas "), for the use and benefit of the Owners and Occupants of each of the Lots, and their respective tenants, contractors, employees, agents, customers, RECFI' /ED CITY OF TUKWILA 2 DEC 2 9 1995 HN /D /TUKWILAGCLARATION OF EASEMENTS LPSEAI K: \CG1\EGF\TUKWILA \I8529EGF.AGM December 19, 1995 PERMIT CENTER licensees and invitees, and the subtenants, contractors, employees, agents, customers, licensees and invitees of such tenants, as grantees. The Common Areas shall specifically include the drive aisle legally described on Exhibit C (hereinafter "Private Street "), provided Grantor reserves the right to and does hereby agree to dedicate the Private Street to the City of Tukwila at no cost at such time as the City determines that public access is necessary based on traffic and safety needs at this location. 1.3 Sidewalk and Utility Easement. A. Grantor does hereby grant and convey to the City of Tukwila a perpetual non - exclusive easement for maintenance of a sidewalk and a street light standard and utility connections thereto over and across, upon and underneath that portion of the Property legally described on Exhibit D attached hereto. B. The City shall exercise its rights hereunder so as not to unreasonably interfere with the conduct or operation of the business of Grantor, its successors or assigns. 2. General Provisions. 2.1 This Declaration shall inure to the benefit of and be binding upon the parties hereto, their heirs, personal representatives, successors and assigns, and upon any person acquiring a Lot, or any portion thereof, or any interest therein, whether by operation of law or otherwise. 2.2 The easements contained herein respecting each. Lot shall be a burden on that parcel, shall be appurtenant to and for the benefit of the other Lots and each part thereof and shall run with the land. 2.3 . This Declaration may not be modified in any respect whatsoever, except with the consent of the Owners of each of the Lots, and then only by written instrument duly Lt) executed and acknowledged by all of them, duly recorded in the Office of the King County Recorder. This Declaration may not be terminated in whole or as to any Lot, except with the consent of the Owners of each Lot, and then only by written instrument duly executed and acknowledged by all of the parties hereto and recorded in the Office of the King County Recorder. No modification or termination of this Declaration shall affect the rights of any lienholder unless the lienholder consents in writing to the modification or termination. The 07 Owner of each Lot may consider, approve or disapprove any proposed modification or termination of this Declaration in its sole and absolute discretion. 2.4 For purposes of this Declaration, if a Lot is owned by more than one (1) person or entity, the owners of such lot shall agree among themselves by a 51% majority of ownership interests and designate in writing to the other Owners a single person or entity who is entitled to act as the "Representative" for that Lot. Rants, Mayor I am in receipt of your December 7, 1995 letter and suspect from the tone of the letter that there are some facts of which you are not aware. Home Depot's submittals have been incomplete and incorrect. There are also a multitude of other submittals being reviewed with various time constraints as well. The statements in your letter are inaccurate and do not recognize extra efforts and cooperation extended for this. The shortplat submitted for Home Depot needs to meet SEPA conditions as well as standard shortplat requirements. Three of those conditions must be addressed for the shortplat approval. Access to Saxon Drive, the extension of Sperry Drive, and common utility easements were original approval and standard shortplat conditions. A series of meetings to define these conditions have been held with Barghausen Engineering. Your letter refers to the two sentence revision. The two sentence revision pertains to the Sperry Drive access easement which was a SEPA Home Depot approval condition which much be met. Barghausen proposed an acceptable means to satisfy this condition during the November 15, 1995 meeting. Barghausen was to revise the Declaration of Easements, provide a legal description for the Sperry Drive extension, and include a drawing of that legal description. The common utility easement was also discussed and a plan for the drainage, water and sewer utilities was to be submitted. The legal description was faxed to the City on November 30. There were no drawings. I explained to Barghausen on Thursday afternoon, December 7, that the legal description was difficult to follow and it would be the following week before review could be completed. Your letter was received in Public Works on Monday morning, December 11. Shortplats require access, water, sewer, and drainage infrastructure for approval. The Home Depot shortplat must meet these conditions with the SEPA access conditions. The materials submitted have been reviewed in a cooperative manner to expedite the approval; however, City approval requires that we ascertain that standard shortplat conditions are met so that future parcel developments are assured access and utilities. The materials submitted to date have not met these conditions. We will continue to work with Barghausen in ascertaining that the conditions are met. We have invested a substantial amount of work and time so that Barghausen may fulfill the Saxon Drive access conditions (or prepare and submit a complete new traffic evaluation without Saxon Drive access), fulfilling the Sperry Drive access/dedication requirement integrating the riverbank levee, establishing the drainage, water and sewer common utilities. The simple two sentence revision of the Declaration of Easements does not include an approved legal description or drawings and is not a simple revision. The previous document was approved in concept but has failed to meet the requirements for approval. I trust that now that you are aware of the extraordinary efforts made by the City to approve this application you will assure your client that its recent submittals of December 11 are being carefully and timely reviewed with DCD to ascertain Home Depot SEPA conditions and shortplat requirements are met. This sketch should be of sufficient detail for your review. As discussed, the revisions accommodate the required building setback requirements outlined within the City of Tukwila Zoning Code. Although the short plat, as previously submitted, would allow development in accordance with City requirements, the building area necessary for anticipated development was not adequate. Additionally, we would like to discuss the requirement for an additional 5 -foot landscape strip along the north property line of the Home Depot parcel (Lot "A "). We believe that the additional landscaping will not benefit the public or patrons utilizing the Home Depot development. Adjacent to the north property line of Lot "A" is the existing access way for delivery and service for the Home Depot building. No general public circulation occurs along this portion of the Home Depot. The existing conditions and anticipated development do not warrant additional landscaping. However, an appropriate amount of landscaping will be provided by the development of Lot "D" to meet the intent of the Zoning Code. Landscaping along the south property line of Lot "D" at the time development is proposed will provide an adequate buffer to improve the visual aesthetics of this built environment. Additional landscaping as noted for the existing Home Depot development will not benefit the general public or the Home Depot development. Each party agrees to grant such additional easements as are reasonably required by any public or private utility for the purpose of providing the Utility Lines for the benefit of the other party and its Occupants, provided such easements meet the requirements of this Declaration are not otherwise inconsistent with the provisions of this Declaration. G. The terms and provisions of this Section 3.1 shall survive the expiration or earlier termination of this Declaration. 3.2 Permanent Service Drive. A. Home Depot, as grantor, hereby grants to each Outparcel Owner, and its respective tenants, contractors, employees, agents, customers, licensees and invitees, and the subtenants, contractors, employees, agents, customers, licensees and invitees of such tenants, for the benefit of each Outparcel belonging to an Outparcel Owner, as grantees, a perpetual non- exclusive easement for ingress and egress by vehicular and pedestrian traffic upon, over and across that portion of the common area located on the Major Parcel shown on Exhibit B as "Permanent Access Drive". The number and location of all curb cuts from an Outparcel to and onto the Permanent Access Drive shall be subject to the prior approval of Home Depot. Home Depot may from time to time relocate the Permanent Access Drive located on the Major Parcel provided that any such relocation (i) shall be performed only after sixty (60) days notice of Home Depot's intention to undertake the relocation shall have been given to Outparcel Owner, (ii) shall not unreasonably interfere with the use of the Permanent Access Drive during the relocation by the Outparcel served by the Permanent Access Drive, (iii) shall not reduce or unreasonably impair the usefulness or function of the Permanent Access Drive, (iv) shall be performed without cost or expense to Outparcel Owner, (v) shall be completing using materials and design standards which equal or exceed those originally used, (vi) shall have been approved by any appropriate governmental agencies having jurisdiction thereof, and (vii) shall provide for the original and relocated area to be restored to the original specifications. Home Depot shall place of record in the King County Recorder's office a memorandum of relocation containing an as -built survey of the Permanent Access Drive as relocated, and Outparcel Owner shall be entitled to rely thereon. The terms of this Section 3.2 shall survive the expiration or earlier termination of this Declaration. B. Outparcel Owner shall pay its pro rata share (the "Access Drive Contribution ") of all reasonable costs and expenses incurred by Home Depot for the repair, maintenance, repair and replacement of the Permanent Access Drive. Said pro rata share shall be based on the ratio of the total square footage of building floor area located on the Outparcels to the total square footage of building floor area located on the Major Parcel (exclusive of any outdoor sales areas located on the Major Parcel) and on the Outparcels. Each Outparcel Owner, as grantor, hereby grants to Home Depot, as grantee, a nonexclusive easement for the installation, irrigation, maintenance and replacement of landscaping on the portions of the Outparcels shown on Exhibit B as "Landscape Area ", said landscaping to be in compliance with the requirements of all applicable governmental authorities; provided, however, that Home Depot shall replace any dead landscaping installed by it and shall maintain such landscaping in a manner so as not to unreasonably impair visibility of the improvements. located on the Outparcels from the adjoining public roadways. The costs and expenses of maintaining and replacing such landscaping shall be included within common area. maintenance costs to be reimbursed by Outparcel Owner to Home Depot pursuant to Article 5 below. 3.4 Drainage Easement. Each party grants to the others a nonexclusive easement over and under its Parcel for surface water drainage over and through the drainage patterns and storm water drainage systems that are established from time to time among the Parcels and approved by Home Depot as part of the Plans and Specifications. Nothing herein shall prevent a party from relocating the drainage patterns established upon a party's Parcel, provided such relocation does not unreasonably interfere with the surface water drainage of other Parcels nor interfere with the orderly discharge of surface water from such other Parcels. 3.5 No Merger. Notwithstanding an Outparcel Owner's common ownership of 2 or more of Parcels B, C and D, the easements granted hereunder shall burden and benefit each Outparcel individually, without merger as a result of such common ownership, and upon subsequent conveyance of an Outparcel so that such Outparcel ceases to be under common ownership, neither the owner conveying said Parcel nor the owner acquiring said Parcel shall need to execute additional documentation to evidence the existence of said easements, and said easements shall relate back to and shall be deemed to have been created as of the date hereof. ARTICLE 4. RESTRICTIONS ON USE AND OPERATION 4.1 Parking. A. There shall be no charge for parking in the common areas on the Outparcels unless otherwise required by law. Each Outparcel shall at all times contain sufficient ground level parking spaces on such Parcel in order to comply with the following minimum requirements without reliance on the parking on any other parcel in the Development; 1. Five (5.0) parking spaces for each one thousand (1,000) square feet of floor area (excluding restaurants) located on such Outparcel; provided, however, that compact car parking spaces shall be located only in the areas, if any, designated on the Exhibit B; and 2. For each single restaurant which has less than five thousand (5,000) square feet of floor area, then five (5) additional parking spaces for each one thousand (1,000) square feet of floor area devoted to such use; and 4. For each single restaurant which has at least five thousand (5,000) square feet of floor area, but less than seven thousand (7,000) square feet of floor area, then ten (10) additional parking spaces for each one thousand (1,000) square feet of floor area devoted to such use; and 5. For each single restaurant which has seven thousand (7,000) square feet of floor area or more, then fifteen (15) additional parking spaces for each one thousand (1,000) square feet of floor area devoted to such use. B. In the event of a condemnation of part of an Outparcel or sale or transfer in lieu thereof that reduces the number of usable parking spaces below that which is required herein, Outparcel Owner shall use its reasonable business efforts (including using proceeds from the condemnation award or settlement to restore and /or substitute ground level parking spaces in order to comply with the parking requirements set forth above. If such compliance is not reasonably practical in a business sense Outparcel Owner shall not be deemed in default hereunder, but Outparcel Owner shall not be permitted to expand the amount of floor area located upon its Outparcel. If such floor area is thereafter reduced, then it may not subsequently be increased unless the parking requirement is satisfied. C. In no event shall the parking spaces on an Outparcel be less than the number of parking spaces required by applicable law. In no event shall an Outparcel borrow parking from another Outparcel to satisfy its parking requirements. D. No vehicular driveup or drive through customer services shall be located on an Outparcel unless Home Depot shall have first given its written consent, which consent shall not be unreasonably withheld, to the location, parking and drive lanes of such facilities. E. No portion of the common areas on an Outparcel shall be used for the sale, storage or display of merchandise. No portion of the common areas on an Outparcel shall be used for the storage of grocery carts. Public Works also requires that the eastern lot lines for Lots B and D be adjusted to align with the western edge of Christensen Road. This will, if dedication is required in the future, facilitate legal descriptions and access. Your total lot areas will need to be revised on the plan to reflect this adjustment in lot lines. 3. The Subdivision Code requires that private access roads (or drives) in commercial short plats have a minimum easement width of 40 feet (TMC 17.28.050). Meeting these standards could require the relocation of existing landscape planters and reduce on -site parking for all lots. In such cases, the Subdivision Code provides for an exception to the roadway width requirements if your proposal meets three exception criteria (TMC 17.32.010). The Short Subdivision Committee has reviewed your proposal, and determined that an exception to the roadway width requirements is warranted. Rather than the 40 -foot easement width, the Short Subdivision Committee has approved the following widths: a. Christensen Road: 30 feet b. All other access drives: 20 feet. 4. Primary access drives: The project proposes several access drives, to be shared among the four proposed lots. Under the proposed layout, staff assumes that the primary access lanes /right -of -ways serving the short plat will be as follows: a. South 180th b. Christensen Road (along river) c. Entry drive at the west property line of Lot C, between 180th and Lot A. Where the minimum on -site parking cannot be provided, you may apply to the Planning Commission for approval of a Cooperative Parking Agreement (TMC 18.56.070). This entails the submittal of an application fee, drawings and materials for a public hearing, and demonstrating that the proposal meets certain criteria (18.56.070). If on -site parking exceeds the Zoning Code standard, this special approval is not necessary. Joint maintenance /access agreement: 11. Your short plat must clearly identify the location and extent of all utilities and access easements, and identify which lot(s) will have maintenance responsibility. The easement /maintenance agreement you provided must be revised. As the document is recorded to support the short plat, it must be well- integrated with other short plat documents. The document must contain a legal description of all affected lots, or explicitly refer to the short plat legal descriptions. All parties, exhibits, etc. referred to in the document must be spelled out. For example, where the document refers to "Permanent Access Drive shown on Exhibit B," you will need to provide this type of exhibit. You will need to identify "Occupants," "Outparcel," and other such terms. Home Depot Short Plat Conditions of Approval, Page 6 12. All documents in your short plat must be approved by the City. Therefore, these materials should not include any agreements not subject to City review. Reference to use restrictions, and other private agreements, must be deleted, but can be recorded as a separate document. 13. All water, sewer, surface water, and any other utility easements must be identified on your survey. Your survey does not need to include specific utilities information, such as invert elevations, line sizes, etc. 14. All access easements need to be identified as such (with notations) on your survey. Legal descriptions and other survey revisions: 15. Your legal descriptions need to reflect any modifications to lot lines, such as right -of -way dedications. 16. Legal descriptions for the plat use the term "Parcel," while your survey uses the term "Lot." The terminology should be consistent. 17. Per Short Plat application checklist, you will need to submit a legible, reduced 8 -1/2 x 14" survey. The survey need only contain essential information required by the City. For example, parking stalls and engineering information can be provided on a separate sheet. This reduced survey must include an original surveyor's signature. REQUIREMENTS FOR FINAL APPROVAL In order to forward your application to the Short Subdivision Committee Chairman for final approval, you must complete the following conditions: 1. Complete the items listed above, and submit the requested revisions to me for review. 2. Install all required site landscaping, as specified above. Notify me when site improvements are complete, so that the City can conduct a final inspection. Alternatively, you may provide assurances for installation of landscaping within 6 months of short plat approval, through posting of a bond (or Assignment of Account, or Letter of Credit) for 150% of the construction cost. It's a CM zone. There are two issues which may greatly affect the proposed plat and future development potential on the site. The applicant has asked for an immediate decision on these. The issues and my recommendations are discussed below. 1) The Sub Code requires that along private access roads "zoning setbacks be required as though the easement were a public right -of -way" (TMC 17.28.050). The required front yard setback in CM is 50 feet. Each new lot fronts the private access road. Two lots front the private access road and front South 180th, like a "through" or "through- corner" lot. a. The Zoning Code definition of "yard" is based on lot lines. Definitions of "through lot" and "lot frontage" are based on a relationship to a public street, not private access easement. However, the Sub Code's re- definition of "private easement" as a public street supersedes the Zoning Code definitions (for commercial plats). b. Given that private easements are to be treated like public streets (relative to setbacks), a "front yard" setback in a commercial plat is the yard closest to the access easement and the public street. This means that 3 of 4 lots are through - corner lots, and 1 lot is a corner lot. If the above front yard requirements are "not in keeping with the prevailing yard pattern," they may be substituted with a special yard requirement under 18.50.070(3).
