RECITALS WHEREAS, Toddland owns real property in the City of Tukwila located at 13302 56 Ave S, King County Parcel Number 217200- 0225 -07 (hereinafter "Property "); and WHEREAS, Toddland has been given preliminary approval of a short plat which has been assigned the following file number L06 -041; and WHEREAS, the City's Parks and Recreation Department has a purchase and sale agreement to purchase two of the lots (hereinafter "Parks Lots ") created via short plat L06- 041 "; and WHEREAS, access to the Parks' Lots will be via an access drive which is described in the short plat as "Tract X" (See Exhibit A) ; and WHEREAS, "Tract X" will also provide emergency access to homes that are to be constructed by the Property Owners; and WHEREAS, the City has required the dedication of Tract X to the City's Department of Parks and Recreation as a condition of preliminary approval; and WHEREAS, all parties wish to move the transfer of property to the City as expeditiously as possible; NOW, THEREFORE, in consideration of the following mutual promises and covenants, the Parties agree as follows: Section 1. Agreement. The City agrees to allow the short plat to be recorded prior to receiving the transfer of Tract X. Toddland agrees to transfer ownership of Tract X to the City's Parks and Recreation Department within 90 -days of the purchase of lots 7 and 8 of Short Plat L06- 041 by the City's Parks and Recreation Department. Section 2. Improvements to Tract "X ". Toddland shall be fully responsible for the construction of improvements on Tract X which shall meet the requirements and standards of the City's Fire Department and Public Works Department. • • Section 3. Binding Nature of Agreement. This Agreement shall be binding upon and inure to the benefit of the Parties, their heirs, executors, administrators, successors, devisees, assigns and all persons now or hereafter holding or having all or any part of the interest of a Party to this Agreement. Section 4. Attorneys' Fees. In any action between the Parties to this Agreement to enforce any of its terms, the prevailing Party shall be entitled to recover expenses, including reasonable attorneys' fees and costs. Section 5. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. Venue for any action arising out of or relating to this Agreement shall lie in King County Superior Court. Section 6. Entire Agreement. This Agreement contains the entire understanding between the Parties with respect to the subject matter hereof. There are no other representations, agreements, arrangements, or understandings, verbal or written, between and among the Parties relating to the subject matter of this Agreement. No amendment or modification to this Agreement shall be valid or effective unless made in writing and executed by all the Parties after the effective date of this Agreement. Section 7. Counterpart Originals. This Agreement may be executed in multiple counterpart originals, each of which shall be deemed to constitute an original agreement, and all of which shall constitute one agreement. Grantee further agrees to repair and maintain the road easement in a reasonably usable condition to facilitate the use by passenger vehicles. The responsibility for and cost of maintenance and/or repair of any improvements, roadways and/or utilities constructed upon, under or within the easement granted herein shall be borne equally by the owners of Grantor /Grantee's Property, their heirs, successors and assigns; provided, however, that where utility systems are used in common, no owner shall be liable for any portion of a commonly used utility system beyond said owner's point of connection to the same. The responsibility for construction of any improvements, roadways and/or utilities constructed upon, under or within the easement granted herein (as opposed to maintenance and/or repair of existing improvements, roadways and/or utilities) shall be borne by the party benefited by or performing such construction. All work to be performed by Grantees on the Easement Tract shall be in a careful and workmanlike manner, free of claims and liens. 3. Duration. The term of said easement shall be indefinite and shall continue until revoked by the mutual agreement of Grantor and Grantee or their heirs, successors or assigns. Said easement is intended to and shall run with the land and the benefits and burdens of the easement herein created shall pass to the heirs, successors and assigns of the parties in and to their respective properties benefited and burdened by these easements. 4. Costs and Attorneys' Fees. If any party hereto shall bring any suit, arbitration or other action against another for relief, declaratory or otherwise, arising out of this Agreement, the prevailing party shall have and recover against the other party, in addition to all costs and disbursements, such sum as the Court, or arbiter may determine to be a reasonable attorney's fee. 5. Specific Performance. If any party shall default in its obligations under this Agreement, the parties each acknowledge that it would be extremely difficult to measure the resulting damages. Accordingly, any nondefaulting party, in addition to any other rights or remedies, shall be entitled to restraint by injunction of a violation, or attempted or threatened violation, of any condition or provision of this Agreement, or to a decree specifically compelling performance of any such condition or provision. Each party to this Agreement shall perform any and all acts and execute and deliver any and all documents as may be necessary and proper under the circumstances in order to accomplish the intents and purposes of this Agreement and to carry out its provisions. 7. Survival/Non Merger.. Despite Grantor /Grantee owning both the dominant and servient estates, the doctrine of merger shall not apply to the creation of the easement described herein, and the easement created hereunder shall not merge with the fee interest in Grantor /Grantee's Property. Final approval cannot be granted at this time because certain conditions of preliminary approval have not been met. 1) Lots 7 and 8 have not been reviewed to ensure that the lots are actually buildable. While it is most likely that the lots will be sold to the City's Parks Department, DCD has to ensure that any lots created via a platting process are actually buildable. As was noted in the preliminary approval letter the City lacked the information to make such a conclusion. The lots need to be shown as open space tracts. 2) Prior to final approval being given, Tract X needs to be dedicated to the City. The short plat map needs to be updated to reference that Tract X is to be dedicated to the Tukwila Parks and Recreation. I will provide you the turnover documents as soon as they are available. You are still required to construct Tract X, however, the dedication needs to occur prior to recording. 3) The required restrictive easements will be recorded prior to final occupancy of the individual homes. Slopes along the shoreline, where there is no development proposed, are in excess of 100 %. c. What general types of soils are found on the site (for example, clay, sand, gravel, peat, muck)? The project will occur in the Duwamish River valley where alluvial soils, native sands and silts, are typical. A soil investigation on an adjacent property indicates fine sands with silt. d. Are there surface indications or history of unstable soils in the immediate vicinity? If so, describe. There are no known indications or history of unstable soils in the immediate vicinity. e. Describe the purpose, type, and approximate quantities of any filling or grading proposed. Indicate source of fill. No major filling or grading is anticipated for this project. Imported fill may be used for backfill of utility trenches, quantities will be limited and sources are not known at this time. f. Could erosion occur as a result of clearing, construction, or use? If so, generally describe. Excavation for residential building foundations and stockpiling of the excavated materials (foundation depths will be between 1.5 and 3.5 feet), trenching for utilities and installation of site hardscapes are anticipated for the site. These activities potentially could cause erosion. g. About what percent of the site will be covered with impervious surfaces after project construction (for example, asphalt or buildings)? Much of the project area is currently undeveloped except for a single-family dwelling. Proposed measures to reduce or control erosion, or other impacts to the earth, if any: A rock stabilized construction entrance and filter fabric fence for perimeter siltation control are proposed for erosion control. Adjacent catch basins will have protection throughout the construction period. Other standard temporary erosion and sedimentation control measures will be followed during construction as required by City and State regulations. 2. Air a. What types of emissions to the air would result from the proposal (i.e., dust, automobile, odors, industrial wood smoke) during construction and when the project is completed? If any, generally describe and give approximate quantifies if known. Construction vehicles and equipment are a potential source of exhaust emissions. Additionally, dust may be raised from grading and excavation activities. Following construction the only anticipated impact to air quality is the daily vehicle trips generated by the residents. b. Are there any off -site sources of emissions or odor that may affect your proposal? If so, generally describe. There are none. c. Proposed measures to reduce or control emissions or other impacts to air, if any: Site watering will be used to control dust particles during cleaning and grading activity. Construction vehicles are typically equipped with factory- installed mufflers and spark arrestors that will control excessive emissions. 3. Water a. Surface: 1. Is there any surface water body on or in the immediate vicinity of the site (including year -round and seasonal streams, saltwater, lakes, ponds, wetlands)? If yes, describe type and provide names. If appropriate, state what stream or river it flows into. The Duwamish River abuts the site to the south. 2. Will the project require any work over, in, or adjacent to (within 200 feet) the described waters? If yes, please describe and attach available plans. The proposal would require work within 200 feet of the Duwamish River. Work within 200 feet of the water will include: • Construction of a geogrid pervious hard surface fire access road. • Construction of a concrete sidewalk along the northwest boundary of the proposed park site. • Construction of some of the residential buildings and associated utility work. • Construction of portions of the access alley. 3. Estimate the amount of fill and dredge material that would be placed in or removed from surface water or wetlands and indicate the area of the site that would be affected. Indicate the source of fill material. None. 4. Will the proposal require surface water withdrawals or diversions? Runoff from the new impervious surfaces will be collected in catch basins and routed to infiltration trenches. Infiltration trench overflow will be routed to the existing storm drain system in S 133rd St. which outfalls to the Duwamish River. Runoff from the proposed buildings, site sidewalks and access alley will be collected in catch basins routed to infiltration trenches with overflows routed to existing outfalls to the Duwamanish River. 2. Could waste materials enter ground or surface waters? If so, generally describe. Waste materials could be carried by runoff from the impervious surfaces and routed through catch basins and into the infiltration trenches or overflow into the existing storm drain system in S 133rd St which outfalls to the Duwamish River. Catch basins in the paved areas will be equipped with down -turned elbows for floatable pollutant control. d. This site is part of the Pacific Flyway, a migratory route for a variety of bird species.
