RESOLUTION NO. 1211
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF TUKWILA, WASHINGTON, EXPRESSING SUPPORT
FOR THE REGIONAL COMMISSION ON AIRPORT
AFFAIRS.
WHEREAS, in January 1992, the City Council donated $50,000 to investigate the
effect airport expansions would have on the City of Tukwila and the region; and
WHEREAS, citizens from the Foster, Riverton, Thorndyke and Cascade View
neighborhoods who attended Vision Tukwila ranked opposition to the third runway at
Sea -Tac as the third highest priority for the City, and
WHEREAS, opposition to the third runway at Sea -Tac ranked as the sixth
highest priority city -wide for all citizens attending Vision Tukwila, and
WHEREAS, the goal of the Regional Commission on Airports (RCAA) is to
"enhance the quality of life in the central Puget Sound region and to prevent
community and neighborhood deterioration resulting from air, noise, and other
pollution," which the City Council supports for Tukwila, and
WHEREAS, the Draft EIS for the Airport Flight Plan left many questions
relevant to Tukwila citizens unanswered, and further research is necessary to better
evaluate the effects of an expanded airport, and
WHEREAS, the RCAA is now working to oppose the negative effects of airport
growth through fact finding, environmental research, and coalition and lobbying
efforts, and
WHEREAS, the City can withdraw from the RCAA at any time and can
withdraw any unspent funds from that organization when they leave;
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, HEREBY RESOLVES AS FOLLOWS:
That until the City is satisfied that all the relevant issues surrounding the airport
expansion are clear, and that the effects of airport expansion and of the flight plan will
not be detrimental to Tukwila citizens, the city will continue its participation in the
Regional Commission on Airport Affairs.

ARTICLES OF INCORPORATION
OF
REGIONAL COMMISSION ON AIRPORT AFFAIRS R.C.A.A.)
The undersigned, acting as incorporators of a
corporation to be formed under the Washington Non Profit
Corporation Act, Chapter 24.03 Revised Code of Washington,
adopt the following Articles of Incorporation, to -wit:
ARTICLE I NAME
The name of the corporation shall be Regional
Commission on Airport Affairs (R.C.A.A.).
ARTICLE II DURATION
The duration of the corporation shall be perpetual.
ARTICLE III PURPOSES
The purposes for which the corporation is organized is
to enhance the quality of life in the central Puget Sound
region and to prevent community and neighborhood
deterioration resulting from air, noise and other pollution
created by activities in and around and as a result of the
Seattle Tacoma International Airport, as well as all other
legal purposes.
ARTICLE IV POWERS
In addition to each and every power enumerated in
Section 24.03.035 RCW, the corporation shall also have the
power to raise money by general-or selective solicitation,
to conduct fund drives, to seek contributions of money
and /or property in the name of the corporation; to solicit,
hold, administer and disburse special funds; to apply for,
receive and disburse grants from governmental bodies and
private entities; and to engage in every manner of
persuasive discourse to accomplish the purposes set forth
herein.
ARTICLE V REGISTERED OFFICE AND AGENT
The address of the initial registered office of the
corporation shall be 505 Madison Street, College Club
Building, Suite 209, Seattle, Washington 98104. The name
of the initial registered agent of the corporation at such
address is J. Richard Aramburu.

ARTICLE VI MEMBERS
ARTICLE VII DIRECTORS
Regular members of R.C.A.A. shall be Government Airport
Noise Coalition (G.A.N.C.) members and Airport Noise
Coalition (A.N.C.) members. G.A.N.C. members are
governmental entities subscribing to the purposes and goals
of R.C.A.A. by resolution of the legislative body of such
entity. A.N.C. members are citizen or business groups who
belong to that organization and who subscribe to the
R.C.A.A. purposes and goals by motion duly passed in
accordance with such group's by -laws. Membership is subject
to approval by a majority vote of the Board of Directors.
Membership in the R.C.A.A. shall not be construed to
limit in any manner the independent actions of either
G.A.N.C. or A.N.C. related to budget development,
disbursement of funds, or other activities.
The affairs of R.C.A.A. shall be managed by a Board of
Directors, which shall be referred to as the "Executive
Board." The Board of Directors shall consist of nine
members, five of which shall be G.A.N.C. members, and three
of which shall be A.N.C. members, and one of which shall be
from non profit organizations. The Board of Directors shall
serve for a period of one year.
The initial Board of Directors of the corporation
shall consist of nine persons whose names and addresses are
as follows:
The Chief Administrative Officer of the City of
Des Moines, 21630 llth Avenue South, Des Moines,
WA 98198, or such other person as may be selected
by the Des Moines City Council;
The Chief Administrative Officer of the Highline
School .District, 15675 Ambaum Boulevard S.W.,
Seattle, WA 98166, or such other person as may be
selected by the Highline School District Board of
Directors;
The Council President of the City of Tukwila, 6200
Southcenter Boulevard, Tukwila, WA 98188, or such
other person as may be selected by the Tukwila
City Council;
The Chief Administrative Officer of the City of
Normandy Park, 801 S.W. 174th Street, Normandy
Park, WA 98166, or such other person as may be
selected by the Normandy Park City Council;

The President and Vice President of the Airport
Noise Coalition, and one designee from that
organization representing the C.A.S.E. group;
One position to be appointed by the President of
the R.C.A.A. representing the non profit
organizations donating $5,000.00 or more to the
R.C.A.A. with ratification from the Board of
Directors;
One position to be nominated and appointed by the
President of the R.C.A.A. to represent municipal
corporations to be ratified by the Board of the
R.C.A.A.
ARTICLE VIII NOT FOR PROFIT
(A) No part of any monies received by the corporation
shall inure to the benefit of, or be distributable to, the
officers or directors of the corporation or to its members
or to other private persons, except that the corporation
shall be authorized and empowered to pay reasonable
compensation for services rendered to it, and to make
payments and distributions in furtherance of the purposes
set forth in Article III hereof.
(B) Upon the dissolution of the corporation, the Board
of Directors or other authority effecting the dissolution,
shall, after paying or making provision for the payment of
all of the liabilities of the corporation, dispose of all of
the assets of the corporation exclusively for the purposes
of the organization in such a manner or to such organization
or organizations organized and operated exclusively for
charitable, educational, or scientific purposes, provided
that on dissolution or withdrawal of any member, the unspent
contribution made by that member shall be returned to it.

CONSENT TO APPOINTMENT AS REGISTERED AGENT
I, J. Richard Aramburu, hereby consent to serve as
Registered Agent in the state of Washington for the
corporation herein named. I understand that as agent for
the corporation, it will be my responsibility to accept
Service of Process in the name of the corporation; to
forward all mail to the .corporation; and to immediately
notify the Office of Secretary of State in the event of
my resignation or of any change in the Registered Office
address of the corporation for which I am agent.

BY-LAWS
OF
REGIONAL COMMISSION ON AIRPORT AFFAIRS R.C.A.A.)
The following are the By -Laws of the Regional
Commission on Airport Affairs R.C.A.A.), a corporation
incorporated under the Nonprofit Corporations Act of the
State of Washington.
ARTICLE I MBERSHIP
Members of the corporation shall consist of the initial
Board of Directors and such subsequent members as are
approved by the Board of Directors. Government Airport
Noise Coalition (G.A.N.C.) members are governmental entities
subscribing to the purposes and goals of the R.C.A.A.
Airport Noise Coalition (A.N.C.) members are citizen or
business groups who belong to that organization and who
subscribe to the purposes and goals of the R.C.A.A.
ARTICLE I' MEETINGS
2.1 Meetings. The Meetings of the Members shall be
held at such time and place and at such location as shall be
selected by the Board of Directors.
2.2 ,Notices. The Secretary shall endeavor to
distribute written notice of the time and place of Meetings
and the purpose or purposes for which the Meeting is called
to each Director.
ARTICLE III DIRECTORS OFFICERS
3.1 pirectors. The affairs of R.C.A.A. shall be
managed by a Board of Directors, which shall be referred to

The Chief Administrative Officer of the City of
Normandy Park, 801 S.W. 174th Street, Normandy
Park, WA 98166, or such other person as may be
selected by the Normandy Park City Council;

Wesley Homes, Judson Park Retirement Community,
and the Masonic Home of Washington, c/o Wesley

One position to be nominated and appointed by the
President of the R.C.A.A. to represent municipal
corporations to be ratified by the Board of the
R.C.A.A.
3.2 Officers. The officers of R.C.A.A. shall be a
President, Vice- President, Secretary, and Treasurer, each of
whom shall be elected by the Board of Directors and serve
for a term of one year
3.3 Duties of the Ercesident. The President shall
preside at all meetings of R.C.A.A. and at all meetings of
the Board of Directors. The President shall have authority
to sign, with the Secretary or any other officer of R.C.A.A.
authorized by the Board, any contract or other instrument
which the Board has authorized to be executed except where
the Board has expressly delegated such authority to some
other person. The President may appoint committees from
time to time to inquire into and report on matters
pertaining to R.C.A.A. The President shall have general
supervision of the affairs of the corporation, and shall
perform such other duties as are incident to his /her office

or are properly required of him /her by the Board of
Directors.
3.4 puties of Vice- eresideU. The Vice President
shall preside at all meetings of R.C.A.A. when the President
is absent and shall assume all duties of the President in
the management of R.C.A.A. when the President is absent or
incapacitated for a prolonged period of time as determined
by the Board of Directors and shall automatically succeed to
the office of the President upon the President's
resignation or removal from office.
3.5 Duties of the Secretary. The Secretary shall keep
the minutes of the meetings of the Directors and the Members
and shall prepare and present minutes at R.C.A.A. meetings.
The Secretary shall keep the membership records.
3.6 t sties of tie Treasurer. The Treasurer shall
collect all funds and pay all expenses of R.C.A.A. The
Treasurer shall deposit all monies of R.C.A.A. in a
depository approved by the Directors. The Treasurer shall
report the financial condition of R.C.A.A. at each meeting,
if requested, and shall submit a financial statement of the
condition of R.C.A.A. at the Annual Meeting. The Treasurer
may delegate part or all of the Treasurer's duties to a
person trained in the keeping of financial records, provided
that the Board of Directors approves such delegation. The
Treasurer shall file any government tax returns and other
necessary reports in a timely manner.
3.7 juthority of the Doard. In carrying out the
management of R.C.A.A., the Board of Directors may upon
majority vote take any and all action it deems necessary for
the conduct and management of R.C.A.A. business based on the
policies adopted at meetings of the Members. Ex- officio
members of the Board may participate in all actions of the
Board except voting. A quorum of at least fifty percent of
the Board of Directors excluding ex- officio members is
required for the transaction of business. At least twenty
four hours written or oral notice of a Board of Directors
meeting shall be given.
ARTICLE IV ORGANUATIOnAL STRUCTURE
The organizational structure of R.C.A.A. shall be in
accordance with the organizational chart attached hereto as
Exhibit "A" and by this reference incorporated herein. The
chairs of the Sustaining, Technical, and Project committees
shall be ex officio Members of the Board of Directors.
