WITNESSETH Permittee is requesting permission to enter the property, as legally described and set forth in Exhibit A, attached hereto, for t� i urposes jo roviding additional off - street parking for ' F'''� 184'61th is Avenue in Tukwila, Washington and as Permittee's sports complex locate y p g further described in Exhibit B, attached hereto; and The additional off - street parking provided under this Agreement is necessary to meet the City of Tukwila's parking standards for Permittee's sports complex and the City of Tukwila has indicated it will not approve the Permittee's project unless some provision is made for meeting the City's standards; and voi The Permittee intends this Agreement to meet the City of Tukwila's parking standards grit and the Permittee and the Property acknowledge that continuation of this Agreement is necessary for that purpose; and gri t0 The City is desirous of having this agreement memorialized of record and is concerned C1 with the health and safety and occupancy of the building to be owned by Permittee and enforcing various occupancy and safety regulations thereto; and WHEREAS the parties hereto are willing to enter into the following agreement wherein The Property grants to Permittee permission to use its property, as described herein, for the purposes of parking as hereinafter set forth upon the following terms, conditions and agreement as accepted by all parties: 1. The Property will provide to Permittee at no charge, parking spaces for the participants of Permittee's sports complex. This use shall be during the evening and weekend hours, which shall be determined to be after 5:00 p.m. through 6 :00 a.m. weekdays and after 5:00 p.m. Friday through 6:00 a.m. Monday, considered hereinafter to be termed weekends. During these hours as described herein, the parking spaces hereinafter delineated shall be available for Permittee's use for vehicle parking. Permittee shall at all times comply with the Sound Floor Covering, Inc.'s security and safety rules and will comply with the directions of Sound Floor Covering, Inc.'s security personnel. 3. Permittee will limit its use of the Property to the above - described parking spaces to be made available during the times and hours as set forth above. 4. Permittee will indemnify, defend, and hold harmless Sound Floor Covering, Inc. and its subsidiaries and their respective directors, officers, employees, agents, attorneys, and assigns (hereinafter "Indemnitees ") from and against all actions, causes of action, liabilities, claims, suits, penalties, fines, judgments, liens, awards, and damages for any kind whatsoever (hereinafter "Claims "), for injury to or death of any person including with out limitation claims brought by employees or invitees or Permittee or employees or invitees of any Contractor of Permittee (hereinafter "Contractor "), or damage to or loss of any property or clean up of any discharge or release by Permittee or any Contractor, and expense, costs of litigation, and reasonable attorneys fees related thereto, or incident to establishing the right to indemnification, to the extent such Claims arise out of or are in any way related to this permit or the presence on the Property of Permittee, any Contract or their respective employees or invitees. 5. Permittee shall carry and maintain, and shall ensure that any Contractor carries and maintains, General liability insurance with available limits not less than One Million Dollars ($1,000,000) general aggregate policy. Second Floor Covering, Inc. shall be listed as ( "Additional Insured "). Additionally Permittee shall be responsible for any and all damage done to parking lot and landscaping while being used by their patrons. 6. This additional parking shall be available through September 1999. Permittee or The Property may at any time terminate the above agreement by providing a thirty (30) day written notice of termination, which must also be given to the City of Tukwila. 7. At the termination of this Agreement, whenever that occurs, Permittee agrees to restrict the occupancy of their building to such numbers as are commensurate with the parking spaces then available for use with the building owned by Permittee as recognized by the City of Tukwila. Permittee understands that termination of this Agreement may render Permittee's sports complex out of compliance with the City's zoning code and parking standards and may subject Permittee to enforcement action by the City, including fines. Permittee further understands that the restriction on occupancy which may become necessary if this Agreement is terminated could result in the operation of the sports complex becoming unfeasible and agrees that the City has made no representations as to relief from the City's parking standards in such case. -2- 8. Permittee and The Property hereby agree to defend, indemnify and hold the City of Tukwila harmless from any and all liability whatsoever connected with the use of The Property's parking spaces by Permittee and as to any and all consequences which may flow from this Agreement as it relates to the City of Tukwila, not only in regards to occupancy of Permittee's building, but as to any and all liability which may be created on either party as it relates to parking, and the City of Tukwila's rules, laws and regulations. 9. The City of Tukwila should have the right, but not the obligation, to enforce the terms of this agreement against The Property or Permittee. 10. In the event it shall become necessary for any party to refer this Contract or the enforcement of any of its terms to an attorney, the prevailing party shall be entitled, in addition to the other remedies as provided herein, to reasonable attorney's fees together with the cost of court proceeding, as well as any other customary costs and charges of suit, which sums shall be included in any judgment or decree entered in this matter and which shall bear interest at the lawful rate provided for judgments. Venue for any action brought under this Agreement shall be in the county wherever the property subject to this Agreement, or any part thereof, is located. This Contract shall be governed by the laws of the State of Washington. 11. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs, successors, assigns and legal representatives. In accordance with the wishes of the City of Tukwila, we have also estimated the daily and peak trip generation and distribution for the former use of the site, and made comparisons of the two site uses. Former Use of Site Until recently, the site was used as a Tight manufacturing facility. Manufacturing, storage, and office uses were included in the building where Northwest Volleyball will develop their volleyball center. The manufacturing used the ground floor, plus two loft areas, with a total gross floor area of 28,250 square feet. This use matches closely with Land Use Code 140 (Manufacturing) from the Trip Generation Manual (Institute of Transportation Engineers, 1991). Proposed Use of the Project Site The proposed facility will include a total of 5 volleyball courts, plus office space for Northwest Volleyball employees. It is anticipated that there will be a total of five or six employees, with three of these arriving and departing during peak hours. The other employees will be on site when there is volleyball matches being played at the site. Thus, they will not arrive and depart at during the a.m. or p.m. peak hours of adjacent street traffic. Volleyball equipment and apparel will be available for retail sales; however, these items are for the convenience of those already at the site to play volleyball. It is anticipated that the sale of this equipment/apparel would not generate measurable numbers of additional trips. There are two times when there is concentrated volleyball play, on weekends when tournaments are held and during weedkay evenings when league play occurs. The weekend tournaments normally begin at about 8:00 a.m. Participants begin to leave about 2:30 p.m. and by 6:30 p.m., everyone has left the facility. During the peak playing time, there will be four teams per court present, with each team consisting of eight players. There are few observers and no officials, as the players from other teams trade off at officiating. The play is scheduled to begin at 6:30 p.m. and to end at 9:30 or 10:00 p.m. However, Northwest Volleyball is flexible and would be willing to shift the play times one- half hour later to avoid the p.m. peak hour. Most of the players would arrive during the half hour period just prior to the scheduled beginning, after the typical 6:00 p.m. ending of the arterial street p.m. peak hour. Trip Generation - Former Manufacturing Use As previously mentioned, the former use of the site matches Land Use Code 140 (Manufacturing), as described in the Trip Generation Manual. Thus, this reference was used to estimate daily, a.m. peak hour; and p.m. peak hour trips for the former use. The fitted curve equations were used for the estimates. The manual does not include any information for noon peak hours. Thus, assumptions were made to estimate this segment of trip generation. The manufacturing facility contained a total of 28,250 gross square feet of floor space. The trip generation estimates are included below: Daily Trips Daily trips = 3.883(28.25) - 13.112 = 97 trips (48 inbound /49 outbound) A.M. Peak Hour Trips A.M. Trips = 0.850(28.25) - 2.162 = 22 trips (20 inbound /2 outbound) P.M. Peak Hour Trips P.M. Trips = 0.748(28.25) + 0.100 = 21 trips (11 inbound /10 outbound) Noon Peak According to the Trip Generation Manual, manufacturing facilities have an average of 1.87 employees per 1000 square feet of gross floor space. This translates into a total of 53 employees (28.25 x 1.87). The following assumptions were made to estimate noon peak traffic generation: • Ten percent of the employees would be absent on a given day; • Fifty percent leave and return during the noon peak hour; and • The average auto occupancy for those leaving and returning would be 1.5 persons per vehicle. Based on these assumptions, the estimated noon peak hour trip generation would be: Noon Trips = ((53 x 0.9 x 0.5)/1.5] x 2 (ins + outs) = 32 trips (16 inbound /16 outbound) Mr. John Littleman November 8, 1996 Page 3 Trip Generation - Proposed Site Use The proposed operation of the volleyball center was previously described. The estimated project trip generation was based on the proposed operation, since no comparable use could be found in the Trip Generation Manual. The peak hour trips were first calculated, including the peak for the project (generator peak) and then these were used as the basis for estimating daily trip generation. A.M. Peak Hour It is assumed that the three staff persons keeping "regular" hours will arrive at their office during the a.m. peak hour. Assuming that all three staff drive alone, three vehicles would enter the site during the a.m. peak hour. It was also assumed that one additional vehicle would enter and leave the site during the a.m. peak hour. Thus the total trip generation would be five vehicles, with four inbound and one outbound vehicle. Noon Peak Hour It is assumed that all three staff persons would leave and return to the site during the noon peak hour. Thus, there would be a total noon peak hour trip generation of six vehicles - three inbound and three outbound. P.M. Peak Hour The p.m. peak hour trip generation estimate was based on having the volleyball play beginning at 6:30 p.m. It also assumes that the three staff that are on "regular hours" would leave the site and that three staff that would be present during the volleyball play session would arrive during the p.m. peak hour. Because volleyball is a team sport, there is a significant amount of carpooling by the players. Northwest Volleyball has a similar facility at Highline Community College, where vehicle occupancy has been observed to be 2.5 persons per vehicle. The estimate of the volleyball players that would arrive at the site during the p.m. peak hour is an assumed subset of the entire traffic volume arriving for evening volleyball. Following is the estimate of traffic arriving for evening volleyball (regardless of the p.m. peak hour): • Five Courts, four teams per court, eight persons per team. • Total persons arriving = 5 x 4 x 8 = 160 persons • Total vehicles arriving = 160/2.5 = 64 vehicles Northwest Volleyball has observed that most of the players arrive at the site during the half hour just prior to the beginning of play (6:00 to 6:30 p.m.), which is outside the typical p.m. peak hour. However, some players will arrive prior to 6:00 p.m., during the peak hour. For this analysis, it is assumed that 15 percent of the players arrive prior to 6:00 p.m. This would result in the arrival of 10 vehicles during the p.m. peak hour. Thus, total estimated p.m. peak hour trips would total 16 trips (13 inbound /3 outbound) Mr. John Littleman November 8, 1996 Page 4 Daily Trips As previously mentioned, daily trip generation was estimated, based on the previous estimates of peak trips. Following is a summary of estimated peak trips: • A.M. Peak Hour: 5 trips • Noon Peak Hour: 6 trips • P.M. Peak Hour: 16 trips • Volleyball Arrivals: 54 trips (in addition to the 10 that arrived in the p.m. peak) • Volleyball Departures: 64 trips • Late Staff Departures: 3 trips • Total Peak Trips: 148 trips The above trips do not account for arrivals and departures between the morning, noon, and evening peaks. However, it is assumed that the above listed trips account for approximately 70 percent of total daily trips. Thus total estimated daily trips are 210 trips, with 105 inbound and 105 outbound. Trip Distribution Separate trip distributions were developed for the two uses: manufacturing and volleyball center. Both were based on the distribution of 1996 population in the urbanized ares of King and Pierce Counties. Separate distributions were developed because volleyball trips are assumed to arrive from a wider area than work trips for the manufacturing facility. For manufacturing, more weight was given to population near the site, while for the volleyball center, equal weight was given to all population in the study area. Comparisons of the two trip distributions indicated close similarity. Thus, the same trip distribution was used for both uses. A separate trip distribution was developed for the noon peak trips, since those trips generally are made to restaurants or other shopping opportunities in closer proximity to the proposed site than are the work and recreational trips made during other times of the day. Following are the trip distribution percentages developed for daily, a.m. peak hour, and p.m. peak hour trips: • Interurban Avenue, north of 1 -405: 3 percent • SW 43rd Street, east of SR 167: 5 percent • SR 167 /SR 181, south of the site: 13 percent • SR 518, west of 1 -5: 7 percent • 1 -405, North, east of SR 181: 19 percent • 1 -5, North, north of 1-405: 27 percent • 1 -5, South, south of the site: 26 percent Mr. John Littleman November 8, 1996 Page 5 Following are the trip distribution percentages developed for the noon peak hour, based on the location of restaurants and shopping facilities in the site vicinity: • SR 181, north of SW 43rd Street: 30 percent • SR 181, south of the site: 5 percent • SW 43rd Street, east of SR 181: 15 percent • South 180th Street, west of SR 181: 50 percent These distribution percentages were used to assign generated trips to the area road network. The assignment is discussed below. Trip Assignment The trips distributed according to the above mentioned percentages were then assigned to logical routes in the site vicinity to produce the trip assignment. The assignments for each of the four time periods are shown on the attached four sketches. Trip Comparison The estimated daily trip generation for the proposed use as a volleyball center is higher than the estimated daily trip generation for the former manufacturing use. However, the estimated peak hour trips are all less for the proposed use than for the former use. As shown on the sketches, the daily trips for the volleyball center are approximately double similar trips for the former manufacturing facility. For the a.m. peak hour and for the noon peak hour, the trips generated by the former manufacturing facility are significantly higher than for the volleyball center. For the p.m. peak hour, the manufacturing facility trips are slightly higher than the volleyball center trips, overall. For some road links, the p.m. peak hour volleyball center trips are slightly higher on a directional basis; however, in these cases, there are no links with volleyball center traffic more than one trip higher. Conclusion Estimated daily trip generation is higher for the volleyball center than for the former use as a manufacturing facility. During the peak periods (a.m., p.m., noon), volleyball center trips will be lower than for the former use. Most of the volleyball center trips will be made during non -peak periods when they can be easily accommodated. If the City of Tukwila still has concerns about p.m. peak hour impacts of the volleyball center, scheduling the matches to begin at 7:00 p.m. should move virtually all volleyball center trips outside the p.m. peak hour.
