Know all men by these presents, that the Grantor, WEA Southcenter LLC, a Delaware limited liability company, hereby dedicates to the Grantee, the City of Tukwila, Washington, a Washington Non Charter Optional Municipal Code City, the following described real property for the use of the public forever as a public vehicle right -of -way, together with the right to use the property herein described for the purpose of conveying public and private utilities including, but not limited to, water, natural gas, sanitary sewage, storm sewage, and telecommunications systems: That property legally described on Exhibit A and depicted on Exhibit B -1 and Exhibit B- 2 (the "Property") incorporated by this reference as if fully set forth herein. Situated in the County of King, State of Washington. EXCEPTING AND RESERVING TO THE GRANTOR from the Property so granted: A permanent, non exclusive easement (the "Easement over, under and within the property depicted on Exhibit B -1 and Exhibit E as the "Reserve Area for Existing Sign" and as legally described in Exhibit D (the "Easement Area for the benefit of Grantor's property, the Westfield Southcenter Mall, legally described on Exhibit C. The Easement Area shall be used for the location, maintenance, operation, repair and replacement of an existing sign located within the Easement Area (the "Sign and any appurtenant electrical or other utility facilities serving the Sign. It shall be the sole responsibility of Grantor, at its expense, to construct, maintain, operate, repair and replace the Sign (and all utility service related thereto). Grantor hereby reserves a right of entry onto the Easement Area and the Property to perform necessary maintenance, repair and replacement work. The right of entry reserved herein shall apply to the agents, representatives and employees of Grantor. Grantee may use the Easement Area for any purposes not inconsistent with the provisions of this Easement; provided, however, Grantee shall not block or obstruct in any way the visibility of the Sign, or access to the Sign or its appurtenant utility service(s), and Grantee shall not locate any structures, trees or large shrubs on or near the Easement Area, which would block or obstruct access to or visibility of the Sign. Immediately following completion of any maintenance, repair or replacement work in the Easement Area or Property, Grantor shall, at its sole expense, remove debris and repair and restore the Easement Area and Property. All work shall be performed in a careful, workmanlike manner, free of claims or liens. The true consideration for this conveyance is non monetary consideration, the receipt and sufficiency of which is hereby acknowledged by Grantor.
