THIS PARKING LICENSE AGREEMENT(the "Parking License") is executed this .tJ of
tY`f\c•rc , 20 /6, by the City of Tukwila, a Washington Municipal Corporation
("City"), in favof of Great American Casino, a Washington Corporation, with reference to the
• following facts:
RECITALS
A. The City owns the property commonly known as the George Long Shops, located
at 14000 Interurban Avenue South in Tukwila, Washington, as identified on Exhibit B, (the
"Property").
B. Great American Casino owns the property located at 14040 Interurban Avenue
South in Tukwila, Washington
C. The City agrees to grant to Great American Casino a Parking License subject to
the terms and conditions set forth herein.
NOW, THEREFORE, in furtherance of the foregoing recitals, of which is hereby
acknowledged,the parties agree as follows:
AGREEMENT
1. Recitals Incorporated. Each recital set forth above is incorporated into this
Parking License as though fully set forth.
2. License. The City hereby conveys, warrants and establishes for the benefit of the
Great American Casino a revocable, non-exclusive Parking License (subject to
the provisions set forth herein) in, on, over, across and through that portion of the
Property described on Exhibit B (the "Easement Area").
3. Hours of Use. The right to park vehicles under this Parking License shall be
limited to the hours of 6 p.m.to 1 a.m. , Friday and Saturday nights.

4. Permitted Users and Areas. Employees of Great American Casino are allowed
to park in the areas designated as "permitted parking areas" on Exhibit A only.
No parking will be allowed directly in front of the building at 14000 Interurban and
no vehicles shall block any driveways or access roads or fire hydrants.
5. Indemnification. The Great American Casino shall defend, indemnify and
hold the City harmless from any and all claims, injuries, damages, losses or suits
including attorney fees, arising out of the activities of the Great American Casino
on or about the Property, or related to its use of the Easement Area, except for
injuries and damages caused by the sole negligence of the City.
6. Governing Law. This Parking License shall be governed by the laws of the
State of Washington
7. Term. This Parking License shall be revocable at any time by either the City or
Great American Casino with thirty (30) days advance written notice of the intent
to revoke this Parking License.
8. Notices. All notices, demands, requests, consents and approvals which may, or
are required to be given by any party to any other party hereunder shall be in
writing and shall be deemed to have been duly given if delivered personally, sent
by nationally recognized overnight delivery service or by facsimile transmission,
or if mailed or deposited in the United States mail and sent by registered or
certified mail, return receipt requested, postage prepaid as follows:
