Company ("Boeing") hold the City harmless for incidents occurring on the roadways being used within the City during the Boeing Centennial Event at the Museum of Flight in Tukwila (the "Event"). Boeing hereby agrees to do so according to the following terms and conditions: Duration. The Event starts at 10 am July 15th and concludes at midnight July 19th. East Marginal Way will be closed: (1) Saturday July 16 from 8:00am until Sunday July 17 at lam; and (2) Sunday July 17 from 8:00am until Monday July 18 at lam. The detour will be in effect during those times and should follow the route on the attached map. This hold harmless agreement shall be valid during the Event. Indemnification. Boeing shall defend, indemnify and hold the City of Tukwila, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or in connection with the Event taking place on publicly owned property, except for injuries and damages caused by the negligence of the City. Should a court of competent jurisdiction determine that this hold harmless agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of Boeing and the City, its officers, officials, employees and volunteers, Boeing's liability hereunder shall be only to the extent of Boeing's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes Boeing's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this agreement. In the event of litigation between the parties to enforce the rights under this indemnity provision, reasonable attorney's fees shall be allowed to the prevailing party. Governing Law, Sovereign Immunity. This agreement and any disputes arising from it or relating to it shall be governed by the laws of the State of Washington without regard to the conflict of law rules of any jurisdiction. To the extent that the City may be entitled in any jurisdiction to claim immunity, whether characterized as sovereign or otherwise, from -1- enforcement, execution or other legal process of any nature, City expressly and irrevocably waives such immunity. Acceptance of this Agreement. The City may accept this agreement by signing a counterpart of this letter and returning it to Boeing no later than July 13, 2016.
