AGREEMENT FOR REAL PROPERTY TRANSFER
BETWEEN THE CITY OF TUKWILA
AND JAMES CODIGA
THIS AGREEMENT is made this del day of 2002, by and between the
CITY OF TUKWILA, WASHINGTON, a municipal corporation of the State of Washington,
hereinafter called "the City," and JAMES CODIGA, also appearing of record as ARCHIE
JAMES CODIGA, a single person, hereinafter called "James Codiga," as follows:
A. RECITALS.
WHEREAS, the City and James Codiga desire to exchange certain property between
them for their mutual benefit; and
WHEREAS, the City desires to transfer the property legally described in Exhibit "A"
hereto "City Property to James Codiga in exchange for the transfer by James Codiga to the
City of a parcel of property legally described in Exhibit "B" hereto "Codiga Property");
00 NOW THEREFORE, and in consideration of the mutual covenants herein contained, it is

C D 1.1 The City shall promptly execute and acknowledge a deed to James Codiga of
CD the City property in the form of the attached Exhibit "A."

CD 1.2 James Codiga shall promptly execute and acknowledge a deed to the City for

the Codiga Property in the form of the attached Exhibit `B."

1.3 James Codiga and the City shall both deliver their respective executed and
acknowledged deeds together with the necessary real estate excise tax affidavits to the City Clerk
of the City of Tukwila, who shall cause such deeds to be recorded on the same day as soon as
practical after receipt of both deeds. The City agrees to pay any filing fees and real estate excise
taxes owed by James Codiga for the transfer of the real property subject to this agreement.
1.4 The City shall pay for standard coverage owner's policy of title insurance in
the face amount of $40,000.00 for insuring the City as fee title owner of the Codiga Property.
The City shall also pay for standard coverage owner's policy of title insurance in the face amount
of $40,000.00 for insuring James Codiga as fee title owner of the City Property. Both policies
will be subject only to those matters set forth on their respective deeds and the standard printed
exceptions in the title policy form. The City shall arrange for the ordering of such title insurance
and shall coordinate issuance of the title insurance with the recording of the deeds.

2. Hazardous Substances. The City represents to James Codiga with respect to the City
Property, and James Codiga represents to the City with respect to the Codiga Property that:
2.1 To the best of its knowledge, the Property has not been affected by the
presence of petroleum or petroleum products, hazardous waste, toxic substances or other
pollutants that could be a detriment to the Property in violation of any local, state or federal law
or regulations and there are no potential hazardous environmental conditions that would so affect
the Property.
2.2 The Property is not currently used as, and to the best of its knowledge has
never been used for, disposal, treatment, or storage of any such substances.
2.3 To the best of its knowledge, no underground storage tanks are or have been
located on the Property.
2.4 For purposes of this Agreement, references to the City's knowledge shall be
limited to the actual knowledge of Jim Morrow, Public Works Director, and Ryan Partee, Public
Works Fisheries Biologist, as of the date of this Agreement. For purposes of this Agreement,
references to James Codiga's knowledge shall be limited to the actual knowledge of James
Codiga as of the date of this Agreement. In making representations and warranties to their
respective knowledge, neither party shall be obligated to investigate the subject matter of the
k10 representation or to review historical information in its possession or control.

3. Miscellaneous.
CZ) 3.1 Entire Agreement. This Agreement constitutes the entire Agreement between
(=J the parties, and replaces all prior or contemporaneous negotiations, representations or
cn agreements, written or oral. This Agreement may not be modified or amended except by the
`;c written agreement of the parties. A party may waive one or more of its rights under this
oo Agreement only in a written instrument signed by the party.

CN 3.2 Captions. The captions and section headings hereof are inserted for
C° convenience purposes only and shall not be deemed to limit or expand the meaning of any

3.3 Counterparts. This Agreement may be executed in any number of
counterparts, each of which when so executed shall be deemed to be an original thereof, and such
counterparts shall together constitute but one and the same agreement.
3.4 Bindins Nature. All rights and obligations arising out of this Agreement shall
inure to the benefit of and be binding upon the respective successors, assigns, and legal
representatives of the respective parties hereto.
3.5 Additional Documents. Each party agrees to take such action and to execute,
acknowledge and deliver any and all documents and instruments as may be desired by the other
party to carry out more effectively the purposes of this Agreement.
