ARTICLE VII Hazardous Waste /Toxin Chemicals Lessee agrees to comply with all environmental regulations which may pertain to its operation, both state and federal. Further, Lessee agrees not to allow the discharge of any toxic waste or chemicals or hazardous materials of any kind defined by the Washington Solid Waste Management Act, RCW 7.95 or the Washington State Hazardous Disposal Act, RCW 70.015. Lessee shall also take suitable measures and provide suitable facilities to prevent pollution, oil and chemical spills, the introduction of any substance or materials into any stream, river, lake, aquifer, or other body of water which may pollute or silt the water or constitute substances or materials deleterious to fish and wildlife. Lessee shall be responsible for all costs of corrective measures required as a result of any pollution, spills, erosion, siltation, or dust, including its effects on adjacent properties. ARTICLE VIII .Inspection of Property Lessee agrees that it has made an inspection of the property and agrees to lease it in its "AS IS" condition. Lessee further acknowledges that Lessor has advised Lessee that the property site was formerly used as a service station and purposes related thereto and that the property has been subject to environmental reports prepared by E.R.M. and the Lambert Group. Copies of those environmental reports respecting the condition of the property are included herein as though fully set forth. Lessee further Lease and Option to Purchase Agreement - Page 4 4083\3\26497 acknowledges that Lessor is to be held harmless and to be indemnified against any cleanup costs and corrective measures necessary as a result of the present state or condition of the property. ARTICLE IE Utilities Lessee shall be responsible for the payment of all monthly utility charges, as well as pay for the cost of hooking up or installing any utility services to the leased premises. ARTICLE X Insurance Lessee further agrees that at all times during the term hereof at its own expense to maintain and keep in effect, furnish and deliver to Lessor certificates of insurance evidencing liability insurance policies in form and with an insurer satisfactory to Lessor, naming Lessor and Lessee as insureds against all liability for damages to person or property in or about said leased premises, with waiver of subrogation. The amount of insurance shall not be less than $500,000 per person and $1,000,000 per accident or occurrence for bodily injuries or death and not less than $250,000 per accident for property datiage. Lessor shall be furnished with such certificates at the commencement date of the lease, and shall have the right to inspect the policies upon reasonable notice. ARTICLE XV Option to Purchase A. Contemporaneously with the execution of this Lease Agreement, Lessee shall deliver to Lessor a cash payment in the amount of Fifteen Thousand and No /1001s Dollars ($15,000.00) and that said amount shall be for the six -month option period as more particularly set forth below. The amount of said option payment shall be non - refundable in the event the option to purchase as set forth herein is not exercised in accordance with the terms of this Agreement; however, in the event the Option to Purchase is exercised, said option amount shall be applicable to the purchase price. B. Period of Option. The Option to Purchase granted hereunder shall commence the 1st day of January, 1997, and shall be for a period of six months, expiring on the 30th day of June, 1997. C. Exercise of Option. The option as set forth herein shall be exercised by notice in writing delivered to Lessor at the address set forth herein on or before the date of expiration of the Lease and Option to Purchase Agreement - Page 9 *UMW Option, provided that, at the time of the written notice of exercise of option is given, Lessee is not in default of any of the terms and provision of this Lease Agreement. ARTICLE XVI Terms of Purchase A. In the event the Option to Purchase is exercised pursuant to the provisions of this Agreement, Lessor shall make application for a preliminary report for the issuance of a title insurance policy from such title insurance company as may be selected by Lessee and that a copy of said report preliminary to the issuance of a title insurance policy shall be delivered to Lessee prior to closing, showing the title to the leased premises is free of encumbrances, rights, restrictions, and reservations of record except those acceptable to purchaser. Sale of the property described above shall be closed in the Escrow Department of Campbell, Dille and Barnett on or before 30 days after receipt by Lessor of the written notice of exercise of the Option, or 30 days after report preliminary to the issuance of title insurance policy is delivered to the Purchaser, whichever shall occur last. B. The purchase price for the property shall be the sum of and shall be paid in cash at time of closing, referred to in this Agreement, and less any rental payments paid by the Lessee to the Lessor pursuant to Article II of this agreement. Title shall be conveyed by Statutory Warranty Deed, free of encumbrances except as noted above. D. The cost of escrow shall be shared equally between Lessor and Lessee, and Lessor shall pay the title insurance premium and excise tax at closing. Taxes for the current year and rents shall be pro -rated as of the date of closing. ARTICLE XVII Failure to Exercise Option In the event Lessee shall not exercise its option rights pursuant to this Agreement, then this Option shall terminate and be no further force and effect. The option payment referred to above, paid to Lessor by Lessee, shall be retained by Lessor as consideration for this Option. ARTICLE XVIII Time Lessor and Lessee agree that time is of the essence in this Agreement, and any indulgences granted hereunder shall not constituted waiver of either party's rights. ARTICLE XIX Attorney Fees In the event it is necessary for either party to institute legal action to enforce any of the terms and provisions of this Lease and Option Agreement, the prevailing party in such legal action shall be entitled to recover their reasonable attorney's fees and costs of suit. All rights, powers, privileges, immunities and duties of the Lessor under this Agreement, including but not limited to any notices required or permitted to be delivered by Lessor to Lessee hereunder, may, at Lessor's option, be exercised or performed by Lessor's agent or attorney. ARTICLE XXI Venue Venue shall be in the County of King, State of Washington.
