SUBDELEGATION OF COMMITMENT AUTHORITY
D. D. Cruze and Andre Gay, acting pursuant to the Delegation of
Commitment Authority dated October 28, 1991, executed by D. D.
Cruze and D. P. Beighle, which delegation was executed pursuant
to a resolution adopted by the Board of Directors of The Boeing
Company at a meeting duly held on April 29, 1991, hereby
delegate to each of the following named individuals the
authority to commit The Boeing Company, acting on behalf of
Boeing Defense Space Group, a part of The Boeing Company, as
follows:
J. Schmit
J. A. Johnson
M. A. Schultz
the authority to do any of the following:
(a) To commit the Company to the lease (as lessor or lessee
or as a participant in any such transaction) of real
property and related personalty; and
(b) In connection with any of the foregoing, to make, enter
co into, execute, create and deliver any proposals,
co contracts, agreements, leases, bonds, licenses, permits,
assignments, and other instruments and documents as he
I deems to be necessary or desirable.

Cn 1 The authority herein delegated shall remain in full force and
�J effect through April 30, 1992, unless earlier revoked in

in the aforesaid Delegation of Commitment Authority.
