L. 11968 L V i +-tirti EXHIBIT A Page 2 of 2 ASSIGNMENT OF WARRANTIES THIS ASSIGNMENT is from WESTCOAST FREEHOLDS "West- coast"), a California partnership with Grosvenor Inter- national California, Ltd. as Managing General Partner, to the CITY OF TUKWILA (the "City Hanover Management Incorporated, a Delaware corporation "HMI entered into various construction contracts (the "Construction Contracts with McCann Construction Company, Incorporated "McCann relating to the construction of cer- tain buildings and other improvements on certain real property owned by HMI in Tukwila, Washington known as Southcenter Cor- C>N2 Or HOUR i »Ck 4 N porate Square. 34ae the Construction Contracts, ea dated November 9, 1977 a9:d r r related to the construction of two cul -de -sac roadways (the "Roadways off an existing street named Andover Park West, and are here- inafter called the "Road Construction Contracts." Westcoast purchased all of the outstanding capital stock of HMI on September 1, 1978, and on the same date, as one integrated transaction in connection with such purchase, HMI was liqui- dated into Westcoast. HMI's interest and rights in and under the Road Construction Contracts were transferred to Westcoast by bill of sale dated September 1°, 1978 in connection with such liquidation. Westcoast is obligated, under the terms of the inscriptions to the Binding Site Improvement Plan relat- ing to the Southcenter Corporate Square property, as HMI's 5/30/79 1 pX C1SE WAX NOT REQUIRED King Co. Records Division g Deputy successor in interest thereto, to dedicate the Roadways to the City within one year of completion of construction. The Roadways have been substantially completed and Westcoast wishes to dedicate the Roadways to the City. The City is willing to accept such dedication now on the condition that co the warranties under the Road Construction Contracts be as- Cn r signed to the City. 0 Accordingly, Westcoast hereby assigns, transfers and i- sets over unto the City, effective upon the dedication of the Roadways to the City, all of its rights under any and all warranties of McCann under the Road Construction Contracts, including but not limited to the warranties under paragraph 4.5.1 of the General Conditions of the Contract for Construc- tion of the Road Construction Contracts. Westcoast agrees that the City may enforce such rights in its own name. DATED as of the day of June, 1979.
