(hereinafter referred to as "the Grantor "), and the CITY OF TUKWILA, a Washington optional municipal code City (hereinafter referred to as "the Grantee "). WHEREAS, Grantor owns or has an interest in certain real property (hereinafter referred to as "the Property ") located in the City of Tukwila, Washington, and more particularly described on Exhibit A attached hereto and incorporated herein by this reference as if set forth in full, and WHEREAS, the Grantee currently has located on the Grantor's property a waterline and a sewer line and Grantor's property is further encumbered by a recreational trail easement in favor of Grantee, and WHEREAS, Grantee desires to obtain an easement for water and sewer lines on the Property and is willing, in exchange therefore, to relocate the recreational trail within the easement necessary for the water and sewer lines, to assume responsibility for maintenance of the trail, and to abandon a water line currently located on the Property, and WHEREAS, Grantor has agreed to grant a water, sewer and recreational trail easement for the Property to Grantee under certain terms and conditions, now, therefore IN CONSIDERATION of the mutual benefits and conditions hereinafter contained, Grantor hereby conveys and grants to Grantee, its successors and assigns, a perpetual, nonexclusive easement across, along, under, over, in and upon, the Property described on Exhibit A attached hereto and incorporated herein by this reference as if set forth in full, subject to the following terms and conditions, by which Grantee agrees to be bound: 1. Use of the Property. A. Grantee's use of the Property shall_ be for the following purposes: 1. The use of the recreational trail will be restricted to pedestrian use. The developer has constructed the sidewalk, curbs and gutters and water main in accordance with the requirements of the Public Works Department and now requests that these facilities be turned over to the City per the attached documentation, which includes the following: - 1. June 19, 1986 letter requesting turnover from Lee W. Cagle, Senior Vice President of NC Machinery '2. A list of materials /costs - 3. Signed -off permits by the utilities and street inspectors 4. Bill of sale, executed and notarized 5. An executed easement agreement for the water main and for sidewalk (awaiting the Mayor's signature) 6. An as -built plan for the sidewalks, curbs and gutters and water main extensions 7. A copy of the executed developer's agreement (original on file in the City Clerk's office) Also included is a copy of the developer's dike maintenance easement to King County, a requirement of King County Surface Water Management. Finally, attached is a letter from Gustav Osterbok, Licensed Land Surveyor, indicating that the finished floor elevations of the building are in compliance with the flood zone control permit requirements under which this project was constructed. (hereinafter referred to as "the Grantor "), and the CITY OF TUKWILA, a Washington optional municipal code City (hereinafter referred to as "the Grantee "). WHEREAS, Grantor owns or has an interest in certain real property (hereinafter referred to as "the Property ") located in the City of Tukwila, Washington, and more particularly described on Exhibit A attached hereto and incorporated herein by this reference as if set forth in full, and WHEREAS, the Grantee currently has located on the Grantor's property a waterline and a sewer line and Grantor's property is further encumbered by a recreational trail easement in favor of Grantee, and WHEREAS, Grantee desires to obtain an easement for water and sewer lines on the Property and is willing, in exchange therefore, to relocate the recreational trail within the easement necessary for the water and sewer lines, to assume responsibility for maintenance of the trail, and to abandon a water line currently located on the Property, and WHEREAS, Grantor has agreed to grant a water, sewer and recreational trail easement for the Property to Grantee under certain terms and conditions, now, therefore IN CONSIDERATION of the mutual benefits and conditions hereinafter contained, Grantor hereby conveys and grants to Grantee, its successors and assigns, a perpetual, nonexclusive easement across, along, under, over, in and upon, the Property described on Exhibit A attached hereto and incorporated herein by this reference as if set forth in full, subject to the following terms and conditions, by which Grantee agrees to be bound: 1. Use of the Property. A. Grantee's use of the Property shall be for the following purposes: 1. Installing, constructing, maintaining, operating, repairing and replacing a water main and sewer main and all necessary connections and appurtenances thereto, together with the right of ingress and egress to, from and across said Property for the foregoing purposes; and 1 2. Landscaping, developing and maintaining the Property for public recreational trail purposes and installing, constructing, maintaining, operating, repairing and replacing a public recreational trail and trail facilities thereon, together with the right of ingress and egress to, from and across said property for the foregoing purposes. B. The use of the recreational trail will be restricted to pedestrian use. Existing Facilities. In consideration for Grantor's grant of the easement for water, sewer and public recreational trail facilities set forth above, the Grantee agrees to abandon the existing water line on Grantor's property, with the property owner taking all rights to further use of the abandoned facility within the property. The Grantee further agrees to relocate, at Grantee's sole cost and expense, the existing recreational trail located on Grantor's property to the real property in which this Easement is granted and any previously acquired interest of Grantee in Grantor's property for recreational trail purposes except as specified in this instrument is hereby abandoned and S- extinguished, and, any previously created or existing obligation or r- ••nsibilit of Grantor for maintenance of or liability for said recreational trail is hereby 3. Construction and Maintenance. The design of the public water terminated main, sewer main and recreational trail shall be in the sole and ex tin- discretion of the Grantee. Grantee agrees to make reasonable guisnea. attempts in designing the public recreational trail to accommodate any plans for development by the Grantor on property adjacent to the trail. All design, engineering and construction costs incurred in completing the water main, sewer main and recreational trail shall be at the sole cost and expense of the Grantee. Grantee shall be responsible for all maintenance and maintenance costs incurred with respect to the water main, sewer main and recreational trail. 4. VanDusen, Mayor MEMORANDUM Phil Fraser, Senior Engineer Don Williams, Parks and Recreation Director/P7/4V November 4, 1986 NORTH HILL TRANSMISSION PIPELINE /CITY TRAIL CONCERN I have read with interest your memo to By and Ross concerning the obtaining of the water and sewer utility easement and the existing trail. If I understand correctly, Public Works is proposing to "terminate" a trail across VIP's property and in trade will receive the needed utility ease- ments. I do not doubt the absolute need for the utility easements, but I can't agree with the proposal to abandon the required trail through VIP's. In 1977 the Planning Director, Mayor Bauch and I worked on a plan to devel- op a trail from the La Vista Apartments easterly to the northwest corner of the VIP's property. The trail was to be . built on City property until it reached the VIP's lot. About the time we were planning the trail VIP's came along with a proposal to enlarge their facility and obtain a rezone. Kjell Stoknes worked with VIP representatives to see if a trail could be built. In July 1977 the Planning Director signed the Declaration of Non - significance which included a condition that VIP's build a trail across their property. This was a condition of the rezone and approval to allow them to expand their facility. The Planning Commission concurred with the staff's recommendation at their August 8, 1977 meeting. The trail was a condition set forth, and VIP's representatives agreed to it in writing. I request you halt any further actions concerning the "termination" of the trail until we look at the situation with Rick Beeler. In your memo of November 3 it is suggested in the next 6 to 12 months the City could con- struct an alternative trail route, however you have not discussed this with me nor do we have any funds proposed in the 1987 budget for such a project. It is my opinion that we should obtain a trail easement, build the trail, and maintain it just as we have done in other parts of the City. To aban- don this needed portion of the trail would seem to me to be unwise, as it would end the City trail in a "no man's land ". Zoning on property to the Northwest of the site is RMH and is currently occupied by the La Vista Apartments. Zoning to the East of the site is R -3 and C -1, both parcels currently unoccupied. 4. Southcenter Boulevard is planned to be improved in 1977 - 1978 to in- clude 3 -lanes eastbound, 2 lanes westbound, with a center left -hand turn lane at both points of access to the VIP's site. 5. The subject site is proposed to be graded as illustrated in Exhibit C, attached. 6. The subject site is proposed to be landscaped as depicted in Exhibit D, attached, following grading and construction activities. 7. Storm drainage is proposed to be handled in the manner depicted on Exhibit E, attached. 8. The topography of the site is generally flat at the bottom (85 feet elevation) where parking and restaurant expansion are proposed, rising steeply to about the 150 -foot elevation at the rear of the property. 9. As conditions of the withdrawal of the affirmative declaration (SEE, Exhibit F), the applicant has proposed also to: A. Post a reclamation bond for the grading and landscaping activi- ties on all sloping areas; B. Preserve the area above the 150 -foot contour in its natural state; C. Agree to not place the base of any freestanding sign identifying the premises above the 90 foot contour line; D. Construct a trail from the top of the slope down to Southcenter Boulevard; E. Plant 3" caliper deciduous trees on the sides and in the front of the proposed motel; f.
