As discussed, here are revised drafts of the two letters of
credit, together with a side letter relating thereto.
Our client is anxious to have the letters of credit issued
today if possible, since a necessary building permit will not
be issued until the letters of credit have been furnished.
Accordingly, in view of the time. element I am taking the liber-
ty of sending drafts to Kgell Stoknes at the City of Tukwila
and Pamela Ackley -Bell at the Canadian Imperial Bank of Commerce
for their concurrent review.
I look forward to receiving everyone's comments as soon as they
have had a chance to review the drafts.

This refers, to two letters of credit dated March , 1978
opened by Canadian Imperial Bank of Commerce, Seattle,
Washington for your account and in our favor'in the amount of
$180,000 each, in lieu of providing bonds for the construc-
tion of certain roads shown in Binding Site Improvement Plan
No. 77 -32 relating to certain real property in Tukwila. With
•reference thereto, this will confirm the City of Tukwila's
agreement that it will draw under either of the letters of
credit only in the event that:
1. The state of facts required to be stated in the
affidavit under the letter of credit to be drawn under is
true and correct; and
2. The City has given notice to you of intent to
draw under such letter of credit at least 15 days prior to
drawing thereunder and such state of facts remains true
and correct at the end of such 15 -day period.
It is understood and agreed that such letters of credit
are in lieu of supplyinq performance bonds for the completion'
of the above- mentioned roads and that the City will draw
under the letters of credit only such amount(s) that the City
in good faith estimates it would cost to complete the road or
roads in question, and that any and all amounts drawn under
either of the letters of credit which have not reasonably
been expended in the completion of the road in question will
be refunded to Hanover.

draft drawn at sight on us and accompanied by an affidavit
executed by the of the City of Tukwila on behalf
of the City to the effect that:
1. The northern roadway shown in Binding Site Improvement
Plan No. 77 -32 relating to certain real property in
Tukwila ( "Corporate Drive North ") has not been com-
pleted in accordance with the plans therefor approved by
the City;
2. The buildings known as Buildings 3, 4, 7 and 9 to be con-
structed on the property covered by such Binding Site
Improvement Plan have been completed and have been occu-
pied by Hanover Management, Inc. ( "Hanover ") or tenants
of Hanover; and
3. The City of Tukwila in good faith estimates that it
would cost approximately the amount being drawn under
this Letter of Credit to complete Corporate Drive North
and certifies for the benefit of Hanover that all
amounts drawn hereunder which have not reasonably been
expended in the completion of Corporate Drive North will
be refunded to Hanover.
This Letter of Credit expires in Seattle, Washington on
September 1, 1978.

This refers to two letters of credit dated March 16, 1978 opened by Canadian
Imperial Bank of Commerce, Seattle, Washington for your account and in our
favor in the amounts of $180,000 and $200,000, respectively, in lieu of pro-
viding bonds for the construction of certain roads shown in Binding Site
Improvement Plan No. 77-32 relating to certain real property in Tukwila. With
reference thereto, this will confirm the City of Tukwila's agreement that it
will draw under either of the letters of credit only in the event that:
1. The state of facts required to be stated in the affidavit under the letter
of credit to be drawn under is true and correct and the completion .of the road in
question has not been delayed by any act of God or other event beyond your reason-
able control; and
2. The City has given notice to you at the above address, attention Daniel
J: Riviera, of intent to draw under such letter of credit at least 15 days prior
to drawing thereunder and such state of facts remains true and correct at the end
of such 15 -day period.
It is understood and agreed that such letters of credit are in lieu of supplying
performance bonds for the completion of the above - mentioned roads and that the
City will draw under the letters of credit only such amount(s) that the City in
good faith estimates it would cost to complete the road or roads in question,
and that the City will make best efforts to complete the road(s) in question as
soon as possible after such amount(s) have been drawn. Any and all amounts drawn
under either of the letters of credit which have not reasonably been expended in
the completion of the road in question will be refunded to you forthwith upon
completion of the road, but in no event later than January 1, 1979.
