SPECIAL MEETINGS /EXECUTIVE SESSIONS
Special Meetings may be called at any time with proper public notice. Procedures followed are the same as
those used in Regular Council meetings.
Executive Sessions may be called to inform the Council of pending legal action, financial, or personnel
matters as prescribed by law. Executive Sessions are not open to the public.
PUBLIC HEARINGS
Public Hearings are required by law before the Council can take action on matters affecting the public
interest such as land -use laws, annexations, rezone requests, public safety issues, etc. Section 2.04.150 of the
Tukwila Municipal Code states the following guidelines for Public Hearings:
The proponent shall speak first and is allowed 15 minutes for a presentation.
2. The opponent is then allowed 15 minutes to make a presentation.
3. Each side is then allowed 5 minutes for rebuttal.
4. Members of the public who wish to address the Council may speak for 5 minutes each. No one may
speak a second time until everyone wishing to speak has spoken.
5. After each speaker has spoken, the Council may question the speaker. Each speaker can respond to the
question, but may not engage in further debate at that time.
6. After the Public Hearing is closed and during the Council meeting, the Council may choose to discuss
the issue among themselves, or defer the discussion to a future Council meeting, without further public
testimony. Council action may only be taken during Regular or Special Meetings.
COUNCIL MEETING SCHEDULE
No Council meetings are scheduled on the 5th Monday of the month unless prior public notification is given.
Regular Meetings - The Mayor, elected by the people to a four -year term, presides at all Regular Council
Meetings held on the 1 st and 3rd Mondays of each month at 7:00 p.m. and Special Meetings. Official
Council action in the form of formal motions, adopting of resolutions and passing of ordinances can
only be taken at Regular or Special Council meetings.
Committee of the Whole Meetings - Councilmembers are elected for a four -year term. The Council
President is elected by the Councilmembers to preside at all Committee of the Whole meetings for a
one -year term. Committee of the Whole meetings are held the 2nd and 4th Mondays at 7:00 p.m.
Issues discussed there are forwarded to Regular or Special Council meetings for official action.

ISSUE
Under TIVIC 3.90, applications for multi-family tax exemptions offered as an incentive to
stimulate the construction of new housing in limited areas in the Tukwila Urban Center were no
longer accepted after December 31.2O18. The Council iS being asked tO consider and approve

BACKGROUND
Tukwila City Council adopted Ordinance 2462in2O14 allowing the use of the Multifamily
Property Tax Exemption (MFTE) as an incentive to encourage residential development of
market rate and Gfh}nd@b|8 housing within a portion of the 8OuthC8Dter area zoned Transit
O[igOL8d Development (TUC'TOD) located west 0fthe Green River. If @ project met certain
State eligibility criteria set forth in HCVV 84.14' the qualified r8Sid8DUR| units would be exempt
from @d valorem property taxes for eight years; twelve years if providing affordable housing. The
property tax exemption applies to the qualified housing units only, not on the value of land or
commercial properties. Once the exemption period ends, the structures are placed on the
property tax rolls based OO their original new construction value.
The intent was to stimulate the construction of pioneer multifamily developments in the urban
center, not to provide an on-going subsidy. Per TW1C 3.90.060.[]. the deadline for applying for
the property tax incentive was December 31, 2016. Washington Place is the only project that
utilized the MFTEprogram.
DISCUSSION
The Southcenter Plan describes the TOD district as an emerging mixed-use, residential
neighborhood. The City has invested in this vision with improvements such aothe transit center,
the pedestrian bridge over the Green River, and upcoming changes tO Baker Boulevard
including new sidewalks, on-street parking, and bike lanes. These public improvements
combined with the MIFTE incentive served to catalyze the first residential project fortheurbaO
center, Washington P|8C8.
Staff believes extending the multifamily property tax exemption application period for a limited
time is necessary incentive Uo construct additional housing in the urban center. Recently,

developers have expressed interest in constructing Class A market rate apartments in the TOD

The only change being requested is extension of the application period for the remaining year.

may learn that the rents are high enough tO justify additional development without needing the

when the City and other taxing districts would start receiving property tax on the new

RECOMMENDATION
The Council is being asked to hold a public hearing on the ordinance at the May 8, 2017
Committee 0f the Whole and consider this item 81 the subsequent May 15'2O17Regular
Meeting.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY
OF TUKWILA, WASHINGTON, AMENDING ORDINANCE
NO. 2462 §8, AS CODIFIED AT TUKWILA MUNICIPAL
CODE CHAPTER 3.90, "MULTI-FAMILY RESIDENTIAL
PROPERTY TAX EXEMPTION," TO EXTEND THE
DEADLINE TO APPLY FOR THE PROPERTY TAX
EXEMPTION; PROVIDING FOR SEVERABILITY; AND
ESTABLISHING AN EFFECTIVE DATE.
WHEREAS, Chapter 84.14 RCW authorizes cities to provide for exemptions from
ad valorem property taxation on qualified multi-family housing developments located in
designated residential targeted areas in order to encourage more desirable and
convenient residential units in urban centers; and
WHEREAS, the King County Countywide Planning Policies (KCCPP), developed
pursuant to the Washington State Growth Management Act, have established standards
for cities to plan for their share of regional growth and affordable housing; and
WHEREAS, the Tukwila Urban Center is one of the region's designated urban
centers and lies within an urban growth area; and
WHEREAS, the City intends to assist in achieving its residential growth targets and
goals in the City's Housing and Urban Center Element of the City's Comprehensive
Plan by encouraging new multi-family housing in the Tukwila Urban Center; and
WHEREAS, the Tukwila Urban Center currently lacks sufficient available, desirable
and convenient residential housing, including affordable housing, to meet the needs of
the public who would be likely to live in the urban center, if the affordable, desirable,
attractive, and livable places to live were available; and
WHEREAS, the Tukwila Urban Center qualifies as an urban center for purposes of
RCW 84.14.010 and Tukwila has a desire to stimulate new construction of multi-family
housing within that portion of the Tukwila Urban Center's Transit Oriented Development
district that lies west of the Green River; and

WHEREAS, the tax incentive provided by Chapter 84.14 RCW encourages
increased residential opportunities, including affordable housing opportunities, and will
stimulate the construction of new multi-family housing within the residential targeted
area and will benefit and promote public health, safety, and welfare by encouraging
residential development and redevelopment of that area of the City; and
WHEREAS, the tax incentive regulations were adopted by the Tukwila City Council in
Ordinance No. 2462 on December 1, 2014; and
WHEREAS, under Tukwila Municipal Code Section 3.90.060, applications for a multi-
family tax exemption were no longer accepted after December 31, 2016, and the Tukwila
City Council desires to continue offering an incentive to stimulate the construction of new
housing within a portion of the Tukwila Urban Center Transit Oriented Development district
for a limited period of time; and
WHEREAS, on May 8, 2017, the Tukwila City Council, after giving public notice as
required by RCW 84.14.040, held a public hearing to consider adoption of the proposed
ordinance;
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TUKWILA,
WASHINGTON, HEREBY ORDAINS AS FOLLOWS:
Section 1. Ordinance No. 2462 §8, as codified at Tukwila Municipal Code Section
3.90.060, is hereby amended to read as follows:
3.90.060 Application Procedure — Fee
A. The owner of property applying for exemption under this chapter shall submit
an application to the Administrator, on a form established by the Administrator. The
owner shall verify the contents of the application by oath or affirmation. The application
shall contain the following information:
1. A brief written description of the project, including phasing if applicable, that
states which units are proposed for the exemption and whether the request is for 8 or 12
years.
2. Preliminary schematic site and floor plans of the multi-family units and the
structure(s) in which they are proposed to be located.
3. A table of all units in the project listing unit number, square footage, unit
type (studio, one bedroom, etc.), and indicating those proposed for the exemption.
4. If applicable, information describing how the applicant will comply with the
affordability requirements in TIVIC Sections 3.90.040 and 3.90.050.
5. A statement from the owner acknowledging the potential tax liability when
the property ceases to be eligible for exemption under this chapter.
6. Any other information deemed necessary or useful by the Administrator.

B. At the time of application under this section, the applicant shall pay to the City
an initial application fee of $500 or as otherwise established by ordinance or resolution.
If the application is denied, the City may retain that portion of the application fee
attributable to its own administrative costs and refund the balance to the applicant.
C. The complete application shall be submitted any time before, but no later than,
the date the certificate of occupancy is issued under Title 16 of the Tukwila Municipal
Code.
D. After December 31, 2-5217, the City will no longer accept applications.
Section 2. Corrections by City Clerk or Code Reviser. Upon approval of the
City Attorney, the City Clerk and the code reviser are authorized to make necessary
corrections to this ordinance, including the correction of clerical errors; references to
other local, state or federal laws, codes, rules, or regulations; or ordinance numbering
and section/subsection numbering.
Section 3. Severability. If any section, subsection, paragraph, sentence, clause or
phrase of this ordinance or its application to any person or situation should be held to be
invalid or unconstitutional for any reason by a court of competent jurisdiction, such
invalidity or unconstitutionality shall not affect the validity or constitutionality of the
remaining portions of this ordinance or its application to any other person or situation.
Section 4. Effective Date. This ordinance or a summary thereof shall be published
in the official newspaper of the City, and shall take effect and be in full force five days
after passage and publication as provided by law.

190.010 Purpose
The purposes of this chapter are:
1� To encourage increased residential opportunities,
including affordable housing nppoduniUes, and k/ stimulate the
construction of new multi-family housing within a portion of the
Tukwila Urban Center's Transit Oriented Development district.
2. To accomplish the planning goals required under
the Washington State Growth Management Act, Chapter
3670A RCVV and Countywide Planning Pn|io|eo as
implemented by the Qb/'S Comprehensive Plan.
39H20 Definitions
As used in this chapter, unless the context or Subject
matter clearly requires otherwise, the words or phrases defined
in this section shall have the indicated meanings:
A, "Administrator" shall mean the Economic
Development Administrator of the City of Tukwila or his/her
designee.
B. "Affordable housing" means residential housing that is
rented by a person or household whose monthly housing
costs, including utilities other than telephone, do not exceed 3O
percent ofthe household's monthly income. For the purposes
of housing intended for owner occupancy, "affordable housing"
means naSiU0nUG| housing that is within the means Of low- or
moderate-income households.
C� "High onat area" means 8 county where the third
quarter median house price for the previous year 8s reported
by the Washington Center for Real Estate Research at
Washington State University is equal 10 or greater than 130

percent ofthe statewide median house price published during
the same time period.
D, "Household" means a single porsnn, fami|y, or
unrelated persons living together.
E, "Low-income household" means a single person,
fami|y, or unrelated persons living together whose adjusted
income ieator below 80 percent of the median family income,
adjusted for family size, for the county where the project iS
|ocated, as reported by the United States Department of
Housing and Urban Development. For cities located in high-
cost areas. "low-income household" means a household that
has an income at or below 100 percent ofthe median family
income adjusted for fomi|y size, for the county where the
project is located.
F. "Moderate-income household" means 8 single
porson, tami|y, or unrelated persons living together whose
adjusted income iS more than 8O percent but isaior below 115
percent Of the median family income, adjusted for family size,
for the county where the project is located, as reported by the
United States Department of Housing and Urban
Development, For cities located in high-cost areas, "moderate-
income household" means a household that has an income
that is more than 100 percent, but 8iorbelow 150 pement, of
the median family income adjusted for family size, for the
county where the project is located.
G. "Multi-family housing" means a building having four or
more dwelling undo not designed or used as transient
accommodations and not including hotels and motels, Multi-
family units may result from new construction or rehabilitation
or conversion of vaoon\, underud|ized, or substandard
buildings tO multi-family housing.
H. "Owner" means the property owner of record.
i "Owner occupied" means a residential unit that is
rented for fewer than 3O days per calendar year.
J� "Permanent residential occupancy" moans multi-
family housing that is either owner occupied or rented for
periods ofai least one month.
K. "Residential targeted area" means the area within the
boundary asdesignated byTMC Section 3.90.030,
L "Urban Center" means ocompact, identifiable district
where urban residents may obtain a variety of products and
services, An urban center must contain:
1. Several existing or previous, or both. business
establishments that may include but are not limited toshops,
offices, banks, restaurants, governmental agencies;
2. Adequate public facilities including stnaotS.
sidewalks, lighting, transit, domestic water, and sanitary sewer
systems, and
3. A mixture Of uses and activities that may include
housing, recreadon, and cultural 8SUvhiea in 8SS0Ciabon with
either commercial or office or both uses.

3. 0.030 Residential Targeted Area — Criteria
Designation — Recession
A. The boundary of the residential targeted area is that
portion of the Tukwila Urban Center zone's Transit Oriented
Development district that lies west of the Green River as
shown below in Figure 3-1.
B. If a part of any legal lot is within the residential
targeted area, then the entire lot shall be deemed to lie within
such residential targeted area,

MH40 Tax Exemption for Multi-Family HOUsiRg
in Residential Targeted Areas Authorized
A, Duration of Exemption. The value o(improvements
qualifying under this chapter will be exempt from ad valorem
property taxation, asfollows:
1. For 8 successive years beginning January 1 of
the year immediately following the calendar year of issuance of
the certificate of tax exemption; or
2. For 12 successive years beginning January 1 of
the year immediately following the calendar year of issuance of
the certificate of tax exemption, if the property otherwise
qualifies for the exemption under Chapter 84.14 RCVV and
meets the conditions in this subsection. For the property to
qualify for the 12-year exemption under this subseoion, the
applicant must commit to renting or selling at least 20 percent
of the multi-family housing units as affordable housing units to
low- and moderate-income households. In the case of the
projects intended exclusively for owner nccupancy, the
minimum requirement of this subsection may be satisfied
solely through housing affordable to moderate-income
hOUS8h0|dS,
B. Limits ofExemption,
1 The properly tax exemption does not apply to the
value of land or to the value N non-housing-related
improvements not qualifying under RCVV8414,
2. This chapter does not apply to increases in
assessed valuation made by the assessor on non-qualifying
portions ofbuilding and value nfland, nor to inonanoms made
by lawful order ofthe King County Board of Equalization, the
Department of Revenue, or King County, to a class ofproperty
throughout the county 0r specific area of the county ioachieve
uniformity of assessment ofappraisal required by law.
3 The property tax exemption only applies to the
value of improvements used for permanent residential
occupancy.

19W050 Project Eligibility
A. To be eligible for exemption from property taxation
under this ohapter, the residential units must satisfy all of the
following criteria:
1 The units must be located in 80 residential
targeted area.

applicant will comply with the affordability requirements in TMC
Sections 3.9O.O40 and 3.9OD50.
5, A statement from the owner acknowledging the
potential tax liability when the property ceases hobo eligible for
exemption under this chapter,
6. Any other information deemed necessary or

the proposed application. If the application is approveU, the
owner oho|| enter into e contract with the City regarding the
terms and conditions of the project and eligibility for exemption
under this Chapter. The Mayor shall be the authorized

B. |f the application is denied, the Administrator shall
issue a Notice of Denial stating in writing the reasons for the
denial and send the Notice nf Denial {o the applicant's last
known address within 1O days of the denial.
C. An applicant may appeal the Administrator's notice of
denial of the application to the City Counoi| by filing a notice of
appeal with the City Clerk within 30 days of receipt of the
Administrator's nOUo8 of denial and paying a fee of$5OOoras
otherwise established by ordinance or resolution. The
appellant shall provide a statement regarding the basis for the
appeal, The closed record appeal before the City Council shall
be based upon the record before the Administrator, and the
Administrator's decision shall be upheld unless the applicant
can show that there is no substantial evidence on the record to
support the Administrator's decision. The City Council
decision on appeal is final.
190.080 Extension of Conditional Certificate
The conditional certificate may be extended by the
Administrator for 8 period not to exceed 24 COnSnou\iw3
months. The applicant shall submit awritten request stating
the grounds for the extension, together with 8 fee as
established by ordinance or resolution. The Administrator may
grant an extension if the Administrator determines that:
1. The anticipated failure k/ complete construction
or rehabilitation wthin the required time period is dun to

final oortifiCate, the Administrator shall determine whether the
completed work is consistent with the application and contract
approved by the Mayor and is qualified for limited exemption
under Chapter 84.14 RCVV, and which specific improvements
completed meet the requirements of this chapter and the
required findings ofRCVV84.14.O00.
C. |f the Administrator determines that the project hao
been completed in accordance with TMCSection 3.90.090 (A),
the City shall file a final certificate of tax exemption with the
assessor within 10 days of the expiration of the 30-day period
provided under TMC Section 3,9O.U90/B>.
D. The Administrator is authorized to cause 10 be
reoonded, or to require the applicant or owner {0 moord, in the
real property naCondS of the King County Department of
Records and B8ohonS, the contract with the City required
under TMC Section 3.90.070 and such otherdoCument(s) as
will identify such terms and conditions of eligibility for

and the requirements of this chapter in order to retain its
property tax exemption.
B. Within 30 days after the first anniversary nfthe date
the City filed the final certificate of tax exemption and each
yearfor the tax exemption pShod, the property owner shall file
g certification with the AdminiStxak}r, verified upon oath or
affirmohnn, which shall contain such information as the
Administrator may deem necessary oruseful, and shall include
the following information:
1� A statement of occupancy and vacancy of the
multi-family units during the previous year.
2, Am*rtification that the property has not changed
use since the date Of filing of the final certificate of tax
exemption and continues to be in compliance with the contract
with the City and the requirements nf this chapter.
1 A description of any improvements or changes to
the property made after the filing of the final certificate or last
declaration, aoapplicable.
4, If app|icab|*, information demonstrating the
owner's compliance with the affordability requirements ofTMC
Sections 3,9O.040and 3,80D50. including:
a, The total monthly rent or total sale amount of
each uni1�and
b. The income of each renter household at the
time of initial occupancy and the income of each initial
purchaser ofowner-occupied units at the time of purchase for
each of the units receiving a tax exemption.

C. Failure to submit the annual declaration may result in

issued a Notice and Order and that is not resolved within the
time period for compliance provided in such Notice and Order.

requirements nfTMC Section 3,90.040. In the event of sale
ofon affordable owner-occupied unit Loa household other than

the contract referenced inTMC Section 3.90.070. the property
tax exemption for that affordable owner-occupied unit shall be
canceled pursuant k> this section.
F. For property with renter-occupied dwelling unitS, in
addition to any other requirements in this chapter, the
affbnjGb|9 renter-occupied units must continue to meet the
income eligibility requirements ofTMC Section 3.90.O40. In
the event Ofa rental ofan affordable renter-occupied unit b>a
household other than 8n eligible household, ora1a rent greater
than prescribed in the contract referenced in TMC Section
3.KO4O' the property tax exemption for the property shall be
canceled pursuant to this section.
B. If the owner converts the multi-family housing to
another use, the owner shall notify the Administrator and the
County Assessor within SO days of the change in use. Upon
such change in uae, the tax exemption shall be canceled
pursuant to this section,
H. The Administrator shall cancel the tax exemption for
any property or individual unit that no longer complies with the
terms of the contract or with the requirements of this chapter.
Upon cancellation, additional taxes, interest and penalties shall
Ue imposed pursuant to state law. Upon determining that atax
exemption shall be canceled, the Administrator shall notify the
property owner bycertified mail, return receipt requested. The
property owner may appeal the determination by filing a notice
of appeal within 30 days of the date of notice of cancellation,
specifying the factual and legal basis for the appeal. The
appeal shall be heard by the Hearing Examiner pursuant to
TMC Section 3.gO.110.

A. Ordinance: Amending the Multi - Family Residential Property Tax Exemption
Staff is seeking Council approval of an ordinance that would amend Tukwila Municipal Code
Chapter 3.90 to extend the deadline to apply for multi-family tax exemptions as a housing
incentive in the Tukwila Urban Center until December 31, 2017. The previous exemption period
expired in December2016 and Washington Place is the only project that applied and qualified for
the program. Another developer has recently expressed interest in constructing Class A market
rate apartments in the TOD but financing is difficult as there are no comparable rents in the area.
Extension of the MFTE program may increase the feasibility of this and other projects. Once
additional projects are completed, the availability of rental data may prove that the incentive is
no longer needed. UNANIMOUS APPROVAL. FORWARD TO MAY 8, 2017 COMMITTEE OF THE
WHOLE FOR PUBLIC HEARING AND DISCUSSION.
B. Tukwila International Boulevard Implementation Update
Staff briefed the committee on a preliminary work program for implementation of the Tukwila
International Boulevard Plan and recommendations from the Congress for New Urbanism (CNU)
recommendations. CNU will be presenting its final report to the City Council at its May 1, 2017
meeting and will be recommending that the City change development standards to makethe TIB
corridor more land use, pedestrian and bike friendly. Implementation of any changes desired by
Council will require ordinance development, public outreach, environmental analysis, and
review by the Planning Commission and City Council. The draft schedule shows completion of
all steps by early December, but this is subject to change as the plan progresses and may go into
2018. TIB Plan implementation was given a high priority by the City Council at its recent Housing
Policy workshop. Committee members stated they took forward to greater details, including
budget analysis and recommendations. DISCUSSION ONLY.

BACKGROUND
The Public Safety Plan projects iO the 2017-18 Capital Improvement Program include budgets for
land acquisition including related expenses, such 8S real estate brokers, real estate appraisers,
land surveyors and other due diligence expenditures.
ANALYSIS
The City advertised a Request for Qualifications and received ppup000ka from three real estate
brokerage firms After reviewing the pnDpOS8|S. Heartland LLC was Sa|aoted based On superior
experience and qualifications. The other firms were well qualified, but did not rank 8Shigh. The
attached contract was negotiated for a standard broker commission of 2.5% of the gross purchase
price for each transaction plus a fixed maximum fee of $60,000 for actual time and materials of the
SubConnu|t8nt CL8 for work related to acquisition QSSiStanC8 and eminent domain consultation. Up to
$40,000 of subconsultant fees will be credited against the commissions.
RECOMMENDATION
Council is being asked to approve the consultant agreement with Heartland LLC in the amount of
$60,000 plus 2.5% of each real estate transaction based on the gross purchase price at the
May 15, 2017 Regular Meeting Consent Agenda.

CONSULTANT AGREEMENT FOR
REAL ESTATE BROKERAGE SERVICES
THIS AGREEMENT is entered into between the City of Tukmi|a. VVashinghmn, hereinafter
referred to as "the City", and Heartland LkC, hereinafter referred to as "the ConmuUant", in
consideration of the mutual benefits, terms, and conditions hereinafter specified.
Project Desi-gnation. The Consultant is retained by the City to provide Real Estate
Brokerage services in connection with the project titled ChxofTukwila Public Safety F1en
Property Acquisitions.
Scope of Services. The Consultant agrees [o perform the oervicao, identified on Exhibit ^A^
attached hereto. including the provision of all |obor, mateho|n, equipment and supplies.
3. This Agreement shall be in full force and
effect for a period commencing upon execution and ending 12/31/2018, unless sooner
terminated under the provisions hereinafter specified. Work under this Agreement shall
commence upon written notice by the City to the Consultant toproceed. The Consultant shall
perform all services and provide all work product required pursuant to this Agreement during
the term of the Agreement unless an extension of such time is granted in writing by the City.
4. Agency. City authorizes Consultant to appoint Matt Anderson as City's Designated Broker
("Designated Broker"). This Agreement creates an agency relationship with City and any of
Consultant's brokern, including any of the Consultant's agents or brokers supervised by
Designated Broker' and Designated Broker as City's agent. No other brokers affiliated with
Firm are agents of Se||er, except (othe extent that Cnnsu|tant, in its diacredon, appoints other
brokers to act on City's behalf as and when needed.
4. Payment. The Consultant shall be paid by the City for completed work and for services
rendered under this Agreement asfollows:
A. Payment for the work provided by the Consultant shall be made as provided on "Exhibit
B: Consultant Fee Schedule," attached hereto, provided that the total amount of payment
to the Consultant shall not exceed 2.5% of gross pU[Ch8S8 price of each property
purchased by City pU[Su@Ot t0 and during the term of the Ag[8808Ot.
B. The Consultant may submit invoices to the City once per month during the progress of
the work for partial payment for that portion of the project completed to date by nub
consultants previously authorized by the City. Such invoices will be checked by the City
end, upon approval thereof, payment shall be made to the Consultant in the amount
approved.
C. Final payment of any balance due the Consultant of the total contract price earned will be
made promptly upon its ascertainment and verification by the City after the completion of
the work under this Agreement and its acceptance by the City.
D. Payment as provided in this section Sh3!| be full COnnpenSadOn for work p8rfOrnned,
services rendenad, and for all moteria|s, eupp|ien, equipment and incidentals necessary

E. The Consultant's records and accounts pertaining to this Agreement are in be kept

request.
5. Ownership and Use of Documents. All doounnunto, druvvinga, opeuh5oahono and other
materials produced by the Consultant in connection with the services rendered under this
Agreement shall be the property of the City whether the project for which theyare rn@d8 is
executed or not. The Consultant shall be permitted to retain copies, including reproducible
copina, of drawings and specifications for information, reference and use in connection with
the Consultant's endeavors. The Consultant shall not be responsible for any use of the said
donunnents, drawinge, specifications or other materials by the City on any project otherthan
the project spenifiedinthiaAgreennent.

7. Indemnification. The Consultant shall dehand, indemnify and hold the City, its officers,
offinia|s, employees and volunteers harmless from any and all o|oinns, injuries, damages,
losses or suits including attorney fees, arising out ofor resulting from the acta, errors or
omissions of the Consultant in performance of this Agreement, except for injuries and
damages caused by the sole negligence of the City.
Should a court ofcompetent jurisdiction determine that this Agreement issubject to RCW
4.24115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of the Consultant
and the City, its officers, offioia|s, employees, and volunteers, the Consultant's liability
hereunder shall be only b} the extent Df the Consultant's negligence. |tia further specifically
and expressly understood that the indemnification provided herein constitutes the
Consultant's waiver of immunity under Industrial Insurance, Title 51 RCVV' solely for the
purposes of this indemnification. This waiver has been mutually negotiated by the parties.
The provisions of this section shall survive the expiration or termination of this Agreement.
8. Insurance. The Consultant shall procure and maintain for the duration of the Aorennnerd,
insurance against claims for injuries bo persons or damage to property which may arise from
or in connection with the performance nf the work hereunder by the Cnnou|tant, its agents,
napneaenbdiveo, or employees. Consultant's maintenance of insurance as required by the
agreement shall not be construed to limit the liability of the Consultant to the coverage
provided by such insurance, or otherwise limit the City's recourse to any remedy available at
law urin equity.

insurance pool coverage maintained by the City shall be excess of the Consultant's
insurance and shall not ba contributed ur combined with it.
C. Acceptability Insurers. Insurance is to be placed with insurers with a ou/nantA.K4.
Best rating of not less than A:VII.
D. Verification of Coverage. Consultant shall furnish the City with original certificates and a
copy of the amendatory endorsements, including but not necessarily limited to the
additional insured endorsement, evidencing the insurance requirements of the Consultant
before commencement of the work. Certificates of coverage and endorsements as
required by this section shall be delivered to the City within fifteen (15) days of execution
of this Agreement.
E. Notice of Cancellation. The Consultant shall provide the City with written notice of any
policy cancellation, within two business days of their receipt of such notice.
F. Failure to Maintain Insurance. Failure on the pod of the Consultant to maintain the
insurance as required shall constitute a material breach of contract, upon which the City
may, after giving five business days notice to the Consultant to correct the breaoh,
immediately terminate the contract o/, at its dinorotion, procure or renew such insurance
and pay any and all premiums in connection therewith, with any sums so expended tobe
repaid to the City on demand, or at the sole discretion of the City, offset against funds due
the Consultant from the City.
9. Independent Contractor. The Consultant and the City agree that the Consultant is on
independent contractor with respect to the services provided pursuant to this Agreement.
Nothing in this Agreement shall be considered to create the relationship of employer and
employee between the parties hereto. Neither the Consultant nor any employee of the
Consultant shall be entitled io any benefits accorded City employees by virtue of the services
provided under this Agreement. The City shall not be responsible for withholding or
otherwise deducting federal income tax or social security or for contributing to the state
industrial insurance progrann, otherwise assuming the duties of an employer with respect to
the Consultant, or any employee of the Consultant.
10. Covenant Against Contingent Fees. The Consultant warrants that he has not employed nr
retained any company or penaon, other than a bonofide employee working solely for the
Consultant, to solicit or secure this oontnact, and that he has not paid or agreed to pay any
company orperson, other than u bonafida employee working solely for the Conau|bant, any
fee, oonnnnissinn, poroentage, brokerage fee, gifts, Vr any other consideration contingent upon
or resulting from the award or making of this contract. For breach or violation of this warrant,

12. Assignment. The Consultant shall not sublet or assign any of the services covered by this
Agreement without the express written consent of the City.
13. Waiver by the City of any provision of this Agreement or any time |irnbndon
provided for in this Agreement shall not constitute a waiver of any other provision.
14. Termination.
A. Either party may terminate this Agreement by giving 1Odays written notice to the other
party. In the event ufsuch tannination. City shall owe to Consultant any fees earned or
expenses incurred up to the date of termination. This shall include full or partial payment
of a Commission, as defined herein, to the degree reasonably earned by Consultant prior
to the Termination, even if closing on the subject property occurs after Termination of the
Agreement.
B.|nthe event of the death ofa member, partner mofficer of the Consultant, many of its
supervisory personnel assigned to the project, the surviving members of the Consultant
hereby agree to complete the work under the terms of this Aoreennent, if requested to do
so by the City. This section shall not be a bar to renegotiations of this Agreement
between surviving members of the Consultant and the City, if the City so chooses.
15. . This Agreement shall be subject to, and the
Consultant shall at all times comply vvith, all applicable federo|, state and local |avvS,
nygu!ations, and ru|es, including the provisions of the City of Tukwila Municipal Code and
ordinances of the City ofTukwila. In the event any suit, arbitration, Or other proceeding is
instituted to enforce any term of this Agreement, the parties specifically understand and agree
that venue shall be properly laid in King County, Washington. The prevailing party inany
such action shall be entitled to its reasonable attorney's fees and costs of suit. Venue for any
action arising from or related to this Agreement shall be exclusively in King County Superior
Court.
10. Severability and Survival. If any term, condition or provision of this Agreement is declared
void or unenforceable or limited in its application or effect, such event shall not affect any
other provisions hereof and all other provisions shall remain fully enforceable. The provisions
of this Agneement, which by their sense and context are reasonably intended to survive the
nonnp|etion, expiration or cancellation of this Agreement, shall survive termination of this
Agreement.

General Background
The City of Tukwila (City) is a municipality in King County in the State of Washington, directly
south of the City of Seattle. The City of Tukwila incorporated in 1908, and currently has an
estimated population of 20,000.
In November 2016, 60% of City of Tukwila voters approved a 20 -year bond as a part of the
City's overall Public Safety Plan (PSP). The bond will pay for the replacement of three
seismically deficient fire stations, new fire equipment and apparatus, and construction of a
justice center to house the Tukwila Police Department and Tukwila Municipal Court. Another
aspect of the PSP is the construction of a consolidated City shops facility to replace the existing
inefficient and unsafe facilities, which will be paid for by equal parts from the City's General
and Enterprise funds.
Request
The City is seeking the services of a licensed commercial Real Estate Broker (Broker) to provide
Real Estate Broker Services for the identification and acquisition of 4 -5 properties to house the
new city facilities being built. The required services will consist of assisting City in identifying
and acquiring properties that meet the City's requirements for each of the facilities. The
selected Broker will be expected to perform the services in accordance with the Scope of
Services and in accordance with the requirements of the solicitation.
This RFQ solicitation does not in any way obligate City to award a contract or to pay any
expense or cost incurred in the preparation and submission of qualifications statement
responding to this RFQ.
Scope of Services
The City will engage a qualified Broker as an independent consultant under a separate
contract, for a specified time period and scope of services. The scope of the work for the
separate contract shall include, but not limited to, the following:
1. Consult with City's project team as needed to fully understand the property
selection criteria and site requirements for each City facility.
2. Provide input to City's project team regarding site selection criteria and
geographic parameters.
3. Research appropriate areas of the city, as guided by the project team and
approved site selection criteria, for viable real estate acquisitions.
a. This will include regular monitoring of listing services to identify
potentially appropriate properties that are listed for sale.
b. This will also include identifying suitable properties that are not
listed for sale, and upon approval from the City, approaching
owners on behalf of the City to initiate purchase negotiations.
4. Identify potential properties that appear to meet each facility's needs.
5. Assist City project team in the evaluation, negotiation, and purchase
process.
a. This will include close coordination and meetings with City's project

team to discuss suitability of candidate properties.
This will also include assisting the City in conducting all aspects of
due diligence on any contracted properties.
If this process results in the use of the City's eminent domain
authority, the scope of services will include supporting and assisting
the City throughout the process, including negotiations and possibly
providing written or oral testimony incourt.
6. Advise the City on engaging an independent and experienced certified
commercial appraiser, who will contract directly with the City to establish
fair market values of properties being considered.
7. As requested by City, make oral and visual presentations to City staff,
advisory committees, the public, and elected officials.

9. Provide regular progress reports to City's project team.
10. Serve exclusively as the City's agent on the project.
11. Facilitate all property closings, including engagement ofa title company to
handle closing documents and recording.
Minimum Qualifications
The following minimum qualifications are required in order for a Broker to be considered.
Respondents should explain how they meet each of the Scope of Service needs and these
qualifications:
1. Respondent must be a licensed commercial Real Estate Broker in good standing in
the State of Washington.
Z. Broker must have a minimum of five (G) years' experience in listing and leasing
commercial properties inthe Seattle metropolitan area.

properties listed or acquired in the last years. Experience listing properties
within the City of Tukwila is not required, but if you have listed properties
within Tukwila, please highlight these transactions in the response.

Heartland LLC was unanimously selected from three proposals received by the staff scoring
committee. The proposed contract includes a standard broker commission of 2.5% of the gross
purchase price for each transaction plus a fixed maximum fee of $60,000. Fees for
subconsultant work by CLS for acquisition and eminent domain assistance will be credited
against the commissions for up to $40,000. Chair McLeod asked if Heartland would have any
conflicts of interest or prior relationships with project management, architects and quality
assurance contractors. Staff replied that there were no conflicts, and that Heartland has
worked with Shiels Obletz Johnson on the Seawall Project in Seattle. UNANIMOUS APPROVAL.

ISSUE
The City Council has requested the services of a Program Management Quality Assurance
Consultant (PMQA) associated with the Public Safety Plan to report directly to the City Council.
The Public Safety Committee previously reviewed draft content for the Request for qualifications
(RFQ) to recruit potential candidates for this role, and staff is now seeking Committee and
Council's consensus on the draft RFQ attached, as well as the proposed process to select the
final consultant.
BACKGROUND
The attached draft RFQ is in line with the discussion at the April 3, 2017 Public Safety
Committee meeting where members reviewed a memo from Shiels Obletz Johnsen with the
basic outline of the RFQ.
Assuming the Committee and full Council agrees with the draft RFQ, staff suggests the
following timeline:
May 10 — Issue RFQ (assuming consensus achieved at May 8 C.O.W. meeting)
May 24 — Proposals due
Week of May 29 — Interviews
June 2 — Selection
Given that this consultant will report directly to the Council, it will be important to have
Councilmembers involved in the selection process. Members of the Public Safety Committee
are a natural fit for this, and staff recommends that they, along with myself and Bob Giberson,
serve on the interview panel. Further, we propose that prior to the interviews, Laurel Humphrey,
Bob Giberson and myself score all of the responses and the top three would then move to the
interview round.
Funding for PMQA services was not included in the budget for the Public Safety Plan and
funding will need to be identified to cover the cost, estimated to be approximately $250,000 for
the first two years. Staff recommends using 2016 ending fund balance (currently at around
$400,000) to fund this effort.
RECOMMENDATION
The Committee is asked to provide any feedback or edits to the attached RFQ, which will be
forwarded to the May 8 Committee of the Whole for consensus. In addition, the Committee is
asked to approve the timeline and selection process outlined above. Staff would also seek
consensus on these at the next Committee of the Whole meeting.

General Background
The City of Tukwila (City) i5 G municipality in King CoUD1V in the State of Washington, directly
south of the City of Seattle. The City of Tukwila incorporated in 1908, and CVrr2Dt|v has an
estimated population of 20,000.
In November 2016, 60% of City of Tukwila voters approved a 20-year bond as a part of the City's
overall Public Safety Plan (PSP). The bond will pay for the replacement of three seismically
deficient fire stations, new fire equipment and apparatus, and construction of justice center
to house the Tukwila PO|\Ce Department and Tukwila Municipal Court. Another aspect Ofthe
PSP is the construction of a consolidated City shops facility to replace the existing inefficient and
unsafe facilities, which will be paid for byequal parts from the City's General and Enterprise
funds.
Request
The City is seeking the services of an individual or firm to provide Program Management Quality
Assurance Consultant Services to oversee the [it/5 overall Public Safety Plan, The required

Staff is seeking Council approval of an agreementwith Heartland, LLC in the amount of $60,000
plus 2.5% per real estate transaction for brokerage services for the Public Safety Plan projects.
Heartland LLC was unanimously selected from three proposals received by the staff scoring
committee. The proposed contract includes a standard broker commission of 2.5% of the gross
purchase price for each transaction plus a fixed maximum fee of $60,000. Fees for
subconsultant work by CLS for acquisition and eminent domain assistance will be credited
against the commissions for up to $40,000. Chair McLeod asked if Heartland would have any
conflicts of interest or prior relationships with project management, architects and quality
assurance contractors. Staff replied that there were no conflicts, and that Heartland has
worked with Shiels Obletz Johnson on the Seawall Project in Seattle. UNANIMOUS APPROVAL.

B. Program Management Quality Assurance Request for Qualifications

recommended Tod Bookless, Jerry Thornton, and Kathleen Wilson. UNANIMOUS APPROVAL.

D. Code Enforcement Update
Staff updated the Committee on current activities in the Code Enforcement division of Planning
and Development. The briefing included updates on rental housing program renewals,

on a project to develop more streamlined and effective enforcement procedures and will return
to Committee with a proposal later this year. DISCUSSION ONLY.
III. MISCELLANEOUS
In response to a request made at the last Committee meeting, staff distributed a draft "frequently
asked questions" document that addresses why Station 51 already has a designated location in the
Public Safety Plan. The document will be discussed in greater detail at the next meeting.

SUBJECT: Public Safety Plan Siting Advisory Committee
ISSUE
The City has created the Public Safety Plan Siting Advisory Committee. The Committee is
being asked to select three people to sit on the Committee and review the Mayor's selection.
BACKGROUND
The City created the Siting Advisory Committee charged with the following responsibilities:
• Meet regularly to review outreach efforts, provide advice on strategies and tactics for
outreach, and key audiences.
• Participate in public outreach efforts such as town hall meetings, review feedback
generated by the community and verify that major themes are being incorporated into
siting decisions and facility plans.
• Provide City staff with feedback about the siting process and outcomes.
• Provide City staff with outreach advice, such as reviewing materials and identifying other
groups to contact.
• Review potential sites and provide feedback.
Applications were solicited from the public throughout the month of March. Staff used various
means to communicate the opportunity to serve, including social media, the Tukwila Reporter,
TukwilaWa.gov and other means. Further, the application was extended for two weeks to April
14, 2017 to try to solicit a business representative which, according to the charter agreed to by
Council consensus, is the Mayor's appointee.
Unfortunately, no business representatives stepped forward to serve, even though direct
solicitations were made to various local businesses and organizations. However, 10
applications from residents were received.
Staff recommends that the City move forward with the appointing the Siting Advisory Committee
without a business representative. Given the Public Safety Plan's timeline, siting decisions are
on the near-term horizon and the City will benefit from this Committee being seated and fully
briefed on the overall Plan. Should the Committee and Council agree with this, the Mayor
selects William Gillespie as his appointment to the Siting Advisory Committee.
RECOMMENDATION
Select three individuals to appoint to the Committee and forward for consideration to the May 8,
2017 Committee of the Whole and subsequent May 15, 2017 Regular Meeting for approval.
After reviewing all of the applications and discussing the experience and expertise of each
candidate, the Public Safety Committee recommended at the May 1, 2017 meeting to appoint

II have been a Site Development Inspector for the City of Seattle, Department of Construction and
inspections for the last 17 years.
I am the second step in the permitting process. I provide the first section of a comprehensive, site- and
project - specific, assessment This report is forwarded to all City reviewers who would have some
involvement in the project. This Includes Land Use planners and structural, geotechnical, and drainage
reviewers for my department. It is also muted to Seattle Public Utilities; Seattle Department of
Transportation; Seattle City Light, the Fire Marshal; and Seattle Department of Neighborhoods, as
appropriate. The assessment informs the applicants of all issues that must be addressed in their plans
before we will be accepted for review. I photograph the site thoroughly. My photos must anticipate
questions or concerns any of the above-men , tioned reviewers may have,
My husband and I moved our family to Tukwila 17 years ago. He was raised on a family-owned ranch in
southern Oregon, I grew up in the house my mother grew up in, in Seattle. We both cherish Tukwila's
small town atmosphere, and appreciate Tukwila's big city conveniences,

C. Public Safety Plan Siting Advisory Committee Appointments
Staff is seeking Council approval of three members to serve on the Public Safety Plan Siting
Advisory Committee. The Advisory Committee will include seven members including three
Council appointees, one Mayoral appointee, two Councilmembers, and the Public Works
Director. Of 10 applications received, Mayor Ekberg has selected William Gillespie as his
appointee. The Committee reviewed the remaining applications and unanimously
recommended Tod Bookless, Jerry Thornton, and Kathleen Wilson. UNANIMOUS APPROVAL.
FORWARD TO MAY 8, 2017 COMMITTEE OF THE WHOLE.
D. Code Enforcement Update
Staff updated the Committee on current activities in the Code Enforcement division of Planning
and Development. The briefing included updates on rental housing program renewals,
integrated pest management, case backlog, abatements, and future actions. Staff is embarking
on a project to develop more streamlined and effective enforcement procedures and will return
to Committee with a proposal later this year. DISCUSSION ONLY.
III. MISCELLANEOUS
In response to a request made at the last Committee meeting, staff distributed a draft "frequently
asked questions" document that addresses why Station 51 already has a designated location in the
Public Safety Plan. The document will be discussed in greater detail at the next meeting.
