The Grantor, J. C. Penney Properties, Inc., a Delaware Corporation, whose address
is P.O. Box 10001, Dallas, Texas 75301 -2105 (Attention Real Estate Counsel),
for and in consideration of the sum of Ten Dollars ($10.00) in hand paid, does
hereby SELL and CONVEY to THE CITY OF TUKWILA, the Grantee, the following
described real estate:

by reference (the "Property"), subject to the permitted exceptions
described in Exhibit "BI attached hereto and incorporated herein by
reference.
Except as above set forth, Grantor, for itself and its successors and assigns, a
warrants that it has not done, nor suffered to be done, anything whereby the
Property hereby granted is, or may be, encumbered or charged, and warrants and
will defend the premises unto Grantee, and its successors and assigns, against
