Duration of Agreement; Time for Performance. This Agreement shall be in full force and effect for a period commencing upon execution and ending December 31, 2021, unless sooner terminated under the provisions hereinafter specified. Work under this Agreement shall commence upon written notice by the City to the Consultant to proceed. The Consultant shall perform all services and provide all work product required pursuant to this Agreement no later than December 31, 2021, unless an extension of such time is granted in writing by the City. Section 4 Payment: The Consultant shall be paid by the City for completed work and for services rendered under this Agreement as follows: Payment for the work provided by the Consultant shall be made as provided on Exhibit "A" attached hereto, provided that the total amount of payment to the Consultant shall not exceed $382,137 (including estimated expenses) without express written modification of the Agreement signed by the City. The total amount of this amendment is $60,105. All other provisions of the contract shall remain in full force and effect. (SoundEarth) appreciates the opportunity to provide you with this work plan to conduct additional investigation of impacts present beneath the JC7NL Property, located at the address listed above in Tukwila, Washington (the Property). PROPOSED SCOPE OF WORK It is our understanding that City of Tukwila is requesting that SoundEarth perform a supplemental subsurface investigation at the Property to evaluate groundwater conditions in the vicinity of the observed soil impacts of the Property by installing nine monitoring wells across the Property. To that end, SoundEarth has proposed the following scope of work. Task 1, Scope of Work Development, Permitting, and Pre -Field Activities. This task includes conducting public and private utility locates, coordinating with the laboratory and other subcontractors, and preparing and coordinating field staff for each phase of field work. Based on the extents of the soil contamination identified during the excavation, at least one well will need to be located in the South 105th Street right-of-way. This task includes securing a street use permit and preparing a traffic control plan for the well install. Costs associated with obtaining a street use permit are included in the attached estimate. Task 2, Monitoring Well Installation. In an effort to evaluate groundwater conditions in the vicinity of observed soil impacts during the redevelopment excavation and to assess whether the soil impacts have resulted in impacts to groundwater, SoundEarth will advance nine hollow -stem auger borings at exterior locations on the Property. The borings will be completed as monitoring wells and will be properly developed before sampling to ensure that a representative groundwater sample is collected. Drilling activities will be completed using a truck -mounted hollow -stem auger drill rig. The soil borings will be advanced to a depth of approximately 20 to 25 feet below ground surface (bgs), depending on groundwater conditions observed during drilling. Soil samples will be collected at approximate 5 -foot intervals and described in general accordance with the Unified Soil Classification System by a SoundEarth geologist. Soil samples will be screened in the field for potential evidence of contamination by using visual (, .',.I].l I'''iKJ EXHIBIT A City of Tukwila July 29, 2020 observations and notations of odor and by conducting headspace analysis using a photoionization detector to detect the presence of volatile organic vapors. Based on the results of field screening, up to three soil samples will be submitted to the laboratory for one or more of the following analyses: ■ Gasoline -range petroleum hydrocarbons (GRPH) by Northwest Total Petroleum Hydrocarbon (NWTPH) Method NWTPH-Gx • Diesel -range petroleum hydrocarbons (DPRH) and oil -range petroleum hydrocarbons (ORPH) by Method NWTPH-Dx • Benzene, toluene, ethylbenzene, and total xylenes (BTEX) by US Environmental Protection Agency (EPA) Method 8021B ■ Resource Conservation Recovery Act 8 metals using EPA Method 200.8/6020A After completion of the soil borings, monitoring wells will be installed and screened at a depth interval to be determined based on field observations of groundwater. Groundwater is expected to be encountered at a depth of 15 to 20 feet bgs, based on SoundEarth's initial subsurface investigation. The monitoring wells will be constructed of 2 -inch -diameter blank PVC casing, flush -threaded to 0.010 -inch slot well screen. The bottom of the well will be fitted with a threaded PVC bottom cap, and the top of the well casing will be fitted with a locking compression -fit well cap. The annulus of the monitoring wells will be filled with #10/20 silica sand to a minimum height of 1 foot above the top of the screened interval, and a bentonite seal with a minimum thickness will be installed above the sand pack. The monitoring wells will be completed with a flush -mounted, traffic -rated well box set in concrete. Following installation, the monitoring wells will be developed with the use of a submersible pump. Well development will consist of surging and purging until the groundwater no longer appears turbid and the measured total depth in the well is equivalent to the overall length of the well. Turbidity will be measured visually or with a field turbidity meter by a SoundEarth geologist during well development activities. It is expected that approximately eighteen 55 -gallon drums of soil cuttings, decontamination water, and purge water will be generated during drilling and well development. Considering the uncertainty regarding the chemical composition of the soil and water, disposal costs have not been included in the attached estimate. An estimate to profile and coordinate the removal of the drums can be provided upon receipt of the laboratory results. Drilling, well installation, and well development activities are anticipated to take 4 days to complete. If requested by the client, SoundEarth will coordinate the removal of utility markings via pressure washing at the conclusion of our investigation activities for an additional charge. Task 3, Groundwater Sampling. Approximately 48 hours after well development is complete, two SoundEarth geologists will remobilize to the Property to survey the well elevations and collect two rounds of groundwater samples from each of the monitoring wells: one round after surveying well elevations and one round approximately three months after the first round of sampling. The groundwater samples will be collected according to EPA Low -Flow (Minimal Drawdown) Ground -Water Sampling Procedures (April 1996). Task 4, Data Review and Tabulation. Following completion of the soil and groundwater sampling activities and receipt of final laboratory analytical results, SoundEarth will tabulate and review the analytical data and produce a figure depicting sample locations and results. Considering the interim nature of the investigation, preparation of a full report is not included in this scope of work. Task 5, Project Management, Client Communications, and Meetings. This task includes labor costs associated with coordinating field schedule and staff resources for the project, as well as project coordination, contracting, and client/stakeholder communications and meetings. PROJECT SCHEDULE SoundEarth assumes that all necessary interior and exterior areas of the Property will be accessible during the subsurface investigation activities. Drilling, well installation, and groundwater sampling activities can be completed within 2 weeks of authorization to proceed, depending on driller availability and the duration of the permitting process. SoundEarth anticipates laboratory results will be available within 2 weeks of each phase of field work. SoundEarth shall proceed with such services in a diligent manner to completion or as otherwise directed by the client. SoundEarth will not be responsible for delays caused by factors beyond the consultant's control and which could not have been reasonably foreseen or prevented. PROJECT ESTIMATED COST The estimated cost for this scope of work is described in the attached Table 1. SoundEarth proposes to complete this work on a time and materials contractual basis. Our cost estimate will not be exceeded without prior authorization from the client. (SoundEarth) is pleased to submit the foliowing additional services requestfor remedial excavation and tank removal services provided for the JC7NL property located at the address above in Tukwila, Washington (the Property). SoundEarth received approval for remedial excavation observation and confirmation sampling activities at the Property in March 2019. The original SoundEarth proposal assumed that the excavation of known contaminated soil would take approximately five days of field work. During the course of redevelopment, several additional areas of impacted soil were encountered at the Property. SoundEarth mobilized to the Property approximately 20 times in response to these discoveries. In addition, four previously undocumented underground storage tanks (USTs) were encountered. At the request of the client, SoundEarth coordinated the permitting, decommissioning, and removal of these USTs. In our original estimate, SoundEarth assumed the collection of 15 soil samples to be analyzed for gasoline - range petroleum hydrocarbons (GRPH) and benzene, toluene, ethylbenzene, and total xylenes (BTEX). As a contingency, SoundEarth also assumed up to 15 diesel -range petroleum hydrocarbons (DRPH) and oil- rangepetro|eumhydrocarbons(OQPH)soi|samp|es.Atthetimeofthisxvriting,theaddidona|discoveries resulted in the collection and analysis of 65 samples for GRPH and BTEX, and 47 samples for DRPH and ORPH. PROPERTY CONDITION SoundEarth understands that the Property consists of nine irregularly shaped tax parcels (King County Parcel Nos. 004100-0335, 004100-0514, 004100-0515, 004100-0517, 004100-0480, 004100-0516, 004100-0513, 004100-0494, and 004100-0330 [Parcels A through 1, respectively]) that cover a total of approximately 161,914 square feet (3.73 acres) of land in Township 23 North/Range 4 East/Section 22. BACKGROUND SoundEarth completed a Phase 1 ESA of eight of the nine parcels in September 2017. King County Tax Parcel No. 004100-0330 was not included in the Phase 1 ESA. The Phase 1 ESA identified multiple recognized environmental conditions (RECs) for the Property, which included the following: • The historical operation of a retail gasoline service station on the Property (Parcel D). ■ The historical operation of an automotive repair facility on the Property (Parcel C). • The historical use and storage of heating oil on the Property. Mark Twain City of Tukwila February 7, 2019 SoundEarth conducted a Phase II subsurface investigation at the Property between February and November 2018 to investigate the listed RECs. The results of the Phase II investigation indicate that gasoline -range petroleum hydrocarbons (GRPH) and benzene are present in soil and/or groundwater beneath Parcel D at concentrations exceeding applicable cleanup levels. The full extent of the impacts has not been defined. The soil and groundwater laboratory analytical results for other investigated portions of the Property demonstrate that none of the contaminants of potential concern were detected above Washington State Model Toxics Control Act Method A cleanup levels. Although our Phase II investigation did not reveal any evidence of impacts associated with the historical use and storage of heating oil, please note that there is the possibility of encountering an unregistered underground storage tank (UST) and associated impacts during the course of redevelopment. PROPOSED SCOPE OF WORK The following scope of work is proposed as part of the remedial excavation observation. Task 1, Soil Management Plan. This task includes the creation of a Soil Management Plan for the planned remediation and redevelopment. This document will serve to identify chemicals and media of concern and areas on the Property where impacted media and USTs may likely be encountered; to provide field - screening sampling methods to be used and strategies for managing impacted media; and to provide a project decision tree for use if discoveries are encountered. The plan will be provided to the general contractor. Task 2, Pre -Field Activities and Waste Profile. This phase of the work will include preparation of a work plan and an update to the current health and safety plan. As part of the pre -field planning, SoundEarth will prepare a waste profile for material which is expected to be encountered during excavation. SoundEarth will coordinate with the excavation contractor and the disposal facility to prepare for waste disposal. Task 3, Excavation Observation and Confirmation Sampling. Under this task, SoundEarth personnel will observe the remedial excavation work being performed by BNBuilders. SoundEarth assumes that at least 2,500 tons of petroleum -contaminated soil will need to be removed and replaced with compacted structural fill. SoundEarth will collect confirmation soil samples at the extent of the impacted soil investigation. We assume 15 samples will be analyzed for GRPH and benzene, toluene, ethylbenzene, and total xylenes (BTEX). As a contingency, SoundEarth has also included budget for up to 15 diesel -range petroleum hydrocarbons (DRPH) soil samples in the event that an undocumented heating oil UST is discovered during field activities. We understand that observation will be requested on an on-call basis based upon conditions observed during Property development. SoundEarth assumes 5 days of field work based upon the schedule provided to us by BNBuilders. Additional field work will be conducted on a time and materials basis. Task 4, Monitoring Well Decommissioning Observation. This task includes decommissioning the four existing monitoring wells at the Property in advance of the larger excavation activities. The wells will be decommissioned in accordance with Washington State Minimum Standards for Construction and SoundEarth Strategies, Inc. S:\Proposals\2019 Proposal Numbers\PROP-190-18.IC7 Property Remedial Excavation Observation \PROP-190-1R_F.doo, Page City of Tukwila February 7, 2019 Maintenance of Wells (Washington Administrative Code 173-160). This task includes filing the Washington State Department of Ecology (Ecology) Notice of Intent Form to Decommission a Well, paying the associated fee prior to fieldwork, decommissioning the wells by filling them with hydrated bentonite chips by a licensed well driller, and submitting a Resource Protection Well Report to Ecology after well decommissioning. Task 5, Groundwater Monitoring Well Installation. In order to demonstrate groundwater compliance after completing the excavation, SoundEarth proposed to advance four groundwater monitoring wells on the Property. The phase of investigation will be completed using a hollow -stem auger drill rig to advance four soil borings to a depth of approximately 25 feet below ground surface. After reaching the total depth, SoundEarth will complete each boring as a 2 -inch -diameter PVC groundwater monitoring well. After completion, each well will be developed by a combination of surging and purging to remove sediment from the well screen and establish a connection with the near -surface aquifer. At least 10 well volumes of water will be removed from each well. The new wells will then be sampled no sooner than 48 hours after development. Acknowledging that the petroleum -contaminated soil will have been removed prior to the installation of replacement wells, soil sampling is not included in the scope of work for this task. Task 6, Groundwater Monitoring Events (4 Quarters). Groundwater samples will be collected from each of the four wells for four consecutive quarters. Each sample will be collected according to the US Environmental Protection Agency (EPA) Low -Flow (Minimal Drawdown) Ground -Water Sampling Procedures (April 1996). Groundwater samples from each well will be analyzed for GRPH by EPA Method Northwest Total Petroleum Hydrocarbon (NWTPH)-Gx and BTEX by EPA Method 8021B. The wellhead elevations will be surveyed to an arbitrary datum to establish relative elevations for the well casings and to measure groundwater flow direction. Task 7, Reporting. This work task will include the production of a Cleanup Action Report which include tabulating analytical data, generating figures depicting final Site conditions, and preparation of a technical report that documents the Site remediation and characterization activities, including those performed by others. This task will also include an annual Groundwater Monitoring Report that summarizes the results of the four quarterly groundwater monitoring events. Task 8, Project Management, Client Communications, and Meetings. This task includes labor costs associated with coordinating field schedule and staff resources for the project, as well as project coordination, contracting, and client/stakeholder communications and meetings through June 2019. PROJECT SCHEDULE SoundEarth anticipates completion of the Soil Management Plan report within 15 business days from approval of the scope. Field activities are anticipated to be completed in May 2019, based on the preliminary construction schedule provided by BNBuilders. SoundEarth anticipates completion of the Cleanup Action Report approximately 30 days after completion of excavation field efforts. SoundEarth anticipates completion of the Groundwater Monitoring Report approximately 1 month after the results of the fourth consecutive groundwater monitoring event are received. A greenhouse is also located on the central portion of the Property. In addition to the proposal described herein, this letter presents some background information based upon SoundEarth's review of available documents. BACKGROUND SoundEarth completed a Phase I ESA of the Property on December 21, 2017, which identified the following recognized environmental conditions (RECs): • The historical uses of the Property as an orchard and later as a plant and tree nursery with the known use of pesticides and herbicides. • The potential use and storage of heating oil on the Property at a former single-family residence. • The historical use and storage of heating oil on three adjoining upgradient properties. The purpose of the Phase II ESA is to evaluate potential soil and groundwater impacts associated with the RECs identified for the Property. The Phase 11 ESA will be conducted in general accordance with American Society for Testing and Materials E1903-11, Standard Practice for Phase 11 ESAs (ASTM -1903- 11). SoundEarth will also complete a site visit and one -call utility locate and will coordinate with a private utility locator, as well as drilling and analytical testing subcontractors. A kick-off meeting will also be conducted with SoundEarth field staff. Task 2—Field Activities SoundEarth will utilize a private utility locator to identify the locations of private utilities that are not located by the one -call locate. SoundEarth will then collect seven discrete near -surface soil samples (Samples SS01 through SS07) from the center of the identified grid spaces (see Figure 1, Grids 1 through 7). An eighth near -surface soil sample (Sample 5508) will be collected from the center greenhouse. The near -surface soil samples will be collected from 0 to 0.5 feet below ground surface. Sample locations will include: • Composite Sample 01 (CS01) – Discrete near -surface soil samples from Grids 1, 2, and 5 will be composited into sample CS01. These grid spaces were historically used for nursery operations. • Composite Sample 02 (CS02) – Discrete near -surface samples from Grids 3, 4, 6, and 7 will be composited into sample CS02. These grid spaces were historically used for orchard and nursery operations. • Soil Sample 08 (5508) – Discrete near -surface soil sample SS08 collected from the center of the greenhouse will be analyzed individually. The two composites and one discrete near -surface soil samples will be analyzed by the following methods: • Organochlorine pesticides by Environmental Protection Agency (EPA) Method 8081 • Organophosphorus pesticides by EPA Method 8270 SIM • Herbicides by EPA Method 8151 • Washington State Model Toxics Control Act 5 metals by Method 6020 In addition to near -surface soil sampling, SoundEarth will oversee the advancement of four push -probe borings on the southwest portion of the Property (See Figure 1, PPO1 through PP04). These borings will be advanced in locations downgradient of adjoining residences with former heating oil use and near the former residence on the Property. The probes will be advanced to approximately 15 feet below ground surface, or until refusal, whichever is first. Soil samples will be field screened for signs of impacts, such as odors, sheen, and photoionization detector readings. The actual number of samples submitted to the laboratory will depend on conditions encountered in the field. However, for budgeting purposes, the following testing scope assumes that two soil samples and one groundwater samples from each boring (if encountered) will be analyzed for diesel-, and oil -range petroleum hydrocarbons by Northwest Total Petroleum Hydrocarbon Method -Hydrocarbon Identification with silica gel (NWTPH-HCID). If a faster turnaround time is desired, sample analyses could be expedited, which would result in a 50 percent markup for results within 48 hours and a 25 percent markup for a 5 -day turnaround. It is expected that approximately one 35 -gallon drum of soil cuttings and one 35 -gallon drum of decontamination water will be generated during probe drilling and sampling. Costs for profiling and disposal of investigation -derived waste are not included in this proposal and cost estimate. Depending on the results of the investigation, additional follow-up analysis or sampling may be required to further define the extent of contamination (if encountered). A scope of work and cost estimate for any additional investigation will be provided based on conditions encountered during the investigation proposed here. Task 3—Data Evaluation, Tabulation, and Reporting The results of the Phase II ESA will be presented in a summary report for the City of Tukwila. The report will include a summary of field activities, logs of the soil borings, a site plan showing boring and near - surface sample locations, data tables of the soil and groundwater results, and a discussion summarizing the findings and conclusions. Task 4—Client Communication and Project Management This task includes labor costs associated with coordinating field schedule and staff resources for the project, as well as project coordination, contracting, and client/stakeholder communications and meetings. COST ESTIMATE AND SCHEDULE The estimated SoundEarth and subcontractor work effort and fees to complete the above scope of work are presented in Table 1. The estimated total cost for the proposed surface and subsurface investigation is $15,824. Two groundwater monitoring wells (MWs) were observed at this location during the Phase 1 Property reconnaissance. • The historical operation of a dry cleaner southwest of the Property (290 feet southwest of Parcel H). The dry cleaning solvent tetrachloroethylene (PCE) has been detected in the soil and groundwater beneath the former dry cleaner site. PCE -contaminated groundwater has migrated off-site to the east, northeast, and southeast. The lateral extent of the PCE plume has not been determined. Although not identified as a REC, the use and storage of heating oil on adjoining properties was identified as an issue of potential environmental concern for the Property. Buildings on the north-, south-, east-, and west -adjoining properties were historically heated by oil -burning furnaces. Heating oil releases are generally limited in nature and extent. Acknowledging the relatively small scale of use and limited mobility of heating oil in the subsurface, the use and storage of heating oil on adjoining properties did not constitute a REC. The purpose of the Phase 11 ESA is to evaluate potential soil and groundwater impacts associated with the widespread RECs for the Property. The Phase 11 ESA will be conducted in general accordance with American Society for Testing and Materials E1903-11, Standard Practice for Phase 11 ESAs (ASTM -1903- 11). PHASE II ENVIRONMENTAL SITE ASSESSMENT SCOPE OF SERVICES Scope of Services The following scope of work is proposed for the Phase 11 ESA. Please note that per ASTM -1903-11, all of the RECs identified in a Phase I ESA must be evaluated in order for a Phase 11 ESA to be considered complete. However, SoundEarth recognizes that certain RECs (e.g., the former on -Property gasoline station) present a greater risk of significant impacts than others (e.g., the former use and storage of heating oil). If a more robust or limited investigation of the Property is desired by the client, we would be happy to adjust the scope of work to accommodate your risk tolerances and budget limitations. Task 1, Pre -Field Activities Pre -field activities include the development of a scope of work for the Property, coordination of internal staff and subcontractors, development of a work plan summary, and the development of a site-specific health and safety plan, which is a required and important part of any subsurface investigation. Field activities include performing a private utility locate and ground penetrating radar survey, drilling and installing 11 push -probe borings and four hollow -stem auger borings, completing the hollow -stem auger borings as groundwater MWs, collecting environmental soil samples from each of the borings, and collecting groundwater samples from each of the four MWs. Four locations for the installation of MWs have been identified in the vicinity or in inferred downgradient hydrologic positions relative to the RECs identified during the Phase 1 ESA research. Each MW will be drilled up to an anticipated depth of 40 feet below ground surface (bgs). Drilling depths are estimated based on a 2015 Maul Foster Alongi subsurface investigation conducted at the Betty Brite dry cleaner facility at 15247 Pacific Highway South, where groundwater was encountered at depths of 20 to 33 feet bgs. Proposed drilling locations are presented in Figure 1. Soil samples will be collected at the soil/groundwater interface at all four MW locations. Additionally, soil samples will be collected at 10 feet bgs from boring MW02, and at 5 and 15 feet bgs from boring MWO3 to evaluate the potential risk of shallow impacts from on -Property RECs. Each boring will be logged by a professional geologist with soil classified using the Unified Soil Classification System. Soil from each drilling location will be evaluated for potential impacts through visual observations and notations of odor. Additionally, soil will be screened in the field for potential evidence of contamination using a photoionization detector to detect the presence of volatile organic vapors. Groundwater is anticipated to be encountered and sampled at all four MW locations. Groundwater samples will be submitted for the following analyses: • Gasoline -range petroleum hydrocarbons (GRPH) by Northwest Total Petroleum Hydrocarbon (NWTPH) Method NWTPH-Gx • Diesel- and oil -range petroleum hydrocarbons (DRPH and ORPH, respectively) by Method NWTPH-Dx • Volatile organic compounds (VOCs), including benzene, toluene, ethylbenzene, and xylenes (BTEX) by U.S. Environmental Protection Agency (EPA) Method 8260C Sampling of soil or groundwater from depths greater than 40 feet bgs is not planned in this scope of work. Soil from each boring location will be evaluated for potential impacts through visual observations and notations of odor. Additionally, soil will be screened in the field for potential evidence of contamination using a photoionization detector to detect the presence of volatile organic vapors. Two discrete soil samples from each of the push -probe locations will be submitted for the following analytes: ■ B01 through B03 — DRPH • B04 through B08 — GRPH, DRPH, ORPH, and BTEX • B09 and B10 — GRPH, DRPH, ORPH, VOCs, and polychlorinated biphenyls (PCBs) • B11 — GPRH, DRPH, ORPH, and BTEX Additionally, one of the soil samples from borings B09 and B10 will be analyzed for the presence of PCBs and four composite soil samples collected from the drums of soil cuttings will be submitted for analysis of total metals, including arsenic, barium, cadmium, chromium, lead, mercury, selenium, and silver by EPA Methods 200.8/245.1, in order to profile the soil cuttings for future disposal. Soil samples will be placed on ice in laboratory -supplied sample containers and shipped under chain -of -custody protocol to the analytical laboratory for analysis of appropriate chemicals of concern. The field activities associated with the Phase 11 ESA at the Property are anticipated to take four days to complete and will require one or two field personnel per day. Depending on the results of the investigation, additional follow-up sampling may be required to further define the extent of contamination (if encountered). A scope of work and cost estimate for any additional investigation will be provided based on conditions encountered during the investigation proposed here. SoundEarth assumes that all areas of the Property will be accessible for the GPR survey and drilling activities. The results of the field activities and laboratory analytical results will be provided in the reports described in Task 3. Task 3, Data Evaluation and Reporting The results of the Phase II ESA will be presented in a summary report for the City of Tukwila. The report will include a summary of field activities, logs of the soil borings, logs of MW construction, a site plan showing boring locations, data tables of the soil and groundwater results, and a discussion summarizing the findings and conclusions. Task 4, Project Management and Communication This task includes the project management and communication activities that are essential to the success of achieving client objectives. Project management activities include project coordination, contracting, and client meetings and other communication. Contingency Project contingency allows for conditions that at the project onset are not immediately known, but if present, experience shows will likely result in additional costs. ESTIMATED PROJECT BUDGET The anticipated total for the scope of work is $56,751. The details of the estimated costs are provided in the attached cost estimate (Table 1). The estimated fees include travel time, equipment, subcontractor costs with markup, including laboratory fees, as well as reimbursable expenses. The costs associated with the disposal of soil and water generated during the investigation are not included in this estimate, but can be provided after the results of laboratory testing are provided. SoundEarth proposes to conduct the Phase 11 ESA investigation on a time and material contractual basis. Our cost estimate will not be exceeded without your written authorization. ASSUMPTIONS Time budgeted for field work assumes that boring locations at the Property will be cleared of obstructions by the client prior to the start of any field work, SoundEarth has full access to the drilling locations, there will be no overhead obstacles at boring locations, and that field work will be completed during normal weekday work hours. Failure to provide access will result in delays, inability to drill at certain locations, and an increase in timing and cost of the investigation. PROJECT SCHEDULE SoundEarth anticipates that the pre -field, soil, and groundwater sampling activities will require approximately 2 weeks to complete from the date we are authorized to proceed, assuming access to the Property can be provided quickly and that drillers are available. Soil and groundwater analytical results will be provided by the laboratory approximately 2 weeks from the date the samples are submitted, and a draft report summarizing our findings and conclusions at the Property will be prepared approximately 3 weeks from the date the laboratory results are received. SoundEarth is available to begin this scope of work as soon as authorized by the client. Technical Approach In accordance with ASTM E1527-13, which was developed by ASTM to provide a standardized method of conducting Phase I ESAs, SoundEarth's work on this project will consist of several elements: ■ Review of selected historical sources, where reasonably ascertainable and readily available, will be conducted in an attempt to document obvious past land use of the Property and adjoining properties back to 1940 or when the Property was initially developed, whichever is earlier. The most we will pay for "loss" in any one "accident" or "loss" is the smallest of: (1) $50,000; or (2) The actual cash value of the damaged or stolen property as of the time of the "loss"; or (3) The cost of repairing or replacing the damaged or stolen property with other property of like kind and quality, minus a deductible. B. The deductible will be equal to the largest deductible applicable to any owned "auto" for that coverage. C. Subject to the limit, deductible and excess provisions described in this provision, we will provide coverage equal to the broadest coverage applicable to any covered "auto" you own. D. Subject to a maximum of $750 per "accident", we will also cover the actual loss of use of the hired "auto" if it results from an "accident", you are legally liable and the lessor incurs an actual financial loss. E. This coverage extension does not apply to: (1) Any "auto" that is hired, rented or borrowed with a driver; or (2) Any "auto" that is hired, rented or borrowed from your "employee". For the purposes of this provision, SECTION V - DEFINITIONS is amended by adding the following: "Total loss" means a "loss" in which the cost of repairs plus the salvage value exceeds the actual cash value. 7. TOWING AND LABOR SECTION III - PHYSICAL DAMAGE COVERAGE, paragraph A.2. Towing, is amended by the addition of the following: We will pay towing and labor costs incurred, up to the limits shown below, each time a covered "auto" classified and rated as a private passenger type, "light truck" or "medium truck" is dis- abled: a. For private passenger type vehicles, we will pay up to $50 per disablement. b. For "light trucks", we will pay up to $50 per disablement. "Light trucks" are trucks that have a gross vehicle weight (GVW) of 10,000 pounds or less. c. For "medium trucks" , we will pay up to $150 per disablement. "Medium trucks" are trucks that have a gross vehicle weight (GVW) of 10,001 - 20,000 pounds. However, the labor must be performed at the place of disablement. 8. We will pay up to $75 per day for rental reimbursement expenses incurred by you for the rental of an "auto" because of "accident" or "loss", to an "auto" for which we also pay a "loss" under Comprehensive, Specified Causes of Loss or Collision Coverages. We will pay only for those expenses incurred after the first 24 hours following the "accident" or "loss" to the covered "auto. b. Rental Reimbursement will be based on the rental of a comparable vehicle, which in many cases may be substantially less than $75 per day, and will only be allowed for the period of time it should take to repair or replace the vehicle with reasonable speed and similar quality, up to a maximum of 30 days. c. We will also pay up to $500 for reasonable and necessary expenses incurred by you to remove and replace your tools and equipment from the covered "auto". d. This coverage does not apply unless you have a business necessity that other "autos" avail- able for your use and operation cannot fill. e. If "loss" results from the total theft of a covered "auto" of the private passenger type, we will pay under this coverage only that amount of your rental reimbursement expenses which is not already provided under Paragraph 4. Coverage Extension. f. No deductible applies to this coverage. For the purposes of this endorsement provision, materials and equipment do not include "personal effects" as defined in provision 11. 10. EXTRA EXPENSE - BROADENED COVERAGE Under SECTION III - PHYSICAL DAMAGE COVERAGE, A. COVERAGE, we will pay for the expense of returning a stolen covered "auto" to you. The maximum amount we will pay is $1,000. 11. PERSONAL EFFECTS COVERAGE A. SECTION III - PHYSICAL DAMAGE COVERAGE, A. COVERAGE, is amended by adding the following: If you have purchased Comprehensive Coverage on this policy for an "auto" you own and that "auto" is stolen, we will pay, without application of a deductible, up to $600 for "personal effects" stolen with the "auto." The insurance provided under this provision is excess over any other collectible insurance. B. SECTION V - DEFINITIONS is amended by adding the following: For the purposes of this provision, "personal effects" mean tangible property that is worn or carried by an insured." "Personal effects" does not include tools, equipment, jewelry, money or securities. 12. ACCIDENTAL AIRBAG DEPLOYMENT SECTION III - PHYSICAL DAMAGE COVERAGE, B. EXCLUSIONS is amended by adding the follow- ing: If you have purchased Comprehensive or Collision Coverage under this policy, the exclusion for "loss" relating to mechanical breakdown does not apply to the accidental discharge of an airbag. Any insurance we provide shall be excess over any other collectible insurance or reimbursement by manufacturer's warranty. However, we agree to pay any deductible applicable to the other cov- erage or warranty. 13. AUDIO, VISUAL AND DATA ELECTRONIC EQUIPMENT COVERAGE SECTION III - PHYSICAL DAMAGE COVERAGE, B. LOAN / LEASE GAP COVERAGE A. Paragraph C., LIMIT OF INSURANCE of SECTION III - PHYSICAL DAMAGE COVERAGE is amended by adding the following: The most we will pay for a "total loss" to a covered "auto" owned by or leased to you in any one "accident" is the greater of the: 1. Balance due under the terms of the loan or lease to which the damaged covered "auto" is subject at the time of the "loss" less the amount of: a. Overdue payments and financial penalties associated with those payments as of the date of the "loss", b. Financial penalties imposed under a lease due to high mileage, excessive use or ab- normal wear and tear, c. Costs for extended warranties, Credit Life Insurance, Health, Accident or Disability Insurance purchased with the loan or lease, d. Transfer or rollover balances from previous loans or leases, e. Final payment due under a "Balloon Loan", f. The dollar amount of any unrepaired damage which occurred prior to the "total loss" of a covered "auto", g. Security deposits not refunded by a lessor, h. All refunds payable or paid to you as a result of the early termination of a lease agreement or as a result of the early termination of any warranty or extended service agreement on a covered "auto", 1. Any amount representing taxes, j. Loan or lease termination fees; or 2. The actual cash value of the damage or stolen property as of the time of the "loss". An adjustment for depreciation and physical condition will be made in determining the actual cash value at the time of the "loss". This adjustment is not applicable in Texas. B. ADDITIONAL CONDITIONS This coverage applies only to the original loan for which the covered "auto" that incurred the loss serves as collateral, or lease written on the covered "auto" that incurred the loss. C. SECTION V - DEFINTIONS is changed by adding the following: As used in this endorsement provision, the following definitions apply: "Total loss" means a "loss" in which the cost of repairs plus the salvage value exceeds the actual cash value. A "balloon loan" is one with periodic payments that are insufficient to repay the balance over the term of the loan, thereby requiring a large final payment. GLASS REPAIR- WAIVER OF DEDUCTIBLE Paragraph D. PARKED AUTO COLLISION COVERAGE (WAIVER OF DEDUCTIBLE) Paragraph D. Deductible of SECTION III - PHYSICAL DAMAGE COVERAGE is amended by the addition of the following: The deductible does not apply to "loss" caused by collision to such covered "auto" of the private passenger type or light weight truck with a gross vehicle weight of 10,000 lbs. or less as defined by the manufacturer as maximum loaded weight the "auto" is designed to carry while it is: a. In the charge of an "insured"; b. Legally parked; and c. Unoccupied. The "loss" must be reported to the police authorities within 24 hours of known damage. The total amount of the damage to the covered "auto" must exceed the deductible shown in the Declarations. This provision does not apply to any "loss" if the covered "auto" is in the charge of any person or organization engaged in the automobile business. SECTION IV - BUSINESS AUTO CONDITIONS is amended as follows: 17. UNINTENTIONAL FAILURE TO DISCLOSE HAZARDS SECTION IV- BUSINESS AUTO CONDITIONS, Paragraph 8.2. is amended by adding the following: If you unintentionally fail to disclose any hazards, exposures or material facts existing as of the inception date or renewal date of the Business Auto Coverage Form, the coverage afforded by this policy will not be prejudiced. However, you must report the undisclosed hazard of exposure as soon as practicable after its discovery, and we have the right to collect additional premium for any such hazard or exposure. 18. Project Designation. The Consultant is retained by the City to perform Phase 1 Environmental Site Assessments for potential sites referred to as JC7N, JC8, FS5-E in connection with the project titled Tukwila Public Safety Plan. 2. Scope of Services. The Consultant agrees to perform the services, identified on Exhibit "A" attached hereto, including the provision of all labor, materials, equipment and supplies. 3. Duration of Agreement; Time for Performance. This Agreement shall be in full force and effect for a period commencing upon execution and ending December 31, 2017, unless sooner terminated under the provisions hereinafter specified. Work under this Agreement shall commence upon written notice by the City to the Consultant to proceed. The Consultant shall perform all services and provide all work product required pursuant to this Agreement no later than December 31, 2017 unless an extension of such time is granted in writing by the City. 4. Payment. The Consultant shall be paid by the City for completed work and for services rendered under this Agreement as follows: A. Payment for the work provided by the Consultant shall be made as provided on Exhibit "A" attached hereto, provided that the total amount of payment to the Consultant shall not exceed $15,000 (including estimated expenses) without express written modification of the Agreement signed by the City. B. The Consultant may submit vouchers to the City once per month during the progress of the work for partial payment for that portion of the project completed to date. Such vouchers will be checked by the City and, upon approval thereof, payment shall be made to the Consultant in the amount approved. C. Final payment of any balance due the Consultant of the total contract price earned will be made promptly upon its ascertainment and verification by the City after the completion of the work under this Agreement and its acceptance by the City. D. Payment as provided in this section shall be full compensation for work performed, services rendered, and for all materials, supplies, equipment and incidentals necessary to complete the work. E. The Consultant's records and accounts pertaining to this Agreement are to be kept available for inspection by representatives of the City and the state of Washington for a period of three (3) years after final payments. All documents, drawings, specifications and other materials produced by the Consultant in connection with the services rendered under this Agreement shall be the property of the City whether the project for which they are made is executed or not. The Consultant shall be permitted to retain copies, including reproducible copies, of drawings and specifications for information, reference and use in connection with the Consultant's endeavors. The Consultant shall not be responsible for any use of the said documents, drawings, specifications or other materials by the City on any project other than the project specified in this Agreement. 6. Compliance with Laws. The Consultant shall, in performing the services contemplated by this Agreement, faithfully observe and comply with all federal, state, and local laws, ordinances and regulations, applicable to the services rendered under this Agreement. 7. Indemnification. The Consultant shall defend, indemnify and hold the City, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the Consultant in performance of this Agreement, except for injuries and damages caused by the sole negligence of the City. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, employees, and volunteers, the Consultant's liability hereunder shall be only to the extent of the Consultant's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. 8. Insurance. The Consultant shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Consultant, its agents, representatives, or employees. Consultant's maintenance of insurance as required by the agreement shall not be construed to limit the liability of the Consultant to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. A. Minimum Amounts and Scope of Insurance. Consultant shall obtain insurance of the types and with the limits described below: 1. Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. Automobile Liability insurance shall cover . all owned, non -owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 2. Commercial General Liability insurance with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors and personal injury and advertising injury. The City shall be named as an insured under the Consultant's Commercial General Liability insurance policy with respect to the work performed for the City. 3. Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. CA revised : 1-2013 Page 2 4. Professional Liability with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit. Professional Liability insurance shall be appropriate to the Consultant's profession. B. Other Insurance Provision. The Consultant's Automobile Liability and Commercial General Liability insurance policies are to contain, or be endorsed to contain that they shall be primary insurance with respect to the City. Any Insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the Consultant's insurance and shall not be contributed or combined with it. C. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M. Best rating of not Tess than A: VII. D. Verification of Coverage. Consultant shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Consultant before commencement of the work. Certificates of coverage and endorsements as required by this section shall be. delivered to the City within fifteen (15) days of execution of this Agreement. E. Notice of Cancellation. The Consultant shall provide the City with written notice of any policy cancellation, within two business days of their receipt of such notice. F. Failure to Maintain Insurance. Failure on the part of the Consultant to maintain the insurance as required shall constitute a material breach of contract, upon which the City may, after giving five business days notice to the Consultant to correct the breach, immediately terminate the contract or, at its discretion, procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to the City on demand, or at the sole discretion of the City, offset against funds due the Consultant from the City. 9. Independent Contractor. The Consultant and the City agree that the Consultant is an independent contractor with respect to the services provided pursuant to this Agreement. Nothing in this Agreement shall be considered to create the relationship of employer and employee between the parties hereto. Neither the Consultant nor any employee of the Consultant shall be entitled to any benefits accorded City employees by virtue of the services provided under this Agreement. The City shall not be responsible for withholding or otherwise deducting federal income tax or social security or for contributing to the state industrial insurance program, otherwise assuming the duties of an employer with respect to the Consultant, or any employee of the Consultant. 10. Covenant Against Contingent Fees. The Consultant warrants that he has not employed or retained any company or person, other than a bonafide employee working solely for the Consultant, to solicit or secure this contract, and that he has not paid or agreed to pay any company or person, other than a bonafide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration contingent. upon or resulting from the award or making of this contract. For breach or violation of this warrant, the City shall have the right to annul this contract without liability, or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee. 11. Discrimination Prohibited. The Consultant, with regard to the work performed by it under this Agreement, will not discriminate on the grounds of race, religion, creed, color, national origin, age, veteran status, sex, sexual orientation, gender identity, marital status, political affiliation or the presence of any disability in the selection and retention of employees or procurement of materials or supplies. CA revised : 1-2013 Page 3 12. Assignment. The Consultant shall not sublet or assign any of the services covered by this Agreement without the express written consent of the City. 13. Non -Waiver. Waiver by the City of any provision of this Agreement or any time limitation provided for in this Agreement shall not constitute a waiver of any other provision. 14. Termination. A. The City reserves the right to terminate this Agreement at any time by giving ten (10) days written notice to the Consultant. B. In the event of the death of a member, partner or officer of the Consultant, or any of its supervisory personnel assigned to the project, the surviving members of the Consultant hereby agree to complete the work under the terms of this Agreement, if requested to do so by the City. This section shall not be a bar to renegotiations of this Agreement between surviving members of the Consultant and the City, if the City so chooses. 15. Applicable Law; Venue; Attorney's Fees. This Agreement shall be subject to, and the Consultant shall at all times comply with, all applicable federal, state and local laws, regulations, and rules, including the provisions of the City of Tukwila Municipal Code and ordinances of the City of Tukwila. In the event any suit, arbitration, or other proceeding is instituted to enforce any term of this Agreement, the parties specifically understand and agree that venue shall be properly laid in King County, Washington. The prevailing 'party in any such action shall be entitled to its attorney's fees and costs of suit. Venue for any action arising from or related to this Agreement shall be exclusively in King County Superior Court. 16. Severability and Survival. If any term, condition or provision of this Agreement is declared void or unenforceable or limited in its application or effect, such event shall not affect any other provisions hereof and all other provisions shall remain fully enforceable. The provisions of this Agreement, which by their sense and context are reasonably intended to survive the completion, expiration or cancellation of this Agreement, shall survive termination of this Agreement. 17. PHASE I ENVIRONMENTAL SITE ASSESSMENT SCOPE OF SERVICES The objective of a Phase I ESA is to identify potential environmental liabilities or risks associated with a specific piece of real estate referred to as recognized environmental conditions, as outlined in the American Society for Testing and Materials (ASTM) Standard Practice for Environmental Site Assessments: Phase I Environmental Assessment Process (ASTM E1527-13). Risks commonly evaluated during a Phase I ESA include: • The potential for the presence of contaminated soil and/or groundwater. • The potential for on -Property migration of contaminants from off -Property sources. • The potential for off -Property migration of on -Property contaminants by air emissions, groundwater, and other media. Technical Approach In accordance with ASTM E1527-13, which was developed by ASTM to provide a standardized method of conducting Phase I ESAs, SoundEarth's work on this project will consist of several elements: ■ A review of selected historical sources, where reasonably ascertainable and readily available, will be conducted in an attempt to document obvious past land use of the Properties and adjoining properties back to 1940 or when the Properties were initially developed, whichever is earlier. This will include interviews with persons having some knowledge of current and past use of the Properties; review of historical aerial photographs and topographic maps of the Properties and surrounding area; review of city directories, Sanborn Fire Insurance Maps, county assessor's records, building department records, and information at various local agencies, as available. Prior environmental reports, permits and registrations, geotechnical reports, Property title search information, and environmental lien information will be reviewed if provided by the client. ■ Review of current state and federal databases that list the registered sites with known or potential releases of toxic substances within a 0.5- to 1 -mile radius from the Properties. • Reconnaissance of the Properties and vicinity to observe current Property conditions and practices. The Property reconnaissance provides an opportunity to search for evidence of possible contamination in the form of soil discoloration, odors, vegetative stress, discarded drums, discarded industrial debris, building construction materials, underground storage tanks, etc. ■ Preparation of three written reports documenting our methods and findings, including Property photographs, a map showing the locations of the Properties and potential sources of contamination within a 1 -mile radius, Property plans, and copies of supporting documents. 'Recognized Environmental Conditions are defined by ASTM E1527-13 as "the presence or likely presence of any hazardous substances or petroleum products in, on, or at a property: (1) due to any release to the environment; (2) under conditions indicative of a release to the environment; or (3) under conditions that pose a material threat of a future release to the environment."
