The parties agree as follows: 1. Description of the Work Indigo Slate is pleased to provide this proposal to the City of Tukwila ('Tukwila"). Indigo Slate proposes to support Tukwila in their Charrette of February 23 through 26 concerning the urban development of a section of International Blvd. The Charrette is being led by a 3'd party. Tukwila would like to explore how digital tools can augment and be used during the Charrette. The digital tool to be explored is: • A 3D model of the urban development site with contextual background images that can be displayed using the HTC Vive and perhaps a touchscreen monitor. Several pre-Charrette, face-to-face meetings will be scheduled between Tukwila Urban Planners, the 3rd party Charrette Leaders, and Indigo Slate to plan how the digital tool will incorporated into the Charrette. The first of these meetings are tentatively planned for January 25th. The final deliverables included are: • An immersive, 3D environment ("3D Environment") representing the urban development site with 360 degree background images taken from several select locations within the physical site. When visualized, interaction logic will permit various comparisons and studies to be made (e.g. site -lines, volumetrics, zoning). • On-site use by all participants of an HTC Vive during the Charrette in order to visualize the 3D Environment. If required, this may also include daily updates to the 3D Environment per workshop results. Deliverables/Delivery Schedule 2.1 Detailed Descriptions of Deliverables: Deliverable 1 Description Assumptions Requirements Phase 3D Environment Business Requirements Document (BRD) This BRD defines user roles, user stories, and content strategy — including level of detail and focus viewpoints within the urban development site - for the 3D Environment. Project stakeholders will actively work with Indigo Slate Business Analyst and Solution Architects to adequately complete and review the BRD. Deliverable Description Assumptions Scope Phase 3D Content POC A subset of the full 3D Environment will be constructed at the BRD requirements level to ensure consensus. HTC Vive provided by Indigo Slate 360 degree background images (head -high and via drone) 4-10 locations will be recorded as 360 degree panoramic images to be used as the background for the 3D Environment. Locations to be specified by the BRD. Indigo Slate to provide recording devices and perform recording. City of Tukwila to provide any necessary permits and arrange access. Deliverable s Description Assumptions Production Phase 3D Environment UAT This UAT will involve stakeholders using the HTC Vive as the various user roles to HTC Vive provided by Indigo Slate Software Development Lifecycle SOW including Requirements, Design, and Engineering validate completeness and satisfaction of Acceptance Criteria. The testing of other display devices, such as a large touchscreen monitor, to be determined by BRD and technological capabilities. Deliverable Description Assumptions Charrette Workshop HTC Vive Support Indigo Slate will provide an HTC Vive on premise during the length of the Charrette workshop, and provide personnel to maintain its functionality and aide people in its use. 3. Project Closure Criteria All deliverables have been delivered to City of Tukwila, and the client has been given a reasonable amount of direction and time to perform UAT. The code contains no critical bugs and no Severity 1 bugs found as of project closure date. • Critical bugs are defined as a defect (unfulfilled, documented requirement) which results in the complete failure of the code in the test environment with no viable work -around available. Ability to deploy the system into the test environment is blocked. Testing cannot proceed until the problem is resolved. • Severity 1 bugs are defined as defects (unfulfilled or partially completed, documented requirement) which may not cause the system to completely fail but critical functionality is significantly impaired causing a substantial negative user experience. Typically, no workaround exists. 4. Supported Browsers and Devices The only required device to be supported is an HTC Vive. Other display devices, such as a large format touchscreen monitor, may be supported if technologically capable and time and budget permit. Delivery Schedule Unless this SOW is terminated earlier, Indigo Slate shall complete and deliver all Work to the City of Tukwila on or before February 26, 2017. Division of Responsibility From what is known about the project and its requirements at this point, Indigo Slate projects the need for the following resources: • Technical Project Manager • Solution Architect (3D) • 3D Application Developer • 3D Modeler • 360 Panorama Image Specialist in addition, Tukwila will provide the following resources to work with the Indigo Slate team: • Joseph Todd as primary stakeholder for project requirements and delivery sign -off • City of Tukwila Urban Planner(s) for project requirements and content • 3rd Party Charrette Organizer for Charrette planning 7. Payment 7.1 Work Fees (choose one of the, below) As complete and final payment for Work which has been completed and delivered by Indigo Slate to City of Tukwila and which has been accepted by City of Tukwila, City of Tukwila shall pay Indigo Slate: 0 total fee not to exceed U.S. Dollars (USD) or Software Development Ufecycle SOW including Requirements, Design, and Engineering • total fee not to exceed $ 18,900 (eighteen thousand nine hundred USD) in accordance with the following milestone payment schedule: Milestone # Not to Exceed Payment Amount 0 $0 1 $0 2 $10,000 3 $0 4 { $8,900 Total Fees $18,900 7.2 Expenses: (choose one of the below) O In addition to the Work Fees above, {client} shall reimburse Indigo Slate up to (amount} US Dollars (USD) for pre -approved, reasonable and actual travel and travel -related expenses incurred by Indigo Slate in connection with the performance of the Work. All travel expenses hereunder are subject to fclient}'s review and the (client)'s Travel Policy and Indigo Slate must submit appropriate documentation evidencing expenses to be reimbursed. 9.11 • Indigo Slate shall bear sole responsibility for all expenses incurred in connection with the performance of the Work, unless otherwise agreed to in writing by City of Tukwila. 8. Other 8.1 Assumptions • City of Tukwila will establish a team of accessible IT and business stakeholders to ensure continuous information access and minimize potential rework. • City of Tukwila will provide requested information, meetings with stakeholders, resolution of critical dependencies, and feedback on draft deliverables in a timely manner. • Milestone timing is tentative based on a kickoff date of 01/30/2017 • Milestone dates will be reassessed and retimed upon receipt of a PO from City of Tukwila • Indigo Slate will participate in no more than 2 review meetings per deliverable. Should additional review cycles be required, a change order will be filed to accommodate them. • All the stakeholders responsible for approvals must clearly agree to timelines, resources, roles and out of scope items during the project kick off meeting. • City of Tukwila will provide timely access to all the content and information required for the above deliverables. • The timeline will be dependent on availability of appropriate content, resources and information. Software Development Lifecycle SOW including Requirements, Design, and Engineering • City of Tukwila will have the opportunity to perform one formal UAT review of the full deliverables before finalization respectively. The feedback from City of Tukwila must be provided within 3 working days of Indigo Slate UAT submission. • All work will be performed at Indigo Slate. • This estimate includes only work effort required by Indigo Slate and Indigo Slate consultants to complete the statement of work. • Additional requests and updates will be addressed via the Change Management Process described below. • The content and deliverables are limited to US -English language only. • Existing content will be leveraged wherever possible in an effort to reduce costs. • Any costs for travel of Indigo Slate resources beyond the Puget Sound area is not included and will be passed through City of Tukwila with supporting receipts. In this event, every effort will be made to adhere to City of Tukwila's employee travel expense guidelines. 8.2 Change Management Process A change is defined as: • Work requested by City of Tukwila or identified by Indigo Slate beyond the scope of this Statement of Work • Modifications to deliverables previously reviewed and accepted by City of Tukwila All changes identified by the Indigo Slate Project Manager will be documented in a Change Request. Change Requests are then reviewed for cost or schedule impacts. If a cost or schedule impact is identified, the Change Request is submitted to (client) for review and approval. A Change Request is only executed once it is approved (via signature of an authorized representative) by City of Tukwila. Once a Change Request is approved, it becomes an Addendum to this Statement of Work. Software Development lifecycle SOW including Requirements, Design, and Engineering ADDITIONAL TERMS Indemnification. The Consultant shall defend, indemnify and hold the City, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the Consultant in performance of this Agreement, except for injuries and damages caused by the sole negligence of the City. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, employees, and volunteers, the Consultant's liability hereunder shall be only to the extent of the Consultant's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. Insurance. The Consultant shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Consultant, its agents, representatives, or employees. Consultant's maintenance of insurance as required by the agreement shall not be construed to limit the liability of the Consultant to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. A. Minimum Amounts and Scope of Insurance. Consultant shall obtain insurance of the types and with the limits described below: • 1. Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. Automobile Liability insurance shall cover all owned, non -owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 2. Commercial General Liability insurance with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. Commercial General Liability insurance shall be at least as broad as ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, stop -gap independent contractors and personal injury and advertising injury. The City shall be named as an additional insured under the Consultant's Commercial General Liability insurance policy with respect to the work performed for the City using an additional insured endorsement at least as broad as ISO CG 20 26. • 3. Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. 4. Professional Liability with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit. Professional Liability insurance shall be appropriate to the Consultant's profession. B. Other Insurance Provision. The Consultant's Automobile Liability and Commercial General Liability insurance policies are to contain, or be endorsed to contain that they shall be primary insurance with respect to the City. Any Insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the Consultant's insurance and shall not be contributed or combined with it. C. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M. Best rating of not Tess than A:VII. D. Verification of Coverage. Consultant shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Contractor before commencement of the work. Upon request by the City, the Consultant shall furnish certified copies of all required insurance policies, including endorsements, required in this Agreement and evidence of all subcontractors' coverage. E. Notice of Cancellation. The Consultant shall provide the City with written notice of any policy cancellation, within two business days of their receipt of such notice. F. Failure to Maintain Insurance. Failure on the part of the Consultant to maintain the insurance as required shall constitute a material breach of contract, upon which the City may, after giving five business days notice to the Consultant to correct the breach, immediately terminate the contract or, at its discretion, procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to the City on demand, or at the sole discretion of the City, offset against funds due the Consultant from the City. 9.
