This agreement is entered berween King County (hereinafter "County") and the City of Tukwila
(hereinafter "City on the date below indicated.
A. Recitals.
AGREEMIENT FOR INDEMNIFICATION
1. County is the owner of certain real property located within the City
commonly referred to as Cecil Moses Memorial Park (North Wind Weir Park) (hereinafter
"Park") and legally described in Exhibit "A" attached hereto.

2. County wishes to engage in development activities related to the
O aforementioned property.
3. County's proposed development activities for the property include cutting
away a portion of the riverbank on the Duwamish River adjacent to the Park to establish an
O estuary.

demands, damages, losses, liens, liabilities, penalties, fines, Lawsuits or other proceedings and
costs and expenses (including attorneys fees) which accrue, arise or are incurred as a result of
County's action in cutting away portions of the Duwamish River riverbank for its estuary project
associated with the property described in Exhibit `A The County's Liability under this
Indemnification Agreement shall be limited to the County's negligence.
2. This agreement shall be binding upon and shall inure to the benefit of the
parties, their respective heir, representatives, successors, and assigns.
3. This agreement shall be govemed under the laws of the State of Washington.
In any suit, action or appeal therefrom to enforce or interpret this agreement, the prevailing party

shall be entitled to recover its expenses incurred therein including reasonable attorneys fees and
costs.
