(SRSMC) shall repair or cause to be repaired any leaks in the Roof of the building indicated above (the "Roof') which are caused by defects in the materials supplied by SRSMC for the Roof. including all metal which SRSMC furnishes and installs. (the SRSMC System) or defects in workmanship in the installation of the SRSMC Systems. which leaks first occur during the period from the date of acceptance indicated above up to a maximum of the expiration stated in years above from the date of substantial completion of installation of the SRSMC System. If SRSMC determines that the original materials are not suitable at the time of a repair covered under this Warranty. SRSMC shall have the right to substitute materials of equal quality. The warranty is for the benefit solely of the Building Customer indicated above ("Customer") and is neither assignable nor transferable unless written permission is provided by SRSMC within thirty (30) days of the Warranty transfer. which permission may be given or withheld by SRSMC within its sole discretion. Under no circumstances will SRSMC be responsible or liable to any third parties for damage or loss. nor will SRSMC be liable for any claims by the Customer that arise out of claims against it by any person for damage. loss. or physical injury. SRSMC SHALL HAVE NO OBLIGATION UNDER THIS WARRANTY UNTIL SRSMC HAS RECEIVED PAYMENT IN FULL FOR ALL MATERIALS AND SERVICES PROVIDED. TERMS. CONDITIONS. LIMITATIONS I) SRSMC's obligation under this Warranty shall be limited to repair of any leaks which SRSMC determines to be covered under this Warranty. The Customer's sole remedy against SRSMC with respect to the SRSMC System shall be for breach of this Warranty. 2) SRSMC shall have no obligation under this Warranty in the event that: a) The Roof is damaged by extraordinary natural forces. includin„ without limitation, winds in excess of 55 mph measured at ten (10) meters above ground level. by wind launched debris. Lightning. earthquakes or other similar acts of God or natural causes. or by falling trees. objects or other debris, regardless of origin. b) The Roof is damaged by willful or negligent acts including. but not limited to. fire. vandalism, labor strikes. civil uprising. acts of war or other misuse by the Customer or third parties. c) The Roof is damaged. fails or becomes defective as a result of use of materials or labor not furnished by SRSMC. d) The Roof is compromised by changes in the use of the building after installation of the SRSMC System. in a manner that adversely affects the integrity of the roofing system. or if the Customer or occupant creates or changes environmental conditions within the building. including but not limited to humidity levels. temperature changes or other like variations that adversely affect the integrity of the roofing system. e) The Roof is damaged or compromised as a result of design or engineering defects or by structural failures. including without limitation. defects in the structure of the roof or building. or defects in any part of the roof not supplied by SRSMC. settling or shifting of the building... or movement, cracking or deflection of the roof deckroof substrate. roofing parapet, walls or other connecting structures. or by excessive pressure caused by HVAC or other ventilating equipment, or by faulty construction of structural aspects of the roof, walls. skylights. vents. chimneys or other like items. f) The roof becomes discolored. undergoes changes in appearance or surface texture. or exhibits any other condition or defect that does not result in a leak. g) The Roof is damaged by chemical conditions. environmental fallout, chemical attack or other like conditions. h) There are any alterations or repairs made on or through the Roof. or if objects (including. without limitation. machines. structures, fixtures or utilities) are placed on the Roof without prior written authorization of SRSMC. i) If the roof is used as a promenade or work surface. or is subjected to other uses or conditions not intended or specified by SRSMC. j) The Customer fails to comply with any material term or condition of this Warranty. k) The Customer fails to follow the SRSMC care and maintenance requirements provided with this Warranty. 1) The roof ponds water. 3) SRSMC shall have no obligation under this Warranty for dripping water or other moisture problems caused by or arising out of condensation. for the presence, growth, proliferation. spread. or other activity of any type of mold. mildew. bacteria. or wet or dry rot occurring, on the Roof or in the building. for indoor air quality. or damages or injuries caused by the same. 4) The Customer shall allow SRSMC and its agents and employees to have free access to the Roof during regular business hours during the term of this Warranty. (1 lc) ADDENDUM Simon Roofing and Sheet Metal Corp. CARE AND MAINTENANCE INSTRUCTIONS (Required for Warranty Protection) 1. Keep roof surface clear of debris, objects and equipment of any kind. 2. Keep all drains free of debris to avoid clogging. Clogged drains may allow water buildup and possible penetration into the roof surface. 3. Keep all caustic materials, petroleum products and solvents, grease and waste off of the roof surface. 4. Use only materials, products and contractors approved by SRSMC to repair the roof system. Notify SRSMC well before commencing any roof repairs, and in accordance with the warranty terms. 5. Keep all metal curbs, pipes, counter flashing and seams in a watertight condition at all times. 6. Install walk pads (approved by SRSMC) if there is any rooftop traffic to and from areas requiring regular maintenance. Such traffic should be kept to a minimum in order to prevent damage to the roof membrane. 7. If you intend to install any devices, such as air conditioning units, vents, etc. in or through the roof, or engage in any construction, contact SRSMC for approval and coordination of the installation in order to maintain your warranty coverage. 8. If you experience a roof leak, check the area of the leak to determine whether it is a leak caused by failure of the roof membrane and not a skylight, HVAC or plumbing leak that has caused the problem. The investigation and repair cost of non -warranty items that are outside the scope of the warranty coverage will be billed on a time and material basis. S I M O N ROOFING SINCE 1900 5) SRSMC shall have no obligation under this Warranty to repair any leak, unless the Customer notifies SRSMC by phone or facsimile transmission within twenty-four (24) hours of such leak in reasonable detail and in writing within forty-eight hours of the discovery of such leak. rty-eight (48) 6) Any suit for breach of this Warranty must be filed by the Customer within one 1) year from the date on which the warranted leak or leaks were first discovered or should have been discovered by Customer. 7) SRSMC shall, upon proper notice of a Warranty claim, inspect the Roof in order to determine the cause of the leak reported. If SRSMC determines that the leak is within the coverage of this Warranty. then SRSMC shall promptly arrange repairs. 8) The Roof may be adversely affected by excessive wear and tear, activities of third parties on the Roof, or other occurrences like those set forth in Paragraph 3, which could compromise the integrity of the Roofing System ty. In order to help prevent or to detect and remedy such conditions. SRSMC requires an inspection every d time thisid e Customer of this Warranty schedules work on or around the Roof (such as installation or repair of fans or air conditioning). Prior to any such event. the Customer shall notify SRSMC in advance, in writing, to arrange an inspection. In the event that the Roof becomes compromised as a result of conditions that could have been prevented, remedied or alleviated, in whole or in part, after a timely inspection by SRSMC. then SRSMC shall have no further obligation under this Warranty. Roofing services provided to prevent or remedy such conditions are not covered under this Warranty. Any SRSMC roof system that has an aluminum coated surface must be re -aluminized every ten (10) years at the Customer's cost, performed by us or a contractor approved by SRSMC. with SR SunGard PIusTM coating. Failure to re -aluminize will void the Warranty. 9) Failure of SRSMC, at any time, to enforce any of the terms or conditions of this Warranty shall not be construed to be a waiver of any other provision. 10) Any controversy, claim or dispute arising out of this Warranty shall first be mediated. Mediation shall be initiated by written demand of either party. which written demand shall include a description of any issues in dispute. SRSMC and the Customer shall mutually agree upon a mediator. The good faith attendance of SRSMC and the Customer at mediation shall be a condition precedent to arbitration or any other legal or administrative action. 11) In the event that mediation is not successful, any controversy, claim or dispute arising out of this Warranty or for breach hereof shall be decided by arbitration administered by and in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association or through such arbitration procedure as SRSMC and the Customer may agree. The agreement to arbitrate shall be specifically enforceable under the prevailing arbitration law. The award rendered by the arbitrators shall be final, and judgment may be entered upon it in any Court having jurisdiction thereof. 12) This Warranty is issued by SRSMC from its principal place of business in Boardman. Mahoning County, Ohio. This Warranty shall be governed by and construed in accordance with the laws of the State of Ohio, and mediation or arbitration of any controversy, claim or dispute arising out of or related thereto shall be held in Mahoning County, Ohio, unless SRSMC and the Customer agree otherwise. 13) SRSMC shall have no obligation under this Warranty until SRSMC has been paid in full for all materials and services provided. Delays in warranty coverage, due to delays in payment, shall not extend warranty protection beyond the expiration date of this Warranty. 14) The total aggregate monetary liability of SRSMC over the life of this Warranty, regardless of the number of claims presented, shall not exceed the total contract price of the installed roof system (excluding the cost of removing any pre-existing roof), prorated on a declining straight line basis over the life of the Warranty, so that the total liability of SRSMC at the time of determination of any warranty claim shall, in no event, exceed the prorated amount, less the cost to SRSMC of all prior warranty claims. Note: SRSMC recommends that the Customer participate in an SRSMC Warranty Protection Plan, which may help extend the life of the SRSMC System and facilitate renewal of this Warranty. THIS WARRANTY SUPERSEDES AND IS IN LIEU OF ALL OTHER WARRANTIES OR GUARANTEES, WHETHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS WARRANTY SHALL BE THE CUSTOMER'S EXCLUSIVE REMEDY AGAINST SRSMC WITH RESPECT TO THE ROOF, AND THE SRSMC SYSTEM AND SRSMC SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGE TO FIXTURES OR CONTENTS OF THE BUILDING, OR FOR LOSS, OR INTERRUPTON OF BUSINESS.
