WEBSITE DOMAIN TRANSFER AGREE ':ENT
BETWEEN THE CITY OF TUKWILA AND JOHN FACCONE
This Website Domain Transfer Agreement ("Agreement") is entered into between
the City of Tukwila, a municipal corporation in the State of Washington ("City"), and John
Faccone, an individual ("Faccone").
WHEREAS, Faccone has registered the website domain name Southcenter.com (the
"Domain Name") with Network Solutions; and
WHEREAS, the City wishes to purchase Faccone rights for the Domain Name; and
WHEREAS, Faccone desires to transfer his ownership interest to the City.
NOW THEREFORE, in consideration of the mutual benefits and conditions set forth
below, the City and Faccone (collectively "the Parties") agree as follows:
1. Domain Transfer and Payment
1.1 Faccone will transfer its ownership and rights to the Domain Name to
the City of Tukwila within ten days of mutual execution of this
Agreement.
1.2 Once transferred, Faccone relinquishes all rights and interests to the
Domain Name.
1.3 Within 14-days of ownership transfer, the City shall provide a check to
Faccone in the amount of Five Thousand Dollars and no cents ($5,000.00)
as compensation for the Domain Name transfer. The check shall be mailed
to 21211 Island Parkway East; Lake Tapps, WA 98391 or be picked up at
Tukwila City Hall. Faccone shall provide the City with a completed IRS
Form W-9.
2. Representations and Guarantees. Faccone warrants that it is the lawful registrant
of the Domain Name and that no other persons or entities have an ownership
interest in the Domain Name. Furthermore, Faccone guarantees the City that
there is no current legal lawsuit pending regarding ownership of the Domain
Name. Faccone further warrants that he is not currently in bankruptcy
proceedings, which could cloud his interest in the domain name.
3. Amendments. This Agreement may not be amended unless evidenced in writing
and signed by both Parties.
4. Notices. Any written notice required or permitted to be given herein shall be
made by registered or certified U.S. mail, return receipt requested, or by delivery
in person to the Party which is the intended recipient of the notice, at the
following addresses or to such other respective addresses as either Party hereto
may from time to time designate in writing:

5. Assignment. Neither Party to this Agreement shall transfer or assign any right
or obligation hereunder without the prior written consent of the other Party.
6. Applicable Law: Venue: Atton ey's Fees. This Agreement shall be governed
by and construed in accordance with the laws of the State of Washington. In
the event any suit, arbitration or other proceeding is instituted to enforce any
term of this Agreement, the Parties specifically understand and agree that
venue shall be properly laid in King County, Washington. The prevailing
party in any such action shall be entitled to its attorney's fees, expert witness
fees, and other costs of suit.
